MEETING CALL TO ORDER – Kevin Currie Kevin Currie called the meeting to order. Kevin asked any members at the meeting if they wished to declare a conflict of interest. No conflicts were declared. Kevin introduced Henry Byres from the BIA Office at the City of Toronto who will be taking over David’s role while he is on parental leave. Henry has a history with The Waterfront BIA so is reconnecting with some board members he has already met and new members. Welcome Henry! 2. 1. <strong>MEETING</strong> CALL TO ORDER – Kevin Currie<br />

Kevin Currie called the meeting to order. Kevin asked any members at the meeting if they<br />

wished to declare a conflict of interest. No conflicts were declared. Kevin introduced Henry<br />

Byres from the <strong>BIA</strong> Office at the City of Toronto who will be taking over David’s role while he is<br />

on parental leave. Henry has a history with The <strong>Waterfront</strong> <strong>BIA</strong> so is reconnecting with some<br />

3. TORONTO WATERFRONT FESTIVAL 2012 - Lea Parrell, Water’s Edge Festival &<br />

Events<br />

Lea Parrell gave an overview of the Redpath Toronto <strong>Waterfront</strong> Festival for 2012 with a slide<br />

presentation of the package for presentation to partners and sponsors and update on outreach<br />

and scope of festival as well as a brief outline of the event featuring Tall Ships in 20<strong>13</strong> and<br />

beyond.<br />

Kevin thanked Lea on behalf of the Board. Lea then left the meeting.<br />

4. REVIEW <strong>OF</strong> THE FINANCIALS TO SEPTEMBER 30 (circulated electronically to the<br />

Board prior to the meeting) – Carol Jolly<br />

Carol presented the financials to the Board in Dermot’s absence. Carol had previously reviewed<br />

statements with Dermot before submitting to the Board. Our cash flow forecast shows a<br />

balance at December 2011 at $92,374. Our first payment levy for 2012 may be March 2012.<br />

Our contribution for prior years accumulated surplus was increased to $140,776 to reflect the<br />

increased holdback from the City regarding levy assessment appeals. Discussion as to<br />

commitment to $100,000 per year as a reserve and various suggestions and comments<br />

including Henry from <strong>BIA</strong> City Office.<br />

5. EXPANSION UPDATE – Kevin Currie/Carol Jolly<br />

Our new expansion area has been defined as West to Stadium Road and south including the<br />

Airport and East to Jarvis on the North side of Queens Quay and on the South side to<br />

Sherbourne Commons, including George Brown College. FedEx is not included. Further<br />

expansion in East Bayfront recommended as the area is developed. Under the new Municipal<br />

Code - Chapter 19, the General Manager of the Economic Development and Culture Division or<br />

his designate has to receive a resolution supporting the proposed expansion, adopted by a<br />

majority vote of the W<strong>BIA</strong> membership in attendance at a general meeting or an annual general<br />

meeting. We shall present a motion to expand to the W<strong>BIA</strong> membership at the AGM. It is<br />

therefore very important that the W<strong>BIA</strong> Board attend the AGM as every vote will count. If we<br />

receive approval to move forward, the public meeting will require a vote of 50% plus 1 and no<br />

negative option. Only the expansion area eligible owners and tenants will be voting. It will be<br />

key to have a credible distribution of notices to the expansion areas as well as endorsement<br />

through the Expansion Steering Committee, mostly comprised of potential members from the<br />

expansion area. Carol advised that we will require a new critical path previously developed by<br />

David Hessels for the process under the new expansion guidelines. Kevin suggested the public<br />

meeting should probably be in January or February in order to move forward in the Spring for<br />

the poll. Carol asked Henry to provide a new expansion map for presentation at the AGM.<br />

6. EVENTS UPDATE – Shey Clark/Carol Jolly<br />

My <strong>Waterfront</strong> Photo Contest – Artist Review Gala – Queens Quay Terminal<br />

800 registered guests, 500+ attendees, strolling throughout the Terminal to view the 50 Finalists<br />

handing throughout the walkways and in the Atrium there were 4 wineries, Sobeys cheese and<br />

prosciutto table, Watermark and Il Fornello serving great tastings of their signature finger foods<br />

accompanied by live music. Attendance spilled over into retail and restaurants…and our Friends<br />

from FOTI looking after the sale of cards produced with the images of the Finalists. Several<br />

artists have been approached for reproduction of their work or sale of their posters. We have<br />

passed all inquiries to the artists directly. The event was a great success and preparing us for<br />

participation in Nuit Blanche coming to the <strong>Waterfront</strong> in 2012. Carol also reviewed the PR stats<br />

from our publicist Peter Ashworth.<br />

Winterfest<br />

Mariposa will be doing the Santa Cruise on 2 weekends before Christmas on – 2 cruises per day<br />

with a potential capacity of 2,400 patrons. 1,200 attended in 2010. The Radisson and Westin<br />

offering special rates for those taking the cruise. Cruise is $12.00 for adults and children free.<br />

Sobeys has offered free refreshments from their supplier Van Houte. Children’s photos will be<br />

taken with Santa and will be available to download from our website following the event.<br />

Queens Quay Terminal will be giving out free frames as well as offering a puppet show in the<br />

Atrium. Other details still being firmed up with Pawsway. Redpath will contribute packages of<br />

cookies.<br />

Tourism Toronto - Snowman<br />

Tourism Toronto <strong>BIA</strong> Campaign featuring a 7 foot Snowman with artistic enhancements a la<br />

Moose statues a few years ago, one per participating <strong>BIA</strong>. Brookfield has approved installation<br />

in front of the QQT, with permission to use Harbourfront Centre property. Snowman installation<br />

and maintenance by TT and arrangements can be made for it to remain until end of February.<br />

7. FREE WATERFRONT BUS SHUTTLE – Carol Jolly<br />

Carol has met with Exhibition Place, Fort York, The Distillery District and the St. Lawrence <strong>BIA</strong><br />

with respect to the expansion of the bus shuttle service. The current partners and sponsors<br />

decided at the debrief meeting after the season that service would now feature the <strong>Waterfront</strong><br />

from Ontario Place to whatever decision is made to the East and not connecting to major transit<br />

at Union Station. Exhibition Place has decided not to participate and Carol is awaiting decision<br />

from The Distillery whose financial situation may require them to obtain sponsorship. St.<br />

Lawrence <strong>BIA</strong> and Fort York are interested. Discussion as to animated video screen with<br />

sponsored dollars. The wrap would have to be redesigned and installed due to the Union<br />

Station destination removal. Re-evaluation of sponsor contribution. May need larger bus or 2<br />

small buses depending on sponsor dollars.<br />

8. TORONTO WATERFRONT FESTIVAL UPDATE– Shey Clark<br />

Shey advised that she had now attended 2 meetings of the Water’s Edge Festival and Events<br />

board. They were mainly about the set up for the ongoing business and defining of roles.<br />

Shey was asked if there were any areas of concern at this point. The next meeting is set for<br />

<strong>October</strong> 28. No schedule of meetings has been established at this point. The Board will meet<br />

as necessary.<br />

9. AGM UPDATE – Carol Jolly<br />

Notice of AGM has been delivered by the City, by hand delivery through the W<strong>BIA</strong> and<br />

electronically to all members as well as posted on our website. Carol asked that the full Board<br />

be in attendance for this meeting as we have had interest from some owners who may be<br />

attending for the first time as well as voting concerning the expansion and revitalization which<br />

some of our Board Members may be able to address and provide updates.<br />

10. OTHER BUSINESS<br />

<strong>Waterfront</strong> Toronto – no decision on Construction Manager at this date. Supposed to be<br />

decided by late <strong>October</strong>. <strong>Waterfront</strong> Toronto known to pursue the best bidder not the cheapest.<br />

Discussion as to long term and streetscape as well as bus management and security issues.<br />

Resignation of Board Member – Rob Zeidler advised that he would be submitting his resignation<br />

as Vice Chair of the board after the AGM. Rob is also the Chair of the APC. Discussion as to<br />

Rob’s possible replacement and open position as Vice Chair and Chair of the APC. Both<br />

positions require an experienced board member.<br />
