CONSULTING SERVICES
FOR WEB-BASED TRI-MEDIA MONITORING
Terms of Reference (TOR)
1. OBJECTIVE:
The objectives of BCDA's Consulting Services for Web-based Tri-Media
Monitoring are:
• To provide a cost-effective and more efficient media monitoring service
to the BCDA by outsourcing the media monitoring service to a highlyqualified
CONSULTANT.
• To make use of a web-based monitoring system as a management
tool that is accessible to BCDA decision makers anytime, anywhere.
• To provide timely access of BCDA-related news found in the tri-media
(print, radio and TV) .
.Based on this, the CONSULTANT shall provide the BCDA with web-based trimedia
monitoring services through a user-friendly online monitoring system
that can be accessible through the internet for a period of one year. The
salient features of the tri-media monitoring service will include the following:
• Daily monitoring of major broadsheets, tabloids, websites, magazines,
TV stations, and radio stations; .
• Establish and maintain a web-based tri-media monitoring system that
can be accessed 24 hours a day, seven days a week;
• Upload BCDA-related tri-media news with its corresponding media
value at the dedicated website not later than 8:30 AM on weekdays
and 2 PM on weekends.
• Archive BCDA news in the web for easy access;
• Daily alert via email on stories that were published;
• Provide an online mechanism that will allow users to effectively and
efficiently manage their media, through tags, comments, track return of
investment of press activities, summary of news exposure, and
generate charts.
• Present daily alert in a customized format-include weather forecast,
exchange rate, summary of articles, and group articles according to
search parameters and issues.
• Alert BCDA via SMS on potential issues that were published;
• Provide monthly compilation of monitored articles with its
corresponding media value in CD-ROM format.
• Provide a monthly accomplishment report that will include an analysis
of media value, article count, and issues that are found to be relevant
to BCDA at a specific period.
2. SCOPE OF WORKITECHNICAL SPECIFICATIONS AND DELIVERABLES:
Section 2.1 The CONSULTANT shall provide access to a web-based trimedia
monitoring system covering the following:
2.1.1 Selecting and clipping relevant news, photographs, features,
supplements, advertorials, bid notices, announcements, and
issues in identified tri-media. .

2.1.2 Uploading the selected news to the CONSULTANT'S online
facility not later than 8:30 AM. during weekdays and 2 PM on
Sundays for news that fall on Saturday and Sunday.
2.1.3 Archiving of the selected news in the online facility for at least 1
month.
2.1.4 Providing BCDA with the CD containing all selected articles and
stories at the end of every month.
2.1.5 Provide a monthly accomplishment report that will include an
analysis of media value, article count, and issues that are found
to be relevant to BCDA for the month..
. Section 2.2 The CONSULTANT shall provide the following features for the
online facility:
2.2.1 User name that will allow selected BCDA employees to access
the website containing the uploaded tri-media news.
2.2.2 Easy user navigation and interface for easy access to articles in
the search parameters and issues that are relevant at a specific
period.

2.2.5. Provide an online mechanism that would allow BCDA to

specifications/ needs;

activity links, comments) made in articles
uploaded in their account;
2.2.5.8 Allowing users to have access to immense
archive of ads and articles that. is updated on a
daily basis, even those outside subscription
parameters;
2.2.5.9 Allowing users to generate real time charts
according to their preference and needs-daily
chart, daily media chart, monthly media chart,
monthly publication chart, tags chart, issues
chart. These charts are based on real time
count, size and value of articles;
2.2.5.10 Providing a noticeable alert for urgent news that
need immediate attention and action; an9

related information that can be viewed in the
website that includes contact details, email and
designations.
Section 2.3. The CONSULTANT shall use the following search parameters.
in monitoring BCDA-related news articles, photographs,
features, supplements, advertorials, bid notices,
announcements, issues and the like.
2.3.1 All BCDA-related tri-media news including features,
supplements, advertorials, bid notices, announcements and the
like mentioning the Bases Conversion and Development
Authority or BCDA;

of the BCDA based on the following keywords:

Section 2.5 The CONSULTANT shall alert the BCDA via email on the
following articles:
2.5.1 Any tri-media news, photograph, feature, supplement,
advertorial, announcements and the like about BCDA or any of
its units;
2.5.2 Any.. tri-media news, photograph, feature, supplement,
advertorial, announcement and the like linking BCDA or any of
its businesses with controversial personalities;
2.5.3 Any BCDA-initiated tri-media releases, supplements, bid
notices, announcements and the like. BCDA will inform the
CONSULTANT of the press-related information it released to
the media;
2.5.4 Any tri-media news, photograph, feature, announcements and
the like about issues that BCDA may find relevant to its
businesses. BCDA will inform the CONSULTANT of the issues
that they would like to monitor.
Section 2.6
Section 2.7
The CONSULTANT shall alert the BCDA via real time text
(SMS) of an urgent news/article that needs immediate attention
and action.
The CONSULTANT shall submit a monthly accomplishment
report in hard' copy and CD format (2 copies each) with the
following report parameters:
2.7.1 The Monthly Accomplishment Report shall detail the pickups of
BCDA press releases.
2.7.2 The Monthly Accomplishment Report shall be submitted every
seventh of the month.
2.7.3 The report provides aggregate information on Client, Industry,
configured according to specifications agreed between Client
and the CONSULTANT.
2.7.4 The Monthly Accomplishment Report shall also include media
value, article count and positive or negative news rating, and
whether BCDA was the main topic or was just mentioned.
2.7.5 The Monthly Accomplishment Report shall also include media
value and article count of issues that were monitored for that
period.
2.7.6 The Monthly Accomplishment Report shall also include
analysis of results/ charts.

3. METHODOLOGY
The prospective consultants shall be evaluated based on the Quality-
Based (QBE) evaluation.
Each consultant shall submit technical and fin'ancial proposals
simultaneously in separate sealed envelopes.
Each consultant shall also provide the BCDA a two-week trial period of
their proposed Web-based Tri-Media Monitoring site for evaluation
purposes.
The technical proposal and the trial of the Web-based Tri-Media
Monitoring site shall be the basis in the evaluation of the consultants,
and shall be given a total weight of one hundred percent (100%). The
breakdown are as follows:

The consultants shall then be ranked in descending order based on the
combined numerical ratings of their technical proposals, from which the
highest rated bid will be identified.
Only the financial proposal of the consultant who gets the highest
technical rating shall be opened-in their presence. Total calculated bid
prices which exceed the approved budget for the contract shall not be
considered. The name of the consultant, the quality scores and the
proposed prices shall be recorded when the financial proposals are
opened. Negotiations shall be undertaken with the consultant who is
first in rank.

The financial proposals shall not exceed the approved budget for the
contract and shall be deemed to include the cost of all taxes, duties,
fees, levies and other charges imposed under applicable laws.
4. MINIMUM QUALIFICATIONS OF THE CONSULTANT
4.1. The CONSULTANT must have two years experience in online media
monitoring.
4.2. The CONSULTANT must have handled at least three (3) similar online
media monitoring projects with a minimum of one (1) year.
4.3. The CONSULTANT shall be assessed based on the most favorable
compliance with the criteria.

5. SERVICES
5.1 Standard of Service
The CONSULTANT shall fulfill its obligations under the agreement by
using its technical expertise and according to. the best-accepted
professional and industry standards. The CONSULTANT shall exercise
all reasonable skill, care, diligence, and prudence in the discharge of
the duties agreed to be performed and shall always work in the best
interest of BCDA. To attain these, the CONSULTANT shall provide
personnel with sufficient qualifications and experience to ensure the full
and satisfactory accomplishment of the required services/undertakings.
The services shall be conducted by the CONSULTANT in accordance
with the instructions or directions made or to be made by the BCDA at
any time before its completion. The CONSULTANT shall conduct
regular consultation with BCDA in relation to the undertaking of its
responsibilities under the Contract Agreement.
5.2 Confidentiality Clause
The CONSULTANT shall hold and maintain confidential all materials
and information which shall come into its possession, or knowledge in
connection with the Contract or its performance, and not to make use
thereof other than for the purpose of the Contract.
After the completion or termination of the Contract, all materials, data,
proprietary information and other related documents provided to the
CONSULTANT and which have been derived in relation to and as a
consequence of the implementation of the Contract, shall be
immediately turned over to BCDA without need of demand.
The CONSULTANT undertakes that it shall make appropriate
instructions to its employees who need to have access to such
information and materials to strictly observe the confidentiality thereof.
The CONSULTANT shall likewise oblige the supplier/service provider to
be bound by this confidentiality.
The obligation of the CONSULTANT under this Article shall service
even after the termination of this Contract.
Any violation of this Article by the CONSULTANT shall make him liable
to BCDA for the penalty equal to ten percent (10%) of the total
consideration stipulated herein.
5.3 Contract Term
This contract shall be effective for one (1) year. The access of the webbased
tri-media monitoring system shall expire one (1) year after the
issuance of Notice to Proceed.

CONTRACT FOR WEB-BASED TRI-MEDIA
MONITORING CONSULTING SERVICES
KNOW ALL MEN BY THESE PRESENTS:
This CONTRACT entered into and executed by and between:
The BASES CONVERSION AND DEVELOPMENT
AUTHORITY, a government instrumentally vested with
corporate powers, created by virtue of Republic Act No.
7227, as amended, with office and postal address at the
BCDA Corporate Center, 2/F Bonifacio Technology
Center, 31 st Street Corner 2 nd Avenue, Bonifacio Global
. City, Taguig City, represented herein by its Executive Vice
President, AILEEN AN. R. ZOSA, who is duly authorized
for this purpose by Section No. X, Subject No. 10.03, item
3 of the Revised BCDA Manual of Approvals, dated 5
August 2010, a certified true copy of which is hereto
attached as Annex "A", hereinafter referred to as "BCDA";

-WITNESSETH:
THAT
WHEREAS, under Republic Act No. 7227, as amended by Republic Act
No. 7917, the BCDA is mandated to accelerate the sound and balanced
conversion into alternative productive uses of the military reservations and their
extensions, to raise funds by the sale of portions of Metro Manila military camps,
and to apply said funds for the development and conversion into alternative
productive uses of lands covered under the 1947 Military Bases Agreement
between the Philippines and the United States;
WHEREAS, in pursuance of its mandate, the BCDA in partnership with
the private sector is actively pursuing the development of Fort Bonifacio in
Taguig, the former Clark Air Base in Pampanga, Camp John Hay in Baguio City,
and the Wallace Air Station in San Fernando, La Union, as well as other Metro
Manila camps and military installations;
WHEREAS, the BCDA isin need of a fast, efficient and effective tri-media
monitoring system that would enable the BCDA management to keep abreast
with BCDA-related news;
WHEREAS, print, radio and TV media monitoring is essential to the dayto-day
operations of the BCDA, especially during crisis situations which require
the BCDA management's immediate response;

WHEREAS, the aforesaid undertaking requires the services of an expert
in tri-media monitoring who will oversee all news related to BCDA, both in print
and broadcast media, including but not limited to photographs, features,
commentaries, supplements, advertorials, bid notices, announcements and the
likes, which are published in the country's major newspapers of general
circulation and aired both on dominant radio and.television n~tworks, who can
inform and assist the top management of BCDA to immediately respond to past,
impending and current issues;
WHEREAS, th.e CONSULTANT is an expert in tri-media monitoring and
has the necessary technical expertise and the required financial capability to
develop a web-based tri-media monitoring system;
WHEREAS, the urgency and level of expertise required to provide access
to a web-based system for tri-media monitoring to be undertaken by the
CONSULTANT is technical in nature and beyond the optimum in-house
capability of the BCDA;
WHEREAS, the BCDA has entered into a negotiated procurement with
the CONSULTANT, in accordance with Section 53.9 of the Revised
Implementing Rules and Regulations of RA 9184 (Government Procurement
Act), for the services of an expert in tri-media monitoring who will oversee all
news related to BCDA, both in print and broadcast media, including but not
limited to photographs, features, commentaries, supplements, advertorials, bid
notices, announcements and the likes, which are published in the countrY's major
newspapers of general circulation and. aired both on dominant radio and
television networks, and provide the BCDA access to a web-based compilation of
. the aforesaid information;
WHEREAS, the negotiated procurement of the CONSULTANT is through
Small Value Procurement which does not fall under Shopping in Section 52 of
the aforementioned IRR and the amount involved does not exceed the Five
Hundred Thousand Pesos (P500,000) threshold prescribed in Annex "H" of the
revised IRR;
WHEREAS, the amount of the contract is -----------

Monitoring System pursuant to the Consulting Services For Web-Based Tri-
Media Monitoring Terms of Reference (TOR), for which the CONSULTANT was
awarded with this Web-based Tri-Media Monitoring Consulting Contract. A copy
of the Consulting Services for Web-Based Tri-Media Monitoring Terms of
Reference (TOR) is hereto attached and made an integral part hereof as Annex
"e";
NOW, THEREFORE, for and in consideration of the foregoing premises,
and for the stipulations and conditions herein stated, the parties hereby agree
and bind themselves to the following:
Article I. Term. This contract shall be effective for one (1) year, from

Article II. Specific Undertaking. The CONSULTANT shall report directly
to the Department Manager of the Public Affairs Department for the provision of
its services.

Section 2.5 The CONSULTANT shall alert the BCDA via email on the
following articles:
3.5.1 Any tri-media news, photograph, feature, supplement,
advertorial, announcements and the like about BCDA or any of
its units;
3.5.2 Any tri-media news, photograph, feature, supplement,
advertorial, announcement and the like linking BCDA or any of
its businesses with controversial personalities;
3.5.3 Any BCDA-initiated tri-media releases, supplements, bid
notices, announcements and the like. BCDA will" inform the
CONSULTANT of the press-related information it released to
the media;
3.5.4 Any tri-media news, photograph, feature, announcements and
the like about issues that BCDA may find relevant to its
businesses. BCDA will inform the CONSULTANT of the issues
that they would like to monitor.
Section 3.6 The CONSULTANT shall alert the BCDA via real time text
(SMS) of an urgent news/article that needs immediate attention
and action.
Section 3.7 The CONSULTANT shall submit a monthly accomplishment
report in hard copy and CD format (2 copies each) with the
following report parameters:
3.7.1 The Monthly Accomplishment Report shall detail the pickups of
BCDA press releases.
3.7.2 The Monthly Accomplishment Report shall be submitted every
seventh day of the month.
3.7.3 The report provides aggregate information on Client, Industry,
configured according to specifications agreed between Client
and the CONSULTANT.

3.7.4 The Monthly Accomplishment Report shall also include media
value, article count and positive or negative news rating, and
whether BCDA was the main topic or was just mentioned.
3.7.5 The Monthly Accomplishment Report shall also include media
value and article count of issues that were monitored for that
period.
3.7.6 The Monthly Accomplishment Report shall also include
analysis of results/ charts.
Article IV. Compensation & Benefits. For services rendered under this
Contract, BCDA shall . pay the CONSULTANT the amount of
______ Thousand Pesos (P_, __ .OO) per month, inclusive of any and
all taxes to be paid to the government as well as incidental expenses.
The CONSULTANT shall be paid upon submission to BCDA of an
accomplishment report for the period under consideration and the acceptance
and approval of the same by BCDA.
Article V. Responsibilities of BCDA. The BCDA shall perform the
following responsibilities under this Contract:
Section 5.1 Make available to the CONSULTANT, as needed, all
available data, plans, and other documents relating to the
work/services and submittals;
Section 5.2 Decide promptly on matters brought to its attention by the
CONSULTANT which can affect the schedule of services
and submittals;
Section 5.3
Inform the CONSULTANT of the issuance of any major
policies issued and/or any other development which could
affect his work.
Article VI. Ownership of Documents. All plans, reports, and similar
materials prepared under this Contract shall be considered as confidential and
upon completion of the services herein provided, shall become the property of
BCDA.
Article VII. Employee-Employer Relationship. No employer-employee
relationship shall exist between the CONSULTANT, his representative, agents
and the BCDA. Hence, the BCDA shall not in any way be liable or responsible for
any 'personal injury or damage, including death, sustained or caused by or to the
CONSULTANT, his representatives and agents during the performance of their
work under this Contract.
The CONSULTANT shall, at all times, be solely liable and/or responsible for
the compliance and enforcement of all existing laws, rules and regulations,
particularly the Labor Code of the Philippines, that may affect his work under this
Contract, and the CONSULTANT hereby agrees and binds himself to save and
hold the BCDA free and harmless from any liability in respect thereto and/or
arising therefrom. The CONSULTANT likewise binds himself to save and hold
the BCDA free and harmless from any liability or damages arising from the
performance of his work without the approval of BCDA.
Article VIII. Termination. The BCDA in its sole discretion, may opt to
terminate this CONTRACT when it sees that there is no more need for the
services contracted for.

Article
IX. Confidentiality.
Section 9.1 The CONSULTANT shall hold and maintain confidential all
materials and information which shall come into its
possession, or knowledge in connection with this Contract or
its performance, and not to make use thereof other than for
the purpose of this Contract.
Section 9.2 After the completion or termination of the Contract, all
materials, data, proprietary information and other related
documents provided to the CONSULTANT and which have
been derived in relation to and as a consequence of the
implementation of this Contract, shall be immediately turned
over to BCDA without need of demand.
Section 9.3 The CONSULTANT undertakes that it shall make
appropriate instructions to its employees who need to have
access to such information and materials to strictly observe
the confidentiality thereof.
Section 9.4 The CONSULTANT shall likewise oblige the supplier/service
provider to be bound by this confidentiality.
Section 9.5 The obligation of the. CONSULTANT under this Article shall
service even after the termination of this Contract.
Section 9.6 Any violation of this Article by the CONSULTANT shall make
him liable to BCDA for the penalty equal to ten percent
(10%) of the total consideration stipulated herein.
Article X. Liquidated Damages. The CONSULTANT obligates itself to
perform and complete all the Services within the period specified in Annex "0",
beginning from the starting date exclusive of such extensions of time as may be
mutually agreed upon in writing. Should the CONSULTANT fail to complete the
Services within the stipulated time, liquidated damages, not by way of penalty,
shall be paid to BCDA by the CONSULTANT in an amount equal to one-tenth of
one percent (1/10 of 1%) of the total Contract price minus the value of the
completed portions of the Contract certified by BCDA for each calendar day of
delay until the Services are completed.
Article XI. Settlement of Disputes. The Parties agree to resolve any
dispute that may arise between them with respect to this Contract through good
faith and amicable negotiation. If at any time during such negotiation, one Party
determines in good faith that the Parties cannot resolve the dispute through
negotiations, that Party will deliver a notice to the other Party that the dispute will
be settled by arbitration in accordance with Republic Act No. 9285 otherwise
known as the "Alternative Dispute Resolution Act of 2004", as amended, failing
which, the Parties may resort to the filling of the appropriate case in the proper
courts of Taguig City to the exclusion of the other courts. The arbitration will be
conducted in Manila, Philippines. The language to be used in the event of
arbitration shall be English. .
Article XII. Separability. The BCDA and the CONSULTANT hereby
agree that should any of the terms and conditions or any provision of this
Contract be declared void or unenforceable by competent authority, the same

shall not invalidate the other terms and conditions or provisions of this Contract, ,
which shall continue to be in full force and effect.
The Parties agree to amend or modify any provision of this Contract, which
has been declared invalid or contrary to law, to conform with the subject and
objective thereof.
Article XIII. Amendments. Any amendment or modification to this
Contract shall be reduced to writing and executed/signed by both the BCDA and
the CONSULTANT, as well as other formalities observed in the execution of this
Contract.
Article XIV. OGee Approval. This contract shall be subject to the review
and approval of the Office of the Government Corporate Counsel (OGCC). Any
of its ensuing recommendations, suggestions or dir~ctives shall form a part of
this Contract.
Article XV. Non-Waiver of Rights. Failure of one party to insist upon a
strict performance of any of the term; condition and convenant hereof shall not be
deemed a relinquishment or waiver of any right/remedy that said party may have,
nor shall it construed as a waiver of any subsequent breach of the same or other
terms, conditions or covenants. No waiver by anyone party or any of its rights
under this Agreement shall be deemed to have been made unless expressed in
writing and signed by that party.
Article XVI. Representation and Warranties. The Parties hereby
represent and warrant that no government official or employee shall be admitted
directly or indirectly to any share or part of this Contract or any benefit that may
arise herefrom.
The parties warrant that they have not offered or given, and will not offer or
give to any employee, agent or representative of either Party, any gratuity, with a
view toward securing any business from one another, or influencing such
persons with respect to terms, conditions or performance of any of any contract
with each other.
IN WITNESS WHEREOF, the parties hereunto signed this contract, this
