CONSULTING SERVICES FOR WEB-BASED TRI-MEDIA MONITORING Terms of Reference (TOR) 1. The salient features of the tri-media monitoring service will include the following: • Daily monitoring of major broadsheets, tabloids, websites, magazines, TV stations, and radio stations; . • Establish and maintain a web-based tri-media monitoring system that can be accessed 24 hours a day, seven days a week; • Upload BCDA-related tri-media news with its corresponding media value at the dedicated website not later than 8:30 AM on weekdays and 2 PM on weekends. • Archive BCDA news in the web for easy access; • Daily alert via email on stories that were published; • Provide an online mechanism that will allow users to effectively and efficiently manage their media, through tags, comments, track return of investment of press activities, summary of news exposure, and generate charts. • Present daily alert in a customized format-include weather forecast, exchange rate, summary of articles, and group articles according to search parameters and issues. • Alert BCDA via SMS on potential issues that were published; • Provide monthly compilation of monitored articles with its corresponding media value in CD-ROM format. • Provide a monthly accomplishment report that will include an analysis of media value, article count, and issues that are found to be relevant to BCDA at a specific period. 2. 2. SCOPE OF WORKITECHNICAL SPECIFICATIONS AND DELIVERABLES:<br />

Section 2.1 The CONSULTANT shall provide access to a <strong>web</strong>-<strong>based</strong> <strong>tri</strong><strong>media</strong><br />

<strong>monitoring</strong> system covering the following:<br />

2.1.1 Selecting and clipping relevant news, photographs, features,<br />

supplements, advertorials, bid notices, announcements, and<br />

issues in identified <strong>tri</strong>-<strong>media</strong>. .


2.1.2 Uploading the selected news to the CONSULTANT'S online<br />

facility not later than 8:30 AM. during weekdays and 2 PM on<br />

Sundays <strong>for</strong> news that fall on Saturday and Sunday.<br />

2.1.3 Archiving of the selected news in the online facility <strong>for</strong> at least 1<br />

month.<br />

2.1.4 Providing BCDA with the CD containing all selected articles and<br />

stories at the end of every month.<br />

2.1.5 Provide a monthly accomplishment report that will include an<br />

analysis of <strong>media</strong> value, article count, and issues that are found<br />

to be relevant to BCDA <strong>for</strong> the month..<br />

. Section 2.2 The CONSULTANT shall provide the following features <strong>for</strong> the<br />

online facility:<br />

2.2.1 User name that will allow selected BCDA employees to access<br />

the <strong>web</strong>site containing the uploaded <strong>tri</strong>-<strong>media</strong> news.<br />

2.2.2 Easy user navigation and interface <strong>for</strong> easy access to articles in<br />

the search parameters and issues that are relevant at a specific<br />

period.<br />

2.2.3 Pertinent details about the articles shall be indicated/linked in<br />

the <strong>web</strong>site, including but not limited to:<br />

Section 2.5 The CONSULTANT shall alert the BCDA via email on the<br />

following articles:<br />

2.5.1 Any <strong>tri</strong>-<strong>media</strong> news, photograph, feature, supplement,<br />

advertorial, announcements and the like about BCDA or any of<br />

its units;<br />

2.5.2 Any.. <strong>tri</strong>-<strong>media</strong> news, photograph, feature, supplement,<br />

advertorial, announcement and the like linking BCDA or any of<br />

its businesses with controversial personalities;<br />

2.5.3 Any BCDA-initiated <strong>tri</strong>-<strong>media</strong> releases, supplements, bid<br />

notices, announcements and the like. BCDA will in<strong>for</strong>m the<br />

CONSULTANT of the press-related in<strong>for</strong>mation it released to<br />

the <strong>media</strong>;<br />

2.5.4 Any <strong>tri</strong>-<strong>media</strong> news, photograph, feature, announcements and<br />

the like about issues that BCDA may find relevant to its<br />

businesses. BCDA will in<strong>for</strong>m the CONSULTANT of the issues<br />

that they would like to monitor.<br />

The CONSULTANT shall alert the BCDA via real time text<br />

(SMS) of an urgent news/article that needs im<strong>media</strong>te attention<br />

and action.<br />

The CONSULTANT shall submit a monthly accomplishment<br />

report in hard' copy and CD <strong>for</strong>mat (2 copies each) with the<br />

following report parameters:<br />

2.7.1 The Monthly Accomplishment Report shall detail the pickups of<br />

BCDA press releases.<br />

2.7.2 The Monthly Accomplishment Report shall be submitted every<br />

seventh of the month.<br />

2.7.3 The report provides aggregate in<strong>for</strong>mation on Client, Industry,<br />

configured according to specifications agreed between Client<br />

and the CONSULTANT.<br />

2.7.4 The Monthly Accomplishment Report shall also include <strong>media</strong><br />

value, article count and positive or negative news rating, and<br />

whether BCDA was the main topic or was just mentioned.<br />

2.7.5 The Monthly Accomplishment Report shall also include <strong>media</strong><br />

value and article count of issues that were monitored <strong>for</strong> that<br />

period.<br />

2.7.6 The Monthly Accomplishment Report shall also include<br />

analysis of results/ charts.<br />

3. METHODOLOGY<br />

The prospective consultants shall be evaluated <strong>based</strong> on the Quality-<br />

Based (QBE) evaluation.<br />

Each consultant shall submit technical and fin'ancial proposals<br />

simultaneously in separate sealed envelopes.<br />

Each consultant shall also provide the BCDA a two-week <strong>tri</strong>al period of<br />

their proposed Web-<strong>based</strong> Tri-Media Monitoring site <strong>for</strong> evaluation<br />

purposes.<br />

The technical proposal and the <strong>tri</strong>al of the Web-<strong>based</strong> Tri-Media<br />

Monitoring site shall be the basis in the evaluation of the consultants,<br />

and shall be given a total weight of one hundred percent (100%). The<br />

breakdown are as follows:<br />

The consultants shall then be ranked in descending order <strong>based</strong> on the<br />

combined numerical ratings of their technical proposals, from which the<br />

highest rated bid will be identified.<br />

Only the financial proposal of the consultant who gets the highest<br />

technical rating shall be opened-in their presence. Total calculated bid<br />

prices which exceed the approved budget <strong>for</strong> the contract shall not be<br />

considered. The name of the consultant, the quality scores and the<br />

proposed prices shall be recorded when the financial proposals are<br />

opened. Negotiations shall be undertaken with the consultant who is<br />

first in rank.<br />

The financial proposals shall not exceed the approved budget <strong>for</strong> the<br />

contract and shall be deemed to include the cost of all taxes, duties,<br />

fees, levies and other charges imposed under applicable laws.<br />

4. MINIMUM QUALIFICATIONS OF THE CONSULTANT<br />

4.1. The CONSULTANT must have two years experience in online <strong>media</strong><br />

<strong>monitoring</strong>.<br />

4.2. The CONSULTANT must have handled at least three (3) similar online<br />

<strong>media</strong> <strong>monitoring</strong> projects with a minimum of one (1) year.<br />

4.3. The CONSULTANT shall be assessed <strong>based</strong> on the most favorable<br />

compliance with the criteria.<br />

5. SERVICES<br />

5.1 Standard of Service<br />

The CONSULTANT shall fulfill its obligations under the agreement by<br />

using its technical expertise and according to. the best-accepted<br />

professional and industry standards. The CONSULTANT shall exercise<br />

all reasonable skill, care, diligence, and prudence in the discharge of<br />

the duties agreed to be per<strong>for</strong>med and shall always work in the best<br />

interest of BCDA. To attain these, the CONSULTANT shall provide<br />

personnel with sufficient qualifications and experience to ensure the full<br />

and satisfactory accomplishment of the required <strong>services</strong>/undertakings.<br />

The <strong>services</strong> shall be conducted by the CONSULTANT in accordance<br />

with the instructions or directions made or to be made by the BCDA at<br />

any time be<strong>for</strong>e its completion. The CONSULTANT shall conduct<br />

regular consultation with BCDA in relation to the undertaking of its<br />

responsibilities under the Contract Agreement.<br />

5.2 Confidentiality Clause<br />

The CONSULTANT shall hold and maintain confidential all materials<br />

and in<strong>for</strong>mation which shall come into its possession, or knowledge in<br />

connection with the Contract or its per<strong>for</strong>mance, and not to make use<br />

thereof other than <strong>for</strong> the purpose of the Contract.<br />

After the completion or termination of the Contract, all materials, data,<br />

proprietary in<strong>for</strong>mation and other related documents provided to the<br />

CONSULTANT and which have been derived in relation to and as a<br />

consequence of the implementation of the Contract, shall be<br />

im<strong>media</strong>tely turned over to BCDA without need of demand.<br />

The CONSULTANT undertakes that it shall make appropriate<br />

instructions to its employees who need to have access to such<br />

in<strong>for</strong>mation and materials to s<strong>tri</strong>ctly observe the confidentiality thereof.<br />

The CONSULTANT shall likewise oblige the supplier/service provider to<br />

be bound by this confidentiality.<br />

The obligation of the CONSULTANT under this Article shall service<br />

even after the termination of this Contract.<br />

Any violation of this Article by the CONSULTANT shall make him liable<br />

to BCDA <strong>for</strong> the penalty equal to ten percent (10%) of the total<br />

consideration stipulated herein.<br />

5.3 Contract Term<br />

This contract shall be effective <strong>for</strong> one (1) year. The access of the <strong>web</strong><strong>based</strong><br />

<strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> system shall expire one (1) year after the<br />

issuance of Notice to Proceed.<br />

This CONTRACT entered into and executed by and between:<br />

AUTHORITY, a government instrumentally vested with<br />

corporate powers, created by virtue of Republic Act No.<br />

THAT<br />

WHEREAS, under Republic Act No. 7227, as amended by Republic Act<br />

No. 7917, the BCDA is mandated to accelerate the sound and balanced<br />

conversion into alternative productive uses of the military reservations and their<br />

extensions, to raise funds by the sale of portions of Metro Manila military camps,<br />

and to apply said funds <strong>for</strong> the development and conversion into alternative<br />

productive uses of lands covered under the 1947 Military Bases Agreement<br />

between the <strong>Philippines</strong> and the United States;<br />

WHEREAS, in pursuance of its mandate, the BCDA in partnership with<br />

the private sector is actively pursuing the development of Fort Bonifacio in<br />

Taguig, the <strong>for</strong>mer Clark Air Base in Pampanga, Camp John Hay in Baguio City,<br />

and the Wallace Air Station in San Fernando, La Union, as well as other Metro<br />

Manila camps and military installations;<br />

WHEREAS, the BCDA isin need of a fast, efficient and effective <strong>tri</strong>-<strong>media</strong><br />

<strong>monitoring</strong> system that would enable the BCDA management to keep abreast<br />

with BCDA-related news;<br />

WHEREAS, print, radio and TV <strong>media</strong> <strong>monitoring</strong> is essential to the dayto-day<br />

operations of the BCDA, especially during crisis situations which require<br />

the BCDA management's im<strong>media</strong>te response;<br />

WHEREAS, the a<strong>for</strong>esaid undertaking requires the <strong>services</strong> of an expert<br />

in <strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> who will oversee all news related to BCDA, both in print<br />

and broadcast <strong>media</strong>, including but not limited to photographs, features,<br />

commentaries, supplements, advertorials, bid notices, announcements and the<br />

likes, which are published in the country's major newspapers of general<br />

circulation and aired both on dominant radio and.television n~tworks, who can<br />

in<strong>for</strong>m and assist the top management of BCDA to im<strong>media</strong>tely respond to past,<br />

impending and current issues;<br />

WHEREAS, th.e CONSULTANT is an expert in <strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> and<br />

has the necessary technical expertise and the required financial capability to<br />

develop a <strong>web</strong>-<strong>based</strong> <strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> system;<br />

WHEREAS, the urgency and level of expertise required to provide access<br />

to a <strong>web</strong>-<strong>based</strong> system <strong>for</strong> <strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> to be undertaken by the<br />

CONSULTANT is technical in nature and beyond the optimum in-house<br />

capability of the BCDA;<br />

WHEREAS, the BCDA has entered into a negotiated procurement with<br />

the CONSULTANT, in accordance with Section 53.9 of the Revised<br />

Implementing Rules and Regulations of RA 9184 (Government Procurement<br />

Act), <strong>for</strong> the <strong>services</strong> of an expert in <strong>tri</strong>-<strong>media</strong> <strong>monitoring</strong> who will oversee all<br />

news related to BCDA, both in print and broadcast <strong>media</strong>, including but not<br />

limited to photographs, features, commentaries, supplements, advertorials, bid<br />

notices, announcements and the likes, which are published in the countrY's major<br />

newspapers of general circulation and. aired both on dominant radio and<br />

television networks, and provide the BCDA access to a <strong>web</strong>-<strong>based</strong> compilation of<br />

. the a<strong>for</strong>esaid in<strong>for</strong>mation;<br />

WHEREAS, the negotiated procurement of the CONSULTANT is through<br />

Small Value Procurement which does not fall under Shopping in Section 52 of<br />

the a<strong>for</strong>ementioned IRR and the amount involved does not exceed the Five<br />

Hundred Thousand Pesos (P500,000) threshold prescribed in Annex "H" of the<br />

revised IRR;<br />

WHEREAS, the amount of the contract is -----------<br />

_____ ) to service the needs of the BCDA's Web-<strong>based</strong> Tri-Media Media<br />

Monitoring System pursuant to the Consulting Services For Web-Based Tri-<br />

Media Monitoring Terms of Reference (TOR), <strong>for</strong> which the CONSULTANT was<br />

awarded with this Web-<strong>based</strong> Tri-Media Monitoring Consulting Contract. A copy<br />

of the Consulting Services <strong>for</strong> Web-Based Tri-Media Monitoring Terms of<br />

Reference (TOR) is hereto attached and made an integral part hereof as Annex<br />

"e";<br />

NOW, THEREFORE, <strong>for</strong> and in consideration of the <strong>for</strong>egoing premises,<br />

and <strong>for</strong> the stipulations and conditions herein stated, the parties hereby agree<br />

and bind themselves to the following:<br />

Article I. Term. This contract shall be effective <strong>for</strong> one (1) year, from<br />

Article II. Specific Undertaking. The CONSULTANT shall report directly<br />

Article III. Scope of Services. The CONSULTANT shall have the<br />

<strong>monitoring</strong> system covering the following:<br />

3.1.1 Selecting and clipping relevant news, photographs, features,<br />

supplements, advertorials, bid notices, announcements, and<br />

issues in identified <strong>tri</strong>-<strong>media</strong>.<br />

3.1.2 Uploading the selected news to the CONSULTANT'S online<br />

facility not later than 8:30 AM. during weekdays and 2 PM on<br />

Sundays <strong>for</strong> news that fall on Saturday and Sunday.<br />

3.1.3 Archiving of the selected news in the online facility <strong>for</strong> at least 1<br />

month.<br />

3.1.4 Providing BCDA with the CD containing all selected ~rticles and<br />

stories at the end of every month.<br />

3.1.5 Provide a monthly accomplishment report that will include an<br />

analysis of <strong>media</strong> value, article count, and issues that are found<br />

to be relevant to BCDA <strong>for</strong> the month.<br />

Section 3.2<br />

The CONSULTANT shall provide the following features <strong>for</strong> the<br />

online facility:<br />

3.2.1 User name that will allow selected BCDA employees to access<br />

the <strong>web</strong>site containing the uploaded <strong>tri</strong>-<strong>media</strong> news.<br />

3.2.2 Easy user navigation and interface <strong>for</strong> easy access to articles in<br />

the search parameters and issues that are relevant at a specific<br />

period.<br />

3.2.3 Pertinent details about the articles shall be indicated/linked in<br />

the <strong>web</strong>site, including but not limited to:<br />

according to their preference and needs-daily<br />

chart, daily <strong>media</strong> chart, monthly <strong>media</strong> chart,<br />

monthly publication chart, tags chart, issues<br />

chart. These charts are <strong>based</strong> on real time<br />

count, size and value of articles;<br />

3.2.5.10 Providing a noticeable alert <strong>for</strong> urgent news that<br />

need im<strong>media</strong>te attention and action; and<br />

3.2.5.11 Providing users a database of journalists and<br />

related in<strong>for</strong>mation that can be viewed in the<br />

<strong>web</strong>site that includes contact details, email and<br />

designations.<br />

Section 2.5 The CONSULTANT shall alert the BCDA via email on the<br />

3.5.1 Any <strong>tri</strong>-<strong>media</strong> news, photograph, feature, supplement,<br />

advertorial, announcements and the like about BCDA or any of<br />

its units;<br />

3.5.2 Any <strong>tri</strong>-<strong>media</strong> news, photograph, feature, supplement,<br />

advertorial, announcement and the like linking BCDA or any of<br />

its businesses with controversial personalities;<br />

3.5.3 Any BCDA-initiated <strong>tri</strong>-<strong>media</strong> releases, supplements, bid<br />

notices, announcements and the like. BCDA will" in<strong>for</strong>m the<br />

CONSULTANT of the press-related in<strong>for</strong>mation it released to<br />

the <strong>media</strong>;<br />

3.5.4 Any <strong>tri</strong>-<strong>media</strong> news, photograph, feature, announcements and<br />

the like about issues that BCDA may find relevant to its<br />

businesses. BCDA will in<strong>for</strong>m the CONSULTANT of the issues<br />

that they would like to monitor.<br />

Section 3.6 The CONSULTANT shall alert the BCDA via real time text<br />

(SMS) of an urgent news/article that needs im<strong>media</strong>te attention<br />

and action.<br />

Section 3.7 The CONSULTANT shall submit a monthly accomplishment<br />

report in hard copy and CD <strong>for</strong>mat (2 copies each) with the<br />

following report parameters:<br />

3.7.1 The Monthly Accomplishment Report shall detail the pickups of<br />

BCDA press releases.<br />

3.7.2 The Monthly Accomplishment Report shall be submitted every<br />

seventh day of the month.<br />

3.7.3 The report provides aggregate in<strong>for</strong>mation on Client, Industry,<br />

configured according to specifications agreed between Client<br />

and the CONSULTANT.<br />

3.7.4 The Monthly Accomplishment Report shall also include <strong>media</strong><br />

value, article count and positive or negative news rating, and<br />

whether BCDA was the main topic or was just mentioned.<br />

3.7.5 The Monthly Accomplishment Report shall also include <strong>media</strong><br />

value and article count of issues that were monitored <strong>for</strong> that<br />

period.<br />

3.7.6 The Monthly Accomplishment Report shall also include<br />

analysis of results/ charts.<br />

Article IV. Compensation & Benefits. For <strong>services</strong> rendered under this<br />

Contract, BCDA shall . pay the CONSULTANT the amount of<br />

______ Thousand Pesos (P_, __ .OO) per month, inclusive of any and<br />

all taxes to be paid to the government as well as incidental expenses.<br />

The CONSULTANT shall be paid upon submission to BCDA of an<br />

accomplishment report <strong>for</strong> the period under consideration and the acceptance<br />

and approval of the same by BCDA.<br />

Article V. Responsibilities of BCDA. The BCDA shall per<strong>for</strong>m the<br />

following responsibilities under this Contract:<br />

Section 5.1 Make available to the CONSULTANT, as needed, all<br />

available data, plans, and other documents relating to the<br />

work/<strong>services</strong> and submittals;<br />

Section 5.2 Decide promptly on matters brought to its attention by the<br />

CONSULTANT which can affect the schedule of <strong>services</strong><br />

and submittals;<br />

Section 5.3<br />

In<strong>for</strong>m the CONSULTANT of the issuance of any major<br />

policies issued and/or any other development which could<br />

affect his work.<br />

Article VI. Ownership of Documents. All plans, reports, and similar<br />

materials prepared under this Contract shall be considered as confidential and<br />

upon completion of the <strong>services</strong> herein provided, shall become the property of<br />

BCDA.<br />

Article VII. Employee-Employer Relationship. No employer-employee<br />

relationship shall exist between the CONSULTANT, his representative, agents<br />

and the BCDA. Hence, the BCDA shall not in any way be liable or responsible <strong>for</strong><br />

any 'personal injury or damage, including death, sustained or caused by or to the<br />

CONSULTANT, his representatives and agents during the per<strong>for</strong>mance of their<br />

work under this Contract.<br />

The CONSULTANT shall, at all times, be solely liable and/or responsible <strong>for</strong><br />

the compliance and en<strong>for</strong>cement of all existing laws, rules and regulations,<br />

particularly the Labor Code of the <strong>Philippines</strong>, that may affect his work under this<br />

Contract, and the CONSULTANT hereby agrees and binds himself to save and<br />

hold the BCDA free and harmless from any liability in respect thereto and/or<br />

arising therefrom. The CONSULTANT likewise binds himself to save and hold<br />

the BCDA free and harmless from any liability or damages arising from the<br />

per<strong>for</strong>mance of his work without the approval of BCDA.<br />

Article VIII. Termination. The BCDA in its sole discretion, may opt to<br />

terminate this CONTRACT when it sees that there is no more need <strong>for</strong> the<br />

<strong>services</strong> contracted <strong>for</strong>.<br />

Article<br />

IX. Confidentiality.<br />

Section 9.1 The CONSULTANT shall hold and maintain confidential all<br />

materials and in<strong>for</strong>mation which shall come into its<br />

possession, or knowledge in connection with this Contract or<br />

its per<strong>for</strong>mance, and not to make use thereof other than <strong>for</strong><br />

the purpose of this Contract.<br />

Section 9.2 After the completion or termination of the Contract, all<br />

materials, data, proprietary in<strong>for</strong>mation and other related<br />

documents provided to the CONSULTANT and which have<br />

been derived in relation to and as a consequence of the<br />

implementation of this Contract, shall be im<strong>media</strong>tely turned<br />

over to BCDA without need of demand.<br />

Section 9.3 The CONSULTANT undertakes that it shall make<br />

appropriate instructions to its employees who need to have<br />

access to such in<strong>for</strong>mation and materials to s<strong>tri</strong>ctly observe<br />

the confidentiality thereof.<br />

Section 9.4 The CONSULTANT shall likewise oblige the supplier/service<br />

provider to be bound by this confidentiality.<br />

Section 9.5 The obligation of the. CONSULTANT under this Article shall<br />

service even after the termination of this Contract.<br />

Section 9.6 Any violation of this Article by the CONSULTANT shall make<br />

him liable to BCDA <strong>for</strong> the penalty equal to ten percent<br />

(10%) of the total consideration stipulated herein.<br />

Article X. Liquidated Damages. The CONSULTANT obligates itself to<br />

per<strong>for</strong>m and complete all the Services within the period specified in Annex "0",<br />

beginning from the starting date exclusive of such extensions of time as may be<br />

mutually agreed upon in writing. Should the CONSULTANT fail to complete the<br />

Services within the stipulated time, liquidated damages, not by way of penalty,<br />

shall be paid to BCDA by the CONSULTANT in an amount equal to one-tenth of<br />

one percent (1/10 of 1%) of the total Contract price minus the value of the<br />

completed portions of the Contract certified by BCDA <strong>for</strong> each calendar day of<br />

delay until the Services are completed.<br />

Article XI. Settlement of Disputes. The Parties agree to resolve any<br />

dispute that may arise between them with respect to this Contract through good<br />

faith and amicable negotiation. If at any time during such negotiation, one Party<br />

determines in good faith that the Parties cannot resolve the dispute through<br />

negotiations, that Party will deliver a notice to the other Party that the dispute will<br />

be settled by arbitration in accordance with Republic Act No. 9285 otherwise<br />

known as the "Alternative Dispute Resolution Act of 2004", as amended, failing<br />

which, the Parties may resort to the filling of the appropriate case in the proper<br />

courts of Taguig City to the exclusion of the other courts. The arbitration will be<br />

conducted in Manila, <strong>Philippines</strong>. The language to be used in the event of<br />

arbitration shall be English. .<br />

Article XII. Separability. The BCDA and the CONSULTANT hereby<br />

agree that should any of the terms and conditions or any provision of this<br />

Contract be declared void or unen<strong>for</strong>ceable by competent authority, the same<br />

shall not invalidate the other terms and conditions or provisions of this Contract, ,<br />

which shall continue to be in full <strong>for</strong>ce and effect.<br />

The Parties agree to amend or modify any provision of this Contract, which<br />

has been declared invalid or contrary to law, to con<strong>for</strong>m with the subject and<br />

objective thereof.<br />

Article XIII. Amendments. Any amendment or modification to this<br />

Contract shall be reduced to writing and executed/signed by both the BCDA and<br />

the CONSULTANT, as well as other <strong>for</strong>malities observed in the execution of this<br />

Contract.<br />

Article XIV. OGee Approval. This contract shall be subject to the review<br />

and approval of the Office of the Government Corporate Counsel (OGCC). Any<br />

of its ensuing recommendations, suggestions or dir~ctives shall <strong>for</strong>m a part of<br />

this Contract.<br />

Article XV. Non-Waiver of Rights. Failure of one party to insist upon a<br />

s<strong>tri</strong>ct per<strong>for</strong>mance of any of the term; condition and convenant hereof shall not be<br />

deemed a relinquishment or waiver of any right/remedy that said party may have,<br />

nor shall it construed as a waiver of any subsequent breach of the same or other<br />

terms, conditions or covenants. No waiver by anyone party or any of its rights<br />

under this Agreement shall be deemed to have been made unless expressed in<br />

writing and signed by that party.<br />

Article XVI. Representation and Warranties. The Parties hereby<br />

represent and warrant that no government official or employee shall be admitted<br />

directly or indirectly to any share or part of this Contract or any benefit that may<br />

arise herefrom.<br />

The parties warrant that they have not offered or given, and will not offer or<br />

give to any employee, agent or representative of either Party, any gratuity, with a<br />

view toward securing any business from one another, or influencing such<br />

persons with respect to terms, conditions or per<strong>for</strong>mance of any of any contract<br />

with each other.<br />

IN WITNESS WHEREOF, the parties hereunto signed this contract, this<br />
