referred to in paragraph (a) of this Item 5.05,<br />
briefly describe the nature of the waiver, the<br />
name of the pers<strong>on</strong> to whom the waiver was<br />
granted, and the date of the waiver.<br />
The registrant does not need to provide any<br />
in<strong>for</strong>mati<strong>on</strong> pursuant to this Item 5.05 if it<br />
discloses the required in<strong>for</strong>mati<strong>on</strong> <strong>on</strong> its<br />
Internet website within four business days<br />
following the date of the amendment or<br />
waiver and the registrant has disclosed in its<br />
most recently filed annual <str<strong>on</strong>g>report</str<strong>on</strong>g> its Internet<br />
address and intenti<strong>on</strong> to provide disclosure in<br />
this manner. If the registrant elects to disclose<br />
the in<strong>for</strong>mati<strong>on</strong> required by this Item 5.05<br />
through its website, such in<strong>for</strong>mati<strong>on</strong> must<br />
remain available <strong>on</strong> the website <strong>for</strong> at least a<br />
12-m<strong>on</strong>th period. Following the 12-m<strong>on</strong>th<br />
period, the registrant must retain the<br />
in<strong>for</strong>mati<strong>on</strong> <strong>for</strong> a period of not less than five<br />
years. Up<strong>on</strong> request, the registrant must<br />
furnish to the Commissi<strong>on</strong> or its staff a copy<br />
of any or all in<strong>for</strong>mati<strong>on</strong> retained pursuant to<br />
this requirement.<br />
Instructi<strong>on</strong>s to Item 5.05<br />
1. The registrant does not need to disclose<br />
technical, administrative, or other<br />
n<strong>on</strong>substantive amendments to its code of<br />
ethics.<br />
2. For purposes of this Item 5.05<br />
(i) The term waiver means the approval by<br />
the registrant of a material departure<br />
from a provisi<strong>on</strong> of the code of ethics;<br />
and<br />
(ii) The term implicit waiver means the<br />
registrant's failure to take acti<strong>on</strong> within<br />
a reas<strong>on</strong>able period of time regarding a<br />
material departure from a provisi<strong>on</strong> of<br />
the code of ethics that has been made<br />
