were developed <strong>to</strong> address the majority of startup bus<strong>in</strong>ess issues. Our confidential,<br />

no charge counsel<strong>in</strong>g services <strong>in</strong>clude bus<strong>in</strong>ess and market<strong>in</strong>g plan review, new<br />

Step 1: Gather Information<br />

<strong>Start<strong>in</strong>g</strong> a bus<strong>in</strong>ess is not like a full time job where you receive a steady paycheck. It<br />

<strong>in</strong>volves f<strong>in</strong>ancial <strong>in</strong>vestment, plann<strong>in</strong>g, hard work and sacrifice <strong>in</strong>clud<strong>in</strong>g the<br />

possible forfeiture of a paycheck until the bus<strong>in</strong>ess takes off. Check out your<br />

Now that you have passed the first hurdle, decide what type of bus<strong>in</strong>ess you want <strong>to</strong><br />

bus<strong>in</strong>esses <strong>to</strong> consider, we suggest you make this decision before proceed<strong>in</strong>g <strong>to</strong> the<br />

At this stage, before you spend any upfront money, you should determ<strong>in</strong>e if the<br />

bus<strong>in</strong>ess you are consider<strong>in</strong>g will be viable at the chosen location. Does your<br />

product/service address a specific cus<strong>to</strong>mer need? How much will they pay? Should<br />

you purchase an exist<strong>in</strong>g bus<strong>in</strong>ess, start one from scratch, or consider a franchise?<br />

You will also need <strong>to</strong> research the trends with<strong>in</strong> the <strong>in</strong>dustry <strong>to</strong> determ<strong>in</strong>e the<br />

lifespan of your bus<strong>in</strong>ess. Is your <strong>in</strong>dustry flat, grow<strong>in</strong>g, or decl<strong>in</strong><strong>in</strong>g? Who and<br />

where is your competition? What will you give your cus<strong>to</strong>mers that they can’t get<br />

Step 2: Create a <strong>Bus<strong>in</strong>ess</strong> Plan<br />

A bus<strong>in</strong>ess plan is like a roadmap that shows you where you are <strong>in</strong> relation <strong>to</strong> where<br />

you want <strong>to</strong> be. Whether you believe <strong>in</strong> a bus<strong>in</strong>ess plan or not, start<strong>in</strong>g a bus<strong>in</strong>ess<br />

<strong>in</strong>volves many ideas that need <strong>to</strong> be documented and actions that need <strong>to</strong> be taken.<br />

Many bus<strong>in</strong>esses fail without a bus<strong>in</strong>ess plan and lend<strong>in</strong>g <strong>in</strong>stitutions require one<br />

The name you choose for your bus<strong>in</strong>ess is very important. To <strong>in</strong>sure that no<br />

bus<strong>in</strong>ess registered <strong>in</strong> <strong>Michigan</strong> is already operat<strong>in</strong>g under the name you would like<br />

<strong>to</strong> use, search onl<strong>in</strong>e for name availability and register your bus<strong>in</strong>ess name with the<br />

follow<strong>in</strong>g entities:<br />

<strong>Oakland</strong> <strong>County</strong> Assumed Names - Register your bus<strong>in</strong>ess name (dba, sole<br />

proprie<strong>to</strong>rship, or partnership) at the <strong>Oakland</strong> <strong>County</strong> Clerk’s Office.<br />

Step 4: Determ<strong>in</strong>e the Legal Structure of Your <strong>Bus<strong>in</strong>ess</strong><br />

When you start your bus<strong>in</strong>ess, you must decide what legal structure it will have.<br />

There are several choices of bus<strong>in</strong>ess formats <strong>in</strong> <strong>Michigan</strong> <strong>in</strong>clud<strong>in</strong>g sole<br />

proprie<strong>to</strong>rship, general partnership, limited partnership, corporation, limited liability<br />

company, and professional liability company, among others.<br />

You should contact a bus<strong>in</strong>ess at<strong>to</strong>rney and/or CPA for advice and assistance <strong>in</strong><br />

determ<strong>in</strong><strong>in</strong>g the best legal structure for you and your bus<strong>in</strong>ess.<br />

Step 5: Select a Site and Determ<strong>in</strong>e Zon<strong>in</strong>g and Site Permit<br />

Requirements<br />

Determ<strong>in</strong><strong>in</strong>g zon<strong>in</strong>g requirements prior <strong>to</strong> sign<strong>in</strong>g a lease or contract is imperative.<br />

You must acquire a zon<strong>in</strong>g use permit for assurance that the type of bus<strong>in</strong>ess you<br />

plan <strong>to</strong> operate is legal <strong>in</strong> the desired location.<br />

Check with your city, village, or <strong>to</strong>wnship for specific zon<strong>in</strong>g requirements.<br />

All construction projects must have a permit, even if the bus<strong>in</strong>ess is an exist<strong>in</strong>g one.<br />

An occupancy permit may also be required.<br />

Step 6: Determ<strong>in</strong>e the <strong>Bus<strong>in</strong>ess</strong> Activity Type and Obta<strong>in</strong> any<br />

Special Licenses or Permits<br />

State Licens<strong>in</strong>g Lookup<br />

Licens<strong>in</strong>g is done by the State, not the <strong>County</strong>. Not every bus<strong>in</strong>ess <strong>in</strong> <strong>Michigan</strong> is<br />

With some exceptions, cater<strong>in</strong>g or food service bus<strong>in</strong>esses cannot be run from a<br />

Step 7: Get Tax Information<br />

All forms of legal structure, except sole proprie<strong>to</strong>rs with no employees, must obta<strong>in</strong> a<br />

Federal Employer Identification Number (EIN). The EIN is your federal tax ID<br />

number.<br />

Prior <strong>to</strong> obta<strong>in</strong><strong>in</strong>g a new EIN, you must select and register your bus<strong>in</strong>ess name.<br />

Step 8: Employer Responsibilities<br />

A new set of responsibilities arise when a bus<strong>in</strong>ess hires employees. Employers<br />

must register as an employer, pay additional taxes, withhold, match and submit<br />

employee withhold<strong>in</strong>gs, obta<strong>in</strong> worker’s compensation <strong>in</strong>surance and adhere <strong>to</strong><br />

employee eligibility regulations. Be sure <strong>to</strong> have an EIN as described <strong>in</strong> step 7.<br />

The employer is required <strong>to</strong> pay state and federal unemployment <strong>in</strong>surance tax on<br />

wages paid <strong>to</strong> all employees. Employer accounts and liability are established once<br />

the employer has registered with the Unemployment Insurance Operations Tax<br />

Worker’s Compensation is required for all employers <strong>in</strong> <strong>Michigan</strong> if one or more full<br />

or part-time persons are hired.<br />

Step 9: Obta<strong>in</strong> F<strong>in</strong>anc<strong>in</strong>g for Your <strong>Bus<strong>in</strong>ess</strong><br />

Locat<strong>in</strong>g startup fund<strong>in</strong>g for major items like the acquisition of real property,<br />

renovation, equipment, <strong>in</strong>ven<strong>to</strong>ry purchases, work<strong>in</strong>g capital requirements, etc. will<br />

be one of the most important challenges you will encounter when start<strong>in</strong>g a bus<strong>in</strong>ess<br />

venture.<br />
