INVITATION LETTER TO SUBMIT STATEMENT OF QUALIFICATIONS<br />
FOR THE<br />
Demolition and <strong>Recycling</strong> of the Runways, Parking Aprons, Taxiways, and Related<br />
Construction Materials at the Former <strong>El</strong> <strong>Toro</strong> MCAS<br />
To all prospective firms:<br />
The City of Irvine is requesting a Statement of <strong>Qualification</strong>s from firms <strong>for</strong> a program leading to the<br />
establishment of a contract <strong>for</strong> demolition and recycling services.<br />
The City of Irvine has <strong>for</strong>med a new entity entitled the “Orange County Great Park Corporation” to<br />
administer the design and development of the Orange County Great Park (<strong>for</strong>mer <strong>El</strong> <strong>Toro</strong> MCAS). This<br />
entity will administer all contractual relationships with the selected Contractor. This entity shall<br />
hereinafter be referred to as the “Owner” of this project.<br />
Statements of <strong>Qualification</strong>s must be submitted to the Purchasing Agent, City of Irvine, no later than the<br />
date and time stated on the RFQ cover sheet. The statements will then be reviewed based on<br />
qualifications, specific experience, references, and familiarity with the services, and then rated according<br />
to which respondent best meets the Owner’s requirements. If hand delivered to the Civic Center,<br />
statements shall be submitted to the Cashier at the Reception Desk located on the first floor. Statements<br />
shall be submitted in sealed envelopes marked on the outside, “RFQ 03-1917 – Demolition and <strong>Recycling</strong><br />
of Runways, Aprons, Taxiways and Related Construction Materials at the Former <strong>El</strong> <strong>Toro</strong> MCAS.”<br />
This package is comprised of the following materials, each of which is an important component of the<br />
total package of materials required to be reviewed and evaluated in the preparation of the Statement of<br />

INSTRUCTIONS TO PROSPECTIVE FIRMS<br />
A. EXAMINATION OF DOCUMENTS<br />
By submitting a Statement of <strong>Qualification</strong>s (see Statement of <strong>Qualification</strong> <strong>for</strong>m), respondent<br />
represents that it has thoroughly examined and become familiar with the work required under this<br />
RFQ and that it is capable of per<strong>for</strong>ming quality work to achieve the Owner’s objectives. The<br />

purpose of these instructions is to furnish general in<strong>for</strong>mation to prospective Respondents<br />
concerning the preparation of its Statement of <strong>Qualification</strong>s regarding the establishment,<br />
management, and operations of a runway removal and recycling program at the <strong>for</strong>mer MCAS <strong>El</strong><br />
<strong>Toro</strong>. These instructions are not intended to completely define the proposed contractual<br />
relationship.<br />
B. ADDENDA<br />
The Owner may issue addenda to this RFQ at any time during the response period, but not later<br />
than one (1) week be<strong>for</strong>e the date <strong>for</strong> submission of the <strong>Qualification</strong>s Statements. Each addendum<br />
will be numbered sequentially as issued. All addenda issued <strong>for</strong>m part of the RFQ. Respondents<br />
must acknowledge in their <strong>Qualification</strong>s Statements that they received all addenda to the RFQ.<br />
Any written addenda issued pertaining to this RFQ shall be incorporated into the terms and<br />
conditions of any resulting Agreement.<br />
C. NON-MANDATORY PRE-SUBMITTAL (INFORMATION) SYMPOSIUM<br />
A non-mandatory pre-submittal (in<strong>for</strong>mation) symposium will be held at the City of Irvine offices<br />
on August 7, 2003 at 10:00 a.m. <strong>for</strong> interested Respondents. Due to space limitations, attendance is<br />
limited to a maximum of two (2) attendees per Respondent. Attendance at this pre-submittal<br />
in<strong>for</strong>mation symposium is strongly recommended. Please RSVP identifying each proposed<br />
attendee to telephone number (949) 724-6023 or Fax the in<strong>for</strong>mation to (949) 724-6045 be<strong>for</strong>e<br />
July 31, 2003. Respondents should check in with the main floor receptionist prior to the<br />
symposium. A field trip to visit the project site will be conducted <strong>for</strong> Respondents.<br />
Participants shall attend at their sole expense.<br />
D. QUESTIONS BY FIRMS<br />
All questions by Respondents must be submitted in writing per the instructions below. Questions<br />
will be responded to as an Addendum and distributed to all Respondents at the same time. The last<br />
day <strong>for</strong> the submission of questions shall be August 7, 2003. <strong>Request</strong>s <strong>for</strong> clarifications, questions,<br />
and comments must be clearly labeled “WRITTEN QUESTIONS – RFQ 03-1917.” The Owner is<br />
not responsible <strong>for</strong> failure to respond to a request that has not been labeled as such.<br />

The Respondent assumes all responsibility <strong>for</strong> the delivery of communications including<br />
transmittals of facsimiles or e-mail, which may not be received. The Owner can only certify receipt<br />
of communications that are signed <strong>for</strong> by representatives of the Owner or the City of Irvine.<br />
E. OVERVIEW<br />
The procurement process <strong>for</strong> the project is anticipated to be an exclusive multi-year negotiated<br />
contract <strong>for</strong> the demolition and recycling of runways, parking aprons, taxiways, and related<br />
construction materials at the <strong>for</strong>mer <strong>El</strong> <strong>Toro</strong> MCAS. A short-list of firms will be identified based<br />
on the <strong>Qualification</strong>s Statements submitted by the respondents. These selected respondents will be<br />
invited to attend a mandatory interview to be held in Irvine, Cali<strong>for</strong>nia on September 25, 2003.<br />

As a negotiated procurement process, the Owner may choose to negotiate with the firm or firms<br />
judged to be the most qualified based on qualifications found to be acceptable from the<br />
<strong>Qualification</strong>s Statement and the participation in the Respondent Interview process. The Owner<br />
will select the firm whose technical approach best satisfy the Owner’s requirements and other<br />
objectives of the Project. It is the Owner’s goal that the removal and recycling of all specified<br />
materials be completed at no cost to the Owner or the City of Irvine.<br />
As an alternative, a <strong>Request</strong> <strong>for</strong> Proposal (RFP) may be the process used to implement the<br />
contractor selection process. If this process is used, the selection of firms to participate in this RFP<br />
process will be based on the <strong>Qualification</strong> Statements and the response to the interview. In mid<br />
2003, the Owner will invite the most qualified firm or firms to submit Technical and Price<br />
Proposals based on contractual procurement documents prepared and issued by the Owner. The<br />
Owner will select the firm whose Technical and Price Proposals best satisfy the Owner’s technical<br />
and financial requirements and other objectives of the Project. It is the Owner’s goal <strong>for</strong> the<br />
contract resulting from this process to be completed at no cost to the Owner or the City of Irvine.<br />
THIS ANTICIPATED PROCESS AND SCHEDULE MAY BE CHANGED BY THE OWNER<br />
AT ANY TIME AND FOR ANY REASON IT DEEMS APPROPRIATE BASED ON THE<br />
NEEDS OF THE PROJECT. THE OWNER RESERVES THE RIGHT TO REJECT ALL<br />
QUALIFICATION STATEMENTS, TO WAIVE ANY INFORMALITY IN ANY<br />
QUALIFICATION STATEMENT, AND TO DETERMINE NOT TO ENTER INTO A<br />
CONTRACT PURSUANT TO THIS REQUEST FOR QUALIFICATIONS.<br />
F. SELECTION PROCESS<br />
All Statements of <strong>Qualification</strong>s received as specified will be evaluated by an Evaluation<br />
Committee comprised of Owner’s staff and one or more independent field specialist(s) in<br />
accordance with the following criteria. Respondents are encouraged to consider operations that will<br />
maximize the recovery potential of materials. In applying the major criteria to the proposed<br />
services, the Evaluation Committee may consider additional sub-criteria beyond those listed. The<br />
Owner intends to evaluate the proposed services based upon the data presented in response to the<br />
RFQ.<br />
Should a subsequent <strong>Request</strong> <strong>for</strong> Proposal (RFP) process be used as the selection process, the<br />
Proposals will then be reviewed based on qualifications, specific experience, references, familiarity<br />
with the services and pricing, and then rated according to which company best meets the Owner’s<br />
requirements. At the discretion of the Owner, any or all parts of the respondent’s proposal shall be<br />
made a binding part of the selected firm’s contract and agreement.<br />
Evaluation Criteria<br />
The Owner will rank the Statements of <strong>Qualification</strong>s based on the following criteria.<br />
1. Appropriate Contractor’s License<br />
2. Currently available bonding capacity exceeds $1,000,000<br />
3. No contract completed by surety during the past 5 years<br />
4. Financial Statement and/or Dunn & Bradstreet report submitted<br />
5. Number of contracts over $1,000,000 completed in past 5 years<br />
6. Number of contracts over $1,000,000 terminated by owner in past 5 years<br />
7. Number of days assessed liquidated damages/public inconvenience<br />
8. Overall average years of recycling experience<br />
9. Number of claims resolved against contractor<br />
10. <strong>Qualification</strong>s of Project Manager and other key staff<br />
11. Creativity of program approach<br />
12. Estimated time to complete work program<br />

THE OWNER MAY REQUEST ADDITIONAL INFORMATION OF ANY RESPONDENT<br />
WHILE REVIEWING STATEMENTS OF QUALIFICATIONS.<br />
The contract will be negotiated and award will be made after selection of one (1) Respondent from<br />
among all Respondents with implementation of services to follow. However, this RFQ does not<br />
indicate a commitment by the Owner to award a contract to any successful Respondent.<br />
G. GENERAL INFORMATION<br />
The Respondents shall furnish the Owner with such additional in<strong>for</strong>mation as the Owner may<br />
reasonably require. The Owner reserves the right to conduct pre-contract negotiations with any or<br />
all Respondents. All data, documents and other products used or developed during the<br />
<strong>Qualification</strong> process will remain the property of the Owner upon completion of the project.<br />
H. THE OWNER RESERVED RIGHTS<br />
1. The Owner reserves the right to request additional in<strong>for</strong>mation, extend the due date <strong>for</strong> all<br />
submissions, and to obtain additional submissions beyond the due date.<br />
2. The Owner reserves the right to modify or reissue the <strong>Request</strong> <strong>for</strong> <strong>Qualification</strong>s.<br />
3. The Owner reserves the right to reject all of the Statements of <strong>Qualification</strong>s including not<br />
proceeding with the project.<br />
4. The Owner reserves the right to seek clarification or additional in<strong>for</strong>mation from the<br />
Respondents, as the Owner deems necessary to evaluate responses.<br />
5. In submitting a response to the RFQ, each Respondent expressly waives any and all rights to<br />
protest, or judicially challenge the RFQ solicitation itself, evaluation process, including but<br />
not limited to the qualifications of Respondents, the responses to the RFQ, and selection of<br />
the successful contractor.<br />
I. SUBMISSION OF STATEMENTS OF QUALIFICATIONS<br />
1. DATE AND TIME<br />
Statements of <strong>Qualification</strong>s must be submitted on the attached <strong>for</strong>m at or be<strong>for</strong>e the time<br />
specified on the Cover Sheet. Statements of <strong>Qualification</strong>s submitted after the specified date<br />
will be considered nonresponsive and will be returned.<br />
2. ADDRESS<br />
Statements of <strong>Qualification</strong>s <strong>for</strong>ms and all attachments shall be delivered as specified on the<br />
Cover Sheet.<br />
3. IDENTIFICATION OF STATEMENTS OF QUALIFICATIONS<br />
Respondent shall submit an original and eight (8) copies of its Statement of <strong>Qualification</strong>s in<br />
a sealed package, addressed as stated on the Cover Sheet bearing the Respondent’s name and<br />
address and clearly marked as follows:<br />

J. PRE-CONTRACTUAL EXPENSES<br />
Any and all costs incurred in the preparation of a Statement of <strong>Qualification</strong>s, presentation to the<br />
Owner, travel in conjunction with such presentations, or samples of items shall be the responsibility<br />
of the Respondent. The Owner assumes no responsibility and no liability <strong>for</strong> any pre-contractual<br />
costs or expenses incurred by Respondents prior to issuance of a Contract or purchase order.<br />
Pre-contractual costs or expenses are defined as expenses incurred by Respondents including but<br />
not limited to:<br />

1. Preparing its Statement in response to this RFQ;<br />
2. Submitting that Statement to the Owner;<br />
3. Attendance at the pre-proposal symposium, interviews, or field trip,<br />
4. Negotiating with the Owner on any matter related to any subsequent proposal; or<br />
5. Any other expense incurred in the preparation of its Statement. Respondents shall not include<br />
any such expenses as part of any subsequent proposal.<br />
K. JOINT RESPONDENTS<br />
Where two or more Respondents desire to submit a single Statement of <strong>Qualification</strong>s in response<br />
to the RFQ, they should do so on a prime-subcontractor basis rather than as a joint venture. The<br />
Owner intends to contract with a single firm and not with multiple firms doing business as a joint<br />
venture.<br />
L. DOCUMENTS<br />
The Owner has made available <strong>for</strong> public inspection the aerial photo of the <strong>for</strong>mer <strong>El</strong> <strong>Toro</strong> MCAS<br />
and all plans and documentation of the Owner’s approved plans <strong>for</strong> the redevelopment of the<br />
various parcels of land. Firms desiring to view such in<strong>for</strong>mation should contact Mr. John Harris,<br />
Strategic Programs Administrator, at (949) 724-7508 to schedule an appointment during normal<br />
business hours.<br />
M. POTENTIAL REQUIREMENTS OF FUTURE PARTICIPATION<br />
Respondents are advised that any subsequent award of a Contract <strong>for</strong> the Project may require but is<br />
not limited to the following :<br />
1. PERFORMANCE BOND AND PAYMENT BOND<br />
The successful proposer shall be required to maintain at all times during the term of the<br />
Agreement, a valid per<strong>for</strong>mance bond and payment bond, or such other surety acceptable to<br />
the Owner, in an amount up to $3 million, as determined by Owner. The Bonding company<br />
shall have an A.M. Best Company rating of A or better and be listed in the Federal Register<br />
as an acceptable company <strong>for</strong> federal contracts.<br />
2. BID GUARANTEE<br />
As a guarantee of good faith on the part of all subsequent proposers, each bid will be required<br />
to be accompanied by a bid guarantee consisting of either a certified or cashier’s check made<br />
payable without condition to the order of the City of Irvine, or a bid bond written by an<br />
approved corporation surety in favor of the City of Irvine in the amount of $25,000. If the<br />
bid of a proposer is acceptable and the proposer is notified by the Project Manager that it is<br />
considered to be the firm that best satisfies the Owner’s technical and financial requirements<br />
and said proposer fails to, (1) execute a contract in the <strong>for</strong>m prescribed, (2) furnish the<br />
per<strong>for</strong>mance and payment bond described above, (3) furnish the required evidence of<br />
insurance, or (4) satisfy any other condition precedent to contract execution within its power<br />
ten (10) calendar days after such notice is made by the Owner, said bid guarantee shall be<br />
<strong>for</strong>feited to the Owner as liquidated damages and not as a penalty<br />
a). Return of <strong>Bid</strong> Guarantee<br />
As soon as prices have been compared, bid guarantees of all except the three most<br />
qualified proposers will be returned. When the firm that best satisfies the Owner’s<br />
technical and financial requirements executes the contract and delivers to the Owner<br />
satisfactory per<strong>for</strong>mance and payment bonds and required insurance documentation, and<br />
any other conditions precedent to contract execution by the Owner have been satisfied,<br />
including, where applicable, Owner’s contract approval, the bid guarantee of the three<br />
lowest proposers shall be returned to them.<br />

3. WORKER’S COMPENSATION<br />

additional insured.<br />
5. BUSINESS AUTOMOBILE LIABILITY<br />
Coverage: Hired, Non-Owned and Owned Automobiles and Equipment.<br />
Limit: $1,000,000<br />
Endorsements: Waiver of subrogation in favor of the Owner. Owner named additional<br />
insured.<br />
6. ENVIRONMENTAL/POLLUTION LIABILITY<br />
Coverage: Include Asbestos and Lead Based Paint Abatement.<br />
Limit: $5,000,000<br />
Endorsements: Waiver of subrogation in favor of the Owner. Owner named as an<br />
additional insured.<br />
7. UMBRELLA/EXCESS LIABILITY<br />
Limit: May be used in combination with underlying or primary coverage to<br />
build required limits.<br />
Coverage: Must be as broad or provide broader coverage than underlying or<br />
primary Coverage.<br />
8. ADDITIONAL CONDITIONS<br />
a). Each policy must remain in full <strong>for</strong>ce and effect during the term of the Contract.<br />
b). All insurance policies are on a per occurrence basis.<br />
c). All insurance carriers must maintain at least an “A” rating from A.M. Best.<br />
d). Owner shall be provided an insurance certificate, executed by the appropriate<br />
insurance company or its authorized representative, <strong>for</strong> all required insurance,<br />
including endorsements. This evidence must be provided to the Owner prior to the<br />
commencement of work and no less than 60 days be<strong>for</strong>e the renewal of any policy.<br />
e). All sub-contractors are to maintain the same insurance coverages.<br />

GENERAL REQUIREMENTS AND PROCUREMENT PROCESS<br />
1.0 INTRODUCTION<br />
The Owner hereby invites interested firms to submit <strong>Qualification</strong>s Statements <strong>for</strong> the demolition<br />
and recycling of various paving materials and other construction materials applicable to concrete<br />
recycling, and ground restoration on selected sites within the <strong>for</strong>mer Marine Corps Air Station<br />
(MCAS) <strong>El</strong> <strong>Toro</strong> in Irvine, Cali<strong>for</strong>nia, USA. Throughout this <strong>Request</strong> <strong>for</strong> <strong>Qualification</strong>s (RFQ),<br />
the total of these activities and responsibilities is referred to as the Project. Firms responding to<br />
this RFQ are referred to individually as the Respondent, and collectively as the Respondents.<br />
Whenever the term “Owner” is used, that term shall refer to the Orange County Great Park<br />
Corporation.<br />
This RFQ provides instructions <strong>for</strong> the preparation and submission of the Respondent's<br />
<strong>Qualification</strong>s Statement. That Statement will be used to select Respondents to participate in<br />
Respondent Interviews on September 25, 2003 and, potentially, <strong>for</strong> subsequent activities related<br />
to the Project.<br />
2.0 GENERAL PROCEDURES<br />
2.1 OVERVIEW OF PROCUREMENT PROCESS<br />
The procurement process <strong>for</strong> the Project is anticipated to be an exclusive multi-year<br />
negotiated contract <strong>for</strong> the demolition and on-site recycling and disposition of the various<br />
paving materials comprised of runways, aprons, taxiways, and related construction<br />
materials. In this process, a list of Respondents will be identified based on the<br />
<strong>Qualification</strong>s Statements submitted by the Respondents in response to this RFQ. These<br />
selected Respondents will be invited to participate in the Respondent Interview to be held<br />
in Irvine, Cali<strong>for</strong>nia on September 25, 2003. At this Interview, the selected Respondents<br />
will be given an opportunity to present their organization and approach to implement the<br />
Project.<br />
Subsequent to this Respondent Interview process, the Owner will define the final<br />
selection process to be used to negotiate and award this contract. The Owner may choose<br />
to initiate negotiations with one or more Respondents based on the Statement of<br />
<strong>Qualification</strong>s and the Respondent Interviews. As an alternative, the Owner may choose<br />
to issue a <strong>Request</strong> <strong>for</strong> Proposals (RFP). Should the RFP process be selected, this process<br />
will be initiated in mid 2003 inviting the most qualified firm or firms to submit Technical<br />
and Price Proposals. The Owner will select the supplier whose Technical and Price<br />
Proposals best satisfy the Owner's technical and financial requirements and other<br />
objectives of the Project.<br />
THIS ANTICIPATED PROCESS AND SCHEDULE ARE TENTATIVE ONLY, AND<br />
MAY BE CHANGED BY THE OWNER AT ANY TIME AND FOR ANY REASON IT<br />
DEEMS APPROPRIATE BASED ON THE NEEDS OF THE PROJECT. THE<br />
OWNER RESERVES THE RIGHT TO REJECT ALL QUALIFICATIONS<br />
STATEMENTS, TO WAIVE ANY INFORMALITY IN ANY QUALIFICATIONS<br />
STATEMENT, AND TO DETERMINE NOT TO ENTER INTO A CONTRACT<br />
PURSUANT TO THIS REQUEST FOR QUALIFICATIONS.<br />

2.2 ISSUANCE OF ADDENDA<br />
The Owner may issue addenda to this RFQ at any time during the response period, but<br />
not later than one (1) week be<strong>for</strong>e the date <strong>for</strong> submission of the <strong>Qualification</strong>s<br />
Statements, except as amended by an Addendum extending the date <strong>for</strong> submission of the<br />
<strong>Qualification</strong> Statements. Each addendum will be numbered sequentially as issued. All<br />
addenda issued <strong>for</strong>m part of the RFQ. Respondents must acknowledge in their<br />
<strong>Qualification</strong>s Statements that they received all Addenda to the RFQ.<br />
2.3 SCOPE OF THE PROJECT<br />
The Owner is requesting Statements of <strong>Qualification</strong>s from firms <strong>for</strong> the removal and<br />
recycling of existing runways; parking aprons; taxiways; and related materials at the<br />
<strong>for</strong>mer Marine Corps Air Station (MCAS) <strong>El</strong> <strong>Toro</strong>. This project will consist of<br />
approximately 2,000,000 square yards of concrete material, and includes the design,<br />
setup, and operation of one or more demolition and recycling facilities including quality<br />
control, testing, and stockpiling of materials <strong>for</strong> distribution and resale.<br />
The Project may be limited to the materials on Public Property parcels within the Orange<br />
County Great Park (see EXHIBIT C). However, should the private property owners<br />
desire to remove the approximately 900,000 square yards of paving and construction<br />
materials within their parcels, they are required to contract with the successful contractor<br />
at the Owner’s negotiated contract price during the term of the contract, and the<br />
successful contractor shall demolish and recycle all such privately owned construction<br />
material under the Owner’s contract. In the Public sector only, the project includes the<br />
requirement <strong>for</strong> the successful Contractor to grade the excavated demolition and<br />
construction activity area to restore drainage patterns and seed the disturbed construction<br />
activity area to control erosion.<br />
The successful contractor will be required to process a Conditional Use Permit (CUP)<br />
through the City of Irvine <strong>for</strong> the demolition and recycling operation. This CUP may at<br />
the Owner’s discretion, provide the opportunity to establish an on-site batch plant to<br />
support the marketing ef<strong>for</strong>ts of the Contractor. In addition, subject to approval by the<br />
Owner the CUP may, at the Owner’s discretion, and Conditions of Approval, provide <strong>for</strong><br />
the opportunity <strong>for</strong> the Contractor to receive imported construction materials <strong>for</strong><br />
processing.<br />
Materials of predefined specification required <strong>for</strong> the Owner’s Public Works projects<br />
within the confines of the <strong>El</strong> <strong>Toro</strong> MCAS will be made available to the Owner as<br />
required, at the time called <strong>for</strong>, at a price to be defined as part of the contract<br />
negotiations.<br />
Materials of predefined specifications required <strong>for</strong> the Private Sector development within<br />
the confines of the <strong>El</strong> <strong>Toro</strong> MCAS will be made available at the time called <strong>for</strong>, at a price<br />
to be defined as part of the contract negotiations.<br />
The following is an overview of the program leading to the sale of the <strong>for</strong>mer MCAS<br />
properties, and the implementation of the demolition and recycling program: (also please<br />

www.heritagefields.com <strong>for</strong> additional in<strong>for</strong>mation regarding the <strong>El</strong> <strong>Toro</strong> project.<br />

DEMOLITION AND RECYCLING<br />
• Background: The Department of the Navy (Navy) presently owns the <strong>for</strong>mer MCAS<br />
<strong>El</strong> <strong>Toro</strong> base. Using the services of the General Services Administration (GSA), the<br />
Navy will prepare <strong>for</strong> the sale of the property to the highest bidder(s) in a public<br />
auction. The Navy has agreed to sell the property in not more than four large parcels.<br />
The GSA will begin its pre-marketing ef<strong>for</strong>ts sometime in the late spring of 2003.<br />
The Navy and the GSA will prepare <strong>for</strong> a public auction (similar to the auction<br />
recently held at the Tustin Marine Base) in the fall of 2003. The auction concludes<br />
when the GSA determines the highest value is achieved.<br />
• The City of Irvine has completed the land use entitlements, and has applied <strong>for</strong><br />
annexation to the Local Agency Formation Commission (LAFCO). LAFCO will<br />
consider the application over the fall of 2003 and the property is anticipated to be<br />
annexed to the City by the spring of 2004.<br />
• Once the property is transferred from the Navy to the private sector (subsequent to<br />
the City’s annexation), the new landowners are expected to enter into development<br />
agreements with the City of Irvine. The development agreements will require the<br />
dedication of land to the Owner <strong>for</strong> the park, riparian and wildlife corridors,<br />
institutional uses and road rights-of-way. This land will be dedicated upon the<br />
execution of the development agreement.<br />
Once the property transfers title from the Navy to the private sector, it is estimated that<br />
the roads, utilities, drainage and wildlife corridors, Sports Park, and first phase of the<br />
Meadows Park will be completed and open within three (3) years (see EXHIBIT A). The<br />
remaining improvements of the Meadows Park will be completed within the first five (5)<br />
years of the property being transferred.<br />
Prior to initiating work on these public and privately held properties, or concurrent with<br />
such work, a substantial amount of concrete paving and various other building materials<br />
will be required to be removed. Due to the volume of this material, this Project will<br />
require that the majority of these materials be recycled.<br />
Based on subsequent contract negotiations and timing of supply production and need, an<br />
undefined quantity of aggregate base, and pipe bedding materials may be acquired and<br />
used <strong>for</strong> the public infrastructure and the private sector construction on-site. However, a<br />
significant amount of material will be available <strong>for</strong> sale to the building industry. The<br />
concrete, asphalt and other paving materials generated through this demolition and<br />
recycling program will be the property of the successful Contractor to sell to the off-site<br />
market during the specified period of time. All proceeds are theirs to keep as their profit.<br />
The contractor will have a period of approximately 3 years to demolish and crush the<br />
paving materials, and approximately an additional 7 years (to be negotiated) to stockpile<br />
and sell the finished material at market rate. The sale of this material will be used to<br />
generate revenue to the recycling contractor.<br />
THE SCOPE OF WORK FOR THE PROJECT, AS OUTLINED ABOVE, IS<br />
PRELIMINARY ONLY. THE OWNER RESERVES THE RIGHT TO MAKE<br />
SUBSEQUENT REVISIONS PRIOR TO THE CONTRACT NEGOTIATIONS OR<br />
THE RELEASE OF THE POTENTIAL REQUEST FOR PROPOSAL.<br />

2.4 PREPARATION OF QUALIFICATIONS STATEMENT<br />
The Respondent's <strong>Qualification</strong>s Statement shall be submitted in accordance with this<br />
RFQ, and particularly RFQ Section 5.0. <strong>Qualification</strong>s Statements should include<br />
specific data, system design drawings, specifications, previous operational<br />
documentation, and narrative descriptions explaining the technical aspects and proven<br />
characteristics of the Respondent's baseline equipment, and any modifications necessary<br />
to adapt that equipment to the requirements of the Project.<br />
2.5 ACCEPTANCE OR REJECTION OF QUALIFICATIONS STATEMENT<br />
The Owner reserves the unqualified right, in its sole and absolute discretion, to accept <strong>for</strong><br />
invitation to the Respondent Interviews and other initial Project activities, those<br />
Respondents whose <strong>Qualification</strong>s Statements, in the Owner's sole judgment, best<br />
respond to the needs and interests of the Owner and the Project.<br />
2.6 COMPLIANCE WITH CITY POLICIES AND ORDINANCES<br />
The Owner is committed to ensure that its contractors comply with all relevant City of<br />
Irvine policies, ordinances, and codes. Additional in<strong>for</strong>mation concerning these<br />
requirements will be provided as part of the negotiation process and the approval of the<br />
Conditional Use Permit (CUP).<br />
2.7 COMPLIANCE WITH STATE AND FEDERAL LAWS AND REGULATIONS<br />
The Owner is committed to meeting all Cali<strong>for</strong>nia and federal laws and regulations that<br />
are applicable to this project. The Owner will require that the Project meet all applicable<br />
Cali<strong>for</strong>nia and federal codes and standards. The Project will include meeting all safety<br />
and similar requirements of CAL-OSHA and all similar requirements.<br />
3.0 REQUIREMENTS FOR SUBMITTING QUALIFICATIONS STATEMENTS<br />
3.1 RFQ RECIPIENTS<br />
The Respondent's technical qualifications submitted as part of the Statement of<br />
<strong>Qualification</strong>s will be evaluated as a condition <strong>for</strong> inclusion on the list of Respondents<br />
invited to participate in the Respondent Interviews. Both are subject to the conditions of<br />
Section 3.3.<br />
3.2 AUTHORIZED REPRESENTATIVE<br />
The <strong>Qualification</strong>s Statement should be signed by an Authorized Representative of the<br />
Respondent, who is fully authorized to act on behalf of the Respondent.<br />
3.3 CONDITIONS OF THE STATEMENT OF QUALIFICATIONS AND<br />
RESPONDENT INTERVIEWS<br />
The Owner's receipt and evaluation of the Respondent's <strong>Qualification</strong> Statement is<br />
conditional upon the Respondent's acceptance of the condition that the Owner's decision<br />
on the selection of Respondents to be included in the Respondent Interviews and<br />
subsequent Project activities shall be final, binding on all Respondents, and noncontestable.<br />
By submitting its <strong>Qualification</strong>s Statement, the Respondent agrees that:<br />
1. The Owner may select Respondents <strong>for</strong> inclusion in the Respondent Interviews<br />
and subsequent Project activities in accordance with its own criteria and<br />
judgment, and<br />

2. The Owner shall not be bound to in<strong>for</strong>m the Respondent of the reasons <strong>for</strong> or the<br />
details of the selection of the successful Respondent(s).<br />
The Respondent shall be solely responsible <strong>for</strong> all costs incurred in connection with the<br />
preparation and submission of its <strong>Qualification</strong>s Statement, and the Owner shall have no<br />
responsibility there<strong>for</strong>e, regardless of whether or not the Respondent is selected <strong>for</strong><br />
inclusion on the list of firms selected <strong>for</strong> the Respondent Interview or further Project<br />
participation.<br />
3.4 CONFIDENTIALITY<br />
<strong>Qualification</strong>s Statements, particularly the Executive Summary, may become public<br />
documents, so they should be written accordingly to exclude any proprietary or<br />
confidential in<strong>for</strong>mation insofar as is possible.<br />
Any in<strong>for</strong>mation supplied by the Respondent may be subject to public disclosure under<br />
the Cali<strong>for</strong>nia Public Records Act, Government Code Section 6250-6268 (the "CPRA").<br />
The Owner recognizes that certain in<strong>for</strong>mation supplied by the Respondents, including<br />
confidential financial in<strong>for</strong>mation, may be exempt from disclosure under the CPRA.<br />
Respondents should clearly mark as confidential and provide under separate cover such<br />
confidential financial in<strong>for</strong>mation. Should such records become subject to a request <strong>for</strong><br />
public disclosure, the Owner will use its best ef<strong>for</strong>ts to notify the Respondent of such a<br />
request in a timely manner and cooperate with the Respondent in any subsequent<br />
proceedings relating to the Respondent's claim of exemption from public disclosure.<br />
3.5 NEGATIVE RESPONSES<br />
If a recipient of this RFQ does not provide a <strong>Qualification</strong>s Statement by the deadline set<br />
<strong>for</strong>th in Section 4.3, the Owner will assume that it is not interested in the Project.<br />
4.0 RESPONDING PROCEDURE<br />

4.2 CLARIFICATION OF THE RFQ DOCUMENTS<br />
The Respondent should seek clarification on matters that may affect its <strong>Qualification</strong>s<br />
Statement by addressing a letter to the Owner in accordance with Section 4.1 above. Any<br />
questions must reach the Owner's Representative not later than August 7, 2003,<br />
approximately three (3) weeks be<strong>for</strong>e the required date <strong>for</strong> submission of <strong>Qualification</strong><br />
Statements. No request <strong>for</strong> an extension of time will be considered by the Owner arising<br />
from circumstances, which should have been clarified be<strong>for</strong>e the submission of the<br />
<strong>Qualification</strong>s Statement. Any clarifications to the RFQ Documents resulting from such<br />
queries as noted above will be made collectively and issued by the Owner to all RFQ<br />
recipients in the <strong>for</strong>m of an Addendum.<br />
4.3 SUBMISSION OF THE QUALIFICATIONS STATEMENT<br />
The <strong>Qualification</strong>s Statement shall be completed and submitted by mail or courier in one<br />
or more parcels, which shall contain one (1) ORIGINAL and eight (8) COPIES of each<br />
item. Each document, which is an “ORIGINAL,” shall be so indicated. Each document<br />
which is a copy shall be marked "COPY # of 8" where "#" is the number of the copy.<br />
The completed <strong>Qualification</strong>s Statement must be delivered by hand, overnight courier, or<br />
mailed to the Owner's Representative at the location and time specified on the cover<br />
page. It is the Respondent’s sole responsibility to assure that the <strong>Qualification</strong> Statement<br />
is received by the Owner’s representative by the date and time specified on the cover<br />
page.<br />
4.4 CLARIFICATION OF QUALIFICATIONS STATEMENTS<br />
During the evaluation of the <strong>Qualification</strong>s Statements, the Owner may request<br />
clarifications from any Respondent with respect to any item in its <strong>Qualification</strong><br />
Statement. The Respondent's response to the request <strong>for</strong> clarification by the Owner must<br />
be signed by the Authorized Representative and will become part of the <strong>Qualification</strong>s<br />
Statement.<br />
4.5 PRE-SUBMITTAL (INFORMATION) SYMPOSIUM<br />
The pre-submittal symposium is planned <strong>for</strong> August 7, 2003. The initial Program will be<br />
open to all selected Respondents and possibly other interested officials and<br />
representatives of other firms. Attendance at this pre-submittal in<strong>for</strong>mation symposium<br />
is strongly recommended. Please RSVP identifying each proposed attendee to<br />
telephone number (949) 724-6023 or Fax the in<strong>for</strong>mation to (949) 724-6045 be<strong>for</strong>e<br />
July 31, 2003. It will include a discussion of the Project and the Project area by the<br />
Owner and the Owner's Representatives. General questions will be addressed. A tour of<br />
the area will be conducted in the afternoon.<br />
After the pre-submittal symposium, the Owner’s Representative will mail a written<br />
update to all attendees of Project in<strong>for</strong>mation and answers to questions if the Owner<br />
deems it necessary.<br />
4.6 RESPONDENT INTERVIEWS<br />
Each selected Respondent will have a scheduled 1-hour period to discuss its<br />
methodology, experience, and approach. Additional discussion about Project<br />
requirements and the selection and award process will be encouraged. These sessions<br />
will be attended by the City, the Owner's Representatives, project staff and a few other<br />
selected officials. They will not be open to the public, other Respondents or their<br />
representatives, or others not directly involved with the Project.<br />

Additional in<strong>for</strong>mation, including the location and detailed schedule, will be provided in<br />
the invitation to the Respondent Interviews sent to the selected Respondents. These<br />
invited Respondents may bring any physical and audio-visual aids to the Interview;<br />
however, other than computer and a computer LCD projector, all equipment needed must<br />
be provided by the Respondent. Use of computer and projector provided must be PC<br />
compatible and supplied on a Compact Disk. Audio/visual materials will remain the<br />
property of the Owner. NOTE: The set-up and removal time <strong>for</strong> any equipment will be<br />
part of the 1-hour time allocated to the firm. There will not be space available <strong>for</strong> large<br />
displays.<br />
5.0 CONTENTS OF THE QUALIFICATIONS STATEMENT<br />
The Statement of <strong>Qualification</strong>s must be completed on the attached <strong>for</strong>m, and at a minimum, shall<br />
include the following additional in<strong>for</strong>mation. All statements shall be signed by an official<br />
authorized to bind the firm:<br />
5.1 TRANSMITTAL<br />
5.1.1 LETTER<br />
The Transmittal Letter should name the Respondent and any major<br />
subcontractors. The role, type, and percentage of work by each firm should be<br />
identified. The transmittal letter should clearly identify the Project and state the<br />
willingness of the Respondent to participate in the subsequent procurement<br />
process under the terms and conditions set <strong>for</strong>th by the Owner.<br />
5.1.2 EXECUTIVE SUMMARY<br />
Include a brief description of the operations and per<strong>for</strong>mance. Provide summary<br />
descriptions and essential features of the equipment and its operation as<br />
proposed. Provide drawings, sketches, or photographs as appropriate to illustrate<br />
concept of the operations. Summarize related experience and similar projects.<br />
This document should be suitable <strong>for</strong> release to public officials and the public.<br />
5.1.3 SYSTEM TECHNICAL DESCRIPTION<br />
5.1.3.1 Fundamental Operations<br />
Provide descriptions and essential features of the proposed facility<br />
layout and operations. Discussion, data, and evidence should respond<br />
to the following specific items:<br />
Provide initial estimates of the time required to demolish the subject<br />
area and the time required to crush the materials <strong>for</strong> recycling. Provide<br />
initial estimates of the materials required <strong>for</strong> on-site improvements <strong>for</strong><br />
the various infrastructures shown on or implied by EXHIBIT A<br />
(streets, parking, etc.). Provide initial estimates of the quantity of<br />
materials projected <strong>for</strong> resale and the time required to market the<br />
material.<br />
A narrative generally describing the utility requirements, and a<br />
dimensioned or scaled plan view of a typical facility <strong>for</strong> the operation<br />
including area to maintain and store equipment/vehicles, stockpile<br />
materials, and temporary office space. It should be noted that existing<br />
on-site utilities may not be adequate and may need to be supplemented<br />

to provide water, power, and sewer <strong>for</strong> the proposed recycling<br />
operation.<br />
5.1.4 PROJECT SCHEDULE<br />

Rating Procedure:<br />
The Owner has established a rating system <strong>for</strong> the prequalification of contractors.<br />
Contractors who: (A) do not have sufficient bonding capacity, or (B) have had a part of<br />
contract work completed by surety will be disqualified.<br />
Previous termination of contract caused by the failure to complete contract work in a timely<br />
and responsible manner may be the basis <strong>for</strong> contractor's disqualification.<br />
Failure to provide in<strong>for</strong>mation on arbitration and litigation history may also result in<br />
contractor's disqualification.<br />
Only qualified contractors who receive sufficient points based on the pre-established rating system<br />
will be invited to participate in subsequent activities related to this project.<br />
