WHEREAS, <strong>the</strong> <strong>Union</strong> <strong>Free</strong> <strong>School</strong> <strong>District</strong> <strong>of</strong> <strong>the</strong> <strong>Tarrytowns</strong> (<strong>the</strong> "<strong>School</strong> <strong>District</strong>"), through its attorney,<br />

John F. Burkhardt, Esq., appeared in <strong>the</strong> pending litigation to protect <strong>the</strong> interests <strong>of</strong> <strong>the</strong> <strong>School</strong> <strong>District</strong>; and<br />

WHEREAS, several discussions and meeting were held with <strong>the</strong> attorney for <strong>the</strong> petitioner, <strong>the</strong> Town Assessor,<br />

<strong>the</strong> Deputy Town Attorney and counsel for <strong>the</strong> <strong>School</strong> <strong>District</strong> and various settlement proposal were discussed at<br />

length prior to arriving at a tentative settlement; and<br />

WHEREAS, <strong>the</strong> <strong>School</strong> <strong>District</strong>'s counsel, <strong>the</strong> Deputy Town Attorney and <strong>the</strong> Town Assessor recommend<br />

approving <strong>the</strong> tentative settlement; and<br />

NOW THEREFORE, BE IT RESOLVED that it is in <strong>the</strong> best interests <strong>of</strong> <strong>the</strong> <strong>School</strong> <strong>District</strong> to settle this law<br />

suit with <strong>the</strong> following reductions in assessed values:<br />

*Although <strong>the</strong> 2011 AV has not yet been utilized to collect taxes it is anticipated that it will not be corrected<br />

before tax bills are prepared. In order to present a more accurate potential impact <strong>of</strong> <strong>the</strong> settlement, <strong>the</strong> tax rate<br />

for <strong>the</strong> next fiscal year has been estimated in order to project a refund for that year. This also results in an<br />

estimated refund for that year as well as for <strong>the</strong> total refund.<br />

BE IT FURTHER RESOLVED, that John F. Burkhardt, Esq., is authorized to execute a Stipulation, Consent<br />

Judgment and any o<strong>the</strong>r relevant settlement documents consistent with this Resolution on behalf <strong>of</strong> <strong>the</strong><br />

respondent-intervenor, <strong>the</strong> <strong>Union</strong> <strong>Free</strong> <strong>School</strong> <strong>District</strong> <strong>of</strong> <strong>the</strong> <strong>Tarrytowns</strong>.<br />

6. RESOLVED: That <strong>the</strong> Board <strong>of</strong> Education hereby modifies <strong>the</strong> 2011-12 general fund budget from<br />

$65,946,427.85 to $66,383,446.71, for tax certiorari payments.<br />

7. WHEREAS, <strong>the</strong> Tarrytown <strong>Union</strong> <strong>Free</strong> <strong>School</strong> <strong>District</strong> (“<strong>District</strong>”) maintains <strong>the</strong> Tarrytown <strong>Union</strong> <strong>Free</strong> <strong>School</strong><br />

<strong>District</strong> 403(b) Retirement Plan (“Plan”); and<br />

WHEREAS, <strong>the</strong> Plan was duly adopted on <strong>the</strong> 23 rd day <strong>of</strong> July, 2008 by <strong>the</strong> <strong>District</strong>’s Board <strong>of</strong> Education<br />

(“Board”); and<br />

WHEREAS, <strong>the</strong> Board desires to amend <strong>the</strong> Plan as regards to section 2.7 Nonelective Employer<br />

Contributions;<br />

NOW, THEREFORE, BE IT RESOLVED that section 2.7 <strong>of</strong> <strong>the</strong> Plan is hereby amended to read as follows:<br />

2.7 Nonelective Employer Contributions<br />

Employer Non-Elective Contributions shall be permitted under <strong>the</strong> Plan at <strong>the</strong> discretion <strong>of</strong> <strong>the</strong> Employer to<br />

certain class(es) <strong>of</strong> Employee(s), as specified or referenced in <strong>the</strong> Plan Adoption Agreement and/or consistent

with terms and conditions <strong>of</strong> <strong>the</strong> Employer’s collective bargaining agreement(s), memorandum(s) <strong>of</strong> agreement,<br />

The Employer shall be solely responsible for determining that a contribution is Non-Elective. Nei<strong>the</strong>r The<br />

OMNI Group, Inc., nor any record keeper, nor any Participating Service Provider, shall have any right or duty to<br />

inquire into <strong>the</strong> amount or appropriateness <strong>of</strong> any Non-Elective Contribution made by <strong>the</strong> Employer, <strong>the</strong> method<br />

used in determining <strong>the</strong> amount <strong>of</strong> any such contribution, or to collect <strong>the</strong> same.<br />

BE IT FURTHER RESOLVED that <strong>the</strong> Plan, as amended, is hereby approved and adopted.<br />
