182 | ANNUAL REPORT 2012 Certification of the Consolidated Financial Statements Certification of the consolidated financial statements, pursuant to Article 154-bis of the Legislative Decree 58/98 1. The undersigned Andrea Guerra and Enrico Cavatorta, as chief executive officer and chief financial officer of Luxottica Group S.p.A., having also taken into account the provisions of article 154-bis, paragraphs 3 and 4, of Legislative Decree no. 58 of 24 February 1998, hereby certify: • the adequacy in relation to the characteristics of the Company and • the effective implementation of the administrative and accounting procedures for the preparation of the consolidated financial statements over the course of the year ending December 31, 2012. 2. The assessment of the adequacy of the administrative and accounting procedures for the preparation of the consolidated financial statements as of December 31, 2012 was based on a process developed by Luxottica Group S.p.A. in accordance with the model of Internal Control - Integrated Framework issued by the Committee of Sponsoring organizations of the Tradeway Commission which is a framework generally accepted internationally. 3. It is also certified that: 3.1 the consolidated financial statements: a) have been drawn up in accordance with the international accounting standards recognized in the European Union under the EC Regulation no. 1606/2002 of the European Parliament and of the Council of 19 July 2002, and the provisions issued in implementation of article 9 of Legislative Decree no. 38/205; b) are consistent with accounting books and entries; c) are suitable for providing a truthful and accurate representation of the financial and economic situation of the issuer as well as of the companies included within the scope of consolidation; 3.2 the management report on the consolidated financial statements includes a reliable analysis of operating trends and the result of the period as well as the situation of the issuer and of the companies included within the scope of consolidation; a description of the primary risks and uncertainties to which the Group is exposed is also included. Consolidated financial statements - REPORT OF THE INDEPENDENT AUDITORS | 183 > Report of the Independent Auditors AUDITORS’ REPORT IN ACCORDANCE WITH ARTICLES 14 AND 16 OF LEGISLATIVE DECREE NO. 39 OF 27 JANUARY 2010 To the Shareholders of Luxottica Group SpA 1 We have audited the consolidated financial statements of Luxottica Group SpA and its subsidiaries (“Luxottica Group”) as of 31 December 2012 which comprise the statement of financial position, the income statement, the statement of comprehensive income, the statement of stockholders’ equity, the statement of cash flows and the related notes. The Directors of Luxottica Group SpA are responsible for the preparation of these financial statements in accordance with the International Financial Reporting Standards as adopted by the European Union, and with the regulations issued to implement article 9 of Legislative Decree No. 38/2005. Our responsibility is to express an opinion on these consolidated financial statements based on our audit. 2 We conducted our audit in accordance with the auditing standards recommended by Consob, the Italian Commissionmission for listed Companies and the Stock Exchange. Those standards require that we plan and perform the audit to obtain the necessary assurance about whether the consolidated financial statements are free of material misstatement and, taken as a whole, are presented fairly. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by the Directors. We believe that our audit provides a reasonable basis for our opinion. The consolidated financial statements include prior year financial information for comparative purposes. As described in the notes to the financial statements, s, in order to conform to the current year presentation, the Directors have revised prior year financial information which was previously audited by other auditors who issued their report on 3 April 2012. These revisions and the disclosure presented in the notes to the financial statement have been examined by us for the purpose of issuing our opinion on the consolidated financial statements as of 31 December 2012. 3 In our opinion, the consolidated financial statements of Luxottica Group as of 31 December 2012 comply with the International Financial Reporting Standards as adopted by the European Union, and with the regulations issued to implement article 9 of Legislative Decree No. 38/2005; accordingly, they have been prepared clearly and give a true and fair view of the financial position, result of operations and cash flows of Luxottica Group for the year then ended.
