controls the risks factors in the business and<br />

ensures safe, sound and efficient operation.<br />

At the management level, effective<br />

governance consists of competent<br />

management; implementation of adequate<br />

policies and processes; maintenance of an<br />

appropriate audit program and internal<br />

control environment; and effective risk<br />

monitoring and management information<br />

systems. These are internally supervised and<br />

monitored through the Management Council.<br />

MANAGEMENT COUNCIL<br />

THE MANAGEMENT COUNCIL of the<br />

Company was constituted in May 2001.<br />

The Council comprises the Chief Executive<br />

Officer, Chief Operating Officer, Chief<br />

Financial Officer, SBU heads, human<br />

resources head and the head of business<br />

development.<br />

The Council meets each month under the<br />

chairmanship of the CEO. Council meetings<br />

have an established agenda and background<br />

material, wherever appropriate, is provided<br />

to the Council members five days in<br />

advance. The Council performs the<br />

following functions:<br />

■ Agrees on overall vision and targets for the<br />

Company.<br />

■ Decides on and prioritises overall business<br />

portfolio strategy.<br />

■ Monitors overall Company performance,<br />

including the performance of various SBUs.<br />

■ Decides on the major corporate policies.<br />

■ Signs off on annual plans, budgets and<br />

investments.<br />

■ Develops the performance ethic.<br />

■ Decides and structures major alliances,<br />

partnerships and acquisitions.<br />

■ Acts as thought partner/critical evaluator for<br />

radical new businesses<br />

■ Proposes and initiates large-scale, cross-SBU/<br />

organisation-wide initiatives like E-business,<br />

six sigma, etc.<br />
