AUDITORS
THE AUDIT in the financial year 2001-2002
was jointly done by M/s A Ramachandra Rao &
Co. and M/s Bharat S Raut & Co.
M/s A. Ramachandra Rao & Co. have
expressed their intention not to opt for
re-appointment as Joint Auditors of the
Company for the financial year 2002-2003.
The Board of Directors therefore recommend
M/s Bharat S Raut & Co. as Statutory
Auditors of the Company for the financial
year 2002-2003.
COST AUDIT
PURSUANT to Section 233B of the
Companies Act, 1956, central government of
India has prescribed Cost Audit of the
Company’s Bulk Drugs division and
Formulation division. The Cost Audit is under
process and the Company will submit the Cost
Auditors’ report to the central government in
time.
PARTICULARS OF EMPLOYEES
UNDER THE PROVISIONS of section
217(2A) of the Companies Act, 1956 read with
Companies (Particulars of Employees) Rules,
1975 as amended, the names and other
particulars of employees are set out in the
annexure to the Directors’ Report. However, in
terms of the provisions of Section 219 (1) (b)
(iv) of the Companies Act, 1956, the Directors
Report is being sent to all the share holders of
the Company excluding the aforesaid annexe.
Any shareholder interested in obtaining a copy
of the said annexe may write to the Company
Secretary at the registered office of the
Company.

TECHNOLOGY ABSORPTION,
FOREIGN EXCHANGE EARNING &
OUTGO
THE PARTICULARS as prescribed under
clause (e) of subsection (1) of section 217 of the
Companies Act, 1956, read with the Companies
(Disclosure of particulars in the report of Board
of Directors) Rule, 1988 is annexed hereto and
the same forms part of this report.
