TERMS AND CONDITIONS OF THE NOTES
GERMAN LANGUAGE VERSION
(DEUTSCHE FASSUNG DER
EMISSIONSBEDINGUNGEN)
Die Emissionsbedingungen (die
"Emissionsbedingungen") sind nachfolgend
aufgeführt:
Die Emissionsbedingungen finden auf (a) Serien
von Schuldverschreibungen, die durch auf den
Inhaber lautende Globalurkunden verbrieft sind
(ausgenommen Pfandbriefe) (TEIL A); (b) Serien
von Pfandbriefen, die durch auf den Inhaber
lautende Globalurkunden verbrieft sind (TEIL B);
und (c) auf Euro lautende Pfandbriefe, die durch
auf den Inhaber lautende Globalurkunden
verbrieft sind und deren Gesamtnennbetrag
mindestens siebenhundertfünfzig Millionen Euro
beträgt, aufgestockt auf mindestens eine
Milliarde Euro innerhalb von 180 Kalendertagen
(die "Jumbo-Pfandbriefe") (TEIL C).
Die Grundbedingungen und der dazugehörige
Zusatz bilden zusammen die
Emissionsbedingungen.
Diese Serie von Schuldverschreibungen wird
gemäß einem Fiscal Agency Agreement vom
oder um den Tag des Datums des Prospekts
(das "Agency Agreement") zwischen
COREALCREDIT BANK AG und Deutsche Bank
Aktiengesellschaft als Emissionsstelle, wobei
dieser Begriff jeden Nachfolger der
Emissionsstelle gemäß dem Agency Agreement
einschließt, und den anderen darin genannten
Parteien begeben. Ablichtungen des Agency
Agreement können kostenlos bei der
bezeichneten Geschäftsstelle der
Emissionsstelle und bei den bezeichneten
Geschäftsstellen einer jeden Zahlstelle sowie am
Sitz der Emittentin bezogen werden.

Emissionsbedingungen gelten für diese
Schuldverschreibungen so, wie sie durch die
Angaben der beigefügten Endgültigen

The Terms and Conditions of the Notes (the
"Terms and Conditions") are set forth below.
The Terms and Conditions apply to (a) Series of
Notes which are represented by global Notes in
bearer form (other than Pfandbriefe) (PART A);
(b) Series of Pfandbriefe which are represented
by global Notes in bearer form (other than
Jumbo-Pfandbriefe) (PART B); and (c)
Pfandbriefe which are represented by global
Notes in bearer form denominated in euro and in
an aggregate principal amount of at least EUR
seven hundred and fifty million which is
increased within 180 calendar days to an
aggregate principal amount of or exceeding EUR
one billion ("Jumbo Pfandbriefe") (PART C).
The Basic Terms and the Addendum thereto
together constitute the Terms and Conditions.
This Series of Notes is issued pursuant to the
Fiscal Agency Agreement dated on or around the
date of the Prospectus (the "Agency
Agreement") between COREALCREDIT BANK
AG and Deutsche Bank Aktiengesellschaft as
Fiscal Agent, which expression shall include any
successor fiscal agent thereunder and the other
parties named therein. Copies of the Agency
Agreement may be obtained free of charge at the
specified office of the Fiscal Agent, at the
specified office of any Paying Agent and at the
head office of the Issuer.

apply to the Notes as completed, modified or
replaced, in whole or in part, by the terms of the
final terms which are attached hereto (the "Final
