The Issuer emerged in 2001 from the merger of two banks, Rheinboden Hypothekenbank
Aktiengesellschaft and Allgemeine Hypothekenbank Aktiengesellschaft. The company Rheinboden
Hypothekenbank Aktiengesellschaft – formerly Rheinisch-Westfaelische Boden-Credit Bank, renamed
as Rheinisch-Westfälische Boden-Credit Bank Aktiengesellschaft – had its registered seat
in Cologne. The company Allgemeine Hypothekenbank Aktiengesellschaft had its registered seat
in Frankfurt am Main. The merger of Rheinboden Hypothekenbank Aktiengesellschaft into
Allgemeine Hypothekenbank Aktiengesellschaft was entered into the commercial register of the
local court of Frankfurt am Main on 2 July 2001. At that time, the company name was changed
from Allgemeine Hypothekenbank Aktiengesellschaft to Allgemeine HypothekenBank Rheinboden
Aktiengesellschaft. Finally, Allgemeine HypothekenBank Rheinboden Aktiengesellschaft changed
its name to COREALCREDIT BANK AG; the change was entered into the commercial register of
the local court of Frankfurt am Main on 6 August 2007.

Statutory Auditors
Ernst & Young GmbH, Wirtschaftsprüfungsgesellschaft, Mergenthaler Allee 3-5, 65760 Eschborn
("Ernst & Young") have been appointed as independent auditors of COREALCREDIT. They have
audited the financial statements of the Bank for each of the financial years 2010 and 2011 and
have, in each case, issued an unqualified auditor's report. Apart from that, none of the financial
information included or incorporated by reference in this Prospectus has been audited or reviewed
by Ernst & Young.
