SANTA CRUZ METROPOLITAN TRANSIT DISTRICT<br />

SECOND AMENDMENT TO CONTRACT FOR BUS AIR, FUEL<br />

AND OIL FILTERS (2001-RTCC-01)<br />

This Second Amendment to contract for bus air, fuel and oil filters is made effective<br />

April 16, <strong>2004</strong> between the SANTA CRUZ METROPOLITAN TRANSIT DISTRICT, a<br />

political subdivision <strong>of</strong> the State <strong>of</strong> California (“District”) and VEHICLE MAINTENANCE<br />

PROGRAM, INC. (“Contractor”).<br />

I. RECITALS<br />

1.1 District and Contractor entered into a Contract for bus air, fuel and oil filters on May 18,<br />

2001.<br />

1.2 The Contract allows for two additional one (1) year terms upon mutual written consent.<br />

1.3 The purpose <strong>of</strong> this Second Amendment is to renew the contract for a one-year period,<br />

pursuant to the provisions <strong>of</strong> paragraph 3 <strong>of</strong> the Contract, which allows for two additional<br />

one-year terms upon mutual written consent. This fully executed Second Amendment<br />

constitutes mutual written consent.<br />

Therefore, District and Contractor amend the Contract as follows:<br />

II. TERM<br />

2.1 Paragraph 3.02 is amended to include the following language:<br />

This Contract shall continue through April 15, 2005. This Contract may be mutually<br />

extended by agreement <strong>of</strong> both parties.<br />

III. REMAINING TERMS AND CONDITIONS<br />

3.1 All other provisions <strong>of</strong> the Contract that are not affected by this amendment shall remain<br />

unchanged and in full force and effect.<br />

IV. AUTHORITY<br />

4.1 Each party has full power to enter into and perform this Second Amendment to the Contract<br />

and the person signing this Second Amendment on behalf <strong>of</strong> each has been properly<br />

authorized and empowered to enter into it. Each party further acknowledges that it has read<br />

this Second Amendment to the Contract, understands it, and agrees to be bound by it.<br />
