SANTA CRUZ METROPOLITAN TRANSIT DISTRICT
SECOND AMENDMENT TO CONTRACT FOR BUS AIR, FUEL
AND OIL FILTERS (2001-RTCC-01)
This Second Amendment to contract for bus air, fuel and oil filters is made effective
April 16, 2004 between the SANTA CRUZ METROPOLITAN TRANSIT DISTRICT, a
political subdivision of the State of California (“District”) and VEHICLE MAINTENANCE
PROGRAM, INC. (“Contractor”).
I. RECITALS
1.1 District and Contractor entered into a Contract for bus air, fuel and oil filters on May 18,
2001.
1.2 The Contract allows for two additional one (1) year terms upon mutual written consent.
1.3 The purpose of this Second Amendment is to renew the contract for a one-year period,
pursuant to the provisions of paragraph 3 of the Contract, which allows for two additional
one-year terms upon mutual written consent. This fully executed Second Amendment
constitutes mutual written consent.
Therefore, District and Contractor amend the Contract as follows:
II. TERM
2.1 Paragraph 3.02 is amended to include the following language:
This Contract shall continue through April 15, 2005. This Contract may be mutually
extended by agreement of both parties.
III. REMAINING TERMS AND CONDITIONS
3.1 All other provisions of the Contract that are not affected by this amendment shall remain
unchanged and in full force and effect.
IV. AUTHORITY
4.1 Each party has full power to enter into and perform this Second Amendment to the Contract
and the person signing this Second Amendment on behalf of each has been properly
authorized and empowered to enter into it. Each party further acknowledges that it has read
this Second Amendment to the Contract, understands it, and agrees to be bound by it.
