SANTA CRUZ METROPOLITAN TRANSIT DISTRICT FIRST AMENDMENT TO CONTRACT FOR HEAVY DUTY COACH AND AUTOMOTIVE BATTERIES (2001-758RTCC) This First Amendment to contract for heavy duty coach and automotive batteries is made effective February 27, 2004 between the SANTA CRUZ METROPOLITAN TRANSIT DISTRICT, a political subdivision of the State of California (“District”) and BATTERIES U.S.A., INC. (“Contractor”). I. RECITALS 1.1 District and Contractor entered into a Contract for heavy duty coach and automotive batteries on October 1, 2001. 1.2 The purpose of this First Amendment is to extend the contract through February 29, 2004. This fully executed First Amendment constitutes mutual written consent. Therefore, District and Contractor amend the Contract as follows: II. TERM 2.1 Paragraph 3.02 is amended to include the following language: This Contract shall continue through February 29, 2004. III. REMAINING TERMS AND CONDITIONS 3.1 All other provisions of the Contract that are not affected by this amendment shall remain unchanged and in full force and effect. IV. AUTHORITY 4.1 Each party has full power to enter into and perform this First Amendment to the Contract and the person signing this First Amendment on behalf of each has been properly authorized and empowered to enter into it.
