PROFESSIONAL SERVICES CONTRACT<br />

FOR FINANCIAL AUDIT AND TAX SERVICES (03-11)<br />

THIS CONTRACT is made effective on __________________, <strong>2004</strong> between the SANTA CRUZ<br />

METROPOLITAN TRANSIT DISTRICT, a political subdivision <strong>of</strong> the State <strong>of</strong> California ("District"), and<br />

________________________ ("Contractor").<br />

1. RECITALS<br />

1.01 District's Primary Objective<br />

District is a public entity whose primary objective is providing public transportation and has its principal<br />

<strong>of</strong>fice at 370 Encinal Street, Suite 100, <strong>Santa</strong> <strong>Cruz</strong>, California 95060.<br />

1.02 District's Need for Financial Audit and Tax Services<br />

District has the need for Financial Audit and Tax Services. In order to obtain these services, the District<br />

issued a Request for Proposals, dated December 19, 2003, setting forth specifications for such services.<br />

The Request for Proposals is attached hereto and incorporated herein by reference as Exhibit "A".<br />

1.03 Contractor's Proposal<br />

Contractor is a firm/individual qualified to provide Financial Audit and Tax Services and whose principal<br />

place <strong>of</strong> business is ________________________________________. Pursuant to the Request for<br />

Proposals by the District, Contractor submitted a proposal for Financial Audit and Tax Services, which is<br />

attached hereto and incorporated herein by reference as Exhibit "B."<br />

1.04 Selection <strong>of</strong> Contractor and Intent <strong>of</strong> Contract<br />

On _________________________, District selected Contractor as the <strong>of</strong>feror whose proposal was most<br />

advantageous to the District, to provide the Financial Audit and Tax Services described herein. This<br />

Contract is intended to fix the provisions <strong>of</strong> these services.<br />

District and Contractor agree as follows:<br />

2. INCORPORATED DOCUMENTS AND APPLICABLE LAW<br />

2.01 Documents Incorporated in this Contract<br />

The documents below are attached to this Contract and by reference made a part here<strong>of</strong>. This is an<br />

integrated Contract. This writing constitutes the final expression <strong>of</strong> the parties' contract, and it is a complete<br />

and exclusive statement <strong>of</strong> the provisions <strong>of</strong> that Contract, except for written amendments, if any, made<br />

after the date <strong>of</strong> this Contract in accordance with Section 13.14.<br />
