Pflegehinweise / Care instructions 

Bezugsstoffe: 

Flecken in textilen Bezügen beseitigen Sie am leichtesten unmittelbar 

nach der Entstehung. Es ist ratsam, die Bezüge regelmäßig 

mit einer weichen Bürste auszubürsten oder mit einer Polsterdüse 

abzusaugen. Bei stärkerer Verschmutzung sollten sie sofort mit 

feuchtem Leder abgerieben werden. 

Fleckenentfernung: 

Für die Fleckenentfernung empfehlen wir die Arbeit des Polsterreinigers. 

Wollen Sie es dennoch selbst versuchen, so sollten Sie 

folgendermaßen vorgehen: Entfernen Sie zuerst den Staub. Prüfen 

Sie dann die Farbechtheit und Oberflächenveränderung des 

Polsterbezuges an einer verdeckten Stelle, indem Sie mit einem 

weichen, weißen und sauberen Tuch, das mit Reinigungs- bzw. 

Fleckenentfernungsmittel getränkt ist, reiben. Feuchte Flecken 

müssen vorher mit einem saugfähigen Tuch oder Papier abgetupft 

werden. Verbleiben Rückstände, behandeln Sie diese bitte mit 

Polstershampoo nach. Nehmen Sie den Fleck mit einem Tuch vom 

Rand zur Mitte hin auf. 

Leder allgemein: 

Bitte behandeln Sie Ledermöbel nicht mit Lösungsmitteln 

(Fleckenentferner, Terpentin, Benzin), Schuhcreme oder Bohnerwachs. 

Schützen Sie Anilin-Leder vor Sonne oder direkter Lichteinstrahlung. 

Wir empfehlen, Ledermöbel regelmäßig mit einem 

weichen Tuch abzustauben oder abzusaugen. Gelegentlich sollten 

sie mit Lederpflegemittel nach Gebrauchsanleitung behandelt 

werden. Dabei ist starkes Reiben unbedingt zu vermeiden. 

Bei stärkerer Anschmutzung muß zunächst das Farbverhalten des 

Leders an einer verdeckten Stelle geprüft werden. Dazu reiben 

Sie mit einem weißen, weichen und sauberen Tuch, das mit den 

entsprechenden Pflegemitteln angefeuchtet ist. Weist das Tuch 

Färbungen auf, ist das Mittel ungeeignet. Beachten Sie bei den 

verwendeten Mitteln unbedingt die Angaben des Herstellers. 

Führen Sie die Reinigung stark benutzter Stellen am besten mit in 

handwarmen Wasser aufgelöster Neutralseife durch. Feuchten 

Sie ein weiches Tuch mit dieser Lösung an und wischen die Stelle 

großflächig ab. Anschließend muß das Möbel mit Lederpflegemittel 

behandelt und aufgefrischt werden. 

Premium-Anilin-Leder F: 

Staub läßt sich mit einem weichen Tuch entfernen. Ist die Anschmutzung 

stärker, wischen Sie die Stelle bitte mit einem angefeuchteten, 

ausgewrungenen Tuch oder Fensterleder ab und trocknen 

sie anschließend mit einem weichen Tuch. Nach Trocknung an 

der Luft muß das Möbel mit Lederpflegemittel (Ledermilch oder 

Schaum) behandelt und aufgefrischt werden. (Bitte verwenden Sie 

nur Lederpflegemittel, die sich für Lavalina eignen; auf Anfrage 

erhältlich!). 

Covering material: 

Remove all stains in textile covers immediately after the stain 

appeared, as it is easy to remove it then. It is recommended to 

brush the covers on a regular basis with a soft brush or to clean 

it with a vacuum cleaner using an upholstery nozzle. In case of 

heavy dirt, rub it immediately with a damp leather cloth. 

Stain removal: 

We recommend to have the furniture cleaned by a professional 

upholstery cleaner. If you still want to remove the stains yourself, 

we recommend the following measures: First, remove all dust. 

Then check the colour fastness and surface change of the covering 

material at a covered place by rubbing it with a soft, white, clean 

cloth soaked with a cleaning agent or stain re-moval agent. Wet 

stains need to be swabbed using an absor-bent cloth or paper. If 

residues remain, please treat them with upholstery shampoo. 

Please treat the stain beginning from the edges to the middle. 

Leather in general: 

Please do not treat leather furniture with solvents (stain remover, 

turpentine, benzene), shoe polish or floor wax. Protect anilin 

leather from sun light or direct action of light. We recommend to 

remove dust on a regular basis using a soft cloth or a vacuum 

cleaner. Occasionally, treat the leather with a leather-dressing 

agent according to the instructions of use. Avoid heavy rubbing 

under any circumstances. 

In case of heavy dirt, first test the colour fastness of the leather 

at a covered place. Rub this place with a white, soft, clean cloth 

soaked with the respective care agent. If the cloth shows colouring, 

the agent is unsuitable. Please follow the in-structions of the 

manufacturer of the agent used. We recommend to clean heavily 

used places with neutral soap dissolved in hand-warm water. 

Moisten a soft cloth with this solution and extensively wipe this 

place. Subsequently, the piece of furniture needs to be treated 

with a leather-dressing agent and needs to be freshened up. 

Premium anilin leather F: 

You can remove dust with a soft cloth. In case of heavy dirt, 

please wipe the place with a moistened, wrung out cloth or chamois 

leather and dry it with a soft cloth. After having dried on the air, 

the piece of furniture needs to be treated with a leather-dressing 

agent (leather milk or foam) and freshened up. (Please do only 

use a leather-dressing agent suitable for Lavalina; available at 

request!). 

Plastic surfaces: 

You can treat plastic surfaces with a soft cloth and clear water. In 

case of persistent stains, use a mild soap solution. 

Kunststoffoberflächen: 

Kunststoffoberflächen können Sie am besten mit einem weichen 

Tuch mit klarem Wasser behandeln. Bei hartnäckigen Flecken verwenden 

Sie eine milde Seifenlauge.

Unsere nachstehenden Bedingungen für Service und Preise gelten nachrangig zu den 

Lieferbedingungen der Dauphin HumanDesign® Group GmbH & Co. KG für Verträge mit 

Unternehmern, Stand Januar 2004 („AGB“). Die AGB finden Sie auf den Seiten 50 bis 51 

dieser Preisliste. 

1. Preisliste: 

Diese Preisliste gilt für Verträge ab 03/2009 bis zur Herausgabe neuer Preise. 

Alle früheren Preislisten verlieren ihre Gültigkeit. 

Irrtümer und Änderungen behalten wir uns vor. 

2. Auftragsänderungen: 

Wir bemühen uns, Änderungswünsche auch hinsichtlich bereits bestätigter 

Aufträge zu berücksichtigen; dies ist nur bis zum Produktionsbeginn möglich. Bei 

nicht durch uns verursachten Änderungen berechnen wir netto Euro 45,– zzgl. 

MwSt. Verwaltungskostenanteil. Bei Stornierung von bereits in der Fertigung 

befindlichen Modellen stellen wir mindestens 30 % des Bruttowertes in 

Rechnung. 

3. Lieferung: 

3.1 Für die Lieferung an Adressen innerhalb Deutschlands (Festland ohne Inseln in 

Nord- und Ostsee oder Binnenseen): 

3.1.1 Bei Lieferung ab Werk (4.1, 8.1.1.1 der AGB) berechnen wir zusätzlich zum Preis 

für den Gegenstand der Lieferung einen Frachtkostenanteil in Höhe von

charge an administrative fee of Euro 45 for modifications not caused by us. In 

the event of cancellation of models that are already in production, we shall charge 

at least 30 % of the gross value.

Der von uns beauftragte Spediteur liefert die Stühle aus, packt die Stühle aus, 

montiert diese, trägt die Stühle nach Weisung des Empfängers bis zur endgültigen 

Verwendungsstelle im Gebäude und entsorgt die Verpackung. 

Aufpreis pro Stuhl: Euro 16,– netto zzgl. MwSt. (nicht rabattfähig) 

5. Modellausführungen: 

Alle Modelle sind ausschließlich in den in dieser Preisliste spezifizierten 

Ausführungen lieferbar. Unsere Produkte unterliegen einer ständig fortschreitenden 

Entwicklung. Änderungen, die dem technischen Fortschritt oder der Produktverbesserung 

dienen, bleiben uns vorbehalten.

Garantiebedingungen / Warranty conditions 

1. Sachmängelhaftung 

Für Lieferungen von Produkten von Dauphin an Unternehmer gelten die "Lieferbedingungen der 

Dauphin HumanDesign® Group GmbH & Co. KG” ("Dauphin") für Verträge mit Unternehmern, 

Stand Januar 2004" ("AGB")

Die Sachmängelhaftung und sonstige Haftung ist in den AGB abschließend geregelt. 

2. Garantie 

Unabhängig von der Sachmängelhaftung gewährt Dauphin für die Produkte der Marken Dauphin 

und "Trend!Office: ("Produkte") für die Dauer von 5 Jahren gemäß nachfolgenden Bestimmungen 

eine Garantie gegenüber dem Fachhändler, mit dem Dauphin einen Liefervertrag über 

Produkte von Dauphin abgeschlossen hat. Die Garantie gilt nur in der Bundesrepublik Deutschland. 

Die Rechte aus dieser Garantie sind nicht auf Dritte übertragbar. 

2.1. Garantiezeit 

Die Garantiezeit beginnt mit dem Gefahrübergang des Produktes an den Fachhändler gemäß 

Ziffer 8. der AGB. Die Garantiezeit beträgt 5 Jahre; werden die Produkte mehr als 8 Stunden 

pro Tag (1-Schicht-Betrieb) eingesetzt, so verkürzt sich die Garantiezeit gemäß den Angaben in 

nachstehender Tabelle.

2.2. Garantieleistungen 

Die Garantieleistungen von Dauphin bestehen abschließend in Folgendem:

● Mobiler Kundendienst, der in Deutschland beim Fachhändler oder dessen Kunden

Nach Ablauf der jeweiligen Garantiezeit werden keine Garantieleistungen mehr erbracht. 

2.3. Wertgrenze 

Garantieleistungen nach obiger Tabelle werden nur erbracht, wenn der Wert gemäß jeweils 

aktueller Ersatzteil-Preisliste des reklamierten Teiles oder der reklamierten Kommission EUR 

150 brutto exkl. MwSt. nicht übersteigt. Bei höheren Werten stellt Dauphin etwa erbrachte 

Garantieleistungen in vollem Umfang in Rechnung. Weist der Fachhändler nach, dass es sich 

um eine Garantieleistung handelt, wird Dauphin anschließend in Höhe dieses Rechnungsbetrages 

eine Gutschrift erteilen. 

2.4. Voraussetzungen der Garantieleistung 

Von den Garantieleistungen - unabhängig vom Wert - ausgeschlossen sind: 

● Produktteile, die einem allgemeinen Verschleiß unterliegen (wie Rollen, Bezugsstoffe, Gasfedern, 

Oberflächen von Gestellen und Tischen, Tischkanten usw.) 

● Mängel durch nicht bestimmungsgemäßen Einsatz (z.B. Einsatz weicher Rollen auf Teppichböden), 

● Mängel durch unsachgemäße Behandlung oder durch Nichtbeachten der Bedienungsanleitung 

● Mängel aufgrund extremer klimatischer Bedingungen oder nicht üblicher Umgebungseinflüsse 

(z.B. Säure, Nässe, usw.) 

● Mängel aufgrund unsachgemäßer Eingriffe oder Wartung durch von Dauphin nicht bevollmächtigte 

Personen 

● Mängel bei beigestellten und von Dauphin verarbeiteten Materialien (z.B. Bezugsstoffe) 

● Mängel aufgrund gewünschter Abweichungen von der Serienausführung eines Produktes 

● Reklamationen ohne Mitteilung der Kommissionsnummer von Dauphin (die erforderliche 

Kommissionsnummer ist bei jedem Produkt auf einem Etikett an der Unterseite des 

Produktes zu finden). 

Der Fachhändler hat – unabhängig vom Wert – auf Verlangen von Dauphin den Nachweis zu 

erbringen, dass die Voraussetzungen für Garantieleistungen gegeben sind. 

2.5. Geltungsdauer 

Diese Garantiebedingungen gelten für alle Produkte, die während der Gültigkeit dieser Preisliste 

"Work and Smile März 2009" von Dauphin an einen Fachhändler verkauft werden. 

2.6. Gerichtsstand 

Ausschließlicher Gerichtsstand für alle Streitigkeiten aus der Garantie ist Nürnberg. 

2.7. Anwendbares Recht 

Es gilt das materielle Recht der Bundesrepublik Deutschland. Das Übereinkommen der Vereinten 

Nationen vom 11. April 1980 über den Internationalen Warenkauf findet keine Anwendung. 

1. Liability for material defects 

The "Terms and conditions of sale of Dauphin HumanDesign® Group GmbH & Co. KG ("Dauphin”) 

for contracts with companies, January 2004 Edition” ("T & Cs”) shall apply to deliveries of 

products from Dauphin to such companies.

Liability for material defects and any other liability are conclusively regulated in the T & Cs. 

2. Warranty 

Irrespective of its liability for any material defects, Dauphin shall grant a warranty on the products 

from the Dauphin and "Trend!Office: brands ("Products”) to the specialist dealer with which 

Dauphin concluded a supply contract for Dauphin Products for a period of 5 years and in 

accordance with the following conditions. The warranty shall apply only in the Federal Republic 

of Germany. The rights arising from this warranty are not transferable to third parties. 

2.1 Warranty period 

The warranty period shall begin with the passing of risk in respect of the Product to the specialist 

dealer in accordance with Section 8 of the T & Cs. The warranty shall apply for a period 

of 5 years; if the products are used for more than 8 hours per day (1-shift operation), the 

warranty period shall be reduced in accordance with the figures given in the following table.

2.2 Services provided under the terms of warranty 

The services provided by Dauphin under the terms of warranty are conclusively as follows: 

● The spare parts which are necessary in order to eliminate any faults shall be supplied free 

of charge (this includes shipping and packaging) 

● A mobile customer-services team shall repair the Products on the premises of the specialist 

dealer or its customer ("End User”) in Germany.

After the particular warranty period has expired, no further services shall be provided under the 

terms of warranty. 

2.3 Value limit 

Services under the terms of warranty in accordance with the above table shall be provided only 

if the value in the current spare part price list of the part or commission about which a 

complaint has been received does not exceed EUR 150 gross excl. VAT. Where values exceed 

this figure, Dauphin shall, for example, invoice in full any services provided under the terms of 

warranty. If the specialist dealer is able to demonstrate that the service was provided in 

accordance with the terms of warranty, Dauphin shall subsequently issue a credit note to the 

value of this invoice amount. 

2.4 Conditions for the provision of services under the terms of warranty 

The following cases are not covered by the warranty – regardless of the value involved: 

● product parts that are subject to general wear (such as castors, upholstery fabrics, gas 

units, surfaces of frames and tables, table edges, etc.), 

● defects caused by incorrect use (e.g. the use of soft castors on carpeted floors), 

● defects caused by incorrect handling or non-observance of the operating instructions, 

● defects resulting from extreme climatic conditions or atypical ambient influences (e.g. 

acids, wetness, etc.), 

● defects resulting from improper interventions or maintenance by persons who have not 

been authorised by Dauphin, 

● defects in materials which are provided by the customer and processed further by Dauphin 

(e.g. upholstery fabrics), 

● defects resulting from desired deviations from the standard features of a product, 

● complaints where Dauphin’s commission number is not given (the necessary commission 

number can be found on a label on the underside of every product). 

At the request of Dauphin, the specialist dealer must provide proof that the conditions for the 

provision of services under the terms of warranty are met – regardless of the value involved. 

2.5 Term 

These Terms and Conditions of Warranty shall apply to all Products which are sold by Dauphin 

to a specialist dealer during the period in which this "Work and Smile March 2009" price list is 

valid. 

2.6 Place of jurisdiction 

The exclusive place of jurisdiction for all disputes arising from the warranty shall be Nuremberg, 

Germany. 

2.7 Applicable law 

The substantive law of the Federal Republic of Germany shall apply. The application of the 

United Nations Convention on Contracts for the International Sale of Goods dated 11 April 1980 

shall be excluded.

1. Gültigkeit der Lieferbedingungen 

1.1 Die AGB der Dauphin HumanDesign® Group GmbH & Co. KG („Auftragnehmer” – 

„AN”) gelten nur für Verträge zwischen dem AN und Unternehmern. 

1.2 Die AGB gelten für die Lieferungen und Leistungen des AN („Lieferung”) an den Vertragspartner 

des AN („Auftraggeber” – „AG”) auf Grund des zwischen AN und AG 

(„Parteien”) geschlossenen Vertrages („Vertrag”). 

1.3 Anderslautende Bedingungen als diese AGB – soweit sie nicht in dem gesamten Angebot 

des AN festgelegt sind – gelten nicht. 

1.4 Der AN ist berechtigt, sich zur Erfüllung der Verbindlichkeiten aus dem Vertrag Dritter, 

insbesondere Unternehmen der Dauphin-Gruppe, zu bedienen. 

2. Angebot 

2.1 Beschaffenheitsangaben der Lieferung sind ausschließlich und abschließend in dem 

Abschnitt „Technische Spezifikationen” des für den Zeitpunkt des Vertragsschlusses 

gültigen Prospektes des AN festgelegt. 

2.2 Soweit zur Lieferung eine Montage- oder Bedienungsanleitung („Anleitung”) gehört, 

kann der AN seine Pflicht zur Übergabe einer Anleitung an den AG auch dadurch erfüllen, 

dass er dem AG eine Internet-Adresse mitteilt, von der der AG sich die Anleitung unentgeltlich 

herunterladen kann. 

2.3 An den zum Angebot des AN gehörenden Kostenvoranschlägen, Zeichnungen und 

anderen Unterlagen („Unterlagen”) behält sich dieser alle Eigentums- und Urheberrechte 

vor. Die Unterlagen dürfen Dritten nur nach vorheriger Zustimmung des AN 

zugänglich gemacht werden und sind, wenn der Auftrag dem AN nicht erteilt wird, diesem 

unverzüglich zurückzugeben. Ein Zurückbehaltungsrecht des AG ist ausgeschlossen. 

2.4 An das Angebot hält sich der AN 45 Kalendertage, gerechnet ab Angebotsdatum, 

gebunden. 

2.5 Vorleistungen (einschließlich Kostenanschläge), die der AN im Rahmen eines 

Angebots auf Wunsch des AG erbringt stellt der AN in Rechnung, auch wenn es 

nachfolgend nicht zu einem Vertrag kommt. 

3. Selbstbelieferungsvorbehalt 

Ist die vertraglich vereinbarte Lieferung nicht verfügbar, weil der AN von seinen eigenen 

Lieferanten nicht beliefert wurde oder der Vorrat des AN für die Lieferung erschöpft ist, 

ist der AN berechtigt, eine in Qualität und Preis gleichwertige Lieferung zu erbringen. Ist 

die Erbringung einer in Qualität und Preis gleichwertigen Lieferung nicht möglich, kann 

der AN vom Vertrag zurücktreten. 

4. Lieferbedingungen 

4.1 Vorbehaltlich des 4.2 gelten die Preise ab Werk des AN („Erfüllungsort”). 

4.2 Vereinbaren die Parteien Lieferung „frei Haus”, so bedeutet dies folgendes: 

4.2.1 Der AN liefert die Lieferung im Lieferfahrzeug entladebereit an die Ablieferadresse in 

Deutschland (Festland, ohne Inseln in Nord- und Ostsee oder Binnenseen), dort 

soweit vorhanden an die Laderampe („Entladeort”). 

4.2.2 Preise gelten bis Entladeort. 

4.3 Preise sind Netto-Preise in EUR, zuzüglich der zum Zeitpunkt der Leistungserbringung 

gültigen gesetzlichen Umsatzsteuer ohne weitere Abzüge. 

4.4 Teillieferungen sind zulässig, soweit sie dem AG zumutbar sind. 

4.5 Hat der AN die Aufstellung oder Montage übernommen, trägt der AG neben den dafür 

vereinbarten Preisen die Nebenkosten (z. B. Reisekosten, Kosten für den Transport, 

Auslösungen), die im Zusammenhang mit der Aufstellung und Montage entstehen. 

5. Zahlungsbedingungen 

5.1 Sind von den Parteien keine anderen Zahlungsbedingungen vereinbart, so sind 

Rechnungen sofort und ohne Abzug zur Zahlung fällig. 

5.2 Der AG kann nur mit solchen Forderungen aufrechnen, die unbestritten oder rechtskräftig 

festgestellt sind. 

6. Eigentumsvorbehalt 

6.1 Die Gegenstände der Lieferung („Vorbehaltsware”) bleiben Eigentum des AN bis zur 

Erfüllung sämtlicher ihm gegen den AG aus der Geschäftsverbindung zustehenden 

Ansprüche. Soweit der Wert aller Sicherungsrechte, die dem AN zustehen, die Höhe 

aller gesicherten Ansprüche um mehr als 20 % übersteigt, wird der AN auf Wunsch des 

AG einen entsprechenden Teil der Sicherungsrechte freigeben. 

6.2 Während des Bestehens des Eigentumsvorbehalts ist dem AG eine Verpfändung oder 

Sicherungsübereignung untersagt. 

6.3 Die Weiterveräußerung der Vorbehaltsware ist dem AG im gewöhnlichen Geschäftsgang 

und unter der Bedingung gestattet, dass der AG von seinem Abnehmer Bezahlung 

erhält oder den Vorbehalt macht, dass das Eigentum auf den Abnehmer erst übergeht, 

wenn dieser seine Zahlungsverpflichtungen erfüllt hat. 

6.4 Das Eigentum des AN an der Vorbehaltsware wird auch während der Verarbeitung und 

nach Fertigstellung desjenigen Produktes beim AG, für das dieser die Vorbehaltsware 

verwendet („Endprodukt”), nicht aufgehoben. Das Eigentum des AN an der Vorbehaltsware 

setzt sich an dem Endprodukt fort; der AN erwirbt Miteigentum an dem 

Endprodukt in dem Anteil, der sich aus dem Verhältnis des Wertes der Vorbehaltsware 

zum Wert des Endproduktes ergibt. 

6.5 Mit Abschluss des Vertrages tritt der AG die ihm aus der Weiterveräußerung oder 

Verarbeitung der Vorbehaltsware zustehenden Forderungen gegen seinen Abnehmer 

sicherungshalber in Höhe der Forderung des AN an den AG aus der Lieferung an den 

AN ab. Die Freigabepflicht des AN aus 6.1 bleibt unberührt. 

6.6 Bei Pfändung, Beschlagnahmung, sonstigen Verfügungen oder Eingriffen Dritter wird 

der AG den AN unverzüglich benachrichtigen. 

6.7 Bei Pflichtverletzungen des AG, insbesondere bei Zahlungsverzug, gilt: 

6.7.1 Der AN ist nach erfolglosem Ablauf einer dem AG gesetzten angemessenen Frist zur 

Behebung der Pflichtverletzung zum Rücktritt vom Vertrag und zur Rücknahme der 

Vorbehaltsware berechtigt; der AG ist zur Herausgabe der Vorbehaltsware verpflichtet. 

Die gesetzlichen Bestimmungen über die Entbehrlichkeit einer Fristsetzung bleiben 

unberührt. 

6.7.2 Die Geltendmachung des Eigentumsvorbehaltes und die damit verbundene Rücknahme 

der Vorbehaltsware erfordert keinen Rücktritt des AN vom Vertrag; in diesen Handlungen 

oder einer Pfändung der Vorbehaltsware durch den AN liegt kein Rücktritt vom Vertrag, 

es sei denn, der AN hätte dies ausdrücklich erklärt. 

7. Lieferzeit 

7.1 Die Einhaltung der vereinbarten Lieferzeit setzt den rechtzeitigen Eingang sämtlicher 

vom AG zu liefernden Unterlagen, erforderlichen Genehmigungen und Freigaben, 

insbesondere von Plänen, sowie die Einhaltung der vereinbarten Zahlungsbedingungen 

und sonstigen Verpflichtungen durch den AG voraus. Werden diese Voraussetzungen 

nicht rechtzeitig erfüllt, so verlängern sich die Fristen angemessen; dies gilt nicht, wenn 

der AN die Verzögerung zu vertreten hat. 

7.2 Ist die Nichteinhaltung der Fristen auf höhere Gewalt, z.B. Mobilmachung, Krieg, 

Aufruhr, oder auf ähnliche Ereignisse, z.B. Streik,Aussperrung, zurückführen, verlängern 

sich die Fristen angemessen. 

7.3 Kommt der AN in Verzug, kann der AG, sofern er glaubhaft macht, dass ihm hieraus ein 

Schaden entstanden ist, eine Entschädigung für jede vollendete Woche des Verzugs von 

je 0,5 %, insgesamt jedoch höchstens 5 % des Preises für den Teil der Lieferungen 

verlangen, der wegen des Verzuges vom AG nicht verwendet werden konnte. 

7.4 Sowohl Schadensersatzansprüche des AG wegen Verzögerung der Lieferung als auch 

Schadensersatzansprüche statt der Leistung, die über die in 7.3 genannten Grenzen 

hinausgehen, sind in allen Fällen verzögerter Lieferung, auch nach Ablauf einer von 

dem AG etwa gesetzten Frist zur Lieferung, ausgeschlossen. Dies gilt nicht, soweit in 

Fällen des Vorsatzes oder der groben Fahrlässigkeit oder wegen der Verletzung des 

Lebens, des Körpers oder der Gesundheit zwingend gehaftet wird.Vom Vertrag kann der 

AG nur zurücktreten, soweit die Verzögerung der Lieferung vom AN zu vertreten ist. Eine 

Änderung der Beweislast zum Nachteil des AG ist hiermit nicht verbunden. 

7.5 Dem AG steht das Rücktrittsrecht nur zu, wenn er dem AN eine angemessene Frist zur 

Leistung gesetzt hat mit der Erklärung, er lehne nach Ablauf der Frist die Annahme der 

Leistung ab, und die Frist erfolglos verstrichen ist. 

7.6 Der AG wird auf Verlangen des AN innerhalb einer angemessenen Frist erklären, ob er 

wegen der Verzögerung der Lieferung vom Vertrag zurücktritt oder auf der Lieferung 

besteht. 

7.7 Werden Versand oder Zustellung auf Wunsch des AG um mehr als einen Monat nach 

Anzeige der Versandbereitschaft verzögert, kann der AN dem AG als Pauschale für jeden 

angefangenen Monat Lagergeld in Höhe von 0,5 % des Netto-Preises der Lieferung, 

höchstens jedoch insgesamt 5 % des Netto-Preises der Lieferung, berechnen. Der 

Nachweis höherer oder niedrigerer Lagerkosten bleibt den Parteien unbenommen. 

8. Gefahrübergang 

8.1 Vorbehaltlich des 8.2 geht die Gefahr wie folgt auf den AG über: 

8.1.1 bei Lieferung ohne Aufstellung oder Montage, 

1. bei Lieferung ab Werk (4.1), wenn die Lieferung vom AN am Erfüllungsort zum 

Versand bereitgestellt worden ist; 

2. bei Lieferung frei Haus (4.2), wenn die Lieferung am Entladeort angekommen ist. 

8.1.2 bei Lieferung mit Aufstellung oder Montage mit der Beendigung der Aufstellung oder 

Montage. 

8.2 Die Gefahr geht auf den AG zu dem Zeitpunkt über, zu dem der Versand oder der Beginn 

bzw. die Durchführung der Aufstellung oder Montage, aus vom AG zu vertretenden 

Gründen verzögert werden oder der AG aus sonstigen Gründen in Annahmeverzug 

kommt. 

9. Aufstellung 

Vereinbaren die Parteien zusätzlich zur Lieferung der Gegenstände deren Aufstellung, 

gelten folgende Bestimmungen: 

9.1 Der AG wird auf seine Kosten übernehmen und rechtzeitig stellen: 

9.1.1 alle für den AN branchenfremden Nebenarbeiten einschließlich der dazu benötigten 

Fach- und Hilfskräfte, Baustoffe und Werkzeuge; 

9.1.2 beim Aufstellungsort für die Aufbewahrung der Gegenstände der Lieferung, der 

Werkzeuge usw. genügend große, geeignete, trockene und verschließbare Räume. 

9.2 Vor Beginn der Aufstellarbeiten wird der AG die nötigen Angaben über den Zugang zum 

Aufstellungsort (Treppen, Rampen, deren Neigegrade,Aufzüge nebst Maximalbelastung 

etc.) sowie die erforderlichen statischen Angaben unaufgefordert zur Verfügung stellen. 

9.3 Vor Beginn der Aufstellung müssen alle Vorarbeiten so weit fortgeschritten sein, dass 

die Aufstellung vereinbarungsgemäß begonnen und ohne Unterbrechung durchgeführt 

werden kann. Anfuhrwege und der Aufstellungsort müssen geräumt sein. 

9.4 Verzögert sich die Aufstellung durch nicht vom AN zu vertretende Umstände, wird der 

AG in angemessenem Umfang die Kosten für Wartezeit und zusätzlich erforderliche 

Reisen des Personals des AN tragen. 

9.5 Die Aufstellung gilt als erfolgt, wenn der AN deren Beendigung meldet oder wenn die 

Lieferung in Gebrauch genommen worden ist (entscheidend ist das frühere Ereignis).

10. Entgegennahme 

Der AG wird die Lieferung, auch wenn sie unerhebliche Mängel aufweist, entgegennehmen. 

11. Sachmängel 

Für Sachmängel bei neu hergestellten Sachen haftet der AN gemäß 11.1 – 11.11. 

Soweit Gegenstand der Lieferung keine neu hergestellte Sache ist (z.B. gebrauchte 

Sachen, Muster, Ausstellungsobjekte, Sachen 2. Wahl), ist die Sachmängelhaftung des 

AN ausgeschlossen. 

11.1 Die Teile der Lieferung sind nach Wahl des AN unentgeltlich nachzubessern, neu zu 

liefern oder neu zu erbringen („Nacherfüllung”), die innerhalb der Verjährungsfrist einen 

Sachmangel aufweisen, sofern dessen Ursache bereits im Zeitpunkt des Gefahrübergangs 

vorlag. 

11.2 Durch die Nacherfüllung beginnt keine neue Verjährungsfrist (11.3). 

11.3 Sachmängelansprüche verjähren in 24 Monaten. Dies gilt nicht, soweit §§ 438 Abs. 1 

Nr. 2, 479 Abs. 1 und 634a Abs. 1 Nr. 2 BGB längere Fristen vorschreiben sowie in Fällen 

der Verletzung des Lebens, des Körpers oder der Gesundheit, bei einer vorsätzlichen 

oder grob fahrlässigen Pflichtverletzung des AN und bei arglistigem Verschweigen eines 

Mangels. Die gesetzlichen Bestimmungen über Ablaufhemmung, Hemmung oder 

Neubeginn der Fristen bleiben unberührt. 

11.4 Der AG wird Sachmängel gegenüber dem AN unverzüglich schriftlich rügen. Zu der Rüge 

gehört die Mitteilung der die Lieferung betreffenden Daten: Modellbezeichnung und 

–nummer, Nummer der Auftragsbestätigung des AN, Produktionsdatum, Schadensoder 

Mängelbeschreibung. 

11.5 Bei Mängelrügen dürfen Zahlungen des AG in einem Umfang zurückgehalten werden, 

die in einem angemessenen Verhältnis zu den aufgetretenen Sachmängeln stehen. Der 

AG kann Zahlungen nur zurückhalten, wenn eine Mängelrüge geltend gemacht wird, 

über deren Berechtigung kein Zweifel bestehen kann. Erfolgte die Mängelrüge zu 

Unrecht, ist der AN berechtigt, die ihm entstandenen Aufwendungen vom AG ersetzt zu 

verlangen. 

11.6 Dem AN ist Gelegenheit zur Nacherfüllung innerhalb angemessener Zeit zu gewähren. 

Wird ihm dies verweigert, ist er von der Sachmängelhaftung befreit. 

11.7 Schlägt die Nacherfüllung fehl, kann der AG - unbeschadet etwaiger Schadensersatzansprüche 

(14.) - vom Vertrag zurücktreten oder die Vergütung mindern. 

11.8 Mängelansprüche bestehen nicht bei nur unerheblicher Abweichung von der vereinbarten 

Beschaffenheit, bei nur unerheblicher Beeinträchtigung der Brauchbarkeit, bei 

natürlicher Abnutzung oder Schäden, die nach dem Gefahrübergang infolge fehlerhafter 

oder nachlässiger Behandlung, übermäßiger Beanspruchung, ungeeigneter Betriebsmittel, 

oder die auf Grund besonderer äußerer Einflüsse entstehen, die nach dem 

Vertrag nicht vorausgesetzt sind. Werden vom AG unsachgemäße Änderungen oder 

Instandsetzungsarbeiten vorgenommen, so bestehen für diese und die daraus entstehenden 

Folgen keine Mängelansprüche. 

11.9 Ansprüche des AG wegen der zum Zweck der Nacherfüllung erforderlichen Aufwendungen, 

insbesondere Transport-, Wege-, Arbeits- und Materialkosten, sind ausgeschlossen, 

soweit die Aufwendungen sich erhöhen, weil die Lieferung nachträglich an einen anderen 

Ort als den Erfüllungsort verbracht worden ist. 

11.10 Rückgriffsansprüche des AG gegen den AN bestehen nur insoweit, als der AG mit 

seinem Abnehmer keine über die gesetzlichen Mängelansprüche hinausgehenden 

Vereinbarungen getroffen hat. Für den Umfang des Rückgriffsanspruchs des AG gegen 

den AN gemäß § 478 Abs. 2 BGB gilt 11.8 entsprechend. 

11.11 Weitergehende oder andere als die in 11. geregelten Ansprüche des AG gegen den AN 

wegen eines Sachmangels sind ausgeschlossen. Für Schadensersatzansprüche gilt im 

Übrigen 14. 

12. Schutzrechtsverletzungen, sonstige Rechtsmängel 

12.1 Sofern nicht anders vereinbart, wird der AN die Lieferung in der Bundesrepublik 

Deutschland frei von gewerblichen Schutzrechten und Urheberrechten Dritter („Schutzrechte”) 

erbringen. Sofern ein Dritter wegen der Verletzung eines Schutzrechtes durch 

eine vom AN erbrachte, vertragsgemäß genutzte Lieferung gegen den AG berechtigte 

Ansprüche erhebt, haftet der AN gegenüber dem AG innerhalb der in 11.3 gesetzten 

Frist wie folgt: 

12.1.1 Der AN wird nach seiner Wahl und auf seine Kosten für die betreffende Lieferung entweder 

ein Nutzungsrecht erwirken, sie so ändern, dass das Schutzrecht nicht verletzt 

wird, oder sie austauschen. Ist dies dem AN nicht zu angemessenen Bedingungen 

möglich, stehen dem AG die gesetzlichen Rücktritts- oder Minderungsrechte zu. 

12.1.2 Die Pflicht des AN zur Leistung von Schadensersatz richtet sich nach 14. 

12.1.3 Die vorstehend genannten Verpflichtungen des AN bestehen nur, soweit der AG den AN 

über die vom Dritten geltend gemachten Ansprüche unverzüglich schriftlich verständigt, 

eine Verletzung nicht anerkennt und dem AN alle Abwehrmaßnahmen und Vergleichsverhandlungen 

vorbehalten bleiben. Stellt der AG die Nutzung der Lieferung aus 

Schadenminderungs- oder sonstigen wichtigen Gründen ein, wird er den Dritten darauf 

hinweisen, dass mit der Nutzungseinstellung kein Anerkenntnis einer Schutzrechtsverletzung 

verbunden ist. 

12.2 Ansprüche des AG sind ausgeschlossen, soweit er die Schutzrechtsverletzung zu 

vertreten hat. 

12.3 Ansprüche des AG sind ferner ausgeschlossen, soweit die Schutzrechtsverletzung durch 

spezielle Vorgaben des AG, durch eine vom AN nicht voraussehbare Anwendung oder 

dadurch verursacht wird, dass die Lieferung vom AG verändert oder zusammen mit 

nicht vom AN gelieferten Produkten eingesetzt wird. 

12.4 Im Falle von Schutzrechtsverletzungen gelten für die in 12.1.1 geregelten Ansprüche 

des AG im Übrigen die Bestimmungen aus 11.5, 11.6, 11.10 entsprechend. 

12.5 Bei Vorliegen sonstiger Rechtsmängel gelten die Bestimmungen aus 11. entsprechend. 

12.6 Weitergehende oder andere als in 12. geregelte Ansprüche des AG gegen den AN wegen 

eines Rechtsmangels sind ausgeschlossen. 

13. Unmöglichkeit, Vertragsanpassung 

13.1 Soweit die Lieferung unmöglich ist, ist der AG berechtigt, Schadenersatz zu verlangen, 

es sei denn, dass der AN die Unmöglichkeit nicht zu vertreten hat. Jedoch beschränkt 

sich der Schadenersatzanspruch des AG auf 10 % des Wertes desjenigen Teils der 

Lieferung, der wegen der Unmöglichkeit vom AG nicht verwendet werden kann. Dies gilt 

nicht, soweit in Fällen des Vorsatzes, der groben Fahrlässigkeit oder des anfänglichen 

Unvermögens oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit 

zwingend gehaftet wird; eine Änderung der Beweislast zum Nachteil des AG ist hiermit 

nicht verbunden. Das Recht des AG zum Rücktritt bleibt unberührt. 

13.2 Sofern Ereignisse Höherer Gewalt (7.2) die wirtschaftliche Bedeutung oder den Inhalt 

der Lieferung erheblich verändern oder auf den Betrieb des AN erheblich einwirken, 

wird der Vertrag unter Beachtung von Treu und Glauben angemessen angepaßt. Soweit 

dies wirtschaftlich nicht vertretbar ist, steht dem AN das Rücktrittsrecht zu. Will er von 

diesem Rücktrittsrecht Gebrauch machen, so hat er dies nach Erkenntnis der Tragweite 

des Ereignisses unverzüglich dem AG mitzuteilen, und zwar auch dann, wenn zunächst 

mit dem AG eine Verlängerung der Lieferzeit vereinbart war. 

14. Sonstige Schadensersatzansprüche 

14.1.1 Schadenersatzansprüche des AG, gleich aus welchem Rechtsgrund, insbesondere 

wegen der Verletzung von Pflichten aus dem Schuldverhältnis und aus unerlaubter 

Handlung, sind ausgeschlossen. 

14.1.2 Dies gilt nicht, soweit z. B. nach dem Produkthaftungsgesetz oder in Fällen des Vorsatzes, 

der groben Fahrlässigkeit, wegen der Verletzung des Lebens, des Körpers oder der 

Gesundheit, oder der Verletzung wesentlicher Vertragspflichten zwingend gehaftet wird. 

14.1.3 Der Schadenersatz für die Verletzung wesentlicher Vertragspflichten ist jedoch auf den 

vertragstypischen, vorhersehbaren Schaden begrenzt, soweit nicht Vorsatz oder grobe 

Fahrlässigkeit vorliegt oder wegen der Verletzung des Lebens, des Körpers oder der 

Gesundheit gehaftet wird. 

14.2 Soweit die Haftung des AN gemäß 14. ausgeschlossen oder beschränkt ist, gilt dies 

auch für die persönliche Haftung seiner Angestellten, Arbeitnehmer, Mitarbeiter, und 

sonstiger Erfüllungsgehilfen, nicht aber für die persönliche Haftung gesetzlicher Vertreter 

und leitender Angestellter. 

14.3 Soweit dem AG gemäß 14. Schadensersatzansprüche zustehen, verjähren diese mit 

Ablauf der für Sachmängelansprüche geltenden Verjährungsfrist gemäß 11.3. Bei 

Vorsatz und bei Schadensersatzansprüchen nach dem Produkthaftungsgesetz gelten 

die gesetzlichen Verjährungsvorschriften. 

14.4 Eine Änderung der Beweislast zum Nachteil des AG ist mit den Regelungen in 14. nicht 

verbunden. 

15. Vertraulichkeit 

15.1 Die Parteien werden von der jeweils anderen Partei im Rahmen des Vertrages erhaltenen 

Unterlagen, Kenntnisse und Informationen, Werkzeuge, Formen, Muster, Modelle, Profile, 

Zeichnungen, Normenblätter, Druckvorlagen und sonstige technische Dokumentationen 

- unabhängig vom Trägermedium - („Informationen”) ohne schriftliche Einwilligung der 

anderen Partei weder an Dritte weitergeben, noch für andere als die vertraglichen 

Zwecke benutzen. Sie sind gegen unbefugte Einsichtnahme oder Verwendung zu 

sichern.Vorbehaltlich weiterer Rechte kann die Partei ihre Herausgabe verlangen, wenn 

die andere Partei diese Pflichten verletzt. 

15.2 Die Verpflichtung gem. 15.1 beginnt ab erstmaligem Erhalt der Informationen und 

endet 36 Monate nach Ende des Vertrages. 

15.3 Die Verpflichtung gem. 15.1 gilt nicht für Informationen, die allgemein bekannt sind 

oder die bei Erhalt der Partei bereits bekannt waren, ohne dass sie zur Geheimhaltung 

verpflichtet war, oder die danach von einem zur Weitergabe berechtigten Dritten 

übermittelt werden oder die von der empfangenden Partei ohne Verwertung 

geheimzuhaltender Informationen der anderen Partei entwickelt werden. 

16. Gerichtsstand 

Ausschließlicher Gerichtsstand – auch für Scheck und Wechselforderungen - ist Nürnberg. 

17. Anwendbares Recht 

Es gilt das materielle Recht der Bundesrepublik Deutschland. Das Übereinkommen der 

Vereinten Nationen vom 11. April 1980 über den Internationalen Warenkauf findet keine 

Anwendung.

Terms and conditions of sale of Dauphin HumanDesign® Group GmbH & Co. KG for contracts with companies – January 2004 („T&C’s“) 

1. Scope of Delivery Terms 

1.1 The Terms and Conditions of Sale of Dauphin HumanDesign® Group GmbH & Co. 

KG („Contractor” – „CO”) shall only apply to contracts concluded between CO and 

companies („B2B”). 

1.2 The Terms and Conditions of Sale shall apply to deliveries and services of CO 

(„Delivery”) to the contracting party of CO („Ordering Party” – „OP”) on the basis of the 

contract („Contract”) concluded between CO and OP („the Parties”). 

1.3 Terms and conditions of OP shall only apply insofar as they have been expressly approved 

in writing by CO. Provisions which differ in wording from these Terms and Conditions of 

Sale – to the extent that they are not stipulated in the CO’s whole offer – shall not apply. 

1.4 The customer shall be entitled to avail himself of third parties, in particular, of Dauphin- 

Group enterprises, in order to meet its contractual obligations. 

2. Offer 

2.1 Specifications of the Delivery composition are set out exclusively and finally in the 

„Technical Specifications” chapter of the respective brochure of CO valid at the time of 

the conclusion of the Contract. 

2.2 Should the Delivery include an assembly instruction or instructions for use („Manual”), 

CO may fulfill his obligation to submit such Manual to OP by providing OP with an Internet 

address, where OP can download the Manual free of charge. 

2.3 CO shall reserve all rights of ownership and copyrights to all cost estimates, drawings 

and other documents („Documents”) included in his offer.The Documents may only be 

made available to third parties upon CO’s prior approval and, should the offer not be 

awarded to CO, shall be handed over to him without delay. OP shall have no right of 

retention. 

2.4 CO shall be committed to the offer for 45 calendar days as of the date of the offer. 

2.5 Any advance performances (including cost estimates) provided within the scope of an 

offer by CO at OP’s request, shall be billed by CO, even if no subsequent Contract is 

concluded. 

3. Reservation as to Obtaining Delivery Ourselves 

If the contractually agreed Delivery is not available on grounds that CO did not receive 

delivery from his own suppliers or CO’s stock necessary for the Delivery is run down, 

CO shall be entitled to provide a Delivery which is equivalent in quality and price. 

Should CO be unable to provide a Delivery equivalent in quality and price, he may 

rescind the Contract. 

4. Terms of Delivery 

4.1 All prices are Ex Works of CO, Offenhausen, Germany (EXWaccording to Incoterms 

2000) („Place of Performance”). 

4.2 All prices are net prices in EUR, plus the turnover tax valid at the time of performance 

of the service, without further deductions. Partial Deliveries are possible insofar as they 

are acceptable for the OP. 

4.3 If CO has agreed to carry out the assembly or installation, OP shall bear, apart from the 

agreed prices, all extra charges (e.g. travel costs, transportation costs, allowances) 

arising in connection with such assembly or installation. 

5. Terms of Payment 

5.1 Unless the Parties have agreed on other payment conditions, invoices shall be payable 

without delay and without any deductions to the payment. 

5.2 OP may only set off claims which are undisputed or have been finally determined in a 

legally binding manner. 

6. Reservation of Title 

6.1 CO shall retain ownership of the delivered items („Reserved Goods”) until OP has 

fulfilled all his obligations from the business relation. Should the total value of CO’s 

legitimate securities exceed the total value of all claims to be secured by more than 

20 percent, CO shall, at OP’s request release a corresponding part of the securities. 

6.2 For the duration of the reservation of title, OP shall not be entitled to pledging or 

transfer of security. 

6.3 OP may only re-sell the Reserved Goods within the scope of normal business operations 

and under the condition that OP receives payment from his buyer or provides for the 

reservation that the transfer of ownership onto the buyer does not take place until the 

buyer meets his payment commitments. 

6.4 CO’s ownership of the Reserved Goods shall also remain valid during the manufacturing 

and after the completion of the product of OP for which the Reserved Goods are used 

(„Final Product”). CO’s ownership of the Reserved Goods shall continue as towards the 

Final Product; CO shall obtain common ownership of the Final Product in proportion of 

the value of the Reserved Goods to the total value of the Final Product. 

6.5 OP shall, upon the conclusion of the Contract, assign to CO as security a part of his 

claims against his buyer arising from the resale or manufacturing of the Reserved 

Goods corresponding to the CO’s claims against himself arising from the Delivery. This 

shall not affect CO’s obligation to release set out in 6.1. 

6.6 In the event of a levy of execution, seizure or any orders of third parties OP shall inform 

CO without delay. 

6.7 In the event of breach of duty, in particular a default of payment, on the part of the OP, 

the following provisions shall apply: 

6.7.1 After unsuccessful expiry of an appropriate deadline set by CO for the rectification of 

the default, CO shall be entitled to rescind the Contract and to take back the Reserved 

Goods; OP shall be obliged to hand over the Reserved Goods. This shall not affect the 

statutory regulations concerning the dispensability of fixing a time-limit. 

6.7.2 The enforcement of the reservation of title and the taking back of the Reserved Goods 

is not subject to a prior rescission of the Contract on the part of CO; such action or a 

levy of execution of the Reserved Goods by CO shall not be considered as a rescission 

of the Contract, unless expressly stated otherwise. 

7. Delivery time 

7.1 Compliance with the agreed Delivery time requires the timely receipt of all documents, 

necessary permissions and releases, in particular concerning blueprints to be provided 

by OP, as well as the observance of the agreed terms of payment and other obligations 

by the OP. If these conditions are not fulfilled, Delivery times shall be appropriately 

extended; this shall not apply if the delay is caused by CO. 

7.2 If Delivery times are not complied with due to force majeure, e.g. mobilisation, war, riots 

or similar events, e.g. strikes or lock-outs, delivery times shall be appropriately extended. 

7.3 Should CO be in delay, OP may, if he can substantiate any damage on his part resulting 

from such delay, claim a compensation for each completed week of delay amounting 

to 0.5 percent of the price of the part of the delivery which could not be used due to 

the delay, but not more than a total of 5 percent of the said price. 

7.4 Any claims for compensation for delayed Delivery or claims for compensation to replace 

a Delivery on the part of OP which are beyond the limits of 7.3, shall be excluded in all 

events of delayed Delivery. This shall also apply in the event of the expiry of a deadline 

set by OP. It shall not apply, however, where there is obligatory liability, in the event of 

willful misconduct or gross negligence or due to injury to life, body or health. OP may 

only rescind the Contract if the Delivery delay is caused by CO. No shift in the burden 

of proof to the detriment of OP is connected with the above provisions. 

7.5 OP shall only have a right of rescission if he has granted CO an appropriate time 

deadline for performance and declares that he shall refuse to accept the performance 

upon the expiry of the deadline, and after the deadline has unsuccessfully expired. 

7.6 At CO’s request, OP shall declare within an appropriate time limit whether he shall 

rescind the Contract due to the delay or whether he insists on delivery. 

7.7 If, at OP’s request, dispatch or consignment is delayed for more than a month after 

readiness to dispatch has been expressed, CO may, for each beginning month, charge 

OP 0.5 percent of the net price of the Delivery, but not more than 5 percent of the total 

net price, for storage costs. The Parties shall remain at liberty to prove that storage 

costs were higher or lower. 

8. Passing of risk 

8.1 Subject to the provisions of 8.2 the passing of risk onto OP shall take place: 

8.1.1 in case of delivery without assembly or installation, 

at the moment the goods to be delivered have been made available for dispatch by CO 

at the Place of Performance; 

8.1.2 in case of Delivery with assembly or installation, at the moment assembly or installation 

is completed. 

8.2 The passing of the risk onto OP shall take place at the moment the dispatch or the 

beginning of assembly or installation are delayed due to reasons caused by OP or the 

occurrence of any other events causing a default in acceptance by OP. 

9. Assembly 

Should the Parties agree upon an assembly of the items in addition to their Delivery, 

the following provisions shall apply: 

9.1 OP shall provide and bear the costs of: 

9.1.1 any secondary work alien to the industry, including the necessary specialist and 

auxiliary workers, construction materials and tools; 

9.1.2 appropriate, dry and lockable space of sufficient size for the storage of the delivered 

items, tools etc. at the place of assembly. 

9.2 Prior to the commencement of the assembly work, OP shall unsolicitedly make available 

to CO all necessary information concerning the place of assembly (stairs, ramps and 

their respective angle of inclination, lifts and their respective maximum load etc.) as 

well as all required statistical data. 

9.3 Prior to the commencment of the assembly, all preparatory work must be completed to 

an extent sufficient to allow the beginning and uninterrupted carrying out of the 

assembly as agreed. Access roads and the place of assembly must be cleared. 

9.4 Should the assembly be delayed due to reasons not caused by CO, OP shall bear, to 

an appropriate extent, the costs for waiting times and additional travels of CO’s staff 

caused by the delay. 

9.5 The assembly shall be considered as complete as soon as CO reports its completion 

or the delivered goods come into use (the earlier event being decisive). 

10. Acceptance 

OP shall accept the Delivery even if it shows insignificant defects.

11. Material Defects 

CO shall be liable for all material defects of newly manufactured products according to 

11.1 – 11.11. Should the item delivered not be a newly manufactured product (e.g. 

second-hand goods, samples, exhibits, seconds products), CO’s liability for material 

defects shall not apply. 

11.1 The parts of the Delivery concerned which show material defects within the term of 

limitation (if such defects were not caused after the passing of the risk) must, at CO’s 

discretion, be repaired at CO’s cost, newly delivered or newly provided („Subsequent 

Performance”). 

11.2 The Subsequent Performance does not initiate a new term of limitation (11.3). 

11.3 The term of limitation for the liability for material defects is 24 months. This shall not 

apply where paragraphs 438, section 1, No. 2, 479, section 1 and 634a, section 1, No. 

2 of the BGB [German Civil Code] provide for longer terms, and in the event of injury 

to life, body or health, in the event of intentional or gross breach of duty by CO or 

fraudulent concealment of a defect. This shall not affect the statutory regulations 

concerning the suspension of the running, the suspension or the new beginning of the 

periods of limitation. 

11.4 OP shall complain about material defects to CO without delay in writing.The complaint 

must include information on the data of the concerned Delivery - name and number of 

the model, number of CO’s confirmation of order, date of manufacture, description of 

the fault or defect. 

11.5 In the event of complaints of defect OP may retain payments to an extent appropriate 

in proportion to the defects occurred. OP shall only be entitled to retain payments if he 

is able to assert a complaint of defect justified beyond any doubt. If the complaint of 

defect proves to be unjustified, CO shall be entitled to request payment of any expenses 

incurred to him by such complaint. 

11.6 CO must be granted the opportunity of Subsequent Performance within an appropriate 

period of time. Otherwise he shall be freed of any liability for material defects. 

11.7 In the event of unsuccessful Subsequent Performance, OP may – notwithstanding 

any provisions on claims for compensation (14.) rescind the Contract or reduce the 

payment. 

11.8 Warranty claims shall not be admissible in the event of insignificant deviations from the 

agreed composition, insignificant impairment of the practicability, natural wear and 

tear or damages caused after the passing of risk as a result of faulty or negligent 

treatment, excess utilisation, inappropriate service equipment, or damages caused by 

exceptional external factors, which are not provided for in the Contract. Should OP 

carry out inexpert alterations or repairs, no warranty claims shall be admissible for 

such alterations, repairs or consequences thereof. 

11.9 Any claims of OP for expenses necessary for the Subsequent Performance, in particular 

transportation, labour and material costs, shall be excluded, if such expenses should 

be caused because the Delivery has been transferred to a place other than the Place 

of Performance. 

11.10 Claims under a right of recourse of the OP against CO shall only be admissible insofar 

as OP has not agreed with his buyer any arrangements beyond the scope of the 

statutory warranty claims. For the scope of the claims under a right of recourse 

according to paragraph 478, section 2 of the BGB [German Civil Code], 11.8 shall 

apply respectively. 

11.11 Any further claims based on material defects, and claims other than those settled 

under 11. of OP against CO shall be excluded. For any claims for damages 14. shall 

apply. 

12. Infringements of Intellectual Property Rights, Other Legal Defects 

12.1 Unless agreed otherwise, CO shall carry out the Delivery within the Federal Republic of 

Germany free of industrial property rights and copyrights of third parties („Intellectual 

Property Rights” – „IPR”). Should a third party set up a justified claim against OP for 

infringement of an IPR caused by the utilisation of a delivery of CO as per agreement, 

CO shall be liable towards OP within the statutory time limit set out in 11.3 as follows: 

12.1.1 CO shall, at his discretion and cost, acquire the right of use for the Delivery concerned, 

alter the Delivery concerned to ensure that the IPR is no longer infringed, or replace the 

delivery. In the event that CO is not able to do so under appropriate conditions, OP shall 

be entitled to use the statutory rights of rescission or rights to a reduction in price. 

12.1.2 CO’s obligation to compensate shall be pursuant to 14. 

12.1.3 The above mentioned obligations of CO shall only apply, if OP makes immediate 

written notification to CO of the claims set up by a third party, if he does not recognise 

the infringement and if CO’s rights to take countermeasures and settlement negotiations 

remain unaffected. Should OP cease to utilise the delivery due to loss mitigation or 

other significant reasons, he shall point out to the third party that the cessation of 

utilisation is no acknowledgement of any infringement of IPR. 

12.2 OP shall have no right to claims for the infringements of IPR which were caused by 

himself. 

12.3 Claims shall also be inadmissible, if the infringement of IPR was caused by special 

instructions of OP, an utilisation which could not be foreseen by CO, or if OP alters the 

Delivery or uses it with products which were not delivered by CO. 

12.4 As far as infringements of IPR are concerned, the respective provisions of 11.5, 11.6, 

11.10 shall always apply to all claims of OP set out in 12.1.1. 

12.5 In the event of other legal defects the provisions of 11. shall apply respectively. 

12.6 Further claims on grounds of legal defects of OP against CO or claims other than those 

set out in 12. shall be excluded. 

13. Impossibility, Adjustment of Contract 

13.1 Should delivery be impossible, OP shall be entitled to request compensation, unless 

CO is not responsible for the impossibility. However, OP’s claim for compensation shall 

be limited to 10 percent of the value of the part of the Delivery which cannot be used 

due to the impossibility of CO.This shall not apply where there is obligatory liability due 

to willful misconduct, gross negligence, initial inability or injury to life, body or health. 

No shift in the burden of proof to the detriment of OP is connected with the above provisions. 

OP’s right of rescission shall remain unaffected. 

13.2 Should events of force majeure (7.2) substantially alter the economic significance or 

the contents of the Delivery or substantially affect CO’s business, the Contract shall be 

appropriately adapted under good faith. If this is not economically acceptable, CO shall 

have a right of rescission. Should CO wish to make use of such right, he has to notify 

OP after realisation of the consequences of such incidents without delay, also if the 

Parties had agreed to an extension of the Delivery time beforehand. 

14. Other Claims for Compensation 

14.1.1 Claims for compensation of OP, irrespective of their cause in law, but in particular claims 

arising from the breach of duties resulting from obligation or tort, shall be excluded. 

14.1.2 This shall not apply where there is mandatory liability, e.g. according to the law on 

product liability or in the event of willful misconduct, gross negligence, injury to life, 

body or health or the infringement of substantial contractual obligations. 

14.1.3 However, compensation for damages for the infringement of substantial contractual 

obligations shall be limited to foreseeable damages typical for the Contract, unless there 

is liability for of willful misconduct or gross negligence, injury to life, body or health. 

14.2 The exclusion or limitation of CO’s liability as set out in 14. shall also apply to the 

personal liability of his workers, employees, co-workers and other persons employed, 

but not to the personal liability of legal representatives and executives. 

14.3 The claims for compensation OP is entitled to according to 14., shall expire upon the 

expiry of the term of limitation applying to material defects according to 11.3. In the 

event of willful misconduct and claims for damages in connection with the law on 

product liability the statutory terms of limitation shall apply. 

14.4 No shift in the burden of proof to the detriment of OP is connected with the provisions 

of 14. 

15. Confidentiality 

15.1 The Parties shall undertake not to make available to third parties any documents, 

knowledge and information, tools, moulds, samples, models, profiles, drawings, 

standard sheets, photomasters and other technical documentation („Information”) 

received within the scope of the contract and irrespective of the carrier medium without 

written approval of the respective other party, or use them for other than contractual 

purposes. Such Information must be secured against unauthorised inspection or use. 

With reservation of further rights, each party may request the return of such information, 

should the other party breach such duty. 

15.2 The obligation according to 15.1 shall commence upon the first receipt of Information 

and expire 36 months after the termination of the Contract. 

15.3 The obligation according to 15.1 shall not apply to information which is generally 

known or which was known to the respective party at the moment of receipt without the 

party being obliged to confidentiality or to Information which was passed on by a third 

party authorised to submit such Information or which was developed by the receiving 

party without utilisation of confidential Information of the other party. 

16. Jurisdiction 

The exclusive place of jurisdiction – also for cheques and notes receivable – shall be 

Nuremberg. 

17. Applicable Law 

The material law of the Federal Republic of Germany shall apply.The UN Convention on 

Contracts for the International Sale of Goods of 11 April 1980 shall not apply.
