Fiona Edwards <strong>in</strong>troduced <strong>the</strong> Directors Report and expla<strong>in</strong>ed that <strong>the</strong> report
comments on <strong>the</strong> progress aga<strong>in</strong>st <strong>the</strong> Annual Plan and <strong>the</strong> delivery <strong>of</strong> <strong>the</strong>

<strong>the</strong> meet<strong>in</strong>g <strong>of</strong> <strong>the</strong> Board <strong>of</strong> Directors 29 October 2009 and <strong>the</strong> Extraord<strong>in</strong>ary
<strong>Meet<strong>in</strong>g</strong> on 26 November.
Fiona Edwards reported
1. The excellent improvement <strong>in</strong> <strong>the</strong> Healthcare Commission rat<strong>in</strong>g for <strong>the</strong>
Trust’s performance last year by mov<strong>in</strong>g from a ‘Fair’ and ‘Fair’ to
‘Excellent’ and ‘Good’. This is a significant achievement because not many
Trusts <strong>in</strong> <strong>the</strong> country achieved such a significant shift <strong>in</strong> performance and
we are only one <strong>of</strong> two <strong>in</strong> <strong>the</strong> south east region. We should celebrate this <strong>in</strong>
<strong>the</strong> Trust as a step <strong>in</strong> <strong>the</strong> journey to provide excellent and outstand<strong>in</strong>g
services.
2. The f<strong>in</strong>ancial situation is tight - <strong>the</strong> forecast position is breakeven at best.
We did start <strong>the</strong> year with a f<strong>in</strong>ancial plan to achieve a £1 million surplus; at
mid year <strong>the</strong> Board agreed a reforecast. The situation changed because <strong>of</strong>
<strong>the</strong> <strong>in</strong>creased cost pressures <strong>of</strong> <strong>the</strong> credit crunch and some slippage with
<strong>the</strong> expected sav<strong>in</strong>gs from <strong>the</strong> service change programme. Monitor, our
regulators, have confirmed that because our cash position is still above <strong>the</strong>
l<strong>in</strong>e, our risk rat<strong>in</strong>g rema<strong>in</strong>s at 3 for quarter 2. We have an amber
governance rat<strong>in</strong>g because <strong>the</strong> forecast is that we expect to achieve <strong>the</strong>
Healthcare core standards this year, but we are still at risk with <strong>the</strong> delayed
transfer <strong>of</strong> care target to achieve no more than 7.5% <strong>of</strong> our beds be<strong>in</strong>g
blocked with<strong>in</strong> a given period.
3. Fiona Edwards commented that as result <strong>of</strong> <strong>the</strong> excellent partnership work
with Service Users and Carers, now is <strong>the</strong> time to take it a stage fur<strong>the</strong>r to
<strong>in</strong>clude Staff and Foundation Trust Members. The Board at its meet<strong>in</strong>g on
17 December will be requested to consider a proposal for <strong>the</strong> Trust’s
Involvement activities to be <strong>in</strong>cluded <strong>in</strong> <strong>the</strong> strategic direction.

a) Stephenne Rhodes reported that she had attended an Equality and Human
Rights Commission (EHRC) sem<strong>in</strong>ar and emphasised <strong>the</strong> importance <strong>of</strong>
<strong>the</strong>ir work and questioned if <strong>the</strong> Trust had attended <strong>the</strong> sem<strong>in</strong>ars. Fiona
Edwards welcomed <strong>the</strong> update and commented on <strong>the</strong> value <strong>of</strong> Stephenne
Rhodes attendance as a Trust Governor.
Julie Gaze referred to:
• The work <strong>of</strong> <strong>the</strong> Trust’s Equality and Human Rights Steer<strong>in</strong>g Board.
• The Trust’s Equality and Impact Assessment screen<strong>in</strong>g tool, which is
available on <strong>the</strong> Trust’s web page and noted that Partnership People will
carry an <strong>in</strong>vitation for people to support <strong>the</strong> Trust <strong>in</strong> implement<strong>in</strong>g <strong>the</strong>
Impact assessment Screen<strong>in</strong>g Tool. Ted Pottage registered an <strong>in</strong>terest
support<strong>in</strong>g <strong>the</strong> Trust.

a) Har<strong>in</strong>gey Report
Barbra Nurse raised <strong>the</strong> Har<strong>in</strong>gey Report and asked will <strong>the</strong> Trust be review<strong>in</strong>g
<strong>the</strong> quality <strong>of</strong> <strong>the</strong> data it collects, <strong>in</strong> light <strong>of</strong> <strong>the</strong> report’s f<strong>in</strong>d<strong>in</strong>g on <strong>the</strong> lack <strong>of</strong>
assurances with <strong>the</strong> bureaucracy l<strong>in</strong>ked to <strong>the</strong> safeguard<strong>in</strong>g <strong>of</strong> care.
Fiona Edwards reported that all Directors had received a copy <strong>of</strong> <strong>the</strong> report and
as a result we are currently review<strong>in</strong>g all our safeguard<strong>in</strong>g processes and <strong>the</strong>
lessons we can learn from its f<strong>in</strong>d<strong>in</strong>gs. Fiona Edwards added that feedback
from <strong>the</strong> staff conversation groups is <strong>in</strong>form<strong>in</strong>g us <strong>of</strong> <strong>the</strong> need to review our
process and systems. The review <strong>of</strong> our process and systems is one <strong>of</strong> our
priorities for <strong>the</strong> Trust’s Annual Plan.
Graham Cawsey noted that one <strong>of</strong> <strong>the</strong> challenges for <strong>the</strong> Board, particularly <strong>the</strong>
Non - Executive Directors, is to ensure that <strong>the</strong>y are not just receiv<strong>in</strong>g
numbers.
Action: The Trust’s review <strong>of</strong> its safeguard<strong>in</strong>g process will be shared with
<strong>the</strong> <strong>Council</strong> <strong>of</strong> <strong>Governors</strong>.

b) Quality Indicators
Sally Ann Brady thanked Stanley Riseborough and Malcolm Hawthorne for
<strong>the</strong>ir earlier presentation not<strong>in</strong>g that it was a good <strong>in</strong>sight <strong>in</strong>to <strong>the</strong> national
position. Sally Ann Brady commented that FoCUS is particularly <strong>in</strong>terested <strong>in</strong>
<strong>the</strong> Trust’s performance aga<strong>in</strong>st quality and acknowledged <strong>the</strong> difficulties with
measur<strong>in</strong>g quality aga<strong>in</strong>st <strong>the</strong> national requirement for numerical data.
Sally Ann Brady, on behalf <strong>of</strong> <strong>the</strong> <strong>Governors</strong>, requested a set <strong>of</strong> both <strong>the</strong>
national and <strong>the</strong> Trust’s <strong>in</strong>dicators to complete a comparative analysis and
identify any gaps.
Stanley Riseborough advised that <strong>the</strong> Trust’s <strong>in</strong>dicators are still under
development; because we need to identify <strong>the</strong> means <strong>of</strong> collection, <strong>the</strong> value <strong>of</strong>
<strong>the</strong> data and <strong>the</strong> method <strong>of</strong> report<strong>in</strong>g.
Action: Stanley Riseborough will send <strong>the</strong> <strong>Governors</strong> a set <strong>of</strong> both <strong>the</strong>
national and <strong>the</strong> Trust’s <strong>in</strong>dicators (still under development).
c) Social Care Change Programme
Dr Maurice Brooks referred to po<strong>in</strong>t 3.2.5 with a request for clarification on <strong>the</strong>
quality and f<strong>in</strong>ancial impact <strong>of</strong> <strong>the</strong> delayed transfer. Jo Young expla<strong>in</strong>ed that
<strong>the</strong> services we are transferr<strong>in</strong>g are <strong>the</strong> most robust and currently not caus<strong>in</strong>g
a negative f<strong>in</strong>ancial impact to <strong>the</strong> Trust. However, <strong>the</strong>re are some quality
issues with Human Resources Strategy, because we are us<strong>in</strong>g temporary
home managers and a temporary workforce.

d) Day and Work Services Project 18
Clive Stone referred to po<strong>in</strong>t 3.2.6 with a request for an update on <strong>the</strong> plans to
discont<strong>in</strong>ue <strong>the</strong> Project 18 Service. Jo Young reported that <strong>the</strong> plan to
discont<strong>in</strong>ue <strong>the</strong> service is part <strong>of</strong> <strong>the</strong> PCT sav<strong>in</strong>g schemes, jo<strong>in</strong>tly agreed with
<strong>the</strong> Trust; this is similar to <strong>the</strong> day services <strong>in</strong> <strong>the</strong> east <strong>of</strong> <strong>the</strong> county. The
Executive Board is consider<strong>in</strong>g <strong>the</strong> response to <strong>the</strong> consultation and will review
<strong>the</strong> situation with <strong>the</strong> Commissioners.
Don IIlman noted <strong>the</strong> experience <strong>in</strong> <strong>the</strong> east <strong>of</strong> <strong>the</strong> county should be
considered to avoid a repeat <strong>of</strong> <strong>the</strong> problems. Jo Young noted that we need to
lobby <strong>the</strong> PCT to ensure <strong>the</strong> quality <strong>of</strong> <strong>the</strong> commission<strong>in</strong>g specification with <strong>the</strong>
third sector providers.
Action: Jo Young will report <strong>the</strong> comments on learn<strong>in</strong>g from <strong>the</strong>
experience <strong>in</strong> <strong>the</strong> east <strong>of</strong> <strong>the</strong> county to <strong>the</strong> Commission<strong>in</strong>g Team.

Fiona Edwards reported that <strong>the</strong>re had been an extraord<strong>in</strong>ary meet<strong>in</strong>g <strong>of</strong> <strong>the</strong>
Board on 26 November to discuss <strong>the</strong> safety arrangements with that transfer <strong>of</strong>
<strong>in</strong>patient beds from Epsom to Langley Green. Concerns were formalised with
<strong>the</strong> PCT <strong>in</strong> August 2008. Four deadl<strong>in</strong>es have been pr<strong>of</strong>fered and missed s<strong>in</strong>ce
August 2008, <strong>the</strong> latest deadl<strong>in</strong>e be<strong>in</strong>g Friday 21 November. The Board
considers that <strong>the</strong> safety <strong>of</strong> patients is our primary concern and noted two ma<strong>in</strong>
risks:
1. The current management arrangements <strong>in</strong> a time <strong>of</strong> change and through
change.
2. The long term provision <strong>of</strong> care; assurance to both commissioners and
ourselves that <strong>the</strong> care pathway could be <strong>held</strong> safely with all agencies
across <strong>the</strong> boundary with Sussex.
The Board agreed that:
• We are no longer <strong>in</strong> a position to guarantee <strong>the</strong> safety <strong>of</strong> this service and
need to take immediate action to ensure its safety.
• The service will now be run with transfer suspended, with ‘a bus<strong>in</strong>ess as
usual message’ to all <strong>in</strong>volved with<strong>in</strong> <strong>the</strong> unit, partners and families and
carers, pend<strong>in</strong>g <strong>the</strong> provision <strong>of</strong> comprehensive safety assurance to <strong>the</strong>
PCT and ourselves.
• Staff on temporary contracts will be confirmed as substantive and
vacancies, currently <strong>held</strong> pend<strong>in</strong>g <strong>the</strong> transfer, will be actively recruited to.
• We will only authorise reactivat<strong>in</strong>g <strong>the</strong> transfer <strong>in</strong>ternally when assurance
has been received, <strong>the</strong> PCT has issued six months notice <strong>of</strong> <strong>the</strong> transfer,
based on <strong>the</strong> assurance, and <strong>the</strong>re is a clear project transition plan,
<strong>in</strong>clud<strong>in</strong>g double runn<strong>in</strong>g and transition fund<strong>in</strong>g arrangements, to support
<strong>the</strong> safe transfer.
• We rema<strong>in</strong> committed to work<strong>in</strong>g with <strong>the</strong> PCT as our ma<strong>in</strong> commissioners,
but cannot do this at <strong>the</strong> expense <strong>of</strong> our duty <strong>of</strong> care to people who use our
services, carers and out staff.

Fund<strong>in</strong>g Arrangements for Day Services
Jo Young <strong>in</strong>troduced <strong>the</strong> report on <strong>the</strong> East Surrey Alzheimer’s Day Services
and reported:
Surrey and Borders NHS Foundation Trust-
• Are clear that <strong>the</strong> fund<strong>in</strong>g received from Surrey Primary Care Trust is for <strong>the</strong>
delivery <strong>of</strong> healthcare and that <strong>the</strong> strategic direction is for us to be do<strong>in</strong>g
less work and days service activity.
• Have apologised both verbally and <strong>in</strong> writ<strong>in</strong>g to <strong>the</strong> Alzheimer’s Society and
s<strong>in</strong>cerely regret that we placed <strong>the</strong> Alzheimer’s Society <strong>in</strong> a difficult position
because we failed to meet <strong>the</strong> six month contract agreement.
• Has found additional sav<strong>in</strong>g schemes to manage <strong>the</strong> slippage <strong>of</strong> <strong>the</strong>
extended notice period
• Sent a full progress report to East Surrey LINks and attended <strong>the</strong>ir meet<strong>in</strong>g
<strong>in</strong> November 2008.
Surrey PCT-
• Has reviewed <strong>the</strong>ir decision to discont<strong>in</strong>ue <strong>the</strong> fund<strong>in</strong>g support for <strong>the</strong> day
services and concluded that <strong>the</strong>y stand by <strong>the</strong> decision. They state that
<strong>the</strong>re is an equitable commissioned outreach service from <strong>the</strong> Alzheimer’
Society across <strong>the</strong> county.
Surrey County <strong>Council</strong>-
• The meet<strong>in</strong>g has been rescheduled due to sickness.
People who use services and Carer Representation on Governance
Committees
Julie Gaze <strong>in</strong>troduced <strong>the</strong> report on Involvement <strong>in</strong> Governance Committees
and Steer<strong>in</strong>g Board prepared by Andy Edeleanu. The <strong>Governors</strong> engaged <strong>in</strong> a
discussion.
The ma<strong>in</strong> po<strong>in</strong>ts <strong>in</strong>cluded:
• Julie Gaze <strong>in</strong> response to a question from Ted Pottage highlighted that <strong>the</strong>
number <strong>of</strong> service user and carers for each committee <strong>in</strong>dicated <strong>in</strong> <strong>the</strong>
report meets <strong>the</strong> m<strong>in</strong>imum standard.
• Carol Ann Roycr<strong>of</strong>t expressed her concerns on <strong>the</strong> level <strong>of</strong> support
available for service users and carers engaged <strong>in</strong> work with <strong>the</strong> Trust and
sighted <strong>the</strong> meet<strong>in</strong>g today as an example.
• Sally Ann Brady referred to <strong>the</strong> Standards for Involv<strong>in</strong>g People and advised
that <strong>the</strong>y do <strong>in</strong>clude strict guidel<strong>in</strong>es for <strong>in</strong>volv<strong>in</strong>g services users and carers
<strong>in</strong> Trust activities.

• Don Illman noted that <strong>the</strong> Board approved <strong>the</strong> Standards for Involv<strong>in</strong>g
People over a year ago.
• Barbara Nurse questioned what is it that is prevent<strong>in</strong>g Standards be<strong>in</strong>g put
<strong>in</strong>to practice.
Julie Gaze reflected on <strong>the</strong> progress so far and noted that we do have some
structures <strong>in</strong> place and made specific reference to <strong>the</strong> <strong>in</strong>ductions <strong>held</strong> by Andy
Edeleanu and <strong>the</strong> arrangements <strong>in</strong> place for Service Users and Carers to meet
with <strong>the</strong> Chairman <strong>of</strong> <strong>the</strong> Committees, before <strong>the</strong>y take up <strong>the</strong> duties. But
acknowledged that we need to do more.
Fiona Edwards reported that she is lead<strong>in</strong>g on a piece <strong>of</strong> work to set goals to
set a clear programme <strong>of</strong> work for where we are with <strong>the</strong> Involvement
Standards and where we wish to be over <strong>the</strong> next year and beyond. Progress
aga<strong>in</strong>st <strong>the</strong> standards will be monitored aga<strong>in</strong>st a clear programme <strong>of</strong> work. Jo
Young as Operations Director will hold <strong>the</strong> responsibility for <strong>the</strong> ongo<strong>in</strong>g
monitor<strong>in</strong>g and report<strong>in</strong>g.
Fiona Edwards noted that she will present <strong>the</strong> report to <strong>the</strong> next Forum <strong>of</strong>
Carers and Service Users and <strong>the</strong> next <strong>Council</strong> <strong>of</strong> <strong>Governors</strong> <strong>Meet<strong>in</strong>g</strong>.
Action: Fiona Edwards will present <strong>the</strong> report on A Programme <strong>of</strong> Work
to Monitor Progress <strong>of</strong> <strong>the</strong> Standards for Involvement, at <strong>the</strong> next council <strong>of</strong>

24/7 Consultation, Interim Response
Jo Young gave an update on <strong>the</strong> current position with <strong>the</strong> 24/7 consultation

The Trust:
• Has received a number <strong>of</strong> responses from organisations and <strong>in</strong>dividuals; we
are currently collat<strong>in</strong>g and understand <strong>the</strong> responses.
• Attended both <strong>the</strong> Surrey and Hampshire Health and Scrut<strong>in</strong>y Committees,
both support, <strong>in</strong> pr<strong>in</strong>ciple, that our facilities require modernisation. We have
agreed to do some additional work to <strong>in</strong>clude stakeholder <strong>in</strong>volvement and
develop a Hampshire specific document. The Trust will report back to <strong>the</strong>
Scrut<strong>in</strong>y Committees <strong>in</strong> February/ March 2009.
Tracey Hayes requested an update on <strong>the</strong> additional cost impact to <strong>the</strong> Trust <strong>of</strong>
deferr<strong>in</strong>g <strong>the</strong> consultation. Fiona Edwards reiterated this is about improv<strong>in</strong>g
<strong>in</strong>patient services and <strong>in</strong> terms <strong>of</strong> cost, <strong>the</strong>re is no f<strong>in</strong>ancial driver. The
extension, if approved by <strong>the</strong> Board, will not impact on <strong>the</strong> Trust’s f<strong>in</strong>ances, but
it will help everyone understand <strong>the</strong> shape and configuration <strong>of</strong> our services.
Graham Cawsey agreed that <strong>the</strong> Board should agree a timescale.

Sally Ann Brady noted that to enable a full response to <strong>the</strong> consultation, it
requires an understand<strong>in</strong>g <strong>of</strong> <strong>the</strong> allied community services. Jo Young reported

Governor <strong>Meet<strong>in</strong>g</strong>s Without Trust Directors
Stuart Craig referred to his communication to <strong>the</strong> <strong>Governors</strong>, before <strong>the</strong>
September <strong>Council</strong> <strong>of</strong> <strong>Governors</strong> <strong>Meet<strong>in</strong>g</strong>. He reiterated that some <strong>Governors</strong>
had requested an opportunity to hold meet<strong>in</strong>gs without Directors. He <strong>in</strong>vited
<strong>Governors</strong> to consider:
1. Do <strong>Governors</strong> wish to hold a meet<strong>in</strong>g without <strong>the</strong> Directors?
2. If so, how and when will <strong>the</strong>se meet<strong>in</strong>g take place?
The <strong>Governors</strong> engaged <strong>in</strong> a discussion and noted <strong>the</strong> ma<strong>in</strong> reasons for <strong>the</strong>
request:
a. Create an opportunity to become more acqua<strong>in</strong>ted with each o<strong>the</strong>r.
b. Create an opportunity to discuss as a group <strong>the</strong> governor role and
understand <strong>the</strong>ir duties.
c. Discuss more <strong>in</strong>formal items that may not be <strong>in</strong>cluded on <strong>the</strong> <strong>Council</strong> <strong>of</strong>
<strong>Governors</strong> Agenda.
d. Discuss items <strong>in</strong> private because <strong>the</strong> <strong>Council</strong> <strong>of</strong> <strong>Governors</strong> meet<strong>in</strong>gs are
<strong>held</strong> <strong>in</strong> <strong>public</strong>.
There was no consensus to hold a meet<strong>in</strong>g without Directors, but from those
<strong>Governors</strong> who expressed an <strong>in</strong>terest to hold a meet<strong>in</strong>g without Directors <strong>the</strong>
majority <strong>in</strong>dicated a preference for a workshop approach, with a clear focus on
<strong>the</strong> <strong>in</strong>tended outcome. Glenn Cornish noted that <strong>the</strong> Staff <strong>Governors</strong> are
already meet<strong>in</strong>g as a group.
Dr Maurice Brooks noted that governors have a specific duty to represent <strong>the</strong>
po<strong>in</strong>ts <strong>of</strong> view <strong>of</strong> <strong>the</strong>ir constituencies and <strong>the</strong>se issues should be discussed at
<strong>the</strong> <strong>Council</strong> <strong>of</strong> <strong>Governors</strong> <strong>Meet<strong>in</strong>g</strong>.
Graham Cawsey thanked everyone for <strong>the</strong>ir comments. He proposed that <strong>the</strong>
Board and Governor Workshop on Wednesday 28 January is used to hold an

Recommendations for <strong>the</strong> Chairman and Non Executive Directors

Stuart Craig reported that he agreed, <strong>in</strong> pr<strong>in</strong>ciple, <strong>the</strong> <strong>in</strong>creased remuneration
for <strong>the</strong> Chairman and Non Executive Directors, but echoed <strong>the</strong> view <strong>of</strong> some
o<strong>the</strong>r <strong>Governors</strong> that perhaps it gave <strong>the</strong> wrong impression to hold <strong>the</strong>
discussions immediately follow<strong>in</strong>g authorisation as a Foundation Trust.
Graham Cawsey and John Banfield (The Senior Independent Director) had
agreed to hold it over. Stuart Craig noted that s<strong>in</strong>ce <strong>the</strong>ir meet<strong>in</strong>g Fiona
Edward has agreed to review ‘Involvement’ and taken responsibility for <strong>the</strong>
Standards. Stuart Craig <strong>in</strong>vited Fiona Edwards to <strong>in</strong>troduce <strong>the</strong>
recommendations for <strong>the</strong> remuneration <strong>of</strong> Chairman and Non - Executive
Directors.
Fiona Edwards referred to <strong>the</strong> report support<strong>in</strong>g this item and reported that <strong>the</strong>
Trust commissioned <strong>the</strong> Hay Group to provide benchmark<strong>in</strong>g reports for <strong>the</strong>
pay <strong>of</strong> Non Executive Directors with<strong>in</strong> Foundation Trusts. The <strong>Governors</strong>
engaged <strong>in</strong> a discussion.
Stephenne Rhodes questioned <strong>the</strong> appraisal process for <strong>the</strong> Chairman and
Non - Executive Directors. Fiona Edwards expla<strong>in</strong>ed <strong>the</strong> processes <strong>in</strong> place for
<strong>the</strong> Executives Directors and suggested we develop a similar process.
Action: A proposal for an appraisal process for Non – Executive Directors
will be developed and shared with <strong>the</strong> <strong>Governors</strong>.

Eileen Welland raised <strong>the</strong> f<strong>in</strong>ancial impact <strong>of</strong> <strong>the</strong> pay award. Fiona Edwards
reported that <strong>the</strong> cost was built <strong>in</strong>to this year’s budget, based on anecdotal
data.
Barbara Nurse po<strong>in</strong>ted out <strong>the</strong> <strong>in</strong>creased responsibility and accountability <strong>of</strong>
Non - Executive Directors follow<strong>in</strong>g Foundation Trust authorisation. Fiona
Edwards added her support for <strong>the</strong> remuneration proposal, noted <strong>the</strong>
governance benefits <strong>the</strong> Non – Executive Directors br<strong>in</strong>g to <strong>the</strong> Trust and gave
a summary account <strong>of</strong> <strong>the</strong> changes and <strong>in</strong>creased unitary Board accountability

for Non –Executive Directors follow<strong>in</strong>g Foundation Trust authorisation; add<strong>in</strong>g
that this was rigorously tested dur<strong>in</strong>g <strong>the</strong> Foundation Trust application process.
Carol Ann Roycr<strong>of</strong>t noted her support for <strong>the</strong> pay <strong>in</strong>crease.
Sally Ann Brady raised <strong>the</strong> matter <strong>of</strong> payment for Service Users and Carer
Involvement and noted <strong>the</strong>ir contribution to <strong>the</strong> Trust is comparable to <strong>the</strong> work
<strong>of</strong> <strong>the</strong> Non - Executives Directors. Don Illman supported Sally Ann Brady’s
comments, add<strong>in</strong>g that he endorsed <strong>the</strong> recommended pay <strong>in</strong>crease.
Fiona Edwards expla<strong>in</strong>ed that Service User and Carer Involvement operate on
a different basis to Non - Executive Directors; a rigorous legislative framework
governs Non - Executive Directors selection, appo<strong>in</strong>tment, pay and conditions.
Fiona Edwards noted <strong>the</strong> work <strong>in</strong> progress to review <strong>the</strong> Payments Policy and
her commitment to <strong>the</strong> review, but is concerned by <strong>the</strong> constra<strong>in</strong>ts <strong>of</strong> <strong>the</strong>
legislative framework that we work with<strong>in</strong> and <strong>the</strong> impact this may have on a
way forward. Fiona Edwards reflected on <strong>the</strong> positive comments <strong>of</strong> Monitor, <strong>the</strong>
<strong>in</strong>dependent regulator, on <strong>the</strong> competence and performance <strong>of</strong> <strong>the</strong> Trust.
Resolved: The <strong>Council</strong> <strong>of</strong> <strong>Governors</strong>, follow<strong>in</strong>g a show <strong>of</strong> hand,
unanimously approved <strong>the</strong> remuneration for <strong>the</strong> Chairman and Non-

published us<strong>in</strong>g <strong>the</strong> same channels <strong>of</strong> communication used for <strong>the</strong> Board
