RFP <strong>for</strong> selection <strong>of</strong> Transaction Advisor<br />

Detailed Scope <strong>of</strong> Work<br />

The scope <strong>of</strong> work has been divided to be undertaken in a period <strong>of</strong> 2 years. The execution<br />

<strong>of</strong> the task does not necessarily have to be in the same order.<br />

1. The Transaction Advisor will be retained to develop an effective PPP concession<br />

agreement including design <strong>of</strong> necessary <strong>for</strong>mats <strong>for</strong> capture <strong>of</strong> physical & financial<br />

in<strong>for</strong>mation which would be useful <strong>for</strong> Management In<strong>for</strong>mation System, <strong>for</strong> the clusters<br />

<strong>of</strong> the proposed project. The objective <strong>of</strong> this Consultancy service is to produce a<br />

financially viable concession that would address the principal issues related to project<br />

risks and adequate returns to the concessionaire.<br />

2. The tasks to be undertaken by the Transaction Advisor are:<br />

Preparation <strong>of</strong> Feasibility Reports including technical parameters/details required<br />

<strong>for</strong> bidding the projects on PPP basis<br />

o Site assessment : Visit all the specified sites <strong>for</strong> RVTIs across the<br />

country, <strong>for</strong> assessing the site and the requirement<br />

o Market & Demand assessment<br />

o Type <strong>of</strong> skills covered by skill development institutes (i.e. ITIs/ SDCs,<br />

ATS, MES etc.) and trainers requirements in the appropriate catchment<br />

area <strong>of</strong> proposed RVTI <strong>for</strong> understanding the potential course <strong>of</strong>ferings<br />

o New and emerging skills demands in the region or on a broader level<br />

considering the future scenario in the country<br />

o Model Design <strong>of</strong> a specimen RVTI. Model design herein refers to<br />

submission <strong>of</strong> technical specifications and not architectural design.<br />

Preparation <strong>of</strong> Conceptual Project design <strong>for</strong> development <strong>of</strong> the site.<br />

Identifying issues that could have commercial and financial implications.<br />

Preparation <strong>of</strong> the project cost estimate.<br />

Preparation <strong>of</strong> the project implementation schedule.<br />

Examine the overall viability <strong>of</strong> the project.<br />

To establish revenue and cost <strong>for</strong>ecasts <strong>for</strong> the period <strong>of</strong> the concession.<br />

Define methods <strong>for</strong> recovery <strong>of</strong> revenues.<br />

Conducting sensitivity <strong>for</strong>ecast.<br />

Undertake risk assessment by:<br />

o Identifying the risks and their allocation.<br />
