1.6. Notice: All notices, demands or requests provided for or permitted to be given pursuant to this<br />
Agreement must be in writing. All notices, demands and requests shall be deemed to have been<br />
properly served if given by personal delivery, or if transmitted by facsimile with confirmed receipt, or<br />
if delivered to Federal Express or other reputable express carrier for next business day delivery,<br />
charges billed to or prepaid by shipper; or if deposited in the United States mail, registered or certified<br />
with return receipt requested, proper postage prepaid, addressed as follows:<br />

Section 2 - State <strong>of</strong> <strong>Connecticut</strong> Required Terms and Conditions<br />
As an Agency <strong>of</strong> the State <strong>of</strong> <strong>Connecticut</strong> (a sovereign entity) the <strong>University</strong> is governed by the<br />
following terms and conditions, which may not be modified, amended or deleted unless approved by<br />
the Office <strong>of</strong> the Attorney General.<br />
2.1. Statutory Authority. <strong>Connecticut</strong> General Statute §§ 10a-104, 10a-108, 4a-52a, and 10a-151b<br />
provide the <strong>University</strong> with authority to enter into contracts in the pursuit <strong>of</strong> its mission.<br />
2.2. Claims. The Contractor agrees that the sole and exclusive means for the presentation <strong>of</strong> any<br />
claim against the State <strong>of</strong> <strong>Connecticut</strong> or the <strong>University</strong> <strong>of</strong> <strong>Connecticut</strong> arising from this<br />
Agreement shall be in accordance with Chapter 53 <strong>of</strong> the <strong>Connecticut</strong> General Statutes (Claims<br />
Against the State) and the Contractor further agrees not to initiate any legal proceedings in any<br />
state or federal court in addition to, or in lieu <strong>of</strong>, said Chapter 53 proceedings.<br />
2.3. Insurance. The Contractor agrees that while performing Services specified in this agreement<br />
s/he shall carry sufficient insurance (liability and/or other) as applicable according to the nature<br />
<strong>of</strong> the service to be performed so as to "save harmless" the State <strong>of</strong> <strong>Connecticut</strong> from any<br />
insurable cause whatsoever. If requested, certificates <strong>of</strong> such insurance shall be filed with the<br />
contracting State agency prior to the performance <strong>of</strong> Services.<br />
2.4. Indemnification.<br />
The Contractor shall indemnify and hold harmless the State <strong>of</strong> <strong>Connecticut</strong>, including any<br />
agency or <strong>of</strong>ficial <strong>of</strong> the State <strong>of</strong> <strong>Connecticut</strong> from, and against all costs, claims, damages, or<br />
expenses, including reasonable attorney’s fees, arising from its negligent acts or omissions in<br />
connection with the performance <strong>of</strong> this Agreement.<br />
2.5. Governing Law. This Agreement shall be construed in accordance with and governed by the<br />
laws <strong>of</strong> the State <strong>of</strong> <strong>Connecticut</strong>.<br />
2.6. Non-discrimination. References in this section to "Contract" shall mean this _____________<br />
and references to "Contractor" shall mean the _____________.<br />
