7.8.4 Contract Provisions by Reference: It is mutually agreed by and between the <strong>University</strong><br />

and the vendor that the <strong>University</strong>'s acceptance <strong>of</strong> the vendor's <strong>of</strong>fer by the issuance <strong>of</strong> a<br />

purchase order shall create a contract between the parties thereto referencing all<br />

specifications, terms and conditions in the Request for Proposal except as amended in<br />

final negotiations. Any exceptions taken by the vendor which are not included in the<br />

negotiations or purchase order will not be part <strong>of</strong> the contract. Therefore, in the event<br />

<strong>of</strong> a conflict between the terms and conditions <strong>of</strong> the RFP and information submitted by<br />

a vendor, the terms and conditions <strong>of</strong> this Request for Proposal and Agreement will<br />

govern.<br />

7.8.5 Warranty: The vendor warrants that the goods or services supplied hereunder will be <strong>of</strong><br />

good workmanship and <strong>of</strong> proper materials, free from defects and in accordance with<br />

specifications and agrees to credit or replace defective items promptly and at no charge<br />

to the <strong>University</strong> If the vendor knows <strong>of</strong> the <strong>University</strong>’s intended use, the vendor<br />

warrants that the goods or services are suitable for the intended use.<br />

7.8.6 Ethical Considerations: The proposing vendor must certify that no elected or appointed<br />

<strong>of</strong>ficial or employee <strong>of</strong> the <strong>University</strong> has benefited, or will benefit financially or<br />

materially from the proposed services. The <strong>University</strong> may terminate any contract<br />

resulting from this RFP, if it is determined that gratuities <strong>of</strong> any kind were either <strong>of</strong>fered<br />

to, or received by, any <strong>University</strong><br />

<strong>of</strong>ficer or employee contrary to this policy. The authorized signatory <strong>of</strong> a submitted<br />

proposal automatically attests this to be true.<br />

The laws <strong>of</strong> the State <strong>of</strong> <strong>Connecticut</strong> provide it is a felony to <strong>of</strong>fer, promise or give<br />

anything <strong>of</strong> value or benefit to a State employee with intent to influence that employee’s<br />

acts, opinion, judgment or exercise <strong>of</strong> discretion with respect to that employee’s duty.<br />

Evidence <strong>of</strong> violation <strong>of</strong> this statute will be turned over to the proper prosecuting<br />

attorney.<br />

7.8.7 Executive Order No. 3: This Contract is subject to the provisions <strong>of</strong> Executive Order<br />

No. 3 <strong>of</strong> Governor Thomas J. Meskill promulgated June 16, 1971, and, as such, this<br />

contract may be cancelled, terminated or suspended by the State Labor Commissioner<br />

for violation <strong>of</strong> or noncompliance with said Executive Order No. Three, or any state or<br />

federal law concerning nondiscrimination, notwithstanding that the labor commissioner<br />

is not a party to this contract. The Parties to this Contract, as part <strong>of</strong> the consideration<br />

here<strong>of</strong>, agree that said Executive Order No. Three is incorporated herein be reference<br />

and made a part here<strong>of</strong>. The Parties agree to abide by said Executive Order and agree<br />

that the state labor commissioner shall have continuing jurisdiction in respect to<br />

contract performance in regard to nondiscrimination, until the contract is completed or<br />

terminated prior to completion. The Contractor agrees, as part consideration here<strong>of</strong>,<br />

that this Contract is subject to the Guidelines and Rules issued by the state labor<br />

commissioner to implement Executive Order No. Three, and that it will not discriminate<br />

in its employment practices or policies, will file all reports as required, and will fully<br />

cooperate with the State <strong>of</strong> <strong>Connecticut</strong> and the state labor commissioner.<br />

7.8.8 Executive Order No. 17: This Contract is subject to the provisions <strong>of</strong> Executive Order<br />

No. 17 <strong>of</strong> Governor Thomas J. Meskill promulgated February 15, 1973, and, as<br />

such this Contract may be cancelled, terminated or suspended by the contracting agency<br />

or the State Labor Commissioner for violation <strong>of</strong> or noncompliance with said Executive<br />
