The Licensee commits himself to fulfil his responsibility to effect
payment directly after receipt of invoice.
Licensor warrants that it has acquired all the rights from authors,
proprietors of neighboring copyrights and other proprietors necessary
for the exploitation of the Program by the Distributor within the scope
of the present Agreement.
Licensor declares that, with regard to the exploitation rights granted to
Distributor, neither agreements nor unilateral claims or demands exist
which might affect Distributor’s right of control for the said exploitation
rights.
The Licensee assumes liability for upholding the individual rights of the
creator and filmmaker as well as depicted persons with regard to the
used material. In this respect the Licensee exempts the Licensor from
claims by third persons.
No rights are granted other than those explicitly listed in this License
Agreement for the use of the film excerpts. Nor are any rights reserved
by GEMA or similar companies transferred.

Obligations:
Licensee commits himself to send free of charge to the Licensor an
announcement of using as well as a screening copy in the form of a
DVD. The announcement of use should contain the length of the used
clips as well as time code data.
Licensee is obliged to name the Licensor as follows

Licensee is not permitted to concede to a third party any using rights
for the clips as specified in the object of the contract and is obliged to
guarantee that access to a third party is impossible.
Miscellaneous:
The Licensee is responsible for the payment of extra costs to the
Licensor for the provision of the material (Archive Library services,
copying, mailing and costs of material) in accordance with the enclosed
pricelist Enclosure 2.
Any amendments to or modifications of the present Agreement shall be
made in writing so as to be legally effective. The same shall apply to
the conditioning out of the present clause concerning the required
written form.
The present Agreement shall be governed by and construed in
accordance with the laws of the Federal Republic of Germany. The place
of performance and venue is Berlin.
In the event that any provisions of the present Agreement are or
become invalid, the validity of the remaining provisions remains
unaffected. The parties shall agree on the replacement of such
provisions by provisions apt to attain the desired economic aim in view
of the interests concerned. The same applies to bridging possible gaps
in the present Agreement.
