Construction and Equipment Suppliers<br />

We rely on Ferrovial, one of Spain’s leading construction corporations and one of the ONO<br />

Group’s beneficial shareholders, and a number of other smaller contractors, for the construction,<br />

commissioning and delivery of our networks. In the event that it becomes necessary, we are confident that<br />

we could continue our current rate of construction even if one of these construction companies should<br />

cease operations.<br />

We rely mainly on Alcatel for the supply of electronic equipment including switches,<br />

synchronous digital hierarchy access equipment, coaxial and fiber cables, cable television transmission<br />

equipment and optical receivers. Alcatel is also responsible for commissioning our telecommunications<br />

equipment. The cable television amplifiers are from C-Cor (formerly Philips). Our digital head-end was<br />

supplied by Motorola, Harmonic and Cisco. Our set-top boxes (both analog and digital) are currently<br />

supplied by Motorola, while other suppliers including Pace may equip us in the future.<br />

Our Internet service provider software is provided by, among others, Sun Microsystems, Hewlett<br />

Packard, EMC2 and Cisco and our cable modem equipment is supplied by Motorola, US Robotics and<br />

Cisco, among others.<br />

The construction contractors are responsible for all civil works, equipment installation and<br />

activation of our local networks. CH2MHill oversees the construction contractors and is responsible for<br />

detailed street by street network design, as well as the overall management of the construction program.<br />

When a construction company completes a specified portion of the network, CH2MHill conducts a final<br />

inspection to ensure that this portion is built correctly and in accordance with our engineering<br />

specifications and either accepts or rejects the constructed portion on our behalf.<br />

We believe our main suppliers to be financially sound and unlikely to cease operations in the<br />

immediate future. We have, nevertheless, identified secondary suppliers for key network elements.<br />

Leased Premises<br />

We lease certain properties for administrative and sales offices, hubs, stores, switch and headend<br />

sites and warehouses. A significant proportion of the properties are used for both administrative and<br />

technical purposes. Our network operations center and digital head-ends are located in Madrid and our<br />

call center is located in Valencia. We believe that our properties are generally suitable and adequate for<br />

the purposes for which they are intended.<br />
