Operator of Electricity Transmission System of Macedonia – a joint stock

ownership, Skopje, AD MEPSO – Skopje announces the following:
1. Buyer:
INVITATION TO BIDS No 1/2008
The Buyer is the Operator of the Electricity Transmission System of Macedonia – a joint
stock company for electricity transmission and power system control, in state ownership,
Skopje, (hereinafter referred to as “Buyer”) with address at Orce Nikolov bb St, 1000

Subject of supply is electricity in the period between 16 th March 2008 to 31 st December
2008. The monthly quantity of electricity, power (daily/at night), and coefficient of
modulation (night/daily) shall be provided in the point 4.
The conditions of delivery are provided in the Technical Documentation.
The Table with the offered quantities and prices shall be in the technical documentation.
The Technical Documentation may, the interested Bidders, provide in person in the
Buyer’s premises, AD MEPSO at Orce Nikolov bb St, 1000 Skopje, floor 1, room no.
127 after the date of announcement of this Invitation to Bids, every day or from AD
MEPSO web site, optionally to the Bidder, free of charge.
Questions in connection with Technical Documentation shall be submitted electronically
by e-mail.
Questions and answers shall be submitted by e-mail to the applicant raising the
question.

3. Availability of Invitation to Bid
The Invitation to Bid is public and open with right to participation of all local and foreign
legal and natural entities registered to do such a business, which shall be announced
in/on:
- Official Gazette of R. Macedonia,
- Buyer’s web site (www.mepso.com.mk)
- ,,24 hours" in R. Bulgaria
- Financial Times
- Three national daily newspapers
4. Quantity of Supply
The total quantity of supply shall amount 301 590 MWh as per the requested quantities
in the Table.

- The Bidder should offer at least monthly quantities of electricity in compliance with
the defined period in the Table,
- Bidder may also offer a part of the requested quantities of electricity for the entire
period or certain months from the stated period,
- The Buyer may also accept any quantity from the requested for the stated period
and/or for certain months of the stated period.
- The Buyer is entitled to use power tolerance of ±20% from the agreed power of
weekly schedules.

The Buyer shall reserve the right, the execution of the referred purchase/supply to be
awarded to more Bidders.
The Buyer shall reserve the right not to carry out the subject of purchase.
5. Bidder’s Capability
For the purpose of participating in the Invitation to Bid, the Bidders shall submit
mandatory:
- Statement that in the last five (5) years a final verdict has not been made for
participation in criminal organization, corruption or fraud and money washing,
- Certificate that procedure has not been instituted to it for bankruptcy from a
competent authority
- Certificate that procedure has not been instituted to it for liquidation from a
competent authority,
- Certificate that it has paid the taxes, contributions and other public charges issued
by a competent authority in the country of Bidder’s registration,
- Certificate that a final verdict has not been made a violating sanction – prohibition of
doing the profession, business, or duty and/or temporary prohibition of doing a
certain activity, and
- Document of registered business as an evidence for the Bidder’s registration as a
natural or legal entity for doing the business related to the subject of supply or an
evidence that it belongs to appropriate professional association pursuant to
regulations in the country of registration.
The documents of point 5 may not be older than 6 months and shall be submitted in
original or copy certified by the Bidder. If the Buyer suspects the documents related to
determining the Bidder’s status, it shall reserve the right to request information directly
from the competent authorities that issued the documents in relation to determining the
Bidder’s status.
6. Preparation and Submission of Bid
6.1. Method of Bid Preparation
The Bid shall be prepared in compliance with the conditions provided in the Technical
Documentation by using forms attached, thereof. The Bidder shall prepare one original
copy.
The Bid shall be written in indelible ink and signed by the responsible person of the
Bidder. All Bid pages shall be initialed by the person signing the Bid. Any writing
between the lines, erasing or writing over the earlier text is valid only if it is initialed by
the person signing the Bid.
6.2. Bid Content

The Bid shall contain the following elements:
- Name, address, head office, tax number, and Bidder’s person in charge,
- Phone, fax, e-mail and Bidder’s contact person,
- Quantities of electricity for the offered period (the table to be filled in that is submitted
in the Technical Documentation),
- Unit price per 1 MWh electricity in Euro (round up on the second decimal) for daily
(07-24:00 CET) separately, and at night (00:00 – 07:00 CET) energy for every month
separately including compulsory the total Bid value for the offered quantities in EUR
that will contain all the costs to the delivery point (the table to be filled in provided in
the Technical Documentation),
- Method and term of payment,
- Data on the competent operating division for management of electricity trade,
6.3 Financial Guarantee
6.3.1 Bid Guarantee
The Bidder is mandatory requested to submit a Bid Bond in the form of:
- a bank guarantee issued by a first class bank in favor of AD MEPSO – Skopje
through Stopanska Banka AD Skopje SWIFT CODE: STOBMK 2x or through
Ohridska Banka AD Skopje SWIFT CODE: OHRDMK 22 in the form of coded
SWIFT message. The cost for guarantee proceeding shall be borne by the Bidder, or
- deposited funds in the amount of 3% of Bid value
The Bid Bond validity shall be not less than 14 days following the date of the expiry of
Bid validity.
The Bid Bond (bid guarantee) shall accompany the Bid in original form.
The Buyer may make the Guarantee payable in case that the Bidder:
- withdraws its Bid prior to the expiry of its validity.
- fails to accept the correction of arithmetic errors,
- fails to sign the contract, or
- fails to provide the Performance Guarantee
The Bid Bond (bid guarantee) shall be return to Bidders not selected to be the most
favorable (satisfactory) within its validity time.
The Bid Bond of the Bidder whose Bid is selected to be the most favorable shall be
returned after signing of the contract and submitting a Performance Guarantee.
6.3.2 Performance Guarantee
The Bidder whose Bid shall be selected to be the most favorable will be requested to
provide a Performance Guarantee in the form of a bank guarantee issued by a first

class in the amount of 10% of the contract value with validity up to the full contract
completion.
The Performance Guarantee of contract shall be return to Bidder within 14 days after
the day of full completion of the contract.
6.3.3 Advance payment
The Buyer shall not rank Bids containing advance payment.
Bids containing a full or a partial advance payment shall not be considered and shall be
rejected as unacceptable.
6.4. Language of Bid
Bids of foreign Bidders with the complete documentations hall be originally written in
Macedonian language or translated into Macedonian by a certified and sworn translator.
6.5. Bid Validity Time
The Bid validity time should be 30 days after the date of public Bid opening for which
duration of time the Bid shall be in all its elements binding to the Bidder. Bids having a
shorter validity time shall be rejected to be unacceptable.
6.6. Bid Sealing
A Bid may be submitted only by a Bidder which has provided the Technical
Documentation from the Buyer in compliance with point 2.
The Bidder shall attach the original copy in a sealed inner envelope containing the
Bidders name with its full and correct address.
The inner envelope shall be submitted in a sealed outer envelope which shall be:
- addressed to Buyer’s correct address,
- contain the number of Bid,
- be marked ,,Do Not Open" in the top left hand corner.
In case that all envelopes are not sealed and marked as requested, the Buyer shall not
be responsible for the mislaying or earlier Bid opening.
6.7 Principle of Single Bid
A legal or a physical entity may submit only one Bid.
7. Deadline and Venue of Bid Submission
7.1. Deadline of Bid submission shall be: 11 th March 2008 at 10:00 o’clock a.m.

7.2. Bids shall be submitted in person or by mail at the following address:

8. Public Bid Opening
Bids shall be opened publicly, in Bidders presence.
Public Bid Opening shall be made on the date and at hour as set to be the deadline for
Bids submission at the following Buyer’s address:

The Bidder may have its authorized representative at the public Bid opening in which
the authorized representative should have a Power of Attorney from the Buyer in writing.
9. Criteria for Selection of the Most Favorable/Satisfactory Bid

- Conditions of delivery – totally offered quantities 5
- Manner and term of payment 5
10. Notification of Bidders
All Bidders participating in the Invitation to Bids shall be given a notice in writing on the
selection of the Buyer to be the most favorable Bid/Bids within three days after the day
of decision making.
