ADDENDUM A – RIDER<br />

The John F. Kennedy Center For The Performing Arts<br />

<strong>THE</strong> <strong>SUZANNE</strong> <strong>FARRELL</strong> <strong>BALLET</strong><br />

<strong>Mixed</strong> <strong>Repertoire</strong> <strong>Program</strong><br />

This rider is attached to and is an integral part of this Agreement between The John F. Kennedy<br />

Center for the Performing Arts f/s/o The Suzanne Farrell Ballet (the “Company”) and the<br />

PRESENTER (the “Presenter”). The Presenter agrees to provide all of the specified technical<br />

equipment and crew. Failure to meet all requirements may be deemed a material breach of<br />

contract, at the Kennedy Center’s sole discretion. The Kennedy Center must approve all<br />

alterations to the technical rider in advance, in writing.<br />

The Company will provide and produce the agreed upon performances together with all<br />

scenery, costumes, properties, painted marley, and such administrative and technical staff as<br />

may be necessary. The Company shall have sole artistic control of the performances.<br />

TECHNICAL REQUIREMENTS<br />

GENERAL<br />

1. Artist travels with a Lighting Supervisor/Technical Director, Company Manager, Principal<br />

Stage Manager, Stage Manager, and Wardrobe Supervisor.<br />

2. The Presenter agrees to provide a house technical director knowledgeable about the<br />

place of performance and empowered to make decisions on behalf of the Presenter.<br />

3. The Presenter agrees to provide the Kennedy Center Vice President of Production with<br />

the following technical data:<br />

a. Theater ground plan and section<br />

b. Light plot and hook-up<br />

c. Technical specifications for the Theater<br />

4. The Presenter will accomplish the following prior to the schedules load-in of Artist:<br />

a. Hang all legs and borders, scrim, and cyc<br />

b. Hang, circuit, test and gel all lighting equipment set forth to the light plot and<br />

hookup sheets prior to the arrival of Artist’s Lighting Supervisor<br />

c. Install the dance floor<br />

d. Locate two (2) tables in the center of auditorium with shaded working lights and<br />

electrical outlets set in (Direct access to the stage level is needed from this<br />

position).<br />

5. Depending upon program, Artist requires 12-16 hours after arrival to focus the lighting<br />

equipment, set light intensities, set sound levels, prepare the wardrobe, and complete a<br />

technical rehearsal for dancers. After a discussion with the Presenter’s technical<br />

representative, the Kennedy Center Vice President of Production will set the call times.<br />

6. If Artist performs more than one program, the Presenter will provide six additional hours<br />

for lighting refocus and rehearsal of the new program.<br />

7. If residency activities or company classes on stage cause a delay in the technical<br />

preparation or rehearsal, the Presenter will be responsible for the additional time,<br />

personnel and costs required to complete these activities. Any alteration of crew or<br />

scheduling requirements can happen only with the approval of the Kennedy Center Vice<br />

President of Production.<br />

LABOR REQUIREMENTS<br />

1. The actual time and number of crew needed will vary depending upon circumstance and<br />

will be determined by the Kennedy Center Vice President of Production in coordination<br />

with the theater’s technical director/stage manager depending upon the program(s)<br />

scheduled.<br />

2. Artist is a non-yellow card attraction. Artist shall not be responsible for any costs<br />

required by unions or other agents, including Presenter, for personnel either operating or<br />

supervisory, or for any costs required for production equipment.<br />

3. The technical crew shall consist of a competent crew sufficient to complete the set up,<br />

operation of lighting equipment, sound equipment, curtain/flies, props and wardrobe, and<br />

take down of the show within the stipulated time period. The crew must be the same for<br />

the technical/dress rehearsals and performances.<br />

STAGE REQUIREMENTS<br />

1. Artist requires a minimum proscenium that is 40’ wide and 30’ tall. The minimum depth<br />

of the stage is 30’.<br />

2. The stage floor should be level, sprung with air space and covered with a gray marley to<br />

fit the entire stage area, including 10’ to 12’ into the wing space. Artist uses rosin.<br />

3. The stage should be swept and mopped before each rehearsal and performance and<br />

onstage; backstage areas will remain clean and clear of obstructions; there should be<br />

two 8’ prop tables, one on each side of the stage; there should be carpeted area for<br />

stretching adjacent to the stage.<br />

4. Artist requires a minimum of 33 line-sets with battens of at least 60’ of width, 65’ of<br />

vertical travel, and capable of lifting 1000 pound loads.<br />

5. Soft goods required include: at least five sets of black legs, a full stage black backdrop,<br />

borders, and with cyclorama, a house main curtain.<br />

6. Several of the ballets require a convenient, accessible onstage crossover.<br />

LIGHTING REQUIREMENTS<br />

Although the tour plot has not been designed as of the writing of these specifications, Artist<br />

will work within a repertory dance system of approximately 280 instruments and 3 full racks<br />

of dimmers.<br />

1. The Presenter agrees to provide the lighting equipment and gel as specified on the light<br />

plot and hook up sheet provided by Artist. All lighting units will be hung, circuited and<br />

colored prior to the load-in of Artist.<br />

2. Exact numbers of instruments will depend on the size of the playing space and type of<br />

inventory; and plot should include, but not be limited to:<br />

FOH: 1 set of curtain warmers and 3 full front wash systems<br />

Back Light: 2 full stage back wash systems<br />

High sides: Pipe end high side/high cross lighting from each side, minimum 4 pipes<br />

Booms: Minimum 4 booms per side with a minimum of 5 instruments each<br />

Cyc: 3 color cyc wash<br />

Follow Spots:2 matched follow spots with working iris, dowser, color boomerang<br />

Specials: Minimum 20<br />

3. The Lighting Control Board outputting DMX control signal should be comparable or<br />

better than an ETC Expression or Obsession. There should be 3 racks or 288 dimmers<br />

of at least 2.4 K each, all of which are DMX controllable.<br />

4. Artist requires adequate work light for on-stage classes, rehearsals, and work calls;<br />

running lights for offstage areas, red spotting light at rear of the house at centerline.<br />

5. Artist requires 2 genie lifts or rolling ladders capable of focusing at 30’ high.<br />

AUDIO REQUIREMENTS<br />

1. Artist requires an audio system with:<br />

a. a professional quality house mixing console of 16 inputs and 8 inputs, equivalent<br />

to Machie 1600 or better<br />

b. two professional quality CD players; one dbx 166 or dbx 160x stereo<br />

compressor/limiter<br />

c. a stereo house PA system capable of producing a continuous 110dB with a<br />

frequency range of at least 20-20, 000hz at a distance of 100 feet from the stage<br />

d. a stage monitor system consisting of 4 RAMSA WS-A 200 cabinets or equivalent<br />

bi-amped actively processed speaker system<br />

2. Artist requires a communications system with a total of 10 “Clear Com”<br />

headsets/stations; a monitor and paging system to the dressing rooms; two ‘switched’<br />

announce microphones: one from the stage manager to both stage and dressing rooms<br />

or to the house PA; the other at the rehearsal table to the stage monitors.<br />

3. Except for Duo Concertant, Artist uses pre-recorded music and will travel with CD<br />

recordings. Duo Concertant requires a tuned Steinway concert grand piano.<br />

PROPERTY REQUIREMENTS<br />

1. Artist requires two 8’ tables and three trash cans.<br />

2. Entire stage and wings must be thoroughly swept and mopped 2 hours prior to<br />

performance.<br />

3. Artist uses rosin.<br />

WARDROBE REQUIREMENTS<br />

1. Wardrobe room should be furnished with 1 full size washer and 1 full size dryer in<br />

excellent working order, a fully functioning utility sink, and a well-ventilated area for<br />

painting dance shoes. If the shoe area is out-of-doors, it needs to be covered, safe, and<br />

well lit.<br />

2. There should be sufficient power for 2 irons, 1 steamer, and 1 large fan.<br />

3. In addition to the 4 portable racks Artist carries, Artist requests 4’ of rack space in the<br />

smaller (principal) dressing rooms and 20’ of rack space in the large rooms.<br />

SPACE REQUIREMENTS<br />

1. The Presenter agrees to provide for Artist’s 24 dancers sufficient heated dressing rooms<br />

equipped with tables, mirrors, makeup lights, and costume racks, toilets and showers.<br />

The ideal breakdown is:<br />

4 shared principal dressing rooms<br />

2 large chorus dressing rooms (one male; one female)<br />

2 dressing rooms for two musicians<br />

2. Additionally, a separate “star” dressing room equipped with an outside phone line must<br />

be provided for Ms. Farrell.<br />

3. The Presenter agrees to provide one reception/common area for technical crew and<br />

company.<br />

4. Company management and stage management require two separate office spaces large<br />

enough for 10 people and equipped with chairs, desks, and phone/fax lines with modem<br />

ports, as well as access to a photocopier.<br />

5. Company classes require 40’ x 50’ heated dance studio with at least 12’ of ceiling height,<br />

with a sprung floor, mirrors, a tuned piano, and 9 – 8’long, free-standing ballet barres<br />

and adequate lights. The company uses rosin.<br />

6. If classes are on-stage, Artist requires a tuned upright piano (with piano light and bench);<br />

9 – 8’ long, free-standing ballet barres; adequate light and heat.<br />

7. A temperature range between 72 degrees Fahrenheit and 80 degrees Fahrenheit is<br />

required on stage, back stage, and in the dressing rooms.<br />

ARTIST REQUIREMENTS<br />

HOSPITALITY AND TRAVEL<br />

1. The Presenter agrees to provide the following refreshments whenever the<br />

Artist is located in the theater: Bottled water, coffee, tea, milk, assorted juices and soft<br />

drinks, fruit, light snacks, sandwiches, and paper products for the above.<br />

2. Artist requires at least 36 individual half-liter bottles of non-carbonated water for each<br />

performance, rehearsal and technical work call, and 20 lbs of cubed ice.<br />

3. The Presenter agrees to provide parking and permits for the company’s vehicles which<br />

may include truck(s), motor coach and 2 cars during Artist’s residence.<br />

REPERTOIRE<br />

1. Artist shall perform a program of mixed repertory for all performances on the Tour. Artist<br />

shall make best effort to accommodate Presenter’s wishes but the final decisions<br />

regarding repertoire and all other artistic matters remain with Artist.<br />

2. There are two intermissions in each program. Specific running times will be provided by<br />

Artist.<br />

3. The performance will begin promptly at the advertised curtain time and there will be<br />

seating holds for latecomers. House ushers are required to hold latecomers outside<br />

auditorium seating area until instructed by the Company Manager.<br />

FEE PAYMENT<br />

1. Payment of the Fee shall be net of any taxes, fees or other assessments. The parties<br />

agree that all local or state taxes, licensing fees and other assessments charged, or<br />

which may in the future be charged, against Artist or Presenter in connection with the<br />

Engagement shall be solely the responsibility of the Presenter, and the Presenter shall<br />

indemnify and hold harmless Artist from any such taxes, fees or other assessments. In<br />

the event the Fee is not paid as herein provided, Artist may, at its option, cancel some or<br />

all of the Engagement performances, and the Presenter shall nevertheless remain liable<br />

to Artist for the entire amount of the Fee. If the Presenter cancels in whole or in part the<br />

Presenter will nevertheless be responsible for full payment of the Fee as stated above.<br />

ADVERTISING, PUBLICITY, PROMOTION<br />

1. Presenter shall not make any commitments for personal interviews, personal<br />

appearances, participation in outreach activities, or any other type of promotional activity<br />

for Artist in connection with the Engagement without the prior written approval of Artist.<br />

The Presenter further agrees that the Presenter shall pay all expenses associated with<br />

any such appearances by Artist(s).<br />

2. The Presenter shall send to Artist for archival purposes two copies of all press releases,<br />

ads, listing, brochures, flyers, news stories, reviews and any other promotional materials.<br />

3. Presenter agrees that Artist shall have the exclusive right, at Artist's sole cost and<br />

expense, for no additional compensation to Presenter, to audiovisually reproduce all or<br />

any portion of the Engagement for archival, developmental and/or educational purposes.<br />

Such use shall include display of all or a portion of the audiovisual reproduction on The<br />

Kennedy Center’s Internet Homepage(s).<br />

INSURANCE<br />

1. Throughout the Engagement, Presenter shall fully insure itself, its officers, directors,<br />

employees, agents, third parties engaged by Presenter and it’s presentations, as follows:<br />

Worker's Compensation and Employer's Liability, including limits of $100,000 each<br />

employee, $500,000 policy limit and $100,000 each accident (including Disability<br />

Benefits); Comprehensive General Liability combined single limit of $1,000,000 bodily<br />

injury and property damage, and $1,000,000 limit for personal injury. Presenter shall<br />

also provide All Risk property insurance for all its properties brought into, or used in, the<br />

presentation of the Engagement at Presenter's venue including, without implied<br />

limitation, the property of third persons under the control of Artist or Presenter<br />

respectively. The All Risk property insurance policy shall include a waiver of subrogation<br />

against the other party and any entity or person affiliated with such other party. All<br />

liability policies shall name the Artist as an additional insured with respect to any claim or<br />

cause of action that may arise out of the Engagement. All policies shall be primary and<br />

noncontributory from any other policy. All policies shall be endorsed to provide 30-day<br />

notice of cancellation or material change to the other party. Not less than fourteen (14)<br />

days prior to the Engagement, each party shall provide certificates of insurance<br />

evidencing such coverage. No performances shall be presented by Artist until the<br />

required insurance coverage is in effect.<br />

2. The obtaining of insurance or the furnishing of evidence of insurance by Presenter as<br />

provided herein shall not in any way relieve Presenter from any of the obligations,<br />

liabilities, assumptions, responsibilities or other duties referred to in this Agreement,<br />

regardless of the coverages mentioned in such insurance or the terms of the policy or<br />

policies involved.<br />

MERCHANDISING<br />

1. No Tour/Engagement related merchandise using the name of Artist shall be sold or<br />

distributed at Presenter's venue other than Tour/Engagement related merchandise<br />

provided by Artist to Presenter ("Tour/Engagement Merchandise") without prior approval<br />

of Artist.<br />

SPONSORSHIP<br />

1. Presenter acknowledges that the Engagement Fee provided does not meet Artist’s full<br />

costs for the Engagement, which requires Artist to seek additional assistance to support<br />

its touring activities. Presenter and Artist agree that Artist’s sponsors will be<br />

acknowledged in the following way:<br />

“The Kennedy Center’s tour of The Suzanne Farrell Ballet is sponsored by<br />

[Sponsor]”<br />

The above credit shall appear wherever Artist’s credit appears. Artist shall provide<br />

sponsorship information to Presenter not later than 6 weeks prior to the Engagement.<br />

2. The name(s) of Artist shall not be used or associated, directly or indirectly, with any<br />

product (whether sold at the venue or otherwise) or service without Artist's prior written<br />

consent. Without Artist's prior written approval, Presenter shall neither represent, nor<br />

permit any third party to represent that the Engagement (or the Tour) is promoted,<br />

sponsored, co-promoted or co-sponsored by any product or service (including but not<br />

limited to any newspaper, magazine, radio or television station, or any other<br />

entertainment medium).<br />

ADDITIONAL PROVISIONS<br />

1. This Agreement shall obligate Artist but not any Trustee, officer, employee or agent<br />

thereof.<br />

2. If at any time prior to or during the Engagement, Presenter shall (i) file a petition in<br />

bankruptcy or request reorganization under any bankruptcy reorganization or insolvency<br />

law, or consent to the filing of any such petition, (ii) make an assignment for the benefit<br />

of creditors or admit in writing its inability to pay its debts generally as they become due,<br />

(iii) consent to the appointment of a receiver, trustee or liquidator of all or a substantial<br />

part of its property, (iv) have a petition for involuntary bankruptcy, reorganization, or<br />

appointment of a receiver, trustee or liquidator filed against it and such petition shall<br />

remain in effect for more than thirty (30) days, (v) be adjudicated bankrupt or insolvent,<br />

or (vi) have all or a substantial part of its property sequestered by court order and such<br />

order shall remain in effect for more than thirty (30) days, then in any of said events,<br />

Artist may terminate this Agreement upon notice thereof to Presenter.<br />

3. The failure of either party hereto to enforce at any time any of the provisions hereof shall<br />

not be construed as a waiver of such provisions or of such party's rights thereafter to<br />

enforce any such provisions.<br />

4. The representations, warranties and indemnities of Presenter hereunder shall survive<br />

the expiration or termination of this Agreement.<br />

5. All pages of this document must be initialed by Presenter and Artist and signed below.<br />

Both parties must initial any changes or modifications to any portion of this document. It<br />

is the responsibility of the Presenter to insure that all portions of this document are<br />

understood and agreed to prior to the sale of tickets.<br />
