K+S Group Divestment of K+S Nitrogen • On 8 May 2012, K+S Aktiengesellschaft announced an agreement with EuroChem regarding the sale of K+S Nitrogen, one of the leading suppliers of nitrogenous fertilizers. • The transaction, with an enterprise value of € 140 million, was closed on 2 July 2012. • For K+S, the divestment generated a book profit of around € 66 million after taxes in Q3. • Following the divestment of COMPO last year, the divestment of K+S Nitrogen consequently fits into our strategy, which pursues the goal of focusing management and financial resources particularly on the Potash and Magnesium Products and Salt business segments. K+S Group K+S sold COMPO • COMPO, based in Münster / Westphalia, is one of the leading suppliers of branded goods for home and garden and employs more than 1,000 employees globally. • In compliance with its growth strategy, K+S will focus its financial and management resources in particular on the Potash and Magnesium Products and Salt business segments. Therefore, on 20 June 2011, K+S announced the sale of COMPO to the investment company Triton for an enterprise value of € 205 million. The closing of the transaction was successfully completed on 18 October 2011. Since the reporting on the second quarter, COMPO is stated as a “discontinued operation” in accordance with IFRS.
