3. Following supporting documents are required to be submitted along with<br />

<strong>the</strong> RFP response, failing which <strong>the</strong> firms are liable to be rejected.<br />

(a) Registration Certificate that <strong>the</strong> firm is Indian Registered.<br />

(b) Complete address <strong>of</strong> Registered Office <strong>and</strong> addresses <strong>of</strong> <strong>the</strong> <strong>of</strong>fice at<br />

Delhi <strong>and</strong> one <strong>of</strong> <strong>the</strong> o<strong>the</strong>r locations (Mumbai, Vishakhapatnam, Kochi).<br />

(c) Certified Copy <strong>of</strong> <strong>the</strong> Work Completion Certificate (from <strong>the</strong> firm <strong>for</strong><br />

whom <strong>the</strong> project was undertaken) <strong>for</strong> having successfully executed <strong>the</strong><br />

project at least two different customer locations in India [as mentioned in<br />

Para-2(c), above]. MOD/Navy reserves <strong>the</strong> right to verify <strong>the</strong> credentials <strong>of</strong><br />

<strong>the</strong> certificate from <strong>the</strong> customer who issued <strong>the</strong> certificate. Any discrepancy<br />

would disqualify <strong>the</strong> proposal.<br />

(d) Summary <strong>of</strong> annual report <strong>and</strong> balance sheet (clearly indicating pr<strong>of</strong>it<br />

& loss A/C) in respect <strong>of</strong> last three years.<br />

(e) A certificate duly signed by <strong>the</strong> competent authority stating that OEMs<br />

<strong>and</strong> OEM authorised vendors are not ― Blacklisted Vendors/OEMs‖.<br />

4. Ministry <strong>of</strong> Defence, Government <strong>of</strong> India reserves <strong>the</strong> right to withdraw/cancel<br />

<strong>the</strong> entire project at any stage be<strong>for</strong>e placement <strong>of</strong> supply order.

Request <strong>for</strong> Proposal (RFP)<br />

1. Bids in sealed cover are invited <strong>for</strong> supply <strong>of</strong> items listed in Part II <strong>of</strong> this RFP.<br />

Bids on <strong>the</strong> sealed cover to avoid <strong>the</strong> Bid being declared invalid.<br />

3. This RFP is divided into five Parts as follows.<br />

(a) Part I – Contains General In<strong>for</strong>mation <strong>and</strong> Instructions <strong>for</strong> <strong>the</strong> Bidders about<br />

<strong>the</strong> RFP such as <strong>the</strong> time, place <strong>of</strong> submission <strong>and</strong> opening <strong>of</strong> tenders, Validity<br />

period <strong>of</strong> tenders, etc.


(b) Part II – Contains essential details <strong>of</strong> <strong>the</strong> items/services required, such as <strong>the</strong><br />

Schedule <strong>of</strong> Requirements (SOR), Technical Specifications, Delivery Period,<br />

Mode <strong>of</strong> Delivery <strong>and</strong> Consignee details.<br />

(c) Part III – Contains St<strong>and</strong>ard Conditions <strong>of</strong> RFP, which will <strong>for</strong>m part <strong>of</strong> <strong>the</strong><br />

4. This RFP is being issued with no financial commitment <strong>and</strong> <strong>the</strong> Buyer reserves<br />

<strong>the</strong> right to change or vary any part <strong>the</strong>re<strong>of</strong> at any stage. Buyer also reserves <strong>the</strong> right<br />

to withdraw <strong>the</strong> RFP, should it become necessary at any stage.<br />

Part I – General in<strong>for</strong>mation<br />

1. Last date <strong>and</strong> time <strong>for</strong> depositing <strong>the</strong> Bids. 1300h on 12 Jul 11. The sealed<br />

Bids (both technical <strong>and</strong> Commercial) should bedeposited/reach by <strong>the</strong> due date <strong>and</strong><br />

time. The responsibility to ensure this lies with <strong>the</strong> Bidder.<br />

2. Manner <strong>of</strong> depositing <strong>the</strong> Bids. Sealed Bids Technical & Commercial in<br />

separate sealed cover should be ei<strong>the</strong>r dropped in <strong>the</strong> Tender Box marked<br />

„Implementation <strong>of</strong> Telepresence Solution <strong>for</strong> IHQ MoD(N) <strong>and</strong> Comm<strong>and</strong>s” <strong>and</strong><br />

kept at <strong>the</strong> Reception <strong>of</strong>fice (Gate No 8, South Block) at Director (IT/Coord),<br />

Ministry <strong>of</strong> Defence, Room No 229, Gate No 8, South Block, New Delhi 110011 or<br />

sent by Registered Post at <strong>the</strong> address given above so as to reach by <strong>the</strong> due date<br />

<strong>and</strong> time. Late tenders will not be considered. No responsibility will be taken <strong>for</strong> postal<br />

delay or nondelivery/ non-receipt <strong>of</strong> Bid documents. Bids sent by FAX or e-mail will not<br />

be considered (unless <strong>the</strong>y have been specifically called <strong>for</strong> by <strong>the</strong>se modes due to<br />

urgency).<br />

3. Time <strong>and</strong> date <strong>for</strong> opening <strong>of</strong> Tender Box 1630 Hrs on same day.<br />

4. Location <strong>of</strong> <strong>the</strong> Tender Box. Reception <strong>of</strong>fice (Gate No 8, South Block)<br />

(complete address as per para 2 above). Only those Bids that are found in <strong>the</strong> tender<br />

box (or received by <strong>the</strong> registered post) will be opened. Bids dropped in <strong>the</strong> wrong<br />

Tender Box or not received via registered mail by due date <strong>and</strong> time will be rendered<br />

invalid. The Tender Box will be placed at <strong>the</strong> above-mentioned location three days prior<br />

to <strong>the</strong> last date <strong>of</strong> submission <strong>and</strong> upto <strong>the</strong> specified date <strong>and</strong> time <strong>of</strong> submission.<br />

5. Place <strong>of</strong> opening <strong>of</strong> <strong>the</strong> big sealed cover containing Technical <strong>and</strong><br />

Commercial Bids.- Director (IT/Coord), Ministry <strong>of</strong> Defence, Room No 229, Near<br />

Gate No 8, South Block, New Delhi 110011. The Bidders may depute <strong>the</strong>ir<br />

epresentatives, duly authorized in writing, to attend <strong>the</strong> opening <strong>of</strong> sealed cover<br />

containing Technical <strong>and</strong> Commercial bids. This event will not be postponed due to nonpresence<br />

<strong>of</strong> your representative.<br />

6. Two-Bid system. Two-bid system will be followed. Only <strong>the</strong> Technical Bid would<br />

be opened by TEC <strong>and</strong> Date <strong>and</strong> time will be intimated to <strong>the</strong> vendor. Date <strong>of</strong> opening<br />

<strong>of</strong> <strong>the</strong> Commercial Bid will be intimated after acceptance <strong>of</strong> <strong>the</strong> Technical Bids.<br />

Commercial Bids <strong>of</strong> only those firms will be opened, by PNC, whose Technical Bids are<br />

found compliant/suitable after Technical evaluation is done by <strong>the</strong> Buyer.<br />

7. Forwarding <strong>of</strong> Bids. Bids should be <strong>for</strong>warded by Bidders under <strong>the</strong>ir original<br />

memo / letter pad inter alia furnishing details like TIN number, VAT/CST number, Bank<br />

address with EFT Account if applicable, etc <strong>and</strong> complete postal & e-mail address <strong>of</strong><br />

<strong>the</strong>ir <strong>of</strong>fice.<br />

8. Clarification regarding contents <strong>of</strong> <strong>the</strong> RFP. A prospective bidder who<br />

requires clarification regarding <strong>the</strong> contents <strong>of</strong> <strong>the</strong> bidding documents shall notify to <strong>the</strong><br />

Buyer in writing about <strong>the</strong> clarifications sought not later than 14 (six) days prior to <strong>the</strong><br />

date <strong>of</strong> opening <strong>of</strong> <strong>the</strong> Bids. Copies <strong>of</strong> <strong>the</strong> query <strong>and</strong> clarification by <strong>the</strong> purchaser will<br />

be sent to all prospective bidders who have received <strong>the</strong> bidding documents. A Pre-Bid<br />

Meeting will be scheduled on 17 Jun 11 at 1400 Hrs at Office <strong>of</strong> DIT, Room No.<br />

127-B, Sena Bhawan, „C‟ Wing New Delhi (Tel 23010522/23010612) . Bidders may<br />

depute authorized representatives <strong>for</strong> attending <strong>the</strong> same.<br />

9. Modification <strong>and</strong> Withdrawal <strong>of</strong> Bids. A bidder may modify or withdraw his bid<br />

after submission provided that <strong>the</strong> written notice <strong>of</strong> modification or withdrawal is<br />

received by <strong>the</strong> Buyer prior to deadline prescribed <strong>for</strong> submission <strong>of</strong> bids. A withdrawal<br />

notice may be sent by fax but it should be followed by a signed confirmation copy to be<br />

sent by post <strong>and</strong> such signed confirmation should reach <strong>the</strong> purchaser not later than <strong>the</strong><br />

deadline <strong>for</strong> submission <strong>of</strong> bids. No bid shall be modified after <strong>the</strong> deadline <strong>for</strong><br />

submission <strong>of</strong> bids. No bid may be withdrawn in <strong>the</strong> interval between <strong>the</strong> deadline <strong>for</strong><br />

submission <strong>of</strong> bids <strong>and</strong> expiration <strong>of</strong> <strong>the</strong> period <strong>of</strong> bid validity specified. Withdrawal <strong>of</strong> a<br />

bid during this period will result in Bidder‘s <strong>for</strong>feiture <strong>of</strong> bid security/EMD.<br />

10. Clarification regarding contents <strong>of</strong> <strong>the</strong> Bids. During evaluation <strong>and</strong><br />

comparison <strong>of</strong> bids, <strong>the</strong> Buyer may, at its discretion, ask <strong>the</strong> bidder <strong>for</strong> clarification <strong>of</strong> his<br />

bid. The request <strong>for</strong> clarification will be given in writing <strong>and</strong> no change in prices or<br />

substance <strong>of</strong> <strong>the</strong> bid will be sought, <strong>of</strong>fered or permitted. No post-bid clarification on <strong>the</strong><br />

initiative <strong>of</strong> <strong>the</strong> bidder will be entertained.<br />

11. Rejection <strong>of</strong> Bids. Canvassing by <strong>the</strong> Bidder in any <strong>for</strong>m, unsolicited letter <strong>and</strong><br />

post-tender correction may invoke summary rejection with <strong>for</strong>feiture <strong>of</strong> EMD. Conditional<br />

tenders will be rejected.<br />

12. Unwillingness to quote. Bidders unwilling to quote should ensure that intimation<br />

to this effect reaches be<strong>for</strong>e <strong>the</strong> due date <strong>and</strong> time <strong>of</strong> opening <strong>of</strong> <strong>the</strong> Bid, failing which<br />

<strong>the</strong> defaulting Bidder may be delisted <strong>for</strong> <strong>the</strong> given range <strong>of</strong> items as mentioned in this<br />

RFP.<br />

13. Validity <strong>of</strong> Bids. The Bids should remain valid till 06 months from <strong>the</strong> last date<br />

<strong>of</strong> submission <strong>of</strong> <strong>the</strong> Bids.<br />

14. Earnest Money Deposit.– Bidders are required to submit Earnest Money<br />

Deposit (EMD) <strong>for</strong> amount <strong>of</strong> Rs. 7,00,000/- (Rupees Seven Lakhs Only) along with<br />

<strong>the</strong>ir bids. The EMD may be submitted in <strong>the</strong> <strong>for</strong>m <strong>of</strong> an Account Payee Dem<strong>and</strong> Draft,<br />

Fixed Deposit Receipt, Banker's Cheque or Bank Guarantee, in favor <strong>of</strong> ―PCDA(N)‖<br />

from any <strong>of</strong> <strong>the</strong> public sector banks or a private sector bank authorized to conduct<br />

government business as per Form DPM-13 (Available in MoD website <strong>and</strong> can be<br />

provided on request). EMD is to remain valid <strong>for</strong> a period <strong>of</strong> <strong>for</strong>ty-five days beyond <strong>the</strong><br />

final bid validity period. EMD <strong>of</strong> <strong>the</strong> unsuccessful bidders will be returned to <strong>the</strong>m at <strong>the</strong><br />

earliest after expiry <strong>of</strong> <strong>the</strong> final bid validity <strong>and</strong> latest on or be<strong>for</strong>e <strong>the</strong> 30th day after <strong>the</strong><br />

award <strong>of</strong> <strong>the</strong> contract. The Bid Security <strong>of</strong> <strong>the</strong> successful bidder would be returned,<br />

without any interest whatsoever, after <strong>the</strong> receipt <strong>of</strong> Per<strong>for</strong>mance Security from <strong>the</strong>m as<br />

called <strong>for</strong> in <strong>the</strong> contract. EMD is not required to be submitted by those Bidders who are<br />

registered with <strong>the</strong> Central Purchase Organization (e.g. DGS&D), National Small<br />

Industries Corporation (NSIC) or any Department <strong>of</strong> MoD or MoD itself. The EMD will be<br />

<strong>for</strong>feited if <strong>the</strong> bidder withdraws or amends, impairs or derogates from <strong>the</strong> tender in any<br />

respect within <strong>the</strong> validity period <strong>of</strong> <strong>the</strong>ir tender.<br />

Part II – Essential Details <strong>of</strong> Items/Services required<br />

1, Schedule <strong>of</strong> Requirements – List <strong>of</strong> items / services required is as follows.<br />

Vizag <strong>and</strong> Mumbai. Validation <strong>of</strong> installation <strong>and</strong> commissioning by OEM.<strong>and</strong><br />

warranty <strong>for</strong> three years from <strong>the</strong> date <strong>of</strong> acceptance by <strong>the</strong> buyer.<br />

Provisioning <strong>of</strong> Leased network <strong>for</strong> Telepresence between Delhi, Mumbai,<br />

Kochi <strong>and</strong> Vizag including supply <strong>of</strong> requisite hardware, active components, as<br />

per specifications placed at Appendix D.<br />

(f) MultiPoint Control Unit as per <strong>the</strong> specifications placed at Appendix E.<br />

Installation <strong>and</strong> commissioning <strong>of</strong> Leased network including connectivity with<br />

Telepresence equipment at all four locations<br />

Support <strong>for</strong> a period <strong>of</strong> 3 years at all locations from <strong>the</strong> date <strong>of</strong> acceptance by<br />

<strong>the</strong> buyer. The support, apart from 03 years onsite warranty <strong>for</strong> <strong>the</strong> entire<br />

<strong>solution</strong>, would involve positioning <strong>of</strong> a qualified support engineer at each site.<br />

(Para 16 page 10 also refers).<br />

2. Technical Details. The scope <strong>of</strong> <strong>the</strong> project <strong>for</strong> <strong>the</strong> Navy is elaborated in <strong>the</strong><br />

succeeding paragraphs. The firm must comply with all <strong>the</strong> stated requirements.<br />

3. The Officers <strong>of</strong> Navy at IHQ MoD(N) at Delhi <strong>and</strong> Comm<strong>and</strong>s are required to<br />

consult with each o<strong>the</strong>r on both routine issues <strong>and</strong> emergent issues. Towards this, it is<br />

required to provide a secure Board Room to Board Room Telepresence Solution<br />

between Delhi, Mumbai, Kochi <strong>and</strong> Vizag. Each Board Room is required to cater <strong>for</strong><br />

participation <strong>of</strong> minimum 18 personnel. Provision <strong>for</strong> extra seating <strong>of</strong> atleast 8<br />

participants, to witness <strong>the</strong> Telepresence Conference, is also required to be catered <strong>for</strong>.<br />

4. It is proposed to procure requisite hardware, s<strong>of</strong>tware, PORTACABINS <strong>and</strong><br />

services <strong>and</strong> set up ‗Telepresence‘ facility between <strong>the</strong> Comm<strong>and</strong>s, <strong>and</strong> <strong>the</strong> <strong>of</strong>fices at<br />

New Delhi on a turnkey basis by <strong>the</strong> vendor. A detailed set <strong>of</strong> specifications <strong>for</strong> <strong>the</strong><br />

equipment is placed at Appendix A to E to this RFP.<br />

5. The Vendor has to implement <strong>the</strong> ‗Telepresence‘ <strong>solution</strong> within 6 months <strong>of</strong><br />

placement <strong>of</strong> <strong>the</strong> order. The Vendor may employ as many engineers as required <strong>for</strong><br />

completion <strong>of</strong> <strong>the</strong> project in time. Names <strong>of</strong> <strong>the</strong> engineers who would be working on <strong>the</strong><br />

project along with 2 passport size photographs, police verification <strong>and</strong> one ID pro<strong>of</strong> <strong>for</strong><br />

each Engineer are to be h<strong>and</strong>ed over to IHQ MoD(N)/DIT / Comm<strong>and</strong>s at <strong>the</strong> time <strong>of</strong><br />

starting <strong>the</strong> project to enable making <strong>of</strong> security passes.<br />

6. The Vendor has to provision <strong>for</strong> three (03) years comprehensive on-site<br />

warranty <strong>and</strong> support <strong>for</strong> all <strong>the</strong> deliverables from <strong>the</strong> date <strong>of</strong> acceptance by <strong>the</strong><br />

buyer. An undertaking <strong>for</strong> this is required to be given along with <strong>the</strong> technical bid. The<br />

terms <strong>and</strong> conditions <strong>of</strong> warranty <strong>and</strong> support phase have been amplified in <strong>the</strong> RFP.<br />

The vendor is required to include additional three years <strong>of</strong> AMC <strong>and</strong> support in <strong>the</strong><br />

commercial bid, post completion <strong>of</strong> initial three years. The contract <strong>for</strong> additional three<br />

years AMC <strong>and</strong> support would not <strong>for</strong>m part <strong>of</strong> initial supply order. The customer would<br />

conclude this contract post <strong>implementation</strong> <strong>of</strong> project, if required. However, <strong>the</strong> cost <strong>of</strong><br />

additional 3 years <strong>of</strong> AMC <strong>and</strong> support, quoted in <strong>the</strong> commercial bid, would be<br />

included <strong>for</strong> determination <strong>of</strong> L1 bid.<br />

7. The vendor shall be <strong>the</strong> Prime Contractor <strong>for</strong> <strong>the</strong> above mentioned<br />

functions. The vendor must submit a tender specific OEM authorisation <strong>for</strong> <strong>the</strong><br />

project as part <strong>of</strong> <strong>the</strong> technical bid. Fur<strong>the</strong>r, following certification from OEM <strong>of</strong> <strong>the</strong><br />

<strong>telepresence</strong> equipment are required to be provided alongwith Technical Bid. All<br />

<strong>the</strong> certificates submitted should be signed only by <strong>the</strong> signatory who is<br />

authorised to sign on behalf <strong>of</strong> <strong>the</strong> firm : -<br />

(a) Certificate from OEM that <strong>the</strong> vendor is an authroised representative <strong>and</strong><br />

has been duly trained on <strong>implementation</strong> <strong>of</strong> ―Telepresence‖ <strong>solution</strong>.<br />

(b) Undertaking by OEM to provide back to back support to <strong>the</strong> vendor during<br />

<strong>implementation</strong> <strong>and</strong> AMC period.<br />

(c) Undertaking by OEM that <strong>the</strong> complete design <strong>and</strong> <strong>implementation</strong> <strong>of</strong><br />

‗Telepresence‘ <strong>solution</strong>, including room renovation, would be inspected by <strong>the</strong>m<br />

at all four locations <strong>and</strong> <strong>the</strong> <strong>implementation</strong> certified <strong>for</strong> adhering to <strong>the</strong>ir<br />

requisite st<strong>and</strong>ards <strong>and</strong> best practices. The inspection <strong>of</strong> <strong>the</strong> setup will be carried<br />

out post <strong>implementation</strong> by <strong>the</strong> vendor.<br />

(d) Undertaking by OEM that all <strong>the</strong> deliverables including Telepresence<br />

equipment, furniture, aes<strong>the</strong>tics <strong>and</strong> o<strong>the</strong>r components <strong>for</strong> <strong>the</strong> immersive<br />

experience etc being <strong>of</strong>fered by <strong>the</strong> vendor meets all <strong>the</strong> quality requirements<br />

<strong>and</strong> are as per <strong>the</strong> required st<strong>and</strong>ards specified by <strong>the</strong>m . Supply <strong>of</strong> assembled<br />

equipment from different OEM <strong>and</strong> <strong>the</strong>ir subsequent integration<br />

permissible.<br />

(e) Certificate by <strong>the</strong> OEM that <strong>the</strong> network architecture <strong>and</strong> <strong>the</strong> QoS <strong>for</strong> <strong>the</strong><br />

connectivity between various locations, via leased lines, being proposed by <strong>the</strong><br />

vendor meets all <strong>the</strong> criteria <strong>and</strong> requirements <strong>of</strong> proposed ‗Telepresence‘<br />

<strong>solution</strong>.<br />

(f) Certificate from <strong>the</strong> Service Provider <strong>of</strong> <strong>the</strong> leased b<strong>and</strong>width that <strong>the</strong>y<br />

would provide back to back support to <strong>the</strong> vendor <strong>for</strong> <strong>the</strong> entire duration <strong>of</strong> <strong>the</strong><br />

project.<br />

(g) Certificate from <strong>the</strong> OEM <strong>of</strong> <strong>the</strong> Prefabricated Cabin that <strong>the</strong> product being<br />

<strong>of</strong>fered by <strong>the</strong> vendor, is certified <strong>for</strong> <strong>the</strong> quality.<br />

8. Scope <strong>of</strong> Work. No liability <strong>of</strong> <strong>the</strong> Navy apart from that outlined at para<br />

25 below can be assumed <strong>for</strong> <strong>implementation</strong> <strong>of</strong> <strong>the</strong> <strong>solution</strong>. Any additional<br />

requirements which is not part <strong>of</strong> <strong>the</strong> bid, if projected by <strong>the</strong> vendor at <strong>the</strong> time <strong>of</strong><br />

<strong>implementation</strong> <strong>of</strong> Telepresence <strong>solution</strong>, would have to be provisioned by <strong>the</strong> vendor at<br />

his own cost. The broad scope <strong>of</strong> work involving <strong>implementation</strong> <strong>of</strong> ‗Telepresence‘<br />

<strong>solution</strong> <strong>for</strong> Indian Navy would is brought out in succeeding paragraphs.<br />

9. Supply <strong>of</strong> PORTACABINS. The vendor is required to cater <strong>for</strong> supply <strong>of</strong><br />

three PORTACABINS, as per <strong>the</strong> specifications placed at Appendix B, to set up<br />

―Telepresence‖ Rooms. The vendor would be required to supply <strong>and</strong> install <strong>the</strong>se<br />

PORTACABINS at <strong>the</strong> designated locations.<br />

10. Room Renovation. The vendor in consultation with OEM would need to<br />

renovate PORTACABINS/ Existing Rooms at all <strong>the</strong> locations (one each) viz Delhi,<br />

Mumbai, Kochi <strong>and</strong> Vizag, to setup ―Telepresence‖ Rooms, as per <strong>the</strong> specifications at<br />

Appendix C. All <strong>the</strong> ―Telepresence‖ rooms are required to be <strong>of</strong> <strong>the</strong> same design <strong>and</strong><br />

feel to ensure ‗Immersive Telepresence‟ experience. Customised backdrops <strong>for</strong> each<br />

location would need to be designed by <strong>the</strong> vendor in consultation with <strong>the</strong> Indian Navy.<br />

The design <strong>of</strong> <strong>the</strong> rooms, alongwith complete details <strong>of</strong> deliverables, would need<br />

to be submitted by <strong>the</strong> vendor with <strong>the</strong> Technical Bid. The details <strong>of</strong> manufacture<br />

br<strong>and</strong>s <strong>for</strong> all <strong>the</strong> deliverables, alongwith brochures, also needs to be providedThe<br />

renovation <strong>of</strong> rooms, at each location, would essentially include following :-<br />

(a) Refurbishment <strong>of</strong> PORTACABINS/ existing room Interiors with wooden<br />

panelling, painting, flooring (interlocked wooden flooring/ vitrified tiles), false<br />

ceiling etc. All <strong>the</strong> fittings should be termite pro<strong>of</strong>.<br />

(b)<br />

Provisioning <strong>of</strong> adequate lighting <strong>and</strong> acoustics<br />

(c)<br />

Supply <strong>of</strong> Board Room Tables <strong>and</strong> second/ third row tables.<br />

(d) Supply <strong>of</strong> Lea<strong>the</strong>r Chairs <strong>for</strong> 18 participants <strong>and</strong> 8 extra chairs <strong>for</strong> each<br />

location. A total <strong>of</strong> 26 chairs <strong>for</strong> each location.<br />

(e) Provisioning <strong>of</strong> requisite power supply inlets/ outlets. Requirement <strong>of</strong><br />

MCBs, power supply sockets, additional fitments on as required basis would<br />

need to be provided by <strong>the</strong> vendor. The power ratings <strong>of</strong> all components have to<br />

be worked out by <strong>the</strong> vendor in consultation with OEM (with adequate safety<br />

factor).<br />

(f) Provisioning <strong>of</strong> 04 split air-conditioners (<strong>of</strong> reputed make <strong>and</strong> with at-least<br />

02 star rating) <strong>of</strong> 2 tons capacity <strong>for</strong> each <strong>of</strong> <strong>the</strong> main room/porta cabins <strong>and</strong> 02<br />

split air-conditioners <strong>of</strong> 1.5 tons capacity each <strong>for</strong> System Management <strong>and</strong><br />

UPS/Battery room in each location. The same set up is required in all <strong>the</strong> four<br />

location. A total <strong>of</strong> 16 split air-conditioners <strong>of</strong> 02 tons capacity <strong>and</strong> 08 split airconditioners<br />

<strong>of</strong> 1.5 tons capacity would need to be supplied <strong>and</strong> installed.<br />

11. Implementation <strong>of</strong> Telepresence Solution. The vendor would be required to<br />

supply <strong>and</strong> installation <strong>of</strong> <strong>the</strong> complete Telepresence <strong>solution</strong> on turnkey basis which<br />

would broadly include hardware, s<strong>of</strong>tware, services, leased network <strong>for</strong> <strong>implementation</strong><br />

<strong>of</strong> Telepresence <strong>solution</strong> in all <strong>the</strong> four locations. The scope <strong>of</strong> supply <strong>of</strong> Telepresence,<br />

as per <strong>the</strong> specifications placed at Appendix A would include:-<br />

(a)<br />

Telepresence Equipment <strong>for</strong> all <strong>the</strong> four locations.<br />

(b) UPS <strong>for</strong> <strong>the</strong> Telepresence Equipment (Rating <strong>of</strong> UPS to be such that all<br />

<strong>the</strong> Telepresence equipment should be able to operate <strong>for</strong> atleast 45 min. in case<br />

<strong>of</strong> power breakdown).Seperate arrangement <strong>for</strong> housing <strong>and</strong> installation <strong>of</strong> <strong>the</strong><br />

UPS batteries is to be worked out <strong>and</strong> implemented by <strong>the</strong> vendor.<br />

(c) Supply <strong>of</strong> two portable workstations <strong>for</strong> each location with complete<br />

system s<strong>of</strong>tware , diagnostics <strong>and</strong> backup <strong>and</strong> additional three portable<br />

workstations at Main location i.e N.Delhi. A total <strong>of</strong> eleven workstations to enable<br />

presentation <strong>of</strong> data <strong>and</strong> system management.<br />

(d) Trials <strong>and</strong> commissioning <strong>of</strong> complete Telepresence <strong>solution</strong>.Inspection <strong>of</strong><br />

implemented <strong>solution</strong> by <strong>the</strong> Telepresence authorised rep.The sign<strong>of</strong>f <strong>of</strong> <strong>the</strong><br />

<strong>implementation</strong> will be considered only after due certification by <strong>the</strong> Telepresence<br />

OEM.<br />

(e) During warranty or AMC any major replacement <strong>of</strong> equipment will be<br />

undertaken after due vetting by OEM only.<br />

(f) The vendor would be responsible to provide all <strong>the</strong> requisite equipment<br />

like spike protector, UPS, servers etc to ensure defect free working <strong>of</strong><br />

Telepresence equipment. All <strong>the</strong> hardware <strong>and</strong> s<strong>of</strong>tware being proposed<br />

should <strong>for</strong>m part <strong>of</strong> <strong>the</strong> Bill <strong>of</strong> Material <strong>and</strong> reflected in Technical <strong>and</strong><br />

Commercial bid. Any additional requirements which is not part <strong>of</strong> <strong>the</strong> bid, if<br />

projected by <strong>the</strong> vendor at <strong>the</strong> time <strong>of</strong> <strong>implementation</strong> <strong>of</strong> Telepresence<br />

<strong>solution</strong>, would have to be provisioned by <strong>the</strong> vendor at his own cost. The<br />

licenses <strong>of</strong> <strong>the</strong> hardware <strong>and</strong> s<strong>of</strong>tware should be registered in <strong>the</strong> name <strong>of</strong><br />

Indian Navy.<br />

(g) Preparing <strong>of</strong> st<strong>and</strong>ard earthing pits <strong>and</strong> provisioning <strong>of</strong> lightning arrestors<br />

at each location, to ensure proper earthing arrangements <strong>for</strong> all <strong>telepresence</strong> <strong>and</strong><br />

associated network equipment.<br />

(h)<br />

Trials <strong>and</strong> commissioning <strong>of</strong> complete Telepresence <strong>solution</strong>.<br />

12. Leased Network <strong>and</strong> MCU. In order to implement ―Telepresence‘ Solution,<br />

a dedicated leased network <strong>for</strong> a period <strong>of</strong> three years would have to be provided by <strong>the</strong><br />

vendor. The network (leased b<strong>and</strong>width) should cater <strong>for</strong> a minimum <strong>of</strong> 60 Mbps<br />

b<strong>and</strong>width at Headquarters, New Delhi <strong>and</strong> 20 Mbps b<strong>and</strong>width each at remote sites i.e<br />

Mumbai, Kochi <strong>and</strong> Vizag. The Last Mile Connectivity <strong>and</strong> internal LAN requirement <strong>for</strong><br />

networking <strong>of</strong> Telepresence equipment would be <strong>the</strong> responsibility <strong>of</strong> <strong>the</strong> vendor. The<br />

broad specifications <strong>for</strong> <strong>the</strong> network are placed at Appendix D <strong>and</strong> that <strong>of</strong> MCU are<br />

placed at Appendix E. Essentially <strong>the</strong> network is required to be cater <strong>for</strong> following :-<br />

(a) Connectivity <strong>of</strong> Telepresence room at all <strong>the</strong> four locations viz.<br />

N.Delhi, Mumbai, Kochi <strong>and</strong> Vizag with suitable redundancy in case <strong>of</strong><br />

primary failure..<br />

(b) Point to Point <strong>and</strong> Multi-point call facility should be available.<br />

(c) Uptime <strong>for</strong> <strong>the</strong> network should be minimum 99.5%<br />

(d) Network should be enabled <strong>for</strong> IP telephony.<br />

(e) All required configuration to be undertaken.<br />

13. The hardware/s<strong>of</strong>tware required at <strong>the</strong> end points would be outright purchase,<br />

except <strong>for</strong> <strong>the</strong> b<strong>and</strong>width which would be leased <strong>for</strong> a period <strong>of</strong> 03 years. The complete<br />

Bill <strong>of</strong> material proposed <strong>for</strong> setting up <strong>of</strong> Network, including MCU <strong>and</strong> any o<strong>the</strong>r<br />

s<strong>of</strong>tware/ hardware required <strong>for</strong> <strong>implementation</strong> <strong>of</strong> <strong>the</strong> <strong>solution</strong>, needs to be<br />

included in both technical <strong>and</strong> commercial bids. Any assumptions considered are<br />

to be explicitly indicated in <strong>the</strong> proposal. Any additional items required <strong>for</strong><br />

<strong>implementation</strong> <strong>of</strong> <strong>solution</strong> should be clearly indicated <strong>and</strong> costed.<br />

14. Testing <strong>and</strong> Trials. The vendor is required to <strong>of</strong>fer complete system as a<br />

comprehensive <strong>solution</strong> <strong>for</strong> trials. Towards this, <strong>the</strong> vendor would <strong>for</strong>mulate detailed<br />

Test Plan <strong>and</strong> h<strong>and</strong> over <strong>the</strong> same to IHQ MoD(N)/DIT within 02 months <strong>of</strong> placement<br />

<strong>of</strong> order. The test plan is required to be verified by <strong>the</strong> OEM <strong>of</strong> Telepresence Solution,<br />

Service Provider <strong>of</strong> <strong>the</strong> Network <strong>and</strong> any o<strong>the</strong>r OEM involved in <strong>the</strong> project. The test<br />

plan, would be modified by IHQ MoD(N)/DIT as deemed appropriate. The vendor would<br />

<strong>of</strong>fer integrated trials <strong>of</strong> <strong>the</strong> complete system as per <strong>the</strong> test plan agreed upon between<br />

IHQ MoD(N)/DIT <strong>and</strong> <strong>the</strong> vendor.<br />

15. Training. The vendor, in association with OEMs, would conduct operator <strong>and</strong><br />

maintainer training <strong>for</strong> atleast 5 personnel <strong>for</strong> 03 days at all locations. The detailed<br />

training plan would be submitted by <strong>the</strong> vendor to IHQ MoD(N)/DIT <strong>for</strong> approval within<br />

03 months <strong>of</strong> placement <strong>of</strong> order. The vendor is required to provide five sets <strong>of</strong><br />

Computer Based Training Aids <strong>for</strong> easy comprehension on <strong>the</strong> operation <strong>and</strong><br />

maintenance <strong>of</strong> <strong>the</strong> system. The vendor is also required to provide 2500 colored printed<br />

brouchers <strong>for</strong> Telepresence <strong>solution</strong>, highlighting <strong>the</strong> features <strong>of</strong> <strong>the</strong> system <strong>and</strong> its<br />

advantages. The draft brochures are required to be approved by IHQ MoD(N)/DIT. The<br />

vendor would submit <strong>the</strong> draft <strong>for</strong> <strong>the</strong> same within 03 months <strong>of</strong> placement <strong>of</strong> order.<br />

16. Support. The vendor is required to provide on-site support at all <strong>the</strong> four<br />

locations <strong>for</strong> a period <strong>of</strong> 03 years from <strong>the</strong> date <strong>of</strong> completion <strong>of</strong> <strong>implementation</strong> <strong>and</strong><br />

acceptance <strong>of</strong> Telepresence <strong>solution</strong>. As part <strong>of</strong> <strong>the</strong> support, <strong>the</strong> vendor would position<br />

atleast one qualified Engineer at each <strong>of</strong> <strong>the</strong> Telepresence Room location. The support<br />

engineer would be required to undertake maintenance <strong>and</strong> operation <strong>of</strong> <strong>the</strong><br />

Telepresence equipment <strong>and</strong> network management. The engineer would be required to<br />

be present in Telepresence Rooms on all working days (Mon to Sat) from 0830 hrs to<br />

1830 hrs. However, requirement <strong>for</strong> working on holidays/ Sundays <strong>and</strong> beyond working<br />

hours would also need to be catered <strong>for</strong>. The engineers would be selected based on <strong>the</strong><br />

interview conducted by IHQ MoD(N)/Comm<strong>and</strong>s as applicable. The support engineer<br />

should possess following minimum qualifications :-<br />

(a) Should be trained on <strong>the</strong> <strong>telepresence</strong> equipment by OEM.<br />

Necessary certification from OEM must be held with <strong>the</strong> engineer.<br />

(b) The engineer should have experience in <strong>implementation</strong>, operation<br />

<strong>and</strong> maintenance <strong>of</strong> Telepresence equipment.<br />

(c) The engineer should be qualified <strong>and</strong> experienced in management<br />

<strong>of</strong> Network especially with regard to <strong>the</strong> network being set up <strong>for</strong><br />

Telepresence.<br />

(d) The vendor would need to complete all police verification <strong>for</strong>malities<br />

<strong>for</strong> issue <strong>of</strong> passes within 04 weeks <strong>of</strong> selection <strong>of</strong> personnel.<br />

17. Warranty. The complete ―Telepresence‘ equipment including all <strong>the</strong><br />

deliverables, as part <strong>of</strong> <strong>the</strong> contract, would be under three year comprehensive on-site<br />

warranty. Free replacement/ repairs <strong>of</strong> <strong>the</strong> equipment would be carried out by <strong>the</strong><br />

vendor during <strong>the</strong> warranty period. In case <strong>of</strong> an item taken <strong>for</strong> repairs, a st<strong>and</strong>by item is<br />

to be provided as replacement so that <strong>the</strong> uptime <strong>of</strong> <strong>the</strong> ‗Telepresence‘ equipment is not<br />

below 99.5%. The warranty would cover <strong>the</strong> complete deliverables including<br />

‗Telepresence‘ equipment, network components, PORTACABIN, room renovation<br />

deliverables, leased b<strong>and</strong>width <strong>and</strong> installation material. The vendor is required to<br />

include additional three years <strong>of</strong> AMC <strong>and</strong> support in <strong>the</strong> commercial bid, post<br />

completion <strong>of</strong> initial three years, on <strong>the</strong> similar conditions except <strong>the</strong> leased b<strong>and</strong>width.<br />

The contract <strong>for</strong> additional three years AMC <strong>and</strong> support would not <strong>for</strong>m part <strong>of</strong> initial<br />

supply order. The customer would conclude this contract post <strong>implementation</strong> <strong>of</strong> project,<br />

if required. However, <strong>the</strong> cost <strong>of</strong> additional 3 years <strong>of</strong> AMC <strong>and</strong> support, quoted in <strong>the</strong><br />

commercial bid, would be included <strong>for</strong> determination <strong>of</strong> L1 bid.<br />

18. Live Demonstration . As part <strong>of</strong> Technical Evaluation, <strong>the</strong> vendor is<br />

required to provide Live Demonstration <strong>of</strong> <strong>the</strong> proposed ‗Telepresence‘ <strong>solution</strong>. The<br />

Live Demonstration may be organised anywhere in India. The cost <strong>of</strong> travelling,<br />

boarding <strong>and</strong> lodging <strong>for</strong> <strong>the</strong> Technical Evaluation Committee would be borne by <strong>the</strong><br />

customer only. The points that would be evaluated at <strong>the</strong> actual site are :-<br />

Documentation<br />

(a) The ‗Telepresence‘ room provides <strong>the</strong> experience <strong>of</strong> immersive<br />

presence. The lighting <strong>and</strong> furniture should be as proposed in <strong>the</strong> bid <strong>for</strong><br />

<strong>the</strong> Navy <strong>and</strong> are satisfactory.<br />

(b) A full fledged Telepresence conference with at least 2 rooms<br />

participating <strong>and</strong> at-least 2 screens in each room should be conducted.<br />

The conference is to include personal conversation, document sharing<br />

<strong>and</strong> presentation sharing <strong>for</strong> certification <strong>of</strong> satisfactory per<strong>for</strong>mance by<br />

<strong>the</strong> Board.<br />

(c) The MCU used in <strong>the</strong> call should be <strong>the</strong> one proposed <strong>for</strong><br />

<strong>implementation</strong> <strong>for</strong> <strong>the</strong> Navy. The b<strong>and</strong>width statistics should be made<br />

available as well as demonstrated that encryption does not degrade<br />

per<strong>for</strong>mance.<br />

19. Vendor will h<strong>and</strong> over five copies <strong>of</strong> following document in hard <strong>and</strong> s<strong>of</strong>t copy,<br />

one set each at Mumbai, Vishakhapatnam <strong>and</strong> Kochi <strong>and</strong> two sets <strong>for</strong> IHQMoD(N)/DIT,<br />

Delhi, which will contain complete in<strong>for</strong>mation about <strong>the</strong> whole project, inclusive <strong>of</strong> <strong>the</strong><br />

following.-<br />

(a) Introduction along with design <strong>and</strong> layout diagram <strong>for</strong> <strong>the</strong> complete<br />

Telepresence <strong>solution</strong>.<br />

(b) Procedure <strong>for</strong> installation <strong>and</strong> configuration <strong>of</strong> <strong>the</strong> equipment.<br />

(c) Technical details <strong>of</strong> all equipment.<br />

(d) Operation, maintenance <strong>and</strong> Troubleshooting documents<br />

20. Draft document complete in all respects is to be h<strong>and</strong>ed over to IHQMoD(N)/DIT<br />

within 60 days <strong>of</strong> placement <strong>of</strong> order. All additions/changes as required by<br />

IHQMoD(N)/DIT will be incorporated into <strong>the</strong> document. The document will be termed<br />

complete only after a written approval from IHQMoD(N)/DIT. The documents would be<br />

additionally be contained in <strong>the</strong> workstations supplied as part <strong>of</strong> <strong>the</strong> order.<br />

Service Level Commitment<br />

21. The Vendor shall provide a on-site service engineer, at each location, <strong>for</strong><br />

operation <strong>and</strong> maintenance cover <strong>for</strong> upkeep <strong>of</strong> <strong>the</strong> ‗Telepresence‘ <strong>solution</strong><br />

implemented at IHQ-MoD(Navy) <strong>and</strong> Comm<strong>and</strong>s with <strong>the</strong> following Service Level<br />

Commitments on all days.-<br />

(a) All defects (Hardware/ S<strong>of</strong>tware) shall be attended to within 01 working<br />

day <strong>of</strong> reporting <strong>the</strong> call to <strong>the</strong> Help Desk Centre, in case <strong>of</strong> defect not being<br />

rectified by <strong>the</strong> on-site support engineer. The vendor is required to provide single<br />

point Help Desk Centre Number <strong>for</strong> each location to attend all complaints<br />

regarding deliverables, hardware, network <strong>and</strong> s<strong>of</strong>tware.<br />

(b) Overall reliability <strong>and</strong> uptime <strong>of</strong> 99.5% shall be maintained, measured on a<br />

quarterly basis. The calculation would be done on <strong>the</strong> basis <strong>of</strong> parameter<br />

(Where A is % availability, D is dem<strong>and</strong> time eg, 8 hours x 5 days x 52 weeks=<br />

2080 hours, DNT is downtime which begins when a defect is reported <strong>and</strong> ends<br />

when defect is rectified, G is grace period – 48 hours where spares are to be<br />

procured locally).<br />

(c) The contractor shall, as far as possible, carry out repair <strong>and</strong> replacement<br />

at <strong>the</strong> respective User‘s site in <strong>the</strong> Customer premises. However, in case <strong>the</strong><br />

vendor is required to remove <strong>the</strong> defective/unserviceable equipment to his<br />

service centre <strong>for</strong> repair etc., it shall be done at <strong>the</strong> vendor‘s own cost. However,<br />

st<strong>and</strong>by equipment would need to be placed in lieu to maintain <strong>the</strong> Uptime.<br />

(d) The service engineer is to maintain a log indicating <strong>the</strong> daily state <strong>and</strong><br />

uptime <strong>of</strong> <strong>the</strong> ―Telepresence Setup‖, which will be signed by DIT at Delhi <strong>and</strong><br />

Comm<strong>and</strong> representatives at Mumbai, Vishakhapatnem <strong>and</strong> Kochi on daily<br />

basis. The <strong>for</strong>mat <strong>of</strong> <strong>the</strong> log will be provided by DIT.<br />

22. Any shortfall in <strong>the</strong> system uptime will attract financial penalty at <strong>the</strong> rate <strong>of</strong> 0.5%<br />

percent <strong>of</strong> <strong>the</strong> half yearly payment to be paid as per Part IV, Para 4, Sl (d) <strong>for</strong> each<br />

percent drop in uptime or part <strong>the</strong>re<strong>of</strong> at each location <strong>and</strong> such penalty amounts will be<br />

deducted from <strong>the</strong> payment due. The penalty would be levied as per logs maintained by<br />

<strong>the</strong> service engineer on <strong>the</strong> system <strong>and</strong> approved by IHQ MoD(N)/DIT <strong>and</strong> Comm<strong>and</strong>s<br />

respectively.<br />

23. Conference Session Quality – A conference session can have <strong>the</strong> following<br />

levels <strong>of</strong> quality : -<br />

(a) St<strong>and</strong>ard – When <strong>the</strong> session is running at <strong>the</strong> maximum achievable<br />

quality.<br />

(b) Degraded – When <strong>the</strong> session is running at a quality level below <strong>the</strong><br />

maximum level achieveable. For eg, if <strong>the</strong> maximum achieveable level is <strong>of</strong><br />

1080p <strong>and</strong> any one system is perfromimg at 720p, it will be considered as<br />

degraded per<strong>for</strong>mance.<br />

(c) Restricted – When one or more locations has to be dropped <strong>for</strong> any<br />

reason<br />

(d) Terminated – When <strong>the</strong> Telepresence equipment automatically<br />

terminates <strong>the</strong> conference session OR when <strong>the</strong> user decides to terminate <strong>the</strong><br />

session due to its poor per<strong>for</strong>mance.<br />

24. A non-st<strong>and</strong>ard session (as per para 23 (c) & (d) above) will be treated as a<br />

downtime <strong>and</strong> will be accounted <strong>for</strong> towards calculating <strong>the</strong> overall availability <strong>and</strong><br />

uptime.<br />

Quality Assurance Plan<br />

25. The firm shortlisted <strong>for</strong> setting-up <strong>of</strong> <strong>the</strong> Telepresence facility <strong>and</strong> awarded <strong>the</strong><br />

contract, shall, within one month <strong>of</strong> <strong>the</strong> award <strong>of</strong> contract, submit ‗Quality Assurance<br />

Plan‘ <strong>for</strong> setting-up <strong>of</strong> <strong>the</strong> facility.<br />

Responsibilities <strong>of</strong> Navy<br />

26. In order to meet <strong>the</strong> Service Level Commitment, <strong>the</strong> Customer‘s obligation would<br />

be limited to <strong>the</strong> following.-<br />

(a) Provide a telephone (with local call facility only) near <strong>the</strong> Telepresence<br />

Rooms <strong>for</strong> remote trouble- shooting on as required basis.<br />

(b) Provide access to places where <strong>the</strong> equipment is located, by means <strong>of</strong><br />

providing security pass authorizing contractors to work on all days excluding<br />

Sunday <strong>and</strong> Holidays, <strong>for</strong> attending calls<br />

(c)<br />

Provide <strong>the</strong> engineer full access to <strong>the</strong> equipment.<br />

(d) Ensure that <strong>the</strong> equipment is operated as per instructions <strong>and</strong> is physically<br />

secure.<br />

(e)<br />

Indicate space <strong>for</strong> installation <strong>of</strong> Porta cabin or Room.<br />

27. Two-Bid System In respect <strong>of</strong> Two-bid system, Bidders are required to furnish<br />

clause by clause compliance <strong>of</strong> specifications bringing out clearly <strong>the</strong> deviations from<br />

specification, if any. The Bidders are advised to submit <strong>the</strong> compliance statement as per<br />

Appendix F along with Technical Bid.<br />

28. Delivery Period - Delivery period <strong>for</strong> supply, installation <strong>and</strong> commissioning <strong>of</strong><br />

items would be within 6 months from <strong>the</strong> effective date <strong>of</strong> contract i.e. date <strong>of</strong> supply<br />

order. Please note that Contract can be cancelled unilaterally by <strong>the</strong> Buyer in case<br />

items are not received within <strong>the</strong> contracted delivery period. Extension <strong>of</strong> contracted<br />

delivery period will be at <strong>the</strong> sole discretion <strong>of</strong> <strong>the</strong> Buyer, with applicability <strong>of</strong> LD clause<br />

<strong>and</strong> consequential damage<br />

Part III – St<strong>and</strong>ard Conditions <strong>of</strong> RFP<br />

The Bidder is required to give confirmation <strong>of</strong> <strong>the</strong>ir acceptance <strong>of</strong> <strong>the</strong> St<strong>and</strong>ard<br />

Conditions <strong>of</strong> <strong>the</strong> Request <strong>for</strong> Proposal mentioned below which will automatically be<br />

considered as part <strong>of</strong> <strong>the</strong> Contract concluded with <strong>the</strong> successful Bidder (i.e. Seller in<br />

<strong>the</strong> Contract) as selected by <strong>the</strong> Buyer. Failure to do so may result in rejection <strong>of</strong> <strong>the</strong> Bid<br />

submitted by <strong>the</strong> Bidder. Fur<strong>the</strong>r, <strong>the</strong> buyer reserves <strong>the</strong> right to reject complete bid or<br />

part bid, whithout assigning any reason to do so.<br />

1. Law: The Contract shall be considered <strong>and</strong> made in accordance with <strong>the</strong> laws <strong>of</strong> <strong>the</strong><br />

Republic <strong>of</strong> India. The contract shall be governed by <strong>and</strong> interpreted in accordance with<br />

<strong>the</strong> laws <strong>of</strong> <strong>the</strong> Republic <strong>of</strong> India.<br />

2. Effective Date <strong>of</strong> <strong>the</strong> Contract: The contract (supply order) shall come into effect<br />

from <strong>the</strong> date <strong>of</strong> supply order (Effective Date) <strong>and</strong> shall remain valid until <strong>the</strong> completion<br />

<strong>of</strong> <strong>the</strong> obligations <strong>of</strong> <strong>the</strong> parties under <strong>the</strong> contract. The deliveries <strong>and</strong> supplies <strong>and</strong><br />

per<strong>for</strong>mance <strong>of</strong> <strong>the</strong> services shall commence from <strong>the</strong> effective date <strong>of</strong> <strong>the</strong> contract.<br />

3. Arbitration: All disputes or differences arising out <strong>of</strong> or in connection with <strong>the</strong><br />

Contract shall be settled by bilateral discussions. Any dispute, disagreement or question<br />

arising out <strong>of</strong> or relating to <strong>the</strong> Contract or relating to construction or per<strong>for</strong>mance, which<br />

cannot be settled amicably, may be resolved through arbitration. The st<strong>and</strong>ard clause <strong>of</strong><br />

arbitration is as per Forms DPM-7, DPM-8 <strong>and</strong> DPM-9 (Available in MoD website <strong>and</strong><br />

can be provided on request).<br />

4. Penalty <strong>for</strong> use <strong>of</strong> Undue influence: The Seller undertakes that he has not given,<br />

<strong>of</strong>fered or promised to give, directly or indirectly, any gift, consideration, reward,<br />

commission, fees, brokerage or inducement to any person in service <strong>of</strong> <strong>the</strong> Buyer or<br />

o<strong>the</strong>rwise in procuring <strong>the</strong> Contracts or <strong>for</strong>bearing to do or <strong>for</strong> having done or <strong>for</strong>borne<br />

to do any act in relation to <strong>the</strong> obtaining or execution <strong>of</strong> <strong>the</strong> present Contract or any<br />

o<strong>the</strong>r Contract with <strong>the</strong> Government <strong>of</strong> India <strong>for</strong> showing or <strong>for</strong>bearing to show favour or<br />

disfavour to any person in relation to <strong>the</strong> present Contract or any o<strong>the</strong>r Contract with <strong>the</strong><br />

Government <strong>of</strong> India. Any breach <strong>of</strong> <strong>the</strong> a<strong>for</strong>esaid undertaking by <strong>the</strong> Seller or any one<br />

employed by him or acting on his behalf (whe<strong>the</strong>r with or without <strong>the</strong> knowledge <strong>of</strong> <strong>the</strong><br />

Seller) or <strong>the</strong> commission <strong>of</strong> any <strong>of</strong>fers by <strong>the</strong> Seller or anyone employed by him or<br />

acting on his behalf, as defined in Chapter IX <strong>of</strong> <strong>the</strong> Indian Penal Code, 1860 or <strong>the</strong><br />

Prevention <strong>of</strong> Corruption Act, 1986 or any o<strong>the</strong>r Act enacted <strong>for</strong> <strong>the</strong> prevention <strong>of</strong><br />

corruption shall entitle <strong>the</strong> Buyer to cancel <strong>the</strong> contract <strong>and</strong> all or any o<strong>the</strong>r contracts<br />

with <strong>the</strong> Seller <strong>and</strong> recover from <strong>the</strong> Seller <strong>the</strong> amount <strong>of</strong> any loss arising from such<br />

cancellation. A decision <strong>of</strong> <strong>the</strong> Buyer or his nominee to <strong>the</strong> effect that a breach <strong>of</strong> <strong>the</strong><br />

undertaking had been committed shall be final <strong>and</strong> binding on 176 <strong>the</strong> Seller. Giving or<br />

<strong>of</strong>fering <strong>of</strong> any gift, bribe or inducement or any attempt at any such act on behalf <strong>of</strong> <strong>the</strong><br />

Seller towards any <strong>of</strong>ficer/employee <strong>of</strong> <strong>the</strong> Buyer or to any o<strong>the</strong>r person in a position to<br />

influence any <strong>of</strong>ficer/employee <strong>of</strong> <strong>the</strong> Buyer <strong>for</strong> showing any favour in relation to this or<br />

any o<strong>the</strong>r contract, shall render <strong>the</strong> Seller to such liability/ penalty as <strong>the</strong> Buyer may<br />

deem proper, including but not limited to termination <strong>of</strong> <strong>the</strong> contract, imposition <strong>of</strong> penal<br />

damages, <strong>for</strong>feiture <strong>of</strong> <strong>the</strong> Bank Guarantee <strong>and</strong> refund <strong>of</strong> <strong>the</strong> amounts paid by <strong>the</strong><br />

Buyer.<br />

5. Agents / Agency Commission: The Seller confirms <strong>and</strong> declares to <strong>the</strong> Buyer that<br />

<strong>the</strong> Seller is <strong>the</strong> original manufacturer <strong>of</strong> <strong>the</strong> stores/provider <strong>of</strong> <strong>the</strong> services referred to in<br />

this Contract <strong>and</strong> has not engaged any individual or firm, whe<strong>the</strong>r Indian or <strong>for</strong>eign<br />

whatsoever, to intercede, facilitate or in any way to recommend to <strong>the</strong> Government <strong>of</strong><br />

India or any <strong>of</strong> its functionaries, whe<strong>the</strong>r <strong>of</strong>ficially or un<strong>of</strong>ficially, to <strong>the</strong> award <strong>of</strong> <strong>the</strong><br />

contract to <strong>the</strong> Seller; nor has any amount been paid, promised or intended to be paid to<br />

any such individual or firm in respect <strong>of</strong> any such intercession, facilitation or<br />

recommendation. The Seller agrees that if it is established at any time to <strong>the</strong> satisfaction<br />

<strong>of</strong> <strong>the</strong> Buyer that <strong>the</strong> present declaration is in any way incorrect or if at a later stage it is<br />

discovered by <strong>the</strong> Buyer that <strong>the</strong> Seller has engaged any such individual/firm, <strong>and</strong> paid<br />

or intended to pay any amount, gift, reward, fees, commission or consideration to such<br />

person, party, firm or institution, whe<strong>the</strong>r be<strong>for</strong>e or after <strong>the</strong> signing <strong>of</strong> this contract, <strong>the</strong><br />

Seller will be liable to refund that amount to <strong>the</strong> Buyer. The Seller will also be debarred<br />

from entering into any supply Contract with <strong>the</strong> Government <strong>of</strong> India <strong>for</strong> a minimum<br />

period <strong>of</strong> five years. The Buyer will also have a right to consider cancellation <strong>of</strong> <strong>the</strong><br />

Contract ei<strong>the</strong>r wholly or in part, without any entitlement or compensation to <strong>the</strong> Seller<br />

who shall in such an event be liable to refund all payments made by <strong>the</strong> Buyer in terms<br />

<strong>of</strong> <strong>the</strong> Contract along with interest at <strong>the</strong> rate <strong>of</strong> 2% per annum above LIBOR rate. The<br />

Buyer will also have <strong>the</strong> right to recover any such amount from any contracts concluded<br />

earlier with <strong>the</strong> Government <strong>of</strong> India.<br />

6. Access to Books <strong>of</strong> Accounts: In case it is found to <strong>the</strong> satisfaction <strong>of</strong> <strong>the</strong> Buyer<br />

that <strong>the</strong> Seller has engaged an Agent or paid commission or influenced any person to<br />

obtain <strong>the</strong> contract as described in clauses relating to Agents/Agency Commission <strong>and</strong><br />

penalty <strong>for</strong> use <strong>of</strong> undue influence, <strong>the</strong> Seller, on a specific request <strong>of</strong> <strong>the</strong> Buyer, shall<br />

provide necessary in<strong>for</strong>mation/ inspection <strong>of</strong> <strong>the</strong> relevant financial<br />

documents/in<strong>for</strong>mation.<br />

7. Non-disclosure <strong>of</strong> Contract documents: Except with <strong>the</strong> written consent <strong>of</strong> <strong>the</strong><br />

Buyer/ Seller, o<strong>the</strong>r party shall not disclose <strong>the</strong> contract or any provision, specification,<br />

plan, design, pattern, sample or in<strong>for</strong>mation <strong>the</strong>re<strong>of</strong> to any third party.<br />

8. Liquidated Damages: In <strong>the</strong> event <strong>of</strong> <strong>the</strong> Seller's failure to submit <strong>the</strong> Bonds,<br />

Guarantees <strong>and</strong> Documents, supply <strong>the</strong> stores/goods <strong>and</strong> conduct trials, installation <strong>of</strong><br />

equipment, training, etc as specified in this contract, <strong>the</strong> Buyer may, at his discretion,<br />

withhold any payment until <strong>the</strong> completion <strong>of</strong> <strong>the</strong> contract. The BUYER may also deduct<br />

from <strong>the</strong> SELLER as agreed, liquidated damages to <strong>the</strong> sum <strong>of</strong> 0.5% <strong>of</strong> <strong>the</strong> contract<br />

price <strong>of</strong> <strong>the</strong> delayed/undelivered stores/services mentioned above <strong>for</strong> every week <strong>of</strong><br />

delay or part <strong>of</strong> a week, subject to <strong>the</strong> maximum value <strong>of</strong> <strong>the</strong> Liquidated Damages being<br />

not higher than 10% <strong>of</strong> <strong>the</strong> value <strong>of</strong> delayed stores.<br />

9. Consequential Damages – Consequential damages @ 0.5% <strong>of</strong> cost <strong>of</strong> contract,<br />

not including AMC <strong>and</strong> B<strong>and</strong>width charges, per week <strong>of</strong> delay in commissioning (i.e.<br />

final acceptance by <strong>the</strong> navy) <strong>of</strong> <strong>the</strong> project (subject to a maximum <strong>of</strong> 5% <strong>of</strong> <strong>the</strong> contract<br />

cost). This is over <strong>and</strong> above <strong>the</strong> LD clause that would be applicable.<br />

10. Termination <strong>of</strong> Contract: The Buyer shall have <strong>the</strong> right to terminate this Contract<br />

in part or in full in any <strong>of</strong> <strong>the</strong> following cases :-<br />

(a) The delivery <strong>of</strong> <strong>the</strong> material is delayed <strong>for</strong> causes not attributable to Force<br />

Majeure <strong>for</strong> more than (01 months) after <strong>the</strong> scheduled date <strong>of</strong> delivery.<br />

(b) The Seller is declared bankrupt or becomes insolvent.<br />

(c) The delivery <strong>of</strong> material is delayed due to causes <strong>of</strong> Force Majeure by more<br />

than (03 months) provided Force Majeure clause is included in contract.<br />

(d) The Buyer has noticed that <strong>the</strong> Seller has utilised <strong>the</strong> services <strong>of</strong> any<br />

Indian/Foreign agent in getting this contract <strong>and</strong> paid any commission to such<br />

individual/company etc.<br />

(e) As per decision <strong>of</strong> <strong>the</strong> Arbitration Tribunal.<br />

11. Notices: Any notice required or permitted by <strong>the</strong> contract shall be written in <strong>the</strong><br />

English language <strong>and</strong> may be delivered personally or may be sent by FAX or registered<br />

pre-paid mail/airmail, addressed to <strong>the</strong> last known address <strong>of</strong> <strong>the</strong> party to whom it is<br />

sent.<br />

12. Transfer <strong>and</strong> Sub-letting: The Seller has no right to give, bargain, sell, assign or<br />

sublet or o<strong>the</strong>rwise dispose <strong>of</strong> <strong>the</strong> Contract or any part <strong>the</strong>re<strong>of</strong>, as well as to give or to<br />

let a third party take benefit or advantage <strong>of</strong> <strong>the</strong> present Contract or any part <strong>the</strong>re<strong>of</strong>.<br />

13. Patents <strong>and</strong> o<strong>the</strong>r Industrial Property Rights: The prices stated in <strong>the</strong> present<br />

Contract shall be deemed to include all amounts payable <strong>for</strong> <strong>the</strong> use <strong>of</strong> patents,<br />

copyrights, registered charges, trademarks <strong>and</strong> payments <strong>for</strong> any o<strong>the</strong>r industrial<br />

property rights. The Seller shall indemnify <strong>the</strong> Buyer against all claims from a third party<br />

at any time on account <strong>of</strong> <strong>the</strong> infringement <strong>of</strong> any or all <strong>the</strong> rights mentioned in <strong>the</strong><br />

previous paragraphs, whe<strong>the</strong>r such claims arise in respect <strong>of</strong> manufacture or use. The<br />

Seller shall be responsible <strong>for</strong> <strong>the</strong> completion <strong>of</strong> <strong>the</strong> supplies including spares, tools,<br />

technical literature <strong>and</strong> training aggregates irrespective <strong>of</strong> <strong>the</strong> fact <strong>of</strong> infringement <strong>of</strong> <strong>the</strong><br />

supplies, irrespective <strong>of</strong> <strong>the</strong> fact <strong>of</strong> infringement <strong>of</strong> any or all <strong>the</strong> rights mentioned above.<br />

14. Amendments: No provision <strong>of</strong> present Contract shall be changed or modified in any<br />

way (including this provision) ei<strong>the</strong>r in whole or in part except by an instrument in writing<br />

made after <strong>the</strong> date <strong>of</strong> this Contract <strong>and</strong> signed on behalf <strong>of</strong> both <strong>the</strong> parties <strong>and</strong> which<br />

expressly states to amend <strong>the</strong> present Contract.<br />

15) Taxes <strong>and</strong> Duties<br />

(a) General<br />

(i) If Bidder desires to ask <strong>for</strong> excise duty or Sales Tax / VAT extra,<br />

<strong>the</strong> same must be specifically stated. In <strong>the</strong> absence <strong>of</strong> any such<br />

stipulation, it will be presumed that <strong>the</strong> prices include all such charges <strong>and</strong><br />

no claim <strong>for</strong> <strong>the</strong> same will be entertained.<br />

(ii) If reimbursement <strong>of</strong> any Duty/Tax is intended as extra over <strong>the</strong><br />

quoted prices, <strong>the</strong> Bidder must specifically say so. In <strong>the</strong> absence <strong>of</strong> any<br />

such stipulation it will be presumed that <strong>the</strong> prices quoted are firm <strong>and</strong><br />

final <strong>and</strong> no claim on account <strong>of</strong> such duty/tax will be entrained after <strong>the</strong><br />

opening <strong>of</strong> tenders.<br />

(iii) If a Bidder chooses to quote a price inclusive <strong>of</strong> any duty/tax <strong>and</strong><br />

does not confirm inclusive <strong>of</strong> such duty/tax so included is firm <strong>and</strong> final, he<br />

should clearly indicate <strong>the</strong> rate <strong>of</strong> such duty/tax <strong>and</strong> quantum <strong>of</strong> such<br />

duty/tax included in <strong>the</strong> price. Failure to do so may result in ignoring <strong>of</strong><br />

such <strong>of</strong>fers summarily.<br />

(iv) If a Bidder is exempted from payment <strong>of</strong> any duty/tax upto any<br />

value <strong>of</strong> supplies from <strong>the</strong>m, he should clearly state that no such duty/tax<br />

will be charged by him up to <strong>the</strong> limit <strong>of</strong> exemption which he may have. If<br />

any concession is available in regard to rate/quantum <strong>of</strong> any Duty/tax, it<br />

should be brought out clearly. Stipulations like, <strong>the</strong> said duty/tax was<br />

presently not applicable but <strong>the</strong> same will be charged if it becomes<br />

leviable later on, will not be accepted unless in such cases it is clearly<br />

stated by a Bidder that such duty/tax will not be charged by him even if <strong>the</strong><br />

same becomes applicable later on. In respect <strong>of</strong> <strong>the</strong> Bidders, who fail to<br />

comply with this requirement, <strong>the</strong>ir quoted prices shall be loaded with <strong>the</strong><br />

quantum <strong>of</strong> such duty/tax which is normally applicable on <strong>the</strong> item in<br />

question <strong>for</strong> <strong>the</strong> purpose <strong>of</strong> comparing <strong>the</strong>ir prices with o<strong>the</strong>r Bidders.<br />

(v) Any change in any duty/tax upward/downward as a result <strong>of</strong> any<br />

statutory variation in excise taking place within contract terms shall be<br />

allowed to <strong>the</strong> extent <strong>of</strong> actual quantum <strong>of</strong> such duty/tax paid by <strong>the</strong><br />

supplier. Similarly, in case <strong>of</strong> downward revision in any duty/tax, <strong>the</strong> actual<br />

quantum <strong>of</strong> reduction <strong>of</strong> such duty/tax shall be reimbursed to <strong>the</strong> Buyer by<br />

<strong>the</strong> Seller. All such adjustments shall include all reliefs, exemptions,<br />

rebates, concession etc. if any obtained by <strong>the</strong> Seller.<br />

(b) Customs Duty –<br />

(i) For imported stores <strong>of</strong>fered against <strong>for</strong>ward delivery, <strong>the</strong> Bidder<br />

shall quote prices <strong>the</strong>re<strong>of</strong> exclusive <strong>of</strong> customs duty. The Bidder shall<br />

specify separately <strong>the</strong> C.I.F. prices <strong>and</strong> total amount <strong>of</strong> customs duty<br />

payable. They will also indicate correctly <strong>the</strong> rate <strong>of</strong> customs duty<br />

applicable along with Indian Customs Tariff Number. Customs duty as<br />

actually paid will be reimbursed on production <strong>of</strong> necessary documents i.e.<br />

(aa) Triplicate copy <strong>of</strong> <strong>the</strong> bill <strong>of</strong> entry; (ab) copy <strong>of</strong> bill <strong>of</strong> lading; (ac) a<br />

copy <strong>of</strong> <strong>for</strong>eign principal‘s invoice. However, if <strong>the</strong> Bidder imports <strong>the</strong><br />

stores in question against his own commercial quota Import Licences, he<br />

will also be required to submit in addition <strong>the</strong> triplicate copy <strong>of</strong> bills <strong>of</strong> entry<br />

etc. a certificate from his Internal Auditor on <strong>the</strong> bill itself, to <strong>the</strong> effect that<br />

<strong>the</strong> following items/quantity in <strong>the</strong> bill <strong>of</strong> entry related to <strong>the</strong> stores<br />

imported against Defence Buyer contract<br />

(ii) Subsequent to <strong>the</strong> reimbursement <strong>of</strong> customs duty, <strong>the</strong> Bidder will<br />

submit to <strong>the</strong> concerned Payment Authority a certificate to <strong>the</strong> effect that<br />

he has not obtained any refund <strong>of</strong> customs duty subsequent to <strong>the</strong><br />

payment <strong>of</strong> duty to <strong>the</strong> Customs authority by him. In addition, he shall also<br />

submit to <strong>the</strong> Paying Authority concerned a certificate immediately after a<br />

period <strong>of</strong> three months from <strong>the</strong> date <strong>of</strong> payment <strong>of</strong> <strong>the</strong> duty to customs<br />

authorities to <strong>the</strong> effect that he has not applied <strong>for</strong> refund <strong>of</strong> <strong>the</strong> customs<br />

duty subsequent to <strong>the</strong> payment <strong>of</strong> duty to <strong>the</strong> customs authorities by him.<br />

(iii) In case <strong>the</strong> Bidder obtains any refund <strong>of</strong> customs duty,<br />

subsequently to <strong>the</strong> payment <strong>of</strong> <strong>the</strong> same by him to <strong>the</strong> customs<br />

authorities <strong>and</strong> reimbursement <strong>of</strong> <strong>the</strong> customs duty to him by <strong>the</strong> Payment<br />

Authority, he should <strong>for</strong>thwith furnish <strong>the</strong> details <strong>of</strong> <strong>the</strong> refund obtained <strong>and</strong><br />

af<strong>for</strong>d full credit <strong>of</strong> <strong>the</strong> same to <strong>the</strong> Buyer.<br />

(c) Excise Duty<br />

(i) Where <strong>the</strong> excise duty is payable on advalorem basis, <strong>the</strong> Bidder<br />

should submit along with <strong>the</strong> tender, <strong>the</strong> relevant <strong>for</strong>m <strong>and</strong> <strong>the</strong><br />

Manufacturer‘s price list showing <strong>the</strong> actual assessable value <strong>of</strong> <strong>the</strong> stores<br />

as approved by <strong>the</strong> Excise authorities.<br />

(ii) Bidders should note that in case any refund <strong>of</strong> excise duty is<br />

granted to <strong>the</strong>m by Excise authorities in respect <strong>of</strong> Stores supplied under<br />

<strong>the</strong> contract, <strong>the</strong>y will pass on <strong>the</strong> credit to <strong>the</strong> Buyer immediately along<br />

with a certificate that <strong>the</strong> credit so passed on relates to <strong>the</strong> Excise Duty,<br />

originally paid <strong>for</strong> <strong>the</strong> stores supplied under <strong>the</strong> contract. In case <strong>of</strong> <strong>the</strong>ir<br />

failure to do so, within 10 days <strong>of</strong> <strong>the</strong> issue <strong>of</strong> <strong>the</strong> excise duty refund<br />

orders to <strong>the</strong>m by <strong>the</strong> Excise Authorities <strong>the</strong> Buyer would be empowered<br />

to deduct a sum equivalent to <strong>the</strong> amount refunded by <strong>the</strong> Excise<br />

Authorities without any fur<strong>the</strong>r reference to <strong>the</strong>m from any <strong>of</strong> <strong>the</strong>ir<br />

outst<strong>and</strong>ing bills against <strong>the</strong> contract or any o<strong>the</strong>r pending Government<br />

Contract <strong>and</strong> that no disputes on this account would be raised by <strong>the</strong>m.<br />

(iii) The Seller is also required to furnish to <strong>the</strong> Paying Authority <strong>the</strong><br />

following certificates:<br />

(aa) Certificate with each bill to <strong>the</strong> effect that no refund has been<br />

obtained in respect <strong>of</strong> <strong>the</strong> reimbursement <strong>of</strong> excise duty made to<br />

<strong>the</strong> Seller during three months immediately preceding <strong>the</strong> date <strong>of</strong><br />

<strong>the</strong> claim covered by <strong>the</strong> relevant bill.<br />

(iv) Certificate as to whe<strong>the</strong>r refunds have been obtained or applied <strong>for</strong><br />

by <strong>the</strong>m or not in <strong>the</strong> preceding financial year after <strong>the</strong> annual Audit <strong>of</strong><br />

<strong>the</strong>ir accounts also indicating details <strong>of</strong> such refunds/applications, if any.<br />

(v) A certificate along with <strong>the</strong> final payment bills <strong>of</strong> <strong>the</strong> Seller to <strong>the</strong><br />

effect whe<strong>the</strong>r or not <strong>the</strong>y have any pending appeal/protest <strong>for</strong> refund or<br />

partial refund <strong>of</strong> excise duties already reimbursed to <strong>the</strong> Seller by <strong>the</strong><br />

Government pending with <strong>the</strong> Excise authorities <strong>and</strong> if so, <strong>the</strong> nature, <strong>the</strong><br />

amount involved, <strong>and</strong> <strong>the</strong> position <strong>of</strong> such appeals.<br />

(vi) An undertaking to <strong>the</strong> effect that in case it is detected by <strong>the</strong><br />

Government that any refund from Excise Authority was obtained by <strong>the</strong><br />

Seller after obtaining reimbursement from <strong>the</strong> Paying Authority, <strong>and</strong> if <strong>the</strong><br />

same is not immediately refunded by <strong>the</strong> Seller to <strong>the</strong> Paying Authority<br />

giving details <strong>and</strong> particulars <strong>of</strong> <strong>the</strong> transactions, Paying Authority will<br />

have full authority to recover such amounts from <strong>the</strong> Seller‘s outst<strong>and</strong>ing<br />

bills against that particular contract or any o<strong>the</strong>r pending Government<br />

contracts <strong>and</strong> that no dispute on this account would be raised by <strong>the</strong><br />

Seller.<br />

(vii) Unless o<strong>the</strong>rwise specifically agreed to in terms <strong>of</strong> <strong>the</strong> contract, <strong>the</strong><br />

Buyer shall not be liable <strong>for</strong> any claim on account <strong>of</strong> fresh imposition<br />

<strong>and</strong>/or increase <strong>of</strong> Excise Duty on raw materials <strong>and</strong>/or components used<br />

directly in <strong>the</strong> manufacture <strong>of</strong> <strong>the</strong> contracted stores taking place during <strong>the</strong><br />

pendency <strong>of</strong> <strong>the</strong> contract.<br />

(d) Sales Tax / VAT<br />

(i) If it is desired by <strong>the</strong> Bidder to ask <strong>for</strong> Sales tax / VAT to be paid as<br />

extra, <strong>the</strong> same must be specifically stated. In <strong>the</strong> absence <strong>of</strong> any such<br />

stipulation in <strong>the</strong> bid, it will be presumed that <strong>the</strong> prices quoted by <strong>the</strong><br />

Bidder are inclusive <strong>of</strong> sales tax <strong>and</strong> no liability <strong>of</strong> sales tax will be<br />

developed upon <strong>the</strong> Buyer.<br />

(ii) On <strong>the</strong> Bids quoting sales tax extra, <strong>the</strong> rate <strong>and</strong> <strong>the</strong> nature <strong>of</strong><br />

Sales Tax applicable at <strong>the</strong> time <strong>of</strong> supply should be shown separately.<br />

Sales tax will be paid to <strong>the</strong> Seller at <strong>the</strong> rate at which it is liable to be<br />

assessed or has actually been assessed provided <strong>the</strong> transaction <strong>of</strong> sale<br />

is legally liable to sales tax <strong>and</strong> <strong>the</strong> same is payable as per <strong>the</strong> terms <strong>of</strong><br />

<strong>the</strong> contract.<br />

(e)<br />

Octroi Duty & Local Taxes<br />

(i) Normally, materials to be supplied to Government Departments<br />

against Government Contracts are exempted from levy <strong>of</strong> town duty,<br />

Octroi Duty, Terminal Tax <strong>and</strong> o<strong>the</strong>r levies <strong>of</strong> local bodies. The local<br />

Town/Municipal Body regulations at times, however, provide <strong>for</strong> such<br />

Exemption only on production <strong>of</strong> such exemption certificate from any<br />

authorised <strong>of</strong>ficer. Seller should ensure that stores ordered against<br />

contracts placed by this <strong>of</strong>fice are exempted from levy <strong>of</strong> Town Duty/Octroi<br />

Duty, Terminal Tax or o<strong>the</strong>r local taxes <strong>and</strong> duties. Wherever required,<br />

<strong>the</strong>y should obtain <strong>the</strong> exemption certificate from <strong>the</strong> Buyer, to avoid<br />

payment <strong>of</strong> such local taxes or duties.<br />

(ii) In case where <strong>the</strong> Municipality or o<strong>the</strong>r local body insists upon<br />

payment <strong>of</strong> <strong>the</strong>se duties or taxes <strong>the</strong> same should be paid by <strong>the</strong> Seller to<br />

avoid delay in supplies <strong>and</strong> possible demurrage charges. The receipt<br />

obtained <strong>for</strong> such payment should be <strong>for</strong>warded to <strong>the</strong> Buyer without delay<br />

toge<strong>the</strong>r with a copy <strong>of</strong> <strong>the</strong> relevant act or bylaws/ notifications <strong>of</strong> <strong>the</strong><br />

Municipality <strong>of</strong> <strong>the</strong> local body concerned to enable him to take up <strong>the</strong><br />

question <strong>of</strong> refund with <strong>the</strong> concerned bodies if admissible under <strong>the</strong> said<br />

acts or rules.<br />

Part IV – Special Conditions <strong>of</strong> RFP<br />

The Bidder is required to give confirmation <strong>of</strong> <strong>the</strong>ir acceptance <strong>of</strong> Special Conditions <strong>of</strong><br />

<strong>the</strong> RFP mentioned below which will automatically be considered as part <strong>of</strong> <strong>the</strong> Contract<br />

concluded with <strong>the</strong> successful Bidder (i.e. Seller in <strong>the</strong> Contract) as selected by <strong>the</strong><br />

Buyer. Failure to do so may result in rejection <strong>of</strong> Bid submitted by <strong>the</strong> Bidder.<br />

1. Per<strong>for</strong>mance Guarantee:<br />

(a) Indigenous cases: The Bidder will be required to furnish a Per<strong>for</strong>mance<br />

Guarantee by way <strong>of</strong> Bank Guarantee through a public sector bank or a private<br />

sector bank authorized to conduct government business (ICICI Bank Ltd., Axis<br />

Bank Ltd or HDFC Bank Ltd.) <strong>for</strong> a sum equal to 10% <strong>of</strong> <strong>the</strong> contract value within<br />

30 days <strong>of</strong> receipt <strong>of</strong> <strong>the</strong> confirmed order. Per<strong>for</strong>mance Bank Guarantee should<br />

be valid up to 60 days beyond <strong>the</strong> date <strong>of</strong> warranty. The specimen <strong>of</strong> PBG is<br />

given in Form DPM-15 (Available in MoD website <strong>and</strong> can be provided on<br />

request).<br />

2. Repeat Order Clause – The contract will have a Repeat Order Clause, wherein<br />

<strong>the</strong> Buyer can order upto 50% quantity <strong>of</strong> <strong>the</strong> items under <strong>the</strong> present contract within six<br />

months from <strong>the</strong> date <strong>of</strong> supply/successful completion <strong>of</strong> this contract, <strong>the</strong> cost, terms &<br />

conditions remaining <strong>the</strong> same. The Bidder is to confirm acceptance <strong>of</strong> this clause. It will<br />

be entirely <strong>the</strong> discretion <strong>of</strong> <strong>the</strong> Buyer to place <strong>the</strong> Repeat order or not.<br />

3. Tolerance Clause – To take care <strong>of</strong> any change in <strong>the</strong> requirement during <strong>the</strong><br />

period starting from issue <strong>of</strong> RFP till placement <strong>of</strong> <strong>the</strong> contract, Buyer reserves <strong>the</strong> right<br />

to 25% plus/minus increase or decrease <strong>the</strong> quantity <strong>of</strong> <strong>the</strong> required goods upto that<br />

limit without any change in <strong>the</strong> terms & conditions <strong>and</strong> prices quoted by <strong>the</strong> Seller.<br />

While awarding <strong>the</strong> contract, <strong>the</strong> quantity ordered can be increased or decreased by <strong>the</strong><br />

Buyer within this tolerance limit.<br />

4. Payment Terms <strong>for</strong> Indigenous Sellers - It will be m<strong>and</strong>atory <strong>for</strong> <strong>the</strong> Bidders to<br />

indicate <strong>the</strong>ir bank account numbers <strong>and</strong> o<strong>the</strong>r relevant payment details so that<br />

payments could be made through ECS/EFT mechanism instead <strong>of</strong> payment through<br />

cheques, wherever feasible. A copy <strong>of</strong> <strong>the</strong> model m<strong>and</strong>ate <strong>for</strong>m prescribed by RBI to be<br />

submitted by Bidders <strong>for</strong> receiving payments through ECS is at Form DPM-11<br />

(Available in MoD website <strong>and</strong> can be given on request). The payment will be made as<br />

per <strong>the</strong> following terms, on production <strong>of</strong> <strong>the</strong> requisite documents:<br />

7. Fall clause - The following Fall clause will <strong>for</strong>m part <strong>of</strong> <strong>the</strong> contract placed on<br />

successful Bidder -<br />

(a) The price charged <strong>for</strong> <strong>the</strong> stores supplied under <strong>the</strong> contract by <strong>the</strong> Seller<br />

shall in no event exceed <strong>the</strong> lowest prices at which <strong>the</strong> Seller sells <strong>the</strong> stores or<br />

<strong>of</strong>fer to sell stores <strong>of</strong> identical description to any persons/Organisation including<br />

<strong>the</strong> purchaser or any department <strong>of</strong> <strong>the</strong> Central government or any Department<br />

<strong>of</strong> state government or any statutory undertaking <strong>the</strong> central or state government<br />

as <strong>the</strong> case may be during <strong>the</strong> period till per<strong>for</strong>mance <strong>of</strong> all supply Orders placed<br />

during <strong>the</strong> currency <strong>of</strong> <strong>the</strong> rate contract is completed.<br />

(b) If at any time, during <strong>the</strong> said period <strong>the</strong> Seller reduces <strong>the</strong> sale price,<br />

sells or <strong>of</strong>fer to sell such stores to any person/organisation including <strong>the</strong> Buyer or<br />

any Deptt, <strong>of</strong> central Govt. or any Department <strong>of</strong> <strong>the</strong> State Government or any<br />

Statutory undertaking <strong>of</strong> <strong>the</strong> Central or state Government as <strong>the</strong> case may be at<br />

a price lower than <strong>the</strong> price chargeable under <strong>the</strong> contract, <strong>the</strong> shall <strong>for</strong>thwith<br />

notify such reduction or sale or <strong>of</strong>fer <strong>of</strong> sale to <strong>the</strong> Director general <strong>of</strong> Supplies &<br />

Disposals <strong>and</strong> <strong>the</strong> price payable under <strong>the</strong> contract <strong>for</strong> <strong>the</strong> stores <strong>of</strong> such<br />

reduction <strong>of</strong> sale or <strong>of</strong>fer <strong>of</strong> <strong>the</strong> sale shall st<strong>and</strong> correspondingly reduced. The<br />

above stipulation will, however, not apply to:--<br />

(i) Exports by <strong>the</strong> Seller.<br />

(ii) Sale <strong>of</strong> goods as original equipment at price lower than lower than <strong>the</strong><br />

prices charged <strong>for</strong> normal replacement.<br />

(iii) Sale <strong>of</strong> goods such as drugs which have expiry dates.<br />

(iv) Sale <strong>of</strong> goods at lower price on or after <strong>the</strong> date <strong>of</strong> completion <strong>of</strong><br />

sale/placement <strong>of</strong> <strong>the</strong> order <strong>of</strong> goods by <strong>the</strong> authority concerned under <strong>the</strong><br />

existing or previous Rate Contracts as also under any previous contracts<br />

entered into with <strong>the</strong> Central or State Govt. Depts, including <strong>the</strong>ir<br />

undertakings excluding joint sector companies <strong>and</strong>/or private parties <strong>and</strong><br />

bodies.<br />

8. Risk & Expense clause –<br />

(a) Should <strong>the</strong> stores or any installment <strong>the</strong>re<strong>of</strong> not be delivered within <strong>the</strong><br />

time or times specified in <strong>the</strong> contract documents, or if defective delivery is made<br />

in respect <strong>of</strong> <strong>the</strong> stores or any installment <strong>the</strong>re<strong>of</strong>, <strong>the</strong> Buyer shall after granting<br />

<strong>the</strong> Seller 45 days to cure <strong>the</strong> breach, be at liberty, without prejudice to <strong>the</strong> right<br />

to recover liquidated damages as a remedy <strong>for</strong> breach <strong>of</strong> contract, to declare <strong>the</strong><br />

contract as cancelled ei<strong>the</strong>r wholly or to <strong>the</strong> extent <strong>of</strong> such default.<br />

(b) Should <strong>the</strong> stores or any installment <strong>the</strong>re<strong>of</strong> not per<strong>for</strong>m in accordance<br />

with <strong>the</strong> specifications / parameters provided by <strong>the</strong> SELLER during <strong>the</strong> check<br />

pro<strong>of</strong> tests to be done in <strong>the</strong> BUYER‘s country, <strong>the</strong> BUYER shall be at liberty,<br />

without prejudice to any o<strong>the</strong>r remedies <strong>for</strong> breach <strong>of</strong> contract, to cancel <strong>the</strong><br />

contract wholly or to <strong>the</strong> extent <strong>of</strong> such default.<br />

(c) In case <strong>of</strong> a material breach that was not remedied within 45 days, <strong>the</strong><br />

BUYER shall, having given <strong>the</strong> right <strong>of</strong> first refusal to <strong>the</strong> SELLER be at liberty to<br />

purchase, manufacture, or procure from any o<strong>the</strong>r source as he thinks fit, o<strong>the</strong>r<br />

stores <strong>of</strong> <strong>the</strong> same or similar description to make good:-<br />

(i) Such default.<br />

(ii) In <strong>the</strong> event <strong>of</strong> <strong>the</strong> contract being wholly determined <strong>the</strong> balance <strong>of</strong><br />

<strong>the</strong> stores remaining to be delivered <strong>the</strong>reunder.<br />

(d) Any excess <strong>of</strong> <strong>the</strong> purchase price, cost <strong>of</strong> manufacturer, or value <strong>of</strong> any<br />

stores procured from any o<strong>the</strong>r supplier as <strong>the</strong> case may be, over <strong>the</strong> contract<br />

price appropriate to such default or balance shall be recoverable from <strong>the</strong><br />

SELLER. Such recoveries shall not exceed 10 % <strong>of</strong> <strong>the</strong> value <strong>of</strong> <strong>the</strong> contract.<br />

9. Force Majeure clause<br />

(a) Nei<strong>the</strong>r party shall bear responsibility <strong>for</strong> <strong>the</strong> complete or partial<br />

nonper<strong>for</strong>mance <strong>of</strong> any <strong>of</strong> its obligations (except <strong>for</strong> failure to pay any sum which<br />

has become due on account <strong>of</strong> receipt <strong>of</strong> goods under <strong>the</strong> provisions <strong>of</strong> <strong>the</strong><br />

present contract), if <strong>the</strong> non-per<strong>for</strong>mance results from such Force Majeure<br />

circumstances as Flood, Fire, Earth Quake <strong>and</strong> o<strong>the</strong>r acts <strong>of</strong> God as well as War,<br />

Military operation, blockade, Acts or Actions <strong>of</strong> State Authorities or any o<strong>the</strong>r<br />

circumstances beyond <strong>the</strong> parties control that have arisen after <strong>the</strong> conclusion <strong>of</strong><br />

<strong>the</strong> present contract.<br />

(b) In such circumstances <strong>the</strong> time stipulated <strong>for</strong> <strong>the</strong> per<strong>for</strong>mance <strong>of</strong> an<br />

obligation under <strong>the</strong> present contract is extended correspondingly <strong>for</strong> <strong>the</strong> period<br />

<strong>of</strong> time <strong>of</strong> action <strong>of</strong> <strong>the</strong>se circumstances <strong>and</strong> <strong>the</strong>ir consequences.<br />

(c) The party <strong>for</strong> which it becomes impossible to meet obligations under this<br />

contract due to Force Majeure conditions, is to notify in written <strong>for</strong>m <strong>the</strong> o<strong>the</strong>r<br />

party <strong>of</strong> <strong>the</strong> beginning <strong>and</strong> cessation <strong>of</strong> <strong>the</strong> above circumstances immediately,<br />

but in any case not later than 10 (Ten) days from <strong>the</strong> moment <strong>of</strong> <strong>the</strong>ir beginning.<br />

(d) Certificate <strong>of</strong> a Chamber <strong>of</strong> Commerce (Commerce <strong>and</strong> Industry) or o<strong>the</strong>r<br />

competent authority or organization <strong>of</strong> <strong>the</strong> respective country shall be a sufficient<br />

pro<strong>of</strong> <strong>of</strong> commencement <strong>and</strong> cessation <strong>of</strong> <strong>the</strong> above circumstances.<br />

(e) If <strong>the</strong> impossibility <strong>of</strong> complete or partial per<strong>for</strong>mance <strong>of</strong> an obligation<br />

lasts <strong>for</strong> more than 6 (six) months, ei<strong>the</strong>r party hereto reserves <strong>the</strong> right to<br />

terminate <strong>the</strong> contract totally or partially upon giving prior written notice <strong>of</strong> 30<br />

(thirty) days to <strong>the</strong> o<strong>the</strong>r party <strong>of</strong> <strong>the</strong> intention to terminate without any liability<br />

o<strong>the</strong>r than reimbursement on <strong>the</strong> terms provided in <strong>the</strong> agreement <strong>for</strong> <strong>the</strong> goods<br />

received.<br />

10. Specification: The following Specification clause will <strong>for</strong>m part <strong>of</strong> <strong>the</strong> contract<br />

placed on successful Bidder - The Seller guarantees to meet <strong>the</strong> specifications as per<br />

Part-II <strong>of</strong> RFP <strong>and</strong> to incorporate <strong>the</strong> modifications to <strong>the</strong> existing design configuration<br />

to meet <strong>the</strong> specific requirement <strong>of</strong> <strong>the</strong> Buyer Services as per<br />

modifications/requirements recommended after <strong>the</strong> Maintenance Evaluation Trials. All<br />

technical literature <strong>and</strong> drawings shall be amended as <strong>the</strong> modifications by <strong>the</strong> Seller<br />

be<strong>for</strong>e supply to <strong>the</strong> Buyer. The Seller, in consultation with <strong>the</strong> Buyer, may carry out<br />

technical upgradation/alterations in <strong>the</strong> design, drawings <strong>and</strong> specifications due to<br />

change in manufacturing procedures, indigenisation or obsolescence. This will,<br />

however, not in any way, adversely affect <strong>the</strong> end specifications <strong>of</strong> <strong>the</strong> equipment.<br />

Changes in technical details, drawings repair <strong>and</strong> maintenance techniques alongwith<br />

necessary tools as a result <strong>of</strong> upgradation/alterations will be provided to <strong>the</strong> Buyer free<br />

<strong>of</strong> cost within (30) days <strong>of</strong> affecting such upgradation/alterations.<br />

11. OEM Certificate: In case <strong>the</strong> Bidder is not <strong>the</strong> OEM, <strong>the</strong> agreement certificate with<br />

<strong>the</strong> OEM <strong>for</strong> sourcing <strong>the</strong> spares shall be m<strong>and</strong>atory. However, where OEMs do not<br />

exist, minor aggregates <strong>and</strong> spares can be sourced from authorized vendors subject to<br />

quality certification. The certification from OEM, as listed at para 7 <strong>of</strong> Part II <strong>of</strong> RFP<br />

are also required to be submitted alongwith Technical Bid.<br />

12. Export License: The Bidders are to confirm that <strong>the</strong>y have requisite export license<br />

from <strong>the</strong>ir Government <strong>and</strong> Authorization from <strong>the</strong> manufacturing plant, in case <strong>the</strong>y are<br />

not <strong>the</strong> OEM, to export <strong>the</strong> military / non-military goods to India.<br />

13. Earliest Acceptable Year <strong>of</strong> Manufacture: 2009 Quality / Life certificate will need<br />

to be enclosed with <strong>the</strong> Bill.<br />

14. Buyer Furnished Equipment: The following equipment will be provided by <strong>the</strong><br />

Buyer at his expense to <strong>the</strong> Seller:<br />

(a) Telephone near Telepresence Room <strong>for</strong> making local calls to vendor<br />

<strong>of</strong>fice/ receiving calls from vendors.<br />

15. Quality: The quality <strong>of</strong> <strong>the</strong> stores delivered according to <strong>the</strong> present Contract shall<br />

correspond to <strong>the</strong> technical conditions <strong>and</strong> st<strong>and</strong>ards valid <strong>for</strong> <strong>the</strong> deliveries <strong>of</strong> <strong>the</strong> same<br />

stores <strong>for</strong> in Seller‘s country or specifications enumerated as per RFP <strong>and</strong> shall also<br />

include <strong>the</strong>rein modification to <strong>the</strong> stores suggested by <strong>the</strong> Buyer. Such modifications<br />

will be mutually agreed to. The Seller confirms that <strong>the</strong> stores to be supplied under this<br />

Contract shall be new i.e. not manufactured be<strong>for</strong>e (Year <strong>of</strong> Contract), <strong>and</strong> shall<br />

incorporate all <strong>the</strong> latest improvements <strong>and</strong> modifications <strong>the</strong>reto <strong>and</strong> spares <strong>of</strong><br />

improved <strong>and</strong> modified equipment are backward integrated <strong>and</strong> interchangeable with<br />

same equipment supplied by <strong>the</strong> Seller in <strong>the</strong> past if any. The Seller shall supply an<br />

interchangeability certificate along with <strong>the</strong> changed part numbers wherein it should be<br />

mentioned that item would provide as much life as <strong>the</strong> original item.<br />

16. Quality Assurance: Seller would provide <strong>the</strong> St<strong>and</strong>ard Acceptance Test Procedure<br />

(ATP) within 02 month <strong>of</strong> this date <strong>of</strong> contract. Buyer reserves <strong>the</strong> right to modify <strong>the</strong><br />

ATP. Seller would be required to provide all test facilities at his premises <strong>for</strong> acceptance<br />

<strong>and</strong> inspection by Buyer. The details in this regard will be coordinated during <strong>the</strong><br />

negotiation <strong>of</strong> <strong>the</strong> contract. The item should be <strong>of</strong> <strong>the</strong> latest manufacture, con<strong>for</strong>ming to<br />

<strong>the</strong> current production st<strong>and</strong>ard <strong>and</strong> having 100% defined life at <strong>the</strong> time <strong>of</strong> delivery.<br />

17. Inspection Authority: The Inspection will be carried out by IHQ MoD(N)/DIT <strong>and</strong><br />

Comm<strong>and</strong>s. The mode <strong>of</strong> Inspection will be User Inspection.<br />

18. Franking clause – The following Franking clause will <strong>for</strong>m part <strong>of</strong> <strong>the</strong> contract<br />

placed on successful Bidder –<br />

(a) Franking Clause in <strong>the</strong> case <strong>of</strong> Acceptance <strong>of</strong> Goods ―The fact that <strong>the</strong><br />

goods have been inspected after <strong>the</strong> delivery period <strong>and</strong> passed by <strong>the</strong><br />

Inspecting Officer will not have <strong>the</strong> effect <strong>of</strong> keeping <strong>the</strong> contract alive. The goods<br />

are being passed without prejudice to <strong>the</strong> rights <strong>of</strong> <strong>the</strong> Buyer under <strong>the</strong> terms <strong>and</strong><br />

conditions <strong>of</strong> <strong>the</strong> contract‖.<br />

(b) Franking Clause in <strong>the</strong> case <strong>of</strong> Rejection <strong>of</strong> Goods ―The fact that <strong>the</strong><br />

goods have been inspected after <strong>the</strong> delivery period <strong>and</strong> rejected by <strong>the</strong><br />

Inspecting Officer will not bind <strong>the</strong> Buyer in any manner. The goods are being<br />

rejected without prejudice to <strong>the</strong> rights <strong>of</strong> <strong>the</strong> Buyer under <strong>the</strong> terms <strong>and</strong><br />

conditions <strong>of</strong> <strong>the</strong> contract.‖<br />

19. Claims: The following Claims clause will <strong>for</strong>m part <strong>of</strong> <strong>the</strong> contract placed on<br />

successful Bidder –<br />

(a) The claims may be presented ei<strong>the</strong>r: (i) on quantity <strong>of</strong> <strong>the</strong> stores, where <strong>the</strong><br />

quantity does not correspond to <strong>the</strong> quantity shown in <strong>the</strong> Packing<br />

List/Insufficiency in packing, or (ii) on quality <strong>of</strong> <strong>the</strong> stores, where quality does not<br />

correspond to <strong>the</strong> quality mentioned in <strong>the</strong> contract.<br />

(b) The quantity claims <strong>for</strong> deficiency <strong>of</strong> quantity shall be presented within 45<br />

days <strong>of</strong> completion <strong>of</strong> JRI <strong>and</strong> acceptance <strong>of</strong> goods. The quantity claim shall be<br />

submitted to <strong>the</strong> Seller as per Form DPM-22 (Available in MoD website <strong>and</strong> can<br />

be given on request).<br />

(c) The quality claims <strong>for</strong> defects or deficiencies in quality noticed during <strong>the</strong> JRI<br />

shall be presented within 45 days <strong>of</strong> completion <strong>of</strong> JRI <strong>and</strong> acceptance <strong>of</strong> goods.<br />

Quality claims shall be presented <strong>for</strong> defects or deficiencies in quality noticed<br />

during warranty period earliest but not later than 45 days after expiry <strong>of</strong> <strong>the</strong><br />

guarantee period. The quality claims shall be submitted to <strong>the</strong> Seller as per Form<br />

DPM-23 (Available in MoD website <strong>and</strong> can be given on request) .<br />

(d) The description <strong>and</strong> quantity <strong>of</strong> <strong>the</strong> stores are to be furnished to <strong>the</strong> Seller<br />

along with concrete reasons <strong>for</strong> making <strong>the</strong> claims. Copies <strong>of</strong> all <strong>the</strong> justifying<br />

documents shall be enclosed to <strong>the</strong> presented claim. The Seller will settle <strong>the</strong><br />

claims within 45 days from <strong>the</strong> date <strong>of</strong> <strong>the</strong> receipt <strong>of</strong> <strong>the</strong> claim at <strong>the</strong> Seller‘s<br />

<strong>of</strong>fice, subject to acceptance <strong>of</strong> <strong>the</strong> claim by <strong>the</strong> Seller. In case no response is<br />

received during this period <strong>the</strong> claim will be<br />

deemed to have been accepted.<br />

(e) The Seller shall collect <strong>the</strong> defective or rejected goods from <strong>the</strong> location<br />

nominated by <strong>the</strong> Buyer <strong>and</strong> deliver <strong>the</strong> repaired or replaced goods at <strong>the</strong> same<br />

location under Seller‘s arrangement.<br />

(f) Claims may also be settled by reduction <strong>of</strong> cost <strong>of</strong> goods under claim from<br />

bonds submitted by <strong>the</strong> Seller or payment <strong>of</strong> claim amount by Seller through<br />

dem<strong>and</strong> draft drawn on an Indian Bank, in favour <strong>of</strong> Principal<br />

Controller/Controller <strong>of</strong> Defence Accounts concerned.<br />

(g) The quality claims will be raised solely by <strong>the</strong> Buyer <strong>and</strong> without any<br />

certification/countersignature by <strong>the</strong> Seller‘s representative stationed in India.<br />

20. Warranty –<br />

(a) The following comprehensive onsite Warranty will <strong>for</strong>m part <strong>of</strong> <strong>the</strong> contract<br />

placed on <strong>the</strong> successful Bidder, as brought at Part II <strong>of</strong> RFP.<br />

(i) The Seller warrants that <strong>the</strong> goods supplied under <strong>the</strong> contract con<strong>for</strong>m<br />

to technical specifications prescribed <strong>and</strong> shall per<strong>for</strong>m according to <strong>the</strong><br />

said technical specifications.<br />

(ii) The Seller warrants <strong>for</strong> a period <strong>of</strong> 36 months from <strong>the</strong> date <strong>of</strong><br />

acceptance <strong>of</strong> <strong>the</strong> <strong>solution</strong>, that <strong>the</strong> goods/stores supplied under <strong>the</strong><br />

contract <strong>and</strong> each component used in <strong>the</strong> manufacture <strong>the</strong>re<strong>of</strong> shall be<br />

free from all types <strong>of</strong> defects/failures.<br />

(iii) If within <strong>the</strong> period <strong>of</strong> warranty, <strong>the</strong> goods are reported by <strong>the</strong> Buyer to<br />

have failed to per<strong>for</strong>m as per <strong>the</strong> specifications, <strong>the</strong> Seller shall ei<strong>the</strong>r<br />

replace or rectify <strong>the</strong> same free <strong>of</strong> charge, within a maximum period <strong>of</strong> 07<br />

days <strong>of</strong> notification <strong>of</strong> such defect received by <strong>the</strong> Seller, provided that <strong>the</strong><br />

goods are used <strong>and</strong> maintained by <strong>the</strong> Buyer as per instructions contained<br />

in <strong>the</strong> Operating Manual. Warranty <strong>of</strong> <strong>the</strong> equipment would be extended<br />

by such duration <strong>of</strong> downtime. Record <strong>of</strong> <strong>the</strong> down time would be<br />

maintained by <strong>the</strong> user in <strong>the</strong> logbook. Spares required <strong>for</strong> warranty<br />

repairs shall be provided free <strong>of</strong> cost by <strong>the</strong> Seller. The Seller also<br />

undertakes to diagnose, test, adjust, calibrate <strong>and</strong> repair/replace <strong>the</strong><br />

goods/equipment arising due to accidents by neglect or misuse by <strong>the</strong><br />

operator or damage due to transportation <strong>of</strong> <strong>the</strong> goods during <strong>the</strong> warranty<br />

period, at <strong>the</strong> cost mutually agreed to between <strong>the</strong> Buyer <strong>and</strong> <strong>the</strong> Seller.<br />

(iv). The Seller also warrants that necessary service <strong>and</strong> repair back up<br />

during <strong>the</strong> warranty period <strong>of</strong> <strong>the</strong> equipment shall be provided by <strong>the</strong><br />

Seller <strong>and</strong> he will ensure that <strong>the</strong> downtime is within 0.5 % <strong>of</strong> <strong>the</strong> warranty<br />

period.<br />

(v) The Seller shall associate technical personnel <strong>of</strong> <strong>the</strong> Maintenance<br />

agency <strong>and</strong> Quality Assurance Agency <strong>of</strong> <strong>the</strong> Buyer during warranty repair<br />

<strong>and</strong> shall also provide <strong>the</strong> details <strong>of</strong> complete defects, reasons <strong>and</strong><br />

remedial actions <strong>for</strong> defects.<br />

(vi) If a particular equipment/goods fails frequently <strong>and</strong>/or, <strong>the</strong><br />

cumulative own time exceeds 0.5 % <strong>of</strong> <strong>the</strong> warranty period, <strong>the</strong> complete<br />

equipment shall be replaced free <strong>of</strong> cost by <strong>the</strong> Seller within a stipulated<br />

period <strong>of</strong> 10 days <strong>of</strong> receipt <strong>of</strong> <strong>the</strong> notification from <strong>the</strong> Buyer. Warranty <strong>of</strong><br />

<strong>the</strong> replaced equipment would start from <strong>the</strong> date <strong>of</strong> acceptance after Joint<br />

Receipt Inspection by <strong>the</strong> Buyer/date <strong>of</strong> installation <strong>and</strong> commissioning.<br />

However, st<strong>and</strong>by equipment would be provided by <strong>the</strong> seller to ensure<br />

that downtime does not exceed <strong>the</strong> specified value.<br />

(vii) In case <strong>the</strong> complete delivery <strong>of</strong> Engineering Support Package is<br />

delayed beyond <strong>the</strong> period stipulated in this contract, <strong>the</strong> Seller<br />

undertakes that <strong>the</strong> warranty period <strong>for</strong> <strong>the</strong> goods/stores shall be extended<br />

to that extent.<br />

(viii) The Seller will guarantee <strong>the</strong> shelf life <strong>of</strong> (7) years under <strong>the</strong> Indian<br />

tropical condition as given below:<br />

(aa) Minimum temperature - - + 2 deg C<br />

(ab) Maximum temperature --- + 35 deg C<br />

(ac) Average Humidity --- 80%<br />

(ix) On-Site Support. As part <strong>of</strong> comprehensive on-site warranty, <strong>the</strong><br />

vendor is required to provide on-site support at all <strong>the</strong> four locations <strong>for</strong> a period<br />

<strong>of</strong> 03 years from <strong>the</strong> date <strong>of</strong> completion <strong>of</strong> <strong>implementation</strong> <strong>and</strong> acceptance <strong>of</strong><br />

Telepresence <strong>solution</strong>. The vendor would position atleast one qualified Engineer<br />

at each <strong>of</strong> <strong>the</strong> Telepresence Room location. The support engineer would be<br />

required to undertake maintenance <strong>and</strong> operation <strong>of</strong> <strong>the</strong> Telepresence equipment<br />

<strong>and</strong> network management. The engineer would be required to be present in<br />

Telepresence Rooms on all working days (Mon to Sat) from 0830 hrs to 1830<br />

hrs. However, requirement <strong>for</strong> working on holidays/Sundays <strong>and</strong> beyond working<br />

hours would also need to be catered <strong>for</strong>. The engineers would be selected based<br />

on <strong>the</strong> interview conducted by IHQ MoD(N) <strong>and</strong> Comm<strong>and</strong>s, as applicable. The<br />

minimum qualifications <strong>of</strong> <strong>the</strong> engineer are listed at para 7 (h) <strong>of</strong> Part II <strong>of</strong> RFP.<br />

21. The vendor is required to include additional three years <strong>of</strong> AMC <strong>and</strong> support<br />

in <strong>the</strong> commercial bid, post completion <strong>of</strong> initial three years, as per <strong>the</strong> same conditions<br />

brought out at para 20 above. The contract <strong>for</strong> additional three years AMC <strong>and</strong> support<br />

would not <strong>for</strong>m part <strong>of</strong> initial supply order. The customer would conclude this contract<br />

post <strong>implementation</strong> <strong>of</strong> project, if required. However, <strong>the</strong> cost <strong>of</strong> additional 3 years <strong>of</strong><br />

AMC <strong>and</strong> support, quoted in <strong>the</strong> commercial bid, would be included <strong>for</strong> determination <strong>of</strong><br />

L1 bid.<br />

22. Product Support: The following Product Support clause will <strong>for</strong>m part <strong>of</strong> <strong>the</strong><br />

contract placed on successful Bidder –<br />

(a) The Seller agrees to provide Product Support <strong>for</strong> <strong>the</strong> stores,<br />

assemblies/subassemblies, fitment items <strong>and</strong> consumables, subcontracted from<br />

o<strong>the</strong>r agencies/ manufacturer by <strong>the</strong> Seller <strong>for</strong> a maximum period <strong>of</strong> 7years<br />

including 3 years <strong>of</strong> warranty period after <strong>the</strong> delivery <strong>of</strong> ―Telepresence‖<br />

equipment, Network Component, PORTACABIN <strong>and</strong> o<strong>the</strong>r deliverables.<br />

(b) In <strong>the</strong> event <strong>of</strong> any obsolescence during <strong>the</strong> above mentioned period <strong>of</strong><br />

product support in respect <strong>of</strong> any component or sub-system, mutual consultation<br />

between <strong>the</strong> Seller <strong>and</strong> Buyer will be undertaken to arrive at an acceptable<br />

<strong>solution</strong> including additional cost, if any.<br />

(c) Any improvement/modification/ up gradation being undertaken by <strong>the</strong> Seller<br />

or <strong>the</strong>ir sub suppliers on <strong>the</strong> stores/equipment being purchased under <strong>the</strong><br />

Contract will be communicated by <strong>the</strong> Seller to <strong>the</strong> Buyer <strong>and</strong>, if required by <strong>the</strong><br />

Buyer, <strong>the</strong>se will be carried out by <strong>the</strong> Seller at Buyer's cost.<br />

NOTE – For <strong>the</strong> product support, AMC <strong>and</strong> Warranty as specified at para 20 – 22<br />

above, <strong>the</strong> firm has to submit pro<strong>of</strong> <strong>of</strong> Back-to-Back agreements with <strong>the</strong> OEM in this<br />

regard.<br />

Part V – Evaluation Criteria & Price Bid issues<br />

1. Evaluation Criteria - The broad guidelines <strong>for</strong> evaluation <strong>of</strong> Bids will be as follows:<br />

(a) Only those Bids will be evaluated which are found to be fulfilling all <strong>the</strong> eligibility <strong>and</strong><br />

qualifying requirements <strong>of</strong> <strong>the</strong> RFP, both technically <strong>and</strong> commercially.<br />

(b) In respect <strong>of</strong> Two-Bid system, <strong>the</strong> technical Bids <strong>for</strong>warded by <strong>the</strong> Bidders will be<br />

evaluated by <strong>the</strong> Buyer with reference to <strong>the</strong> technical characteristics <strong>of</strong> <strong>the</strong> equipment<br />

as mentioned in <strong>the</strong> RFP. The compliance <strong>of</strong> Technical Bids would be determined on<br />

<strong>the</strong> basis <strong>of</strong> <strong>the</strong> parameters specified in <strong>the</strong> RFP. The Price Bids <strong>of</strong> only those Bidders<br />

will be opened whose Technical Bids would clear <strong>the</strong> technical evaluation.<br />

(c) The Lowest Bid will be decided upon <strong>the</strong> lowest price quoted by <strong>the</strong> particular<br />

Bidder as per <strong>the</strong> Price Format given at Para 2 below. The consideration <strong>of</strong> taxes <strong>and</strong><br />

duties in evaluation process will be as follows:<br />

(i) In cases where only indigenous Bidders are competing, all taxes <strong>and</strong> duties<br />

(including those <strong>for</strong> which exemption certificates are issued) quoted by <strong>the</strong><br />

Bidders will be considered. The ultimate cost to <strong>the</strong> Buyer would be <strong>the</strong> deciding<br />

factor <strong>for</strong> ranking <strong>of</strong> Bids.<br />

(d) The Bidders are required to spell out <strong>the</strong> rates <strong>of</strong> Customs duty, Excise duty, VAT,<br />

Service Tax, etc in unambiguous terms; o<strong>the</strong>rwise <strong>the</strong>ir <strong>of</strong>fers will be loaded with <strong>the</strong><br />

maximum rates <strong>of</strong> duties <strong>and</strong> taxes <strong>for</strong> <strong>the</strong> purpose <strong>of</strong> comparison <strong>of</strong> prices. If<br />

reimbursement <strong>of</strong> Customs duty / Excise Duty /VAT is intended as extra, over <strong>the</strong><br />

quoted prices, <strong>the</strong> Bidder must specifically say so. In <strong>the</strong> absence <strong>of</strong> any such<br />

stipulation it will be presumed that <strong>the</strong> prices quoted are firm <strong>and</strong> final <strong>and</strong> no claim on<br />

account <strong>of</strong> such duties will be entrained after <strong>the</strong> opening <strong>of</strong> tenders. If a Bidder<br />

chooses to quote a price inclusive <strong>of</strong> any duty <strong>and</strong> does not confirm inclusive <strong>of</strong> such<br />

duty so included is firm <strong>and</strong> final, he should clearly indicate <strong>the</strong> rate <strong>of</strong> such duty <strong>and</strong><br />

quantum <strong>of</strong> excise duty included in <strong>the</strong> price. Failure to do so may result in ignoring <strong>of</strong><br />

such <strong>of</strong>fers summarily. If a Bidder is exempted from payment <strong>of</strong> Customs duty / Excise<br />

Duty / VAT duty upto any value <strong>of</strong> supplies from <strong>the</strong>m, <strong>the</strong>y should clearly state that no<br />

excise duty will be charged by <strong>the</strong>m up to <strong>the</strong> limit <strong>of</strong> exemption which <strong>the</strong>y may have. If<br />

any concession is available in regard to rate/quantum <strong>of</strong> Customs duty / Excise Duty /<br />

VAT, it should be brought out clearly. Stipulations like, excise duty was presently not<br />

applicable but <strong>the</strong> same will be charged if it becomes leviable later on, will not be<br />

accepted unless in such cases it is clearly stated by a Bidder that excise duty will not be<br />

charged by him even if <strong>the</strong> same becomes applicable later on. In respect <strong>of</strong> <strong>the</strong> Bidders<br />

who fail to comply with this requirement, <strong>the</strong>ir quoted prices shall be loaded with <strong>the</strong><br />

quantum <strong>of</strong> excise duty which is normally applicable on <strong>the</strong> item in question <strong>for</strong> <strong>the</strong><br />

purpose <strong>of</strong> comparing <strong>the</strong>ir prices with o<strong>the</strong>r Bidders. The same logic applies to<br />

Customs duty <strong>and</strong> VAT also.<br />

(e) If <strong>the</strong>re is a discrepancy between <strong>the</strong> unit price <strong>and</strong> <strong>the</strong> total price that is obtained<br />

by multiplying <strong>the</strong> unit price <strong>and</strong> quantity, <strong>the</strong> unit price will prevail <strong>and</strong> <strong>the</strong> total price will<br />

be corrected. If <strong>the</strong>re is a discrepancy between words <strong>and</strong> figures, <strong>the</strong> amount in words<br />

will prevail <strong>for</strong> calculation <strong>of</strong> price.<br />

(f) The Buyer reserves <strong>the</strong> right to evaluate <strong>the</strong> <strong>of</strong>fers received by using Discounted<br />

Cash Flow method at a discounting rate <strong>of</strong> 8%. In case cash flow involves more than<br />

one currency, <strong>the</strong> same will be brought to a common denomination in Indian Rupees by<br />

adopting exchange rate as BC Selling rate <strong>of</strong> <strong>the</strong> State Bank <strong>of</strong> India on <strong>the</strong> date <strong>of</strong> <strong>the</strong><br />

opening <strong>of</strong> Price Bids.<br />

(g) The Lowest Acceptable Bid will be considered fur<strong>the</strong>r <strong>for</strong> placement <strong>of</strong> contract /<br />

Supply Order after complete clarification <strong>and</strong> price negotiations as decided by <strong>the</strong><br />

Buyer. The Buyer will have <strong>the</strong> right to award contracts to different Bidders <strong>for</strong> being<br />

lowest in particular items. The Buyer also reserves <strong>the</strong> right to do Apportionment <strong>of</strong><br />

Quantity, if it is convinced that Lowest Bidder is not in a position to supply full quantity in<br />

stipulated time.<br />

UPS would need to be installed outside <strong>the</strong> Telepresence room in a<br />

part <strong>of</strong> <strong>the</strong> project by <strong>the</strong> vendor. Installation <strong>and</strong> wiring would be <strong>the</strong><br />

responsibility <strong>of</strong> <strong>the</strong> vendor. The load calculation <strong>for</strong> <strong>the</strong> UPS being<br />

proposed should be justified <strong>and</strong> attached with <strong>the</strong> technical bid.<br />

(y) Warranty The complete ―Telepresence‘ equipment, including all <strong>the</strong><br />

deliverables <strong>and</strong> UPS batteries, as part <strong>of</strong> <strong>the</strong> contract, would be<br />

under three year comprehensive warranty. Free replacement/<br />

repairs <strong>of</strong> <strong>the</strong> equipment would be carried out by <strong>the</strong> vendor during<br />

<strong>the</strong> warranty period. In case <strong>of</strong> an item taken <strong>for</strong> repairs, a st<strong>and</strong>by<br />

item needs to be provided as replacement so that <strong>the</strong> uptime <strong>of</strong> <strong>the</strong><br />

‗Telepresence‘ <strong>and</strong> all o<strong>the</strong>r associated equipment is not below<br />

Supply, installation <strong>and</strong> commissioning <strong>of</strong> one Portacabin <strong>of</strong> Size 38‘x30‘x12‘ht, in each<br />

location, as per <strong>the</strong> following specifications & layout. These are minimum specifications.<br />

The vendor is required to propose exact specifications <strong>and</strong> details <strong>of</strong> PORTACABIN, to<br />

suit <strong>the</strong> proposed Telepresence Solution, in <strong>the</strong> technical Bid. The PORTACABIN<br />

should meet all <strong>the</strong> requirement <strong>of</strong> <strong>the</strong> Telepresence <strong>solution</strong> being proposed.<br />

The complete structure, walls <strong>and</strong> flooring should be such that to bear <strong>the</strong> load <strong>of</strong> room<br />

APPENDIX „C‟<br />

ROOM RENOVATION<br />

Room Renovation<br />

(a) Room A PORTACABIN/ Existing room <strong>of</strong> maximum 30 ft x 23<br />

ft would be provided at each location <strong>for</strong> setting up <strong>of</strong><br />

Telepresence Room. The room should cater <strong>for</strong><br />

seating <strong>of</strong> minimum 18 participants <strong>for</strong> Telepresence<br />

conference <strong>and</strong> 08 extra persons on <strong>the</strong> sides/back to<br />

witness <strong>the</strong> conference. The seating arrangement<br />

should be stadium type ie raised back so that <strong>the</strong><br />

people sitting at <strong>the</strong> back can also interact to <strong>the</strong> far<br />

site.<br />

(b) Room Design The design <strong>of</strong> <strong>the</strong> Telepresence Rooms in each<br />

location needs to be identical. The design <strong>of</strong> <strong>the</strong> room,<br />

alongwith complete list <strong>of</strong> deliverables/ installation<br />

material needs to be provided with <strong>the</strong> Technical Bid.<br />

The design should be certified by OEM.<br />

(c) Room Renovation The room renovation would include wooden paneling,<br />

painting, flooring (interlocked wooden/vitrified tiles),<br />

false ceiling, lighting fixtures, board room tables,<br />

second/third row tables, supply <strong>of</strong> lea<strong>the</strong>r chair, power<br />

supply distribution <strong>and</strong> all o<strong>the</strong>r activities etc. as<br />

NETWORK DETAILS<br />

(Complete Solution to be IPV6 Compliant)<br />

1. Network Details. The network setup primarily comprises <strong>of</strong> two parts, ie, Leased Line<br />

<strong>and</strong> <strong>the</strong> Local LAN setup at each location. The specification <strong>for</strong> <strong>the</strong>se networks are given<br />

below . All Local Area Network switches <strong>and</strong> WAN routers should be Evaluation<br />

Assurance Level 3 (EAL 3)) certified.<br />

(a) Leased Lines <strong>for</strong> Supporting 60 & 20 Mbps b<strong>and</strong>width - The Leased Lines<br />

should provide a minimum <strong>of</strong> 60 Mbps b<strong>and</strong>width at headquarter Delhi <strong>and</strong> 20 Mbps<br />

b<strong>and</strong>width at each remote site Mumbai, Vizag <strong>and</strong> Kochi with adequate redundancy built<br />

in <strong>for</strong> ensuring high per<strong>for</strong>mance <strong>of</strong> <strong>the</strong> <strong>solution</strong>.<br />

(b) The initial lease period to be <strong>for</strong> three years, counted from <strong>the</strong> date <strong>of</strong> acceptance <strong>of</strong><br />

<strong>the</strong> Telepresence Project.<br />

(c) The Leased Line being provided is to be ―Certified‖ by <strong>the</strong> OEM <strong>of</strong> <strong>the</strong><br />

Telepresence equipment <strong>for</strong> meeting <strong>the</strong> requisite Quality <strong>of</strong> service (QoS). While<br />

certifying <strong>the</strong> leased line, <strong>the</strong> OEM <strong>of</strong> <strong>the</strong> Telepresence equipment is to take in<br />

account <strong>the</strong> following minimum criteria (any o<strong>the</strong>r criteria deemed essential are<br />

also to be evaluated by <strong>the</strong> OEM prior to certifying <strong>the</strong> leased line network): -<br />

(i) The leased line should be from a ―Licenced‖ service<br />

provider.<br />

(ii) In case <strong>of</strong> <strong>the</strong> leased line service provider hiring b<strong>and</strong>width<br />

from an alternate agency, <strong>the</strong> SLA <strong>and</strong> <strong>the</strong> contract shall be vetted<br />

by <strong>the</strong> OEM <strong>of</strong> <strong>the</strong> <strong>telepresence</strong> equipment to ensure capacity,<br />

redundancy <strong>and</strong> Qos will be achieved as per Navy‘s requirements.<br />

(iii) The Leased Line service provider should have been in <strong>the</strong><br />

leased line business <strong>of</strong> atleast 03 years as on 31 May 10.<br />

(iv) The leased line service provider should have provided <strong>the</strong><br />

leased line services to a Govt Organisation/PSU, during <strong>the</strong> last 02<br />

years. The OEM <strong>of</strong> <strong>the</strong> Telepresence Equipment should verify <strong>the</strong><br />

per<strong>for</strong>mance from <strong>the</strong> concerned Govy org/PSU, <strong>for</strong> its satisfactory<br />

operation.<br />

(v) The leased line network <strong>of</strong> <strong>the</strong> service provider should be<br />

able to support <strong>the</strong> required protocols <strong>for</strong> Telepresence <strong>and</strong><br />

Security overlays, both commercial <strong>and</strong> <strong>the</strong> ones proposed by <strong>the</strong><br />

Indian Navy.<br />

(vi) Gateways <strong>and</strong> NOC to be restricted within <strong>the</strong> country. The<br />

service povider is to certify that <strong>the</strong> routing <strong>of</strong> traffic will be only<br />

within/through <strong>the</strong> gateways <strong>and</strong> routers located in India. At no<br />

point <strong>of</strong> time, <strong>the</strong> traffic will be routed out <strong>of</strong> <strong>the</strong> country.<br />

(d) The proposed <strong>solution</strong> should be able to provide per-application, per-user,<br />

per-port QoS to guarantee <strong>the</strong> application per<strong>for</strong>mance <strong>and</strong> SLA en<strong>for</strong>cement.<br />

(e) The proposed <strong>solution</strong> should provide optimized packet transport <strong>and</strong><br />

various o<strong>the</strong>r services from a single network, all with a carrier class resiliency,<br />

QoS <strong>and</strong> OA&M functions.<br />

(f) Network is required to be provided through leased b<strong>and</strong>width <strong>for</strong> a period <strong>of</strong><br />

03 years. The proposed <strong>solution</strong> should provide resilient network architecture to ensure<br />

Quality <strong>of</strong> Service (QoS) <strong>and</strong> high availability—critical to Indian Navy operations. Fast<br />

convergence around failures is very critical in <strong>the</strong> network to ensure tight SLA. The<br />

proposed <strong>solution</strong> should be able to provide fast convergence per<strong>for</strong>mance during link<br />

failures. All <strong>of</strong> <strong>the</strong> services required from <strong>the</strong> network should be able to reroute in less<br />

than 50 ms during link failures.<br />

2. LANs at Each Location – All network switches should be EAL 3 certified.<br />

Fur<strong>the</strong>r, all core network elements <strong>and</strong> Telepresence sites should be provided with<br />

1+1 redundancy <strong>of</strong> <strong>the</strong> critical components to ensure a highly available architecture. The<br />

redundancy shall include –<br />

3. WAN router details. TheWAN <strong>solution</strong> should provide any-any connectivity at<br />

all <strong>the</strong> times. The WAN <strong>solution</strong> should provide higher reliability (99.99% )<strong>and</strong> should<br />

have low latency (< 150ms) <strong>for</strong> optimum working <strong>of</strong> <strong>telepresence</strong> <strong>solution</strong>. The WAN<br />

outer should have <strong>the</strong> requisite ports populated with fibre/GB E<strong>the</strong>rnet modules <strong>for</strong><br />

ensuring termination <strong>of</strong> <strong>the</strong> leased lines. At least 02 GigE ports should be free after all<br />

<strong>the</strong> Telepresence requirements are met. The WAN routers should be modular with<br />

minimum 3 free slots after populating <strong>the</strong> required modules, <strong>for</strong> future scalability. All<br />

interfaces required <strong>for</strong> <strong>the</strong> <strong>solution</strong> are to be catered <strong>for</strong> <strong>and</strong> explicitly quoted. The<br />

specifications <strong>of</strong> <strong>the</strong> router are as given below :-<br />

(a) Architecture The WAN routers should be modular with minimum 3 free<br />

slots after populating <strong>the</strong> required modules <strong>for</strong> future<br />

scalability.The WAN routers should have minimum 80<br />

Gbps <strong>of</strong> backplane. The <strong>for</strong>warding per<strong>for</strong>mance <strong>of</strong> <strong>the</strong><br />

router should be 60mpps.<br />

The router shall be full OIR (online insertion <strong>and</strong> removal)<br />

capable. Online insertion, removal <strong>and</strong> failure <strong>of</strong> a line card<br />

shall not affect any unicast <strong>and</strong> multicast traffic passing<br />

through <strong>the</strong> o<strong>the</strong>r line cards in any way.<br />

Telepresence system <strong>and</strong> <strong>the</strong> existing WAN locations. The <strong>solution</strong> should be capable<br />

<strong>of</strong> integrating with <strong>the</strong> existing NAVY firewall.<br />

6. The vendor is required to provide complete network architecture, <strong>and</strong> details <strong>of</strong><br />

<strong>the</strong> proposed <strong>solution</strong> along with <strong>the</strong> complete Bill <strong>of</strong> Material as part <strong>of</strong> <strong>the</strong> technical<br />

bid. The BoM being proposed should be completely catered <strong>for</strong> in <strong>the</strong> Commercial bid.<br />
