PROCUREMENT AND IMPLEMENTATION OF TELEPRESENCE SOLUTION
FOR THE INDIAN NAVY
1. Ministry of Defence, Government of India on behalf of President of India
intends to procure and implement requisite hardware, software, PORTA CABINS
and services to setup 'Telepresence' facility between the Naval Commands at
Kochi, Mumbai and Vishakapatnam, and the offices at New Delhi on a turnkey
basis. The Vendor has to implement the 'Telepresence' solution within 6 months of
placement of the order.
2. OEMs and OEM authorized vendors who comply to the under-mentioned
terms and conditions can download the RFP from www.tenders.gov.in OR irfcnausena.nic.in
OR obtain a copy from the office of IHQ MoD(Navy)/DIT, C – Wing,
Room No 127-B, Sena Bhawan, New Delhi Tel 23010522, 23010612 and submit
the response as per the dates specified in the RFP.
(a)
(b)
The firm must be a registered Indian company.
The firm should have registered office in New Delhi and at-least in
one more location i.e. in Mumbai, Visakhapatnam or Kochi.
(c)
The firm should have successfully completed projects, as mentioned
below, including Multipoint Conference Unit (MCU) based Video
Conferencing/Telepresence (with at least six seater) solution including setting
up of hardware, requisite software & telepresence rooms during the last 7
(seven) years ending last day of the month previous to the date of publication
of this advertisement:-
(i)
03 similar projects of value not less than Rs. 5.7 Crores.
OR
(ii) 02 similar projects of value not less than Rs. 7.1 Crores.
OR

(iii) 01 similar project of value not less than Rs.11.4 Crores.
(d) Average Annual Financial Turnover of the firm during the last three
years ending 31 st Mar of the previous financial year, should be at least of Rs.
4.3 Crores.
(e)
Firm to be a profit making firm for the last three years.
(f)...... Joint venture companies and consortiums are not permitted to
participate.
(g) Mix and Match Solutions will not be acceptable.
3. Following supporting documents are required to be submitted along with
the RFP response, failing which the firms are liable to be rejected.
(a) Registration Certificate that the firm is Indian Registered.
(b) Complete address of Registered Office and addresses of the office at
Delhi and one of the other locations (Mumbai, Vishakhapatnam, Kochi).
(c) Certified Copy of the Work Completion Certificate (from the firm for
whom the project was undertaken) for having successfully executed the
project at least two different customer locations in India [as mentioned in
Para-2(c), above]. MOD/Navy reserves the right to verify the credentials of
the certificate from the customer who issued the certificate. Any discrepancy
would disqualify the proposal.
(d) Summary of annual report and balance sheet (clearly indicating profit
& loss A/C) in respect of last three years.
(e) A certificate duly signed by the competent authority stating that OEMs
and OEM authorised vendors are not ― Blacklisted Vendors/OEMs‖.
4. Ministry of Defence, Government of India reserves the right to withdraw/cancel
the entire project at any stage before placement of supply order.

Request for Proposal (RFP)
1. Bids in sealed cover are invited for supply of items listed in Part II of this RFP.
Please superscribe the above mentioned title, RFP number and date of opening of the
Bids on the sealed cover to avoid the Bid being declared invalid.
2. The address and contact numbers for sending Bids or seeking clarifications
regarding this RFP are given below -

3. This RFP is divided into five Parts as follows.
(a) Part I – Contains General Information and Instructions for the Bidders about
the RFP such as the time, place of submission and opening of tenders, Validity
period of tenders, etc.

(b) Part II – Contains essential details of the items/services required, such as the
Schedule of Requirements (SOR), Technical Specifications, Delivery Period,
Mode of Delivery and Consignee details.
(c) Part III – Contains Standard Conditions of RFP, which will form part of the
Contract with the successful Bidder.
(d) Part IV – Contains Special Conditions applicable to this RFP and which will
also form part of the contract with the successful Bidder.
(e) Part V – Contains Evaluation Criteria and Format for Price Bids.
4. This RFP is being issued with no financial commitment and the Buyer reserves
the right to change or vary any part thereof at any stage. Buyer also reserves the right
to withdraw the RFP, should it become necessary at any stage.
Part I – General information
1. Last date and time for depositing the Bids. 1300h on 12 Jul 11. The sealed
Bids (both technical and Commercial) should bedeposited/reach by the due date and
time. The responsibility to ensure this lies with the Bidder.
2. Manner of depositing the Bids. Sealed Bids Technical & Commercial in
separate sealed cover should be either dropped in the Tender Box marked
„Implementation of Telepresence Solution for IHQ MoD(N) and Commands” and
kept at the Reception office (Gate No 8, South Block) at Director (IT/Coord),
Ministry of Defence, Room No 229, Gate No 8, South Block, New Delhi 110011 or
sent by Registered Post at the address given above so as to reach by the due date
and time. Late tenders will not be considered. No responsibility will be taken for postal
delay or nondelivery/ non-receipt of Bid documents. Bids sent by FAX or e-mail will not
be considered (unless they have been specifically called for by these modes due to
urgency).
3. Time and date for opening of Tender Box 1630 Hrs on same day.
4. Location of the Tender Box. Reception office (Gate No 8, South Block)
(complete address as per para 2 above). Only those Bids that are found in the tender
box (or received by the registered post) will be opened. Bids dropped in the wrong
Tender Box or not received via registered mail by due date and time will be rendered
invalid. The Tender Box will be placed at the above-mentioned location three days prior
to the last date of submission and upto the specified date and time of submission.
5. Place of opening of the big sealed cover containing Technical and
Commercial Bids.- Director (IT/Coord), Ministry of Defence, Room No 229, Near
Gate No 8, South Block, New Delhi 110011. The Bidders may depute their

epresentatives, duly authorized in writing, to attend the opening of sealed cover
containing Technical and Commercial bids. This event will not be postponed due to nonpresence
of your representative.
6. Two-Bid system. Two-bid system will be followed. Only the Technical Bid would
be opened by TEC and Date and time will be intimated to the vendor. Date of opening
of the Commercial Bid will be intimated after acceptance of the Technical Bids.
Commercial Bids of only those firms will be opened, by PNC, whose Technical Bids are
found compliant/suitable after Technical evaluation is done by the Buyer.
7. Forwarding of Bids. Bids should be forwarded by Bidders under their original
memo / letter pad inter alia furnishing details like TIN number, VAT/CST number, Bank
address with EFT Account if applicable, etc and complete postal & e-mail address of
their office.
8. Clarification regarding contents of the RFP. A prospective bidder who
requires clarification regarding the contents of the bidding documents shall notify to the
Buyer in writing about the clarifications sought not later than 14 (six) days prior to the
date of opening of the Bids. Copies of the query and clarification by the purchaser will
be sent to all prospective bidders who have received the bidding documents. A Pre-Bid
Meeting will be scheduled on 17 Jun 11 at 1400 Hrs at Office of DIT, Room No.
127-B, Sena Bhawan, „C‟ Wing New Delhi (Tel 23010522/23010612) . Bidders may
depute authorized representatives for attending the same.
9. Modification and Withdrawal of Bids. A bidder may modify or withdraw his bid
after submission provided that the written notice of modification or withdrawal is
received by the Buyer prior to deadline prescribed for submission of bids. A withdrawal
notice may be sent by fax but it should be followed by a signed confirmation copy to be
sent by post and such signed confirmation should reach the purchaser not later than the
deadline for submission of bids. No bid shall be modified after the deadline for
submission of bids. No bid may be withdrawn in the interval between the deadline for
submission of bids and expiration of the period of bid validity specified. Withdrawal of a
bid during this period will result in Bidder‘s forfeiture of bid security/EMD.
10. Clarification regarding contents of the Bids. During evaluation and
comparison of bids, the Buyer may, at its discretion, ask the bidder for clarification of his
bid. The request for clarification will be given in writing and no change in prices or
substance of the bid will be sought, offered or permitted. No post-bid clarification on the
initiative of the bidder will be entertained.
11. Rejection of Bids. Canvassing by the Bidder in any form, unsolicited letter and
post-tender correction may invoke summary rejection with forfeiture of EMD. Conditional
tenders will be rejected.
12. Unwillingness to quote. Bidders unwilling to quote should ensure that intimation
to this effect reaches before the due date and time of opening of the Bid, failing which

the defaulting Bidder may be delisted for the given range of items as mentioned in this
RFP.
13. Validity of Bids. The Bids should remain valid till 06 months from the last date
of submission of the Bids.
14. Earnest Money Deposit.– Bidders are required to submit Earnest Money
Deposit (EMD) for amount of Rs. 7,00,000/- (Rupees Seven Lakhs Only) along with
their bids. The EMD may be submitted in the form of an Account Payee Demand Draft,
Fixed Deposit Receipt, Banker's Cheque or Bank Guarantee, in favor of ―PCDA(N)‖
from any of the public sector banks or a private sector bank authorized to conduct
government business as per Form DPM-13 (Available in MoD website and can be
provided on request). EMD is to remain valid for a period of forty-five days beyond the
final bid validity period. EMD of the unsuccessful bidders will be returned to them at the
earliest after expiry of the final bid validity and latest on or before the 30th day after the
award of the contract. The Bid Security of the successful bidder would be returned,
without any interest whatsoever, after the receipt of Performance Security from them as
called for in the contract. EMD is not required to be submitted by those Bidders who are
registered with the Central Purchase Organization (e.g. DGS&D), National Small
Industries Corporation (NSIC) or any Department of MoD or MoD itself. The EMD will be
forfeited if the bidder withdraws or amends, impairs or derogates from the tender in any
respect within the validity period of their tender.

Part II – Essential Details of Items/Services required

Kochi and Vizag including supply of requisite hardware, active components, as
per specifications placed at Appendix D.

Telepresence equipment at all four locations
Support for a period of 3 years at all locations from the date of acceptance by
the buyer. The support, apart from 03 years onsite warranty for the entire
solution, would involve positioning of a qualified support engineer at each site.
(Para 16 page 10 also refers).
2. Technical Details. The scope of the project for the Navy is elaborated in the
succeeding paragraphs. The firm must comply with all the stated requirements.
3. The Officers of Navy at IHQ MoD(N) at Delhi and Commands are required to
consult with each other on both routine issues and emergent issues. Towards this, it is
required to provide a secure Board Room to Board Room Telepresence Solution
between Delhi, Mumbai, Kochi and Vizag. Each Board Room is required to cater for
participation of minimum 18 personnel. Provision for extra seating of atleast 8
participants, to witness the Telepresence Conference, is also required to be catered for.

4. It is proposed to procure requisite hardware, software, PORTACABINS and
services and set up ‗Telepresence‘ facility between the Commands, and the offices at
New Delhi on a turnkey basis by the vendor. A detailed set of specifications for the
equipment is placed at Appendix A to E to this RFP.
5. The Vendor has to implement the ‗Telepresence‘ solution within 6 months of
placement of the order. The Vendor may employ as many engineers as required for
completion of the project in time. Names of the engineers who would be working on the
project along with 2 passport size photographs, police verification and one ID proof for
each Engineer are to be handed over to IHQ MoD(N)/DIT / Commands at the time of
starting the project to enable making of security passes.
6. The Vendor has to provision for three (03) years comprehensive on-site
warranty and support for all the deliverables from the date of acceptance by the
buyer. An undertaking for this is required to be given along with the technical bid. The
terms and conditions of warranty and support phase have been amplified in the RFP.
The vendor is required to include additional three years of AMC and support in the
commercial bid, post completion of initial three years. The contract for additional three
years AMC and support would not form part of initial supply order. The customer would
conclude this contract post implementation of project, if required. However, the cost of
additional 3 years of AMC and support, quoted in the commercial bid, would be
included for determination of L1 bid.
7. The vendor shall be the Prime Contractor for the above mentioned
functions. The vendor must submit a tender specific OEM authorisation for the
project as part of the technical bid. Further, following certification from OEM of the
telepresence equipment are required to be provided alongwith Technical Bid. All
the certificates submitted should be signed only by the signatory who is
authorised to sign on behalf of the firm : -
(a) Certificate from OEM that the vendor is an authroised representative and
has been duly trained on implementation of ―Telepresence‖ solution.
(b) Undertaking by OEM to provide back to back support to the vendor during
implementation and AMC period.
(c) Undertaking by OEM that the complete design and implementation of
‗Telepresence‘ solution, including room renovation, would be inspected by them
at all four locations and the implementation certified for adhering to their
requisite standards and best practices. The inspection of the setup will be carried
out post implementation by the vendor.
(d) Undertaking by OEM that all the deliverables including Telepresence
equipment, furniture, aesthetics and other components for the immersive
experience etc being offered by the vendor meets all the quality requirements
and are as per the required standards specified by them . Supply of assembled

equipment from different OEM and their subsequent integration
permissible.

(e) Certificate by the OEM that the network architecture and the QoS for the
connectivity between various locations, via leased lines, being proposed by the
vendor meets all the criteria and requirements of proposed ‗Telepresence‘
solution.
(f) Certificate from the Service Provider of the leased bandwidth that they
would provide back to back support to the vendor for the entire duration of the
project.
(g) Certificate from the OEM of the Prefabricated Cabin that the product being
offered by the vendor, is certified for the quality.
8. Scope of Work. No liability of the Navy apart from that outlined at para
25 below can be assumed for implementation of the solution. Any additional
requirements which is not part of the bid, if projected by the vendor at the time of
implementation of Telepresence solution, would have to be provisioned by the vendor at
his own cost. The broad scope of work involving implementation of ‗Telepresence‘
solution for Indian Navy would is brought out in succeeding paragraphs.
9. Supply of PORTACABINS. The vendor is required to cater for supply of
three PORTACABINS, as per the specifications placed at Appendix B, to set up
―Telepresence‖ Rooms. The vendor would be required to supply and install these
PORTACABINS at the designated locations.
10. Room Renovation. The vendor in consultation with OEM would need to
renovate PORTACABINS/ Existing Rooms at all the locations (one each) viz Delhi,
Mumbai, Kochi and Vizag, to setup ―Telepresence‖ Rooms, as per the specifications at
Appendix C. All the ―Telepresence‖ rooms are required to be of the same design and
feel to ensure ‗Immersive Telepresence‟ experience. Customised backdrops for each
location would need to be designed by the vendor in consultation with the Indian Navy.
The design of the rooms, alongwith complete details of deliverables, would need
to be submitted by the vendor with the Technical Bid. The details of manufacture
brands for all the deliverables, alongwith brochures, also needs to be providedThe
renovation of rooms, at each location, would essentially include following :-
(a) Refurbishment of PORTACABINS/ existing room Interiors with wooden
panelling, painting, flooring (interlocked wooden flooring/ vitrified tiles), false
ceiling etc. All the fittings should be termite proof.
(b)
Provisioning of adequate lighting and acoustics

(c)
Supply of Board Room Tables and second/ third row tables.
(d) Supply of Leather Chairs for 18 participants and 8 extra chairs for each
location. A total of 26 chairs for each location.
(e) Provisioning of requisite power supply inlets/ outlets. Requirement of
MCBs, power supply sockets, additional fitments on as required basis would
need to be provided by the vendor. The power ratings of all components have to
be worked out by the vendor in consultation with OEM (with adequate safety
factor).
(f) Provisioning of 04 split air-conditioners (of reputed make and with at-least
02 star rating) of 2 tons capacity for each of the main room/porta cabins and 02
split air-conditioners of 1.5 tons capacity each for System Management and
UPS/Battery room in each location. The same set up is required in all the four
location. A total of 16 split air-conditioners of 02 tons capacity and 08 split airconditioners
of 1.5 tons capacity would need to be supplied and installed.
11. Implementation of Telepresence Solution. The vendor would be required to
supply and installation of the complete Telepresence solution on turnkey basis which
would broadly include hardware, software, services, leased network for implementation
of Telepresence solution in all the four locations. The scope of supply of Telepresence,
as per the specifications placed at Appendix A would include:-
(a)
Telepresence Equipment for all the four locations.
(b) UPS for the Telepresence Equipment (Rating of UPS to be such that all
the Telepresence equipment should be able to operate for atleast 45 min. in case
of power breakdown).Seperate arrangement for housing and installation of the
UPS batteries is to be worked out and implemented by the vendor.
(c) Supply of two portable workstations for each location with complete
system software , diagnostics and backup and additional three portable
workstations at Main location i.e N.Delhi. A total of eleven workstations to enable
presentation of data and system management.
(d) Trials and commissioning of complete Telepresence solution.Inspection of
implemented solution by the Telepresence authorised rep.The signoff of the
implementation will be considered only after due certification by the Telepresence
OEM.

(e) During warranty or AMC any major replacement of equipment will be
undertaken after due vetting by OEM only.
(f) The vendor would be responsible to provide all the requisite equipment
like spike protector, UPS, servers etc to ensure defect free working of
Telepresence equipment. All the hardware and software being proposed
should form part of the Bill of Material and reflected in Technical and
Commercial bid. Any additional requirements which is not part of the bid, if
projected by the vendor at the time of implementation of Telepresence
solution, would have to be provisioned by the vendor at his own cost. The
licenses of the hardware and software should be registered in the name of
Indian Navy.
(g) Preparing of standard earthing pits and provisioning of lightning arrestors
at each location, to ensure proper earthing arrangements for all telepresence and
associated network equipment.
(h)
Trials and commissioning of complete Telepresence solution.
12. Leased Network and MCU. In order to implement ―Telepresence‘ Solution,
a dedicated leased network for a period of three years would have to be provided by the
vendor. The network (leased bandwidth) should cater for a minimum of 60 Mbps
bandwidth at Headquarters, New Delhi and 20 Mbps bandwidth each at remote sites i.e
Mumbai, Kochi and Vizag. The Last Mile Connectivity and internal LAN requirement for
networking of Telepresence equipment would be the responsibility of the vendor. The
broad specifications for the network are placed at Appendix D and that of MCU are
placed at Appendix E. Essentially the network is required to be cater for following :-
(a) Connectivity of Telepresence room at all the four locations viz.
N.Delhi, Mumbai, Kochi and Vizag with suitable redundancy in case of
primary failure..
(b) Point to Point and Multi-point call facility should be available.
(c) Uptime for the network should be minimum 99.5%
(d) Network should be enabled for IP telephony.
(e) All required configuration to be undertaken.
13. The hardware/software required at the end points would be outright purchase,
except for the bandwidth which would be leased for a period of 03 years. The complete
Bill of material proposed for setting up of Network, including MCU and any other
software/ hardware required for implementation of the solution, needs to be
included in both technical and commercial bids. Any assumptions considered are
to be explicitly indicated in the proposal. Any additional items required for
implementation of solution should be clearly indicated and costed.

14. Testing and Trials. The vendor is required to offer complete system as a
comprehensive solution for trials. Towards this, the vendor would formulate detailed
Test Plan and hand over the same to IHQ MoD(N)/DIT within 02 months of placement
of order. The test plan is required to be verified by the OEM of Telepresence Solution,
Service Provider of the Network and any other OEM involved in the project. The test
plan, would be modified by IHQ MoD(N)/DIT as deemed appropriate. The vendor would
offer integrated trials of the complete system as per the test plan agreed upon between
IHQ MoD(N)/DIT and the vendor.
15. Training. The vendor, in association with OEMs, would conduct operator and
maintainer training for atleast 5 personnel for 03 days at all locations. The detailed
training plan would be submitted by the vendor to IHQ MoD(N)/DIT for approval within
03 months of placement of order. The vendor is required to provide five sets of
Computer Based Training Aids for easy comprehension on the operation and
maintenance of the system. The vendor is also required to provide 2500 colored printed
brouchers for Telepresence solution, highlighting the features of the system and its
advantages. The draft brochures are required to be approved by IHQ MoD(N)/DIT. The
vendor would submit the draft for the same within 03 months of placement of order.
16. Support. The vendor is required to provide on-site support at all the four
locations for a period of 03 years from the date of completion of implementation and
acceptance of Telepresence solution. As part of the support, the vendor would position
atleast one qualified Engineer at each of the Telepresence Room location. The support
engineer would be required to undertake maintenance and operation of the
Telepresence equipment and network management. The engineer would be required to
be present in Telepresence Rooms on all working days (Mon to Sat) from 0830 hrs to
1830 hrs. However, requirement for working on holidays/ Sundays and beyond working
hours would also need to be catered for. The engineers would be selected based on the
interview conducted by IHQ MoD(N)/Commands as applicable. The support engineer
should possess following minimum qualifications :-
(a) Should be trained on the telepresence equipment by OEM.
Necessary certification from OEM must be held with the engineer.
(b) The engineer should have experience in implementation, operation
and maintenance of Telepresence equipment.
(c) The engineer should be qualified and experienced in management
of Network especially with regard to the network being set up for
Telepresence.
(d) The vendor would need to complete all police verification formalities
for issue of passes within 04 weeks of selection of personnel.
17. Warranty. The complete ―Telepresence‘ equipment including all the
deliverables, as part of the contract, would be under three year comprehensive on-site
warranty. Free replacement/ repairs of the equipment would be carried out by the
vendor during the warranty period. In case of an item taken for repairs, a standby item is

to be provided as replacement so that the uptime of the ‗Telepresence‘ equipment is not
below 99.5%. The warranty would cover the complete deliverables including
‗Telepresence‘ equipment, network components, PORTACABIN, room renovation
deliverables, leased bandwidth and installation material. The vendor is required to
include additional three years of AMC and support in the commercial bid, post
completion of initial three years, on the similar conditions except the leased bandwidth.
The contract for additional three years AMC and support would not form part of initial
supply order. The customer would conclude this contract post implementation of project,
if required. However, the cost of additional 3 years of AMC and support, quoted in the
commercial bid, would be included for determination of L1 bid.
18. Live Demonstration . As part of Technical Evaluation, the vendor is
required to provide Live Demonstration of the proposed ‗Telepresence‘ solution. The
Live Demonstration may be organised anywhere in India. The cost of travelling,
boarding and lodging for the Technical Evaluation Committee would be borne by the
customer only. The points that would be evaluated at the actual site are :-
Documentation
(a) The ‗Telepresence‘ room provides the experience of immersive
presence. The lighting and furniture should be as proposed in the bid for
the Navy and are satisfactory.
(b) A full fledged Telepresence conference with at least 2 rooms
participating and at-least 2 screens in each room should be conducted.
The conference is to include personal conversation, document sharing
and presentation sharing for certification of satisfactory performance by
the Board.
(c) The MCU used in the call should be the one proposed for
implementation for the Navy. The bandwidth statistics should be made
available as well as demonstrated that encryption does not degrade
performance.
19. Vendor will hand over five copies of following document in hard and soft copy,
one set each at Mumbai, Vishakhapatnam and Kochi and two sets for IHQMoD(N)/DIT,
Delhi, which will contain complete information about the whole project, inclusive of the
following.-
(a) Introduction along with design and layout diagram for the complete
Telepresence solution.
(b) Procedure for installation and configuration of the equipment.
(c) Technical details of all equipment.
(d) Operation, maintenance and Troubleshooting documents

20. Draft document complete in all respects is to be handed over to IHQMoD(N)/DIT
within 60 days of placement of order. All additions/changes as required by
IHQMoD(N)/DIT will be incorporated into the document. The document will be termed
complete only after a written approval from IHQMoD(N)/DIT. The documents would be
additionally be contained in the workstations supplied as part of the order.
Service Level Commitment
21. The Vendor shall provide a on-site service engineer, at each location, for
operation and maintenance cover for upkeep of the ‗Telepresence‘ solution
implemented at IHQ-MoD(Navy) and Commands with the following Service Level
Commitments on all days.-
(a) All defects (Hardware/ Software) shall be attended to within 01 working
day of reporting the call to the Help Desk Centre, in case of defect not being
rectified by the on-site support engineer. The vendor is required to provide single
point Help Desk Centre Number for each location to attend all complaints
regarding deliverables, hardware, network and software.
(b) Overall reliability and uptime of 99.5% shall be maintained, measured on a
quarterly basis. The calculation would be done on the basis of parameter

(Where A is % availability, D is demand time eg, 8 hours x 5 days x 52 weeks=
2080 hours, DNT is downtime which begins when a defect is reported and ends
when defect is rectified, G is grace period – 48 hours where spares are to be
procured locally).
(c) The contractor shall, as far as possible, carry out repair and replacement
at the respective User‘s site in the Customer premises. However, in case the
vendor is required to remove the defective/unserviceable equipment to his
service centre for repair etc., it shall be done at the vendor‘s own cost. However,
standby equipment would need to be placed in lieu to maintain the Uptime.
(d) The service engineer is to maintain a log indicating the daily state and
uptime of the ―Telepresence Setup‖, which will be signed by DIT at Delhi and
Command representatives at Mumbai, Vishakhapatnem and Kochi on daily
basis. The format of the log will be provided by DIT.
22. Any shortfall in the system uptime will attract financial penalty at the rate of 0.5%
percent of the half yearly payment to be paid as per Part IV, Para 4, Sl (d) for each
percent drop in uptime or part thereof at each location and such penalty amounts will be
deducted from the payment due. The penalty would be levied as per logs maintained by
the service engineer on the system and approved by IHQ MoD(N)/DIT and Commands
respectively.

23. Conference Session Quality – A conference session can have the following
levels of quality : -
(a) Standard – When the session is running at the maximum achievable
quality.
(b) Degraded – When the session is running at a quality level below the
maximum level achieveable. For eg, if the maximum achieveable level is of
1080p and any one system is perfromimg at 720p, it will be considered as
degraded performance.
(c) Restricted – When one or more locations has to be dropped for any
reason
(d) Terminated – When the Telepresence equipment automatically
terminates the conference session OR when the user decides to terminate the
session due to its poor performance.
24. A non-standard session (as per para 23 (c) & (d) above) will be treated as a
downtime and will be accounted for towards calculating the overall availability and
uptime.
Quality Assurance Plan
25. The firm shortlisted for setting-up of the Telepresence facility and awarded the
contract, shall, within one month of the award of contract, submit ‗Quality Assurance
Plan‘ for setting-up of the facility.
Responsibilities of Navy
26. In order to meet the Service Level Commitment, the Customer‘s obligation would
be limited to the following.-
(a) Provide a telephone (with local call facility only) near the Telepresence
Rooms for remote trouble- shooting on as required basis.
(b) Provide access to places where the equipment is located, by means of
providing security pass authorizing contractors to work on all days excluding
Sunday and Holidays, for attending calls
(c)
Provide the engineer full access to the equipment.
(d) Ensure that the equipment is operated as per instructions and is physically
secure.
(e)
Indicate space for installation of Porta cabin or Room.

27. Two-Bid System In respect of Two-bid system, Bidders are required to furnish
clause by clause compliance of specifications bringing out clearly the deviations from
specification, if any. The Bidders are advised to submit the compliance statement as per
Appendix F along with Technical Bid.
28. Delivery Period - Delivery period for supply, installation and commissioning of
items would be within 6 months from the effective date of contract i.e. date of supply
order. Please note that Contract can be cancelled unilaterally by the Buyer in case
items are not received within the contracted delivery period. Extension of contracted
delivery period will be at the sole discretion of the Buyer, with applicability of LD clause
and consequential damage

Part III – Standard Conditions of RFP
The Bidder is required to give confirmation of their acceptance of the Standard
Conditions of the Request for Proposal mentioned below which will automatically be
considered as part of the Contract concluded with the successful Bidder (i.e. Seller in
the Contract) as selected by the Buyer. Failure to do so may result in rejection of the Bid
submitted by the Bidder. Further, the buyer reserves the right to reject complete bid or
part bid, whithout assigning any reason to do so.
1. Law: The Contract shall be considered and made in accordance with the laws of the
Republic of India. The contract shall be governed by and interpreted in accordance with
the laws of the Republic of India.
2. Effective Date of the Contract: The contract (supply order) shall come into effect
from the date of supply order (Effective Date) and shall remain valid until the completion
of the obligations of the parties under the contract. The deliveries and supplies and
performance of the services shall commence from the effective date of the contract.
3. Arbitration: All disputes or differences arising out of or in connection with the
Contract shall be settled by bilateral discussions. Any dispute, disagreement or question
arising out of or relating to the Contract or relating to construction or performance, which
cannot be settled amicably, may be resolved through arbitration. The standard clause of
arbitration is as per Forms DPM-7, DPM-8 and DPM-9 (Available in MoD website and
can be provided on request).
4. Penalty for use of Undue influence: The Seller undertakes that he has not given,
offered or promised to give, directly or indirectly, any gift, consideration, reward,
commission, fees, brokerage or inducement to any person in service of the Buyer or
otherwise in procuring the Contracts or forbearing to do or for having done or forborne
to do any act in relation to the obtaining or execution of the present Contract or any
other Contract with the Government of India for showing or forbearing to show favour or
disfavour to any person in relation to the present Contract or any other Contract with the
Government of India. Any breach of the aforesaid undertaking by the Seller or any one
employed by him or acting on his behalf (whether with or without the knowledge of the
Seller) or the commission of any offers by the Seller or anyone employed by him or
acting on his behalf, as defined in Chapter IX of the Indian Penal Code, 1860 or the
Prevention of Corruption Act, 1986 or any other Act enacted for the prevention of
corruption shall entitle the Buyer to cancel the contract and all or any other contracts
with the Seller and recover from the Seller the amount of any loss arising from such
cancellation. A decision of the Buyer or his nominee to the effect that a breach of the
undertaking had been committed shall be final and binding on 176 the Seller. Giving or
offering of any gift, bribe or inducement or any attempt at any such act on behalf of the
Seller towards any officer/employee of the Buyer or to any other person in a position to
influence any officer/employee of the Buyer for showing any favour in relation to this or
any other contract, shall render the Seller to such liability/ penalty as the Buyer may
deem proper, including but not limited to termination of the contract, imposition of penal

damages, forfeiture of the Bank Guarantee and refund of the amounts paid by the
Buyer.
5. Agents / Agency Commission: The Seller confirms and declares to the Buyer that
the Seller is the original manufacturer of the stores/provider of the services referred to in
this Contract and has not engaged any individual or firm, whether Indian or foreign
whatsoever, to intercede, facilitate or in any way to recommend to the Government of
India or any of its functionaries, whether officially or unofficially, to the award of the
contract to the Seller; nor has any amount been paid, promised or intended to be paid to
any such individual or firm in respect of any such intercession, facilitation or
recommendation. The Seller agrees that if it is established at any time to the satisfaction
of the Buyer that the present declaration is in any way incorrect or if at a later stage it is
discovered by the Buyer that the Seller has engaged any such individual/firm, and paid
or intended to pay any amount, gift, reward, fees, commission or consideration to such
person, party, firm or institution, whether before or after the signing of this contract, the
Seller will be liable to refund that amount to the Buyer. The Seller will also be debarred
from entering into any supply Contract with the Government of India for a minimum
period of five years. The Buyer will also have a right to consider cancellation of the
Contract either wholly or in part, without any entitlement or compensation to the Seller
who shall in such an event be liable to refund all payments made by the Buyer in terms
of the Contract along with interest at the rate of 2% per annum above LIBOR rate. The
Buyer will also have the right to recover any such amount from any contracts concluded
earlier with the Government of India.
6. Access to Books of Accounts: In case it is found to the satisfaction of the Buyer
that the Seller has engaged an Agent or paid commission or influenced any person to
obtain the contract as described in clauses relating to Agents/Agency Commission and
penalty for use of undue influence, the Seller, on a specific request of the Buyer, shall
provide necessary information/ inspection of the relevant financial
documents/information.
7. Non-disclosure of Contract documents: Except with the written consent of the
Buyer/ Seller, other party shall not disclose the contract or any provision, specification,
plan, design, pattern, sample or information thereof to any third party.
8. Liquidated Damages: In the event of the Seller's failure to submit the Bonds,
Guarantees and Documents, supply the stores/goods and conduct trials, installation of
equipment, training, etc as specified in this contract, the Buyer may, at his discretion,
withhold any payment until the completion of the contract. The BUYER may also deduct
from the SELLER as agreed, liquidated damages to the sum of 0.5% of the contract
price of the delayed/undelivered stores/services mentioned above for every week of
delay or part of a week, subject to the maximum value of the Liquidated Damages being
not higher than 10% of the value of delayed stores.

9. Consequential Damages – Consequential damages @ 0.5% of cost of contract,
not including AMC and Bandwidth charges, per week of delay in commissioning (i.e.
final acceptance by the navy) of the project (subject to a maximum of 5% of the contract
cost). This is over and above the LD clause that would be applicable.
10. Termination of Contract: The Buyer shall have the right to terminate this Contract
in part or in full in any of the following cases :-
(a) The delivery of the material is delayed for causes not attributable to Force
Majeure for more than (01 months) after the scheduled date of delivery.
(b) The Seller is declared bankrupt or becomes insolvent.
(c) The delivery of material is delayed due to causes of Force Majeure by more
than (03 months) provided Force Majeure clause is included in contract.
(d) The Buyer has noticed that the Seller has utilised the services of any
Indian/Foreign agent in getting this contract and paid any commission to such
individual/company etc.
(e) As per decision of the Arbitration Tribunal.
11. Notices: Any notice required or permitted by the contract shall be written in the
English language and may be delivered personally or may be sent by FAX or registered
pre-paid mail/airmail, addressed to the last known address of the party to whom it is
sent.
12. Transfer and Sub-letting: The Seller has no right to give, bargain, sell, assign or
sublet or otherwise dispose of the Contract or any part thereof, as well as to give or to
let a third party take benefit or advantage of the present Contract or any part thereof.
13. Patents and other Industrial Property Rights: The prices stated in the present
Contract shall be deemed to include all amounts payable for the use of patents,
copyrights, registered charges, trademarks and payments for any other industrial
property rights. The Seller shall indemnify the Buyer against all claims from a third party
at any time on account of the infringement of any or all the rights mentioned in the
previous paragraphs, whether such claims arise in respect of manufacture or use. The
Seller shall be responsible for the completion of the supplies including spares, tools,
technical literature and training aggregates irrespective of the fact of infringement of the
supplies, irrespective of the fact of infringement of any or all the rights mentioned above.
14. Amendments: No provision of present Contract shall be changed or modified in any
way (including this provision) either in whole or in part except by an instrument in writing
made after the date of this Contract and signed on behalf of both the parties and which
expressly states to amend the present Contract.

15) Taxes and Duties
(a) General
(i) If Bidder desires to ask for excise duty or Sales Tax / VAT extra,
the same must be specifically stated. In the absence of any such
stipulation, it will be presumed that the prices include all such charges and
no claim for the same will be entertained.
(ii) If reimbursement of any Duty/Tax is intended as extra over the
quoted prices, the Bidder must specifically say so. In the absence of any
such stipulation it will be presumed that the prices quoted are firm and
final and no claim on account of such duty/tax will be entrained after the
opening of tenders.
(iii) If a Bidder chooses to quote a price inclusive of any duty/tax and
does not confirm inclusive of such duty/tax so included is firm and final, he
should clearly indicate the rate of such duty/tax and quantum of such
duty/tax included in the price. Failure to do so may result in ignoring of
such offers summarily.
(iv) If a Bidder is exempted from payment of any duty/tax upto any
value of supplies from them, he should clearly state that no such duty/tax
will be charged by him up to the limit of exemption which he may have. If
any concession is available in regard to rate/quantum of any Duty/tax, it
should be brought out clearly. Stipulations like, the said duty/tax was
presently not applicable but the same will be charged if it becomes
leviable later on, will not be accepted unless in such cases it is clearly
stated by a Bidder that such duty/tax will not be charged by him even if the
same becomes applicable later on. In respect of the Bidders, who fail to
comply with this requirement, their quoted prices shall be loaded with the
quantum of such duty/tax which is normally applicable on the item in
question for the purpose of comparing their prices with other Bidders.
(v) Any change in any duty/tax upward/downward as a result of any
statutory variation in excise taking place within contract terms shall be
allowed to the extent of actual quantum of such duty/tax paid by the
supplier. Similarly, in case of downward revision in any duty/tax, the actual
quantum of reduction of such duty/tax shall be reimbursed to the Buyer by
the Seller. All such adjustments shall include all reliefs, exemptions,
rebates, concession etc. if any obtained by the Seller.
(b) Customs Duty –
(i) For imported stores offered against forward delivery, the Bidder
shall quote prices thereof exclusive of customs duty. The Bidder shall
specify separately the C.I.F. prices and total amount of customs duty
payable. They will also indicate correctly the rate of customs duty

applicable along with Indian Customs Tariff Number. Customs duty as
actually paid will be reimbursed on production of necessary documents i.e.
(aa) Triplicate copy of the bill of entry; (ab) copy of bill of lading; (ac) a
copy of foreign principal‘s invoice. However, if the Bidder imports the
stores in question against his own commercial quota Import Licences, he
will also be required to submit in addition the triplicate copy of bills of entry
etc. a certificate from his Internal Auditor on the bill itself, to the effect that
the following items/quantity in the bill of entry related to the stores
imported against Defence Buyer contract

(ii) Subsequent to the reimbursement of customs duty, the Bidder will
submit to the concerned Payment Authority a certificate to the effect that
he has not obtained any refund of customs duty subsequent to the
payment of duty to the Customs authority by him. In addition, he shall also
submit to the Paying Authority concerned a certificate immediately after a
period of three months from the date of payment of the duty to customs
authorities to the effect that he has not applied for refund of the customs
duty subsequent to the payment of duty to the customs authorities by him.
(iii) In case the Bidder obtains any refund of customs duty,
subsequently to the payment of the same by him to the customs
authorities and reimbursement of the customs duty to him by the Payment
Authority, he should forthwith furnish the details of the refund obtained and
afford full credit of the same to the Buyer.
(c) Excise Duty
(i) Where the excise duty is payable on advalorem basis, the Bidder
should submit along with the tender, the relevant form and the
Manufacturer‘s price list showing the actual assessable value of the stores
as approved by the Excise authorities.
(ii) Bidders should note that in case any refund of excise duty is
granted to them by Excise authorities in respect of Stores supplied under
the contract, they will pass on the credit to the Buyer immediately along
with a certificate that the credit so passed on relates to the Excise Duty,
originally paid for the stores supplied under the contract. In case of their
failure to do so, within 10 days of the issue of the excise duty refund
orders to them by the Excise Authorities the Buyer would be empowered
to deduct a sum equivalent to the amount refunded by the Excise
Authorities without any further reference to them from any of their
outstanding bills against the contract or any other pending Government
Contract and that no disputes on this account would be raised by them.

(iii) The Seller is also required to furnish to the Paying Authority the
following certificates:
(aa) Certificate with each bill to the effect that no refund has been
obtained in respect of the reimbursement of excise duty made to
the Seller during three months immediately preceding the date of
the claim covered by the relevant bill.
(iv) Certificate as to whether refunds have been obtained or applied for
by them or not in the preceding financial year after the annual Audit of
their accounts also indicating details of such refunds/applications, if any.
(v) A certificate along with the final payment bills of the Seller to the
effect whether or not they have any pending appeal/protest for refund or
partial refund of excise duties already reimbursed to the Seller by the
Government pending with the Excise authorities and if so, the nature, the
amount involved, and the position of such appeals.
(vi) An undertaking to the effect that in case it is detected by the
Government that any refund from Excise Authority was obtained by the
Seller after obtaining reimbursement from the Paying Authority, and if the
same is not immediately refunded by the Seller to the Paying Authority
giving details and particulars of the transactions, Paying Authority will
have full authority to recover such amounts from the Seller‘s outstanding
bills against that particular contract or any other pending Government
contracts and that no dispute on this account would be raised by the
Seller.
(vii) Unless otherwise specifically agreed to in terms of the contract, the
Buyer shall not be liable for any claim on account of fresh imposition
and/or increase of Excise Duty on raw materials and/or components used
directly in the manufacture of the contracted stores taking place during the
pendency of the contract.
(d) Sales Tax / VAT
(i) If it is desired by the Bidder to ask for Sales tax / VAT to be paid as
extra, the same must be specifically stated. In the absence of any such
stipulation in the bid, it will be presumed that the prices quoted by the
Bidder are inclusive of sales tax and no liability of sales tax will be
developed upon the Buyer.
(ii) On the Bids quoting sales tax extra, the rate and the nature of
Sales Tax applicable at the time of supply should be shown separately.
Sales tax will be paid to the Seller at the rate at which it is liable to be
assessed or has actually been assessed provided the transaction of sale

is legally liable to sales tax and the same is payable as per the terms of
the contract.
(e)
Octroi Duty & Local Taxes
(i) Normally, materials to be supplied to Government Departments
against Government Contracts are exempted from levy of town duty,
Octroi Duty, Terminal Tax and other levies of local bodies. The local
Town/Municipal Body regulations at times, however, provide for such
Exemption only on production of such exemption certificate from any
authorised officer. Seller should ensure that stores ordered against
contracts placed by this office are exempted from levy of Town Duty/Octroi
Duty, Terminal Tax or other local taxes and duties. Wherever required,
they should obtain the exemption certificate from the Buyer, to avoid
payment of such local taxes or duties.
(ii) In case where the Municipality or other local body insists upon
payment of these duties or taxes the same should be paid by the Seller to
avoid delay in supplies and possible demurrage charges. The receipt
obtained for such payment should be forwarded to the Buyer without delay
together with a copy of the relevant act or bylaws/ notifications of the
Municipality of the local body concerned to enable him to take up the
question of refund with the concerned bodies if admissible under the said
acts or rules.

Part IV – Special Conditions of RFP
The Bidder is required to give confirmation of their acceptance of Special Conditions of
the RFP mentioned below which will automatically be considered as part of the Contract
concluded with the successful Bidder (i.e. Seller in the Contract) as selected by the
Buyer. Failure to do so may result in rejection of Bid submitted by the Bidder.
1. Performance Guarantee:
(a) Indigenous cases: The Bidder will be required to furnish a Performance
Guarantee by way of Bank Guarantee through a public sector bank or a private
sector bank authorized to conduct government business (ICICI Bank Ltd., Axis
Bank Ltd or HDFC Bank Ltd.) for a sum equal to 10% of the contract value within
30 days of receipt of the confirmed order. Performance Bank Guarantee should
be valid up to 60 days beyond the date of warranty. The specimen of PBG is
given in Form DPM-15 (Available in MoD website and can be provided on
request).
2. Repeat Order Clause – The contract will have a Repeat Order Clause, wherein
the Buyer can order upto 50% quantity of the items under the present contract within six
months from the date of supply/successful completion of this contract, the cost, terms &
conditions remaining the same. The Bidder is to confirm acceptance of this clause. It will
be entirely the discretion of the Buyer to place the Repeat order or not.
3. Tolerance Clause – To take care of any change in the requirement during the
period starting from issue of RFP till placement of the contract, Buyer reserves the right
to 25% plus/minus increase or decrease the quantity of the required goods upto that
limit without any change in the terms & conditions and prices quoted by the Seller.
While awarding the contract, the quantity ordered can be increased or decreased by the
Buyer within this tolerance limit.
4. Payment Terms for Indigenous Sellers - It will be mandatory for the Bidders to
indicate their bank account numbers and other relevant payment details so that
payments could be made through ECS/EFT mechanism instead of payment through
cheques, wherever feasible. A copy of the model mandate form prescribed by RBI to be
submitted by Bidders for receiving payments through ECS is at Form DPM-11
(Available in MoD website and can be given on request). The payment will be made as
per the following terms, on production of the requisite documents:

6. Paying Authority:

submission of the following documents by the Seller to the Paying Authority
along with the bill:
(a) Ink-signed copy of contingent bill / Seller‘s bill.
(b) Ink-signed copy of Commercial invoice / Seller‘s bill.
(c) Copy of Supply Order/Contract
(d) CRVs in duplicate.
(e) Inspection note.
(f) Claim for statutory and other levies to be supported with requisite documents /
proof of payment such as Excise duty challan, Customs duty clearance
certificate, Octroi receipt, proof of payment for EPF/ESIC contribution with
nominal roll of beneficiaries, etc as applicable.
(g) Exemption certificate for Excise duty / Customs duty, if applicable.
(h) Guarantee / Warranty certificate.
(j) Performance Bank guarantee / Indemnity bond where applicable.
(k) DP extension letter with CFA‘s sanction, indicating whether extension is with
or without LD.

(l) Details for electronic payment viz Account holder‘s name, Bank name, Branch
name and address, Account type, Account number, IFSC code, MICR code.
(m) Any other document / certificate that may be provided for in the Supply
Order / Contract.
(n) User Acceptance.
(p) Xerox copy of PBG.
7. Fall clause - The following Fall clause will form part of the contract placed on
successful Bidder -
(a) The price charged for the stores supplied under the contract by the Seller
shall in no event exceed the lowest prices at which the Seller sells the stores or
offer to sell stores of identical description to any persons/Organisation including
the purchaser or any department of the Central government or any Department
of state government or any statutory undertaking the central or state government
as the case may be during the period till performance of all supply Orders placed
during the currency of the rate contract is completed.
(b) If at any time, during the said period the Seller reduces the sale price,
sells or offer to sell such stores to any person/organisation including the Buyer or
any Deptt, of central Govt. or any Department of the State Government or any
Statutory undertaking of the Central or state Government as the case may be at
a price lower than the price chargeable under the contract, the shall forthwith
notify such reduction or sale or offer of sale to the Director general of Supplies &
Disposals and the price payable under the contract for the stores of such
reduction of sale or offer of the sale shall stand correspondingly reduced. The
above stipulation will, however, not apply to:--
(i) Exports by the Seller.
(ii) Sale of goods as original equipment at price lower than lower than the
prices charged for normal replacement.
(iii) Sale of goods such as drugs which have expiry dates.
(iv) Sale of goods at lower price on or after the date of completion of
sale/placement of the order of goods by the authority concerned under the
existing or previous Rate Contracts as also under any previous contracts
entered into with the Central or State Govt. Depts, including their
undertakings excluding joint sector companies and/or private parties and
bodies.
8. Risk & Expense clause –
(a) Should the stores or any installment thereof not be delivered within the
time or times specified in the contract documents, or if defective delivery is made
in respect of the stores or any installment thereof, the Buyer shall after granting
the Seller 45 days to cure the breach, be at liberty, without prejudice to the right

to recover liquidated damages as a remedy for breach of contract, to declare the
contract as cancelled either wholly or to the extent of such default.
(b) Should the stores or any installment thereof not perform in accordance
with the specifications / parameters provided by the SELLER during the check
proof tests to be done in the BUYER‘s country, the BUYER shall be at liberty,
without prejudice to any other remedies for breach of contract, to cancel the
contract wholly or to the extent of such default.
(c) In case of a material breach that was not remedied within 45 days, the
BUYER shall, having given the right of first refusal to the SELLER be at liberty to
purchase, manufacture, or procure from any other source as he thinks fit, other
stores of the same or similar description to make good:-
(i) Such default.
(ii) In the event of the contract being wholly determined the balance of
the stores remaining to be delivered thereunder.
(d) Any excess of the purchase price, cost of manufacturer, or value of any
stores procured from any other supplier as the case may be, over the contract
price appropriate to such default or balance shall be recoverable from the
SELLER. Such recoveries shall not exceed 10 % of the value of the contract.
9. Force Majeure clause
(a) Neither party shall bear responsibility for the complete or partial
nonperformance of any of its obligations (except for failure to pay any sum which
has become due on account of receipt of goods under the provisions of the
present contract), if the non-performance results from such Force Majeure
circumstances as Flood, Fire, Earth Quake and other acts of God as well as War,
Military operation, blockade, Acts or Actions of State Authorities or any other
circumstances beyond the parties control that have arisen after the conclusion of
the present contract.
(b) In such circumstances the time stipulated for the performance of an
obligation under the present contract is extended correspondingly for the period
of time of action of these circumstances and their consequences.
(c) The party for which it becomes impossible to meet obligations under this
contract due to Force Majeure conditions, is to notify in written form the other
party of the beginning and cessation of the above circumstances immediately,
but in any case not later than 10 (Ten) days from the moment of their beginning.
(d) Certificate of a Chamber of Commerce (Commerce and Industry) or other
competent authority or organization of the respective country shall be a sufficient
proof of commencement and cessation of the above circumstances.

(e) If the impossibility of complete or partial performance of an obligation
lasts for more than 6 (six) months, either party hereto reserves the right to
terminate the contract totally or partially upon giving prior written notice of 30
(thirty) days to the other party of the intention to terminate without any liability
other than reimbursement on the terms provided in the agreement for the goods
received.
10. Specification: The following Specification clause will form part of the contract
placed on successful Bidder - The Seller guarantees to meet the specifications as per
Part-II of RFP and to incorporate the modifications to the existing design configuration
to meet the specific requirement of the Buyer Services as per
modifications/requirements recommended after the Maintenance Evaluation Trials. All
technical literature and drawings shall be amended as the modifications by the Seller
before supply to the Buyer. The Seller, in consultation with the Buyer, may carry out
technical upgradation/alterations in the design, drawings and specifications due to
change in manufacturing procedures, indigenisation or obsolescence. This will,
however, not in any way, adversely affect the end specifications of the equipment.
Changes in technical details, drawings repair and maintenance techniques alongwith
necessary tools as a result of upgradation/alterations will be provided to the Buyer free
of cost within (30) days of affecting such upgradation/alterations.
11. OEM Certificate: In case the Bidder is not the OEM, the agreement certificate with
the OEM for sourcing the spares shall be mandatory. However, where OEMs do not
exist, minor aggregates and spares can be sourced from authorized vendors subject to
quality certification. The certification from OEM, as listed at para 7 of Part II of RFP
are also required to be submitted alongwith Technical Bid.
12. Export License: The Bidders are to confirm that they have requisite export license
from their Government and Authorization from the manufacturing plant, in case they are
not the OEM, to export the military / non-military goods to India.
13. Earliest Acceptable Year of Manufacture: 2009 Quality / Life certificate will need
to be enclosed with the Bill.
14. Buyer Furnished Equipment: The following equipment will be provided by the
Buyer at his expense to the Seller:
(a) Telephone near Telepresence Room for making local calls to vendor
office/ receiving calls from vendors.
15. Quality: The quality of the stores delivered according to the present Contract shall
correspond to the technical conditions and standards valid for the deliveries of the same
stores for in Seller‘s country or specifications enumerated as per RFP and shall also
include therein modification to the stores suggested by the Buyer. Such modifications

will be mutually agreed to. The Seller confirms that the stores to be supplied under this
Contract shall be new i.e. not manufactured before (Year of Contract), and shall
incorporate all the latest improvements and modifications thereto and spares of
improved and modified equipment are backward integrated and interchangeable with
same equipment supplied by the Seller in the past if any. The Seller shall supply an
interchangeability certificate along with the changed part numbers wherein it should be
mentioned that item would provide as much life as the original item.
16. Quality Assurance: Seller would provide the Standard Acceptance Test Procedure
(ATP) within 02 month of this date of contract. Buyer reserves the right to modify the
ATP. Seller would be required to provide all test facilities at his premises for acceptance
and inspection by Buyer. The details in this regard will be coordinated during the
negotiation of the contract. The item should be of the latest manufacture, conforming to
the current production standard and having 100% defined life at the time of delivery.
17. Inspection Authority: The Inspection will be carried out by IHQ MoD(N)/DIT and
Commands. The mode of Inspection will be User Inspection.
18. Franking clause – The following Franking clause will form part of the contract
placed on successful Bidder –
(a) Franking Clause in the case of Acceptance of Goods ―The fact that the
goods have been inspected after the delivery period and passed by the
Inspecting Officer will not have the effect of keeping the contract alive. The goods
are being passed without prejudice to the rights of the Buyer under the terms and
conditions of the contract‖.
(b) Franking Clause in the case of Rejection of Goods ―The fact that the
goods have been inspected after the delivery period and rejected by the
Inspecting Officer will not bind the Buyer in any manner. The goods are being
rejected without prejudice to the rights of the Buyer under the terms and
conditions of the contract.‖
19. Claims: The following Claims clause will form part of the contract placed on
successful Bidder –
(a) The claims may be presented either: (i) on quantity of the stores, where the
quantity does not correspond to the quantity shown in the Packing
List/Insufficiency in packing, or (ii) on quality of the stores, where quality does not
correspond to the quality mentioned in the contract.
(b) The quantity claims for deficiency of quantity shall be presented within 45
days of completion of JRI and acceptance of goods. The quantity claim shall be
submitted to the Seller as per Form DPM-22 (Available in MoD website and can
be given on request).

(c) The quality claims for defects or deficiencies in quality noticed during the JRI
shall be presented within 45 days of completion of JRI and acceptance of goods.
Quality claims shall be presented for defects or deficiencies in quality noticed
during warranty period earliest but not later than 45 days after expiry of the
guarantee period. The quality claims shall be submitted to the Seller as per Form
DPM-23 (Available in MoD website and can be given on request) .
(d) The description and quantity of the stores are to be furnished to the Seller
along with concrete reasons for making the claims. Copies of all the justifying
documents shall be enclosed to the presented claim. The Seller will settle the
claims within 45 days from the date of the receipt of the claim at the Seller‘s
office, subject to acceptance of the claim by the Seller. In case no response is
received during this period the claim will be
deemed to have been accepted.
(e) The Seller shall collect the defective or rejected goods from the location
nominated by the Buyer and deliver the repaired or replaced goods at the same
location under Seller‘s arrangement.
(f) Claims may also be settled by reduction of cost of goods under claim from
bonds submitted by the Seller or payment of claim amount by Seller through
demand draft drawn on an Indian Bank, in favour of Principal
Controller/Controller of Defence Accounts concerned.
(g) The quality claims will be raised solely by the Buyer and without any
certification/countersignature by the Seller‘s representative stationed in India.
20. Warranty –
(a) The following comprehensive onsite Warranty will form part of the contract
placed on the successful Bidder, as brought at Part II of RFP.
(i) The Seller warrants that the goods supplied under the contract conform
to technical specifications prescribed and shall perform according to the
said technical specifications.
(ii) The Seller warrants for a period of 36 months from the date of
acceptance of the solution, that the goods/stores supplied under the
contract and each component used in the manufacture thereof shall be
free from all types of defects/failures.
(iii) If within the period of warranty, the goods are reported by the Buyer to
have failed to perform as per the specifications, the Seller shall either
replace or rectify the same free of charge, within a maximum period of 07
days of notification of such defect received by the Seller, provided that the
goods are used and maintained by the Buyer as per instructions contained

in the Operating Manual. Warranty of the equipment would be extended
by such duration of downtime. Record of the down time would be
maintained by the user in the logbook. Spares required for warranty
repairs shall be provided free of cost by the Seller. The Seller also
undertakes to diagnose, test, adjust, calibrate and repair/replace the
goods/equipment arising due to accidents by neglect or misuse by the
operator or damage due to transportation of the goods during the warranty
period, at the cost mutually agreed to between the Buyer and the Seller.
(iv). The Seller also warrants that necessary service and repair back up
during the warranty period of the equipment shall be provided by the
Seller and he will ensure that the downtime is within 0.5 % of the warranty
period.
(v) The Seller shall associate technical personnel of the Maintenance
agency and Quality Assurance Agency of the Buyer during warranty repair
and shall also provide the details of complete defects, reasons and
remedial actions for defects.
(vi) If a particular equipment/goods fails frequently and/or, the
cumulative own time exceeds 0.5 % of the warranty period, the complete
equipment shall be replaced free of cost by the Seller within a stipulated
period of 10 days of receipt of the notification from the Buyer. Warranty of
the replaced equipment would start from the date of acceptance after Joint
Receipt Inspection by the Buyer/date of installation and commissioning.
However, standby equipment would be provided by the seller to ensure
that downtime does not exceed the specified value.
(vii) In case the complete delivery of Engineering Support Package is
delayed beyond the period stipulated in this contract, the Seller
undertakes that the warranty period for the goods/stores shall be extended
to that extent.
(viii) The Seller will guarantee the shelf life of (7) years under the Indian
tropical condition as given below:
(aa) Minimum temperature - - + 2 deg C
(ab) Maximum temperature --- + 35 deg C
(ac) Average Humidity --- 80%
(ix) On-Site Support. As part of comprehensive on-site warranty, the
vendor is required to provide on-site support at all the four locations for a period
of 03 years from the date of completion of implementation and acceptance of
Telepresence solution. The vendor would position atleast one qualified Engineer
at each of the Telepresence Room location. The support engineer would be
required to undertake maintenance and operation of the Telepresence equipment

and network management. The engineer would be required to be present in
Telepresence Rooms on all working days (Mon to Sat) from 0830 hrs to 1830
hrs. However, requirement for working on holidays/Sundays and beyond working
hours would also need to be catered for. The engineers would be selected based
on the interview conducted by IHQ MoD(N) and Commands, as applicable. The
minimum qualifications of the engineer are listed at para 7 (h) of Part II of RFP.
21. The vendor is required to include additional three years of AMC and support
in the commercial bid, post completion of initial three years, as per the same conditions
brought out at para 20 above. The contract for additional three years AMC and support
would not form part of initial supply order. The customer would conclude this contract
post implementation of project, if required. However, the cost of additional 3 years of
AMC and support, quoted in the commercial bid, would be included for determination of
L1 bid.
22. Product Support: The following Product Support clause will form part of the
contract placed on successful Bidder –
(a) The Seller agrees to provide Product Support for the stores,
assemblies/subassemblies, fitment items and consumables, subcontracted from
other agencies/ manufacturer by the Seller for a maximum period of 7years
including 3 years of warranty period after the delivery of ―Telepresence‖
equipment, Network Component, PORTACABIN and other deliverables.
(b) In the event of any obsolescence during the above mentioned period of
product support in respect of any component or sub-system, mutual consultation
between the Seller and Buyer will be undertaken to arrive at an acceptable
solution including additional cost, if any.
(c) Any improvement/modification/ up gradation being undertaken by the Seller
or their sub suppliers on the stores/equipment being purchased under the
Contract will be communicated by the Seller to the Buyer and, if required by the
Buyer, these will be carried out by the Seller at Buyer's cost.
NOTE – For the product support, AMC and Warranty as specified at para 20 – 22
above, the firm has to submit proof of Back-to-Back agreements with the OEM in this
regard.

Part V – Evaluation Criteria & Price Bid issues
1. Evaluation Criteria - The broad guidelines for evaluation of Bids will be as follows:
(a) Only those Bids will be evaluated which are found to be fulfilling all the eligibility and
qualifying requirements of the RFP, both technically and commercially.
(b) In respect of Two-Bid system, the technical Bids forwarded by the Bidders will be
evaluated by the Buyer with reference to the technical characteristics of the equipment
as mentioned in the RFP. The compliance of Technical Bids would be determined on
the basis of the parameters specified in the RFP. The Price Bids of only those Bidders
will be opened whose Technical Bids would clear the technical evaluation.
(c) The Lowest Bid will be decided upon the lowest price quoted by the particular
Bidder as per the Price Format given at Para 2 below. The consideration of taxes and
duties in evaluation process will be as follows:
(i) In cases where only indigenous Bidders are competing, all taxes and duties
(including those for which exemption certificates are issued) quoted by the
Bidders will be considered. The ultimate cost to the Buyer would be the deciding
factor for ranking of Bids.
(d) The Bidders are required to spell out the rates of Customs duty, Excise duty, VAT,
Service Tax, etc in unambiguous terms; otherwise their offers will be loaded with the
maximum rates of duties and taxes for the purpose of comparison of prices. If
reimbursement of Customs duty / Excise Duty /VAT is intended as extra, over the
quoted prices, the Bidder must specifically say so. In the absence of any such
stipulation it will be presumed that the prices quoted are firm and final and no claim on
account of such duties will be entrained after the opening of tenders. If a Bidder
chooses to quote a price inclusive of any duty and does not confirm inclusive of such
duty so included is firm and final, he should clearly indicate the rate of such duty and
quantum of excise duty included in the price. Failure to do so may result in ignoring of
such offers summarily. If a Bidder is exempted from payment of Customs duty / Excise
Duty / VAT duty upto any value of supplies from them, they should clearly state that no
excise duty will be charged by them up to the limit of exemption which they may have. If
any concession is available in regard to rate/quantum of Customs duty / Excise Duty /
VAT, it should be brought out clearly. Stipulations like, excise duty was presently not
applicable but the same will be charged if it becomes leviable later on, will not be
accepted unless in such cases it is clearly stated by a Bidder that excise duty will not be
charged by him even if the same becomes applicable later on. In respect of the Bidders
who fail to comply with this requirement, their quoted prices shall be loaded with the
quantum of excise duty which is normally applicable on the item in question for the
purpose of comparing their prices with other Bidders. The same logic applies to
Customs duty and VAT also.

(e) If there is a discrepancy between the unit price and the total price that is obtained
by multiplying the unit price and quantity, the unit price will prevail and the total price will
be corrected. If there is a discrepancy between words and figures, the amount in words
will prevail for calculation of price.
(f) The Buyer reserves the right to evaluate the offers received by using Discounted
Cash Flow method at a discounting rate of 8%. In case cash flow involves more than
one currency, the same will be brought to a common denomination in Indian Rupees by
adopting exchange rate as BC Selling rate of the State Bank of India on the date of the
opening of Price Bids.
(g) The Lowest Acceptable Bid will be considered further for placement of contract /
Supply Order after complete clarification and price negotiations as decided by the
Buyer. The Buyer will have the right to award contracts to different Bidders for being
lowest in particular items. The Buyer also reserves the right to do Apportionment of
Quantity, if it is convinced that Lowest Bidder is not in a position to supply full quantity in
stipulated time.
(h) Any other criteria as applicable to suit a particular case.
2. Price Bid Format: The Price Bid Format is given at appendix ‗G‘ and Bidders are
required to fill this up correctly with full details:

part of the project by the vendor. Installation and wiring would be the
responsibility of the vendor. The load calculation for the UPS being
proposed should be justified and attached with the technical bid.
(y) Warranty The complete ―Telepresence‘ equipment, including all the
deliverables and UPS batteries, as part of the contract, would be
under three year comprehensive warranty. Free replacement/
repairs of the equipment would be carried out by the vendor during
the warranty period. In case of an item taken for repairs, a standby
item needs to be provided as replacement so that the uptime of the
‗Telepresence‘ and all other associated equipment is not below
99.5%. Software/ firmware patches/ updates, would have to be
provided and implemented during the warranty phase.

Supply, installation and commissioning of one Portacabin of Size 38‘x30‘x12‘ht, in each
location, as per the following specifications & layout. These are minimum specifications.
The vendor is required to propose exact specifications and details of PORTACABIN, to
suit the proposed Telepresence Solution, in the technical Bid. The PORTACABIN
should meet all the requirement of the Telepresence solution being proposed.

38mm thickness. Total panel thickness minimum 50mm. Proper
acoustical battling, lamination of sound absorbent material on the

Door: - Main door frame is pressed steel using 1.6 mm CR sheet with
factory made Alumn. door covered with half novapan & half glass
7Ftx3Ftx4Nos. The locking arrangement should be aesthetic and of
reputed quality make. Both, the Manual Locking and Electronic
Locking (swipe card based) arrangements should be available, with a
provision to bypass the electronic locking.

ROOM RENOVATION
Room Renovation
(a) Room A PORTACABIN/ Existing room of maximum 30 ft x 23
ft would be provided at each location for setting up of
Telepresence Room. The room should cater for
seating of minimum 18 participants for Telepresence
conference and 08 extra persons on the sides/back to
witness the conference. The seating arrangement
should be stadium type ie raised back so that the
people sitting at the back can also interact to the far
site.
(b) Room Design The design of the Telepresence Rooms in each
location needs to be identical. The design of the room,
alongwith complete list of deliverables/ installation
material needs to be provided with the Technical Bid.
The design should be certified by OEM.
(c) Room Renovation The room renovation would include wooden paneling,
painting, flooring (interlocked wooden/vitrified tiles),
false ceiling, lighting fixtures, board room tables,
second/third row tables, supply of leather chair, power
supply distribution and all other activities etc. as
required for implementing the Telepresence solution.

APPENDIX „D‟
NETWORK DETAILS
(Complete Solution to be IPV6 Compliant)
1. Network Details. The network setup primarily comprises of two parts, ie, Leased Line
and the Local LAN setup at each location. The specification for these networks are given
below . All Local Area Network switches and WAN routers should be Evaluation
Assurance Level 3 (EAL 3)) certified.
(a) Leased Lines for Supporting 60 & 20 Mbps bandwidth - The Leased Lines
should provide a minimum of 60 Mbps bandwidth at headquarter Delhi and 20 Mbps
bandwidth at each remote site Mumbai, Vizag and Kochi with adequate redundancy built
in for ensuring high performance of the solution.
(b) The initial lease period to be for three years, counted from the date of acceptance of
the Telepresence Project.
(c) The Leased Line being provided is to be ―Certified‖ by the OEM of the
Telepresence equipment for meeting the requisite Quality of service (QoS). While
certifying the leased line, the OEM of the Telepresence equipment is to take in
account the following minimum criteria (any other criteria deemed essential are
also to be evaluated by the OEM prior to certifying the leased line network): -
(i) The leased line should be from a ―Licenced‖ service
provider.
(ii) In case of the leased line service provider hiring bandwidth
from an alternate agency, the SLA and the contract shall be vetted
by the OEM of the telepresence equipment to ensure capacity,
redundancy and Qos will be achieved as per Navy‘s requirements.
(iii) The Leased Line service provider should have been in the
leased line business of atleast 03 years as on 31 May 10.
(iv) The leased line service provider should have provided the
leased line services to a Govt Organisation/PSU, during the last 02
years. The OEM of the Telepresence Equipment should verify the
performance from the concerned Govy org/PSU, for its satisfactory
operation.

(v) The leased line network of the service provider should be
able to support the required protocols for Telepresence and
Security overlays, both commercial and the ones proposed by the
Indian Navy.
(vi) Gateways and NOC to be restricted within the country. The
service povider is to certify that the routing of traffic will be only
within/through the gateways and routers located in India. At no
point of time, the traffic will be routed out of the country.
(d) The proposed solution should be able to provide per-application, per-user,
per-port QoS to guarantee the application performance and SLA enforcement.
(e) The proposed solution should provide optimized packet transport and
various other services from a single network, all with a carrier class resiliency,
QoS and OA&M functions.
(f) Network is required to be provided through leased bandwidth for a period of
03 years. The proposed solution should provide resilient network architecture to ensure
Quality of Service (QoS) and high availability—critical to Indian Navy operations. Fast
convergence around failures is very critical in the network to ensure tight SLA. The
proposed solution should be able to provide fast convergence performance during link
failures. All of the services required from the network should be able to reroute in less
than 50 ms during link failures.
2. LANs at Each Location – All network switches should be EAL 3 certified.
Further, all core network elements and Telepresence sites should be provided with
1+1 redundancy of the critical components to ensure a highly available architecture. The
redundancy shall include –

3. WAN router details. TheWAN solution should provide any-any connectivity at
all the times. The WAN solution should provide higher reliability (99.99% )and should
have low latency (< 150ms) for optimum working of telepresence solution. The WAN

outer should have the requisite ports populated with fibre/GB Ethernet modules for
ensuring termination of the leased lines. At least 02 GigE ports should be free after all
the Telepresence requirements are met. The WAN routers should be modular with
minimum 3 free slots after populating the required modules, for future scalability. All
interfaces required for the solution are to be catered for and explicitly quoted. The
specifications of the router are as given below :-
(a) Architecture The WAN routers should be modular with minimum 3 free
slots after populating the required modules for future
scalability.The WAN routers should have minimum 80
Gbps of backplane. The forwarding performance of the
router should be 60mpps.
The router shall be full OIR (online insertion and removal)
capable. Online insertion, removal and failure of a line card
shall not affect any unicast and multicast traffic passing
through the other line cards in any way.

(e) Services The routers should support IP Multicast, ACL, QoS,
Reverse Path Forwarding (RPF), load balancing, and
Jflow/netflow or equivalent.
(f) QOS (i) The Router should be capable of hardware based
QOS with multiple hardware queues per-port.
(ii) The router shall support 3 level of Hierarchical QoS
policy with parent and child QoS policies on each
interface. The parent policy shall shape or police the
entire interface where as the child policy shall
provide queuing and Weighted Random Early
Detection (WRED) to various applications as per
their class of service.
(iii) The router shall support Strict Priority Queuing or
Low Latency Queuing to support real time
application like Voice and Video with minimum
delay and jitter.
(iv) The router shall perform traffic Classification using
various parameters like source physical interfaces,
source/destination IP subnet, protocol types
(IP/TCP/UDP), source/destination ports, IP
Precedence, 802.1p, MPLS EXP, DSCP and by
some well known application types through
Application Recognition techniques.
(v) The router shall support traffic policing as per
relevant standards – Single Rate Two Color Policing

4. LAN Network. The LAN switches (Managed) will be 2 in no. at each site. The
LAN network should be based on CAT – 6 cabling. The cabling from the LAN to the
nearest Naval network point will be completed through fibre link, though not connected.

the proposed solution along with the complete Bill of Material as part of the technical
bid. The BoM being proposed should be completely catered for in the Commercial bid.
