ArcelorMittal acquires “most modern finishing facility in the world”
ArcelorMittal made a major announcement on 29 November 2013, revealing that it has
entered into a 50/50 joint venture partnership with Nippon Steel & Sumitomo Metal
Corporation (NSSMC) to acquire 100% of ThyssenKrupp Steel USA from ThyssenKrupp
for an agreed price of US$1,550 million.
Nicola Davidson
TK Steel USA is a steel processing plant situated in Calvert, Alabama, with a total capacity of 5.3
million tonnes including hot rolling, cold rolling, coating and finishing lines.
Commenting, our chairman and CEO Mr Mittal, said: “This is an important strategic acquisition
for ArcelorMittal. The Calvert plant is the most modern finishing facility in the world. It ideally
complements our existing operations in the United States and the Americas, and will improve our
ability to supply customers in the automotive and other markets in the Southern United States,
where we do not have comparable facilities today. We have worked successfully with NSSMC in
other joint ventures in the US for years and look forward to extending the collaboration.”
The transaction – which is expected to deliver US$60 million of annual synergies – will be
financed through a combination of equity and debt at the joint venture level. The deal includes
a six-year agreement to purchase two million tonnes of slab annually from TK CSA, an integrated
steel mill complex located in Rio de Janeiro, Brazil, using a market-based price formula. TK CSA has
an option to extend the agreement for an additional three years at more favourable terms to the
JV, compared with the initial time period.
The remaining slab balance will be sourced from ArcelorMittal plants in the US, Brazil and
Mexico. Our company will be responsible for marketing the product on behalf of the joint venture,
and the price ArcelorMittal will receive for its slabs will be determined by the volume, price and
cost performance of the joint venture.
The automotive market is an identified franchise business for ArcelorMittal and the Calvert
facility will complement ArcelorMittal’s existing auto business in the United States. The company’s
current facilities for the auto segment in the US are at high levels of capacity utilisation and the
NAFTA automotive market is expected to show an increase in vehicle production of approximately
15% over the next decade.
This acquisition will also strengthen ArcelorMittal’s position in supplying the NAFTA energy
industry, which is expected to demonstrate growing demand for energy pipe and tube products
due to increases in oil and natural gas exploration and production.
Asked during a webcast with the company’s top500 managers how ArcelorMittal and NSSMC
hope to turn around the business, Mr Mittal answered:
“We have a lot of experience turning around assets. We also have the best management in the
steel business as well as the best teams. We also have a strong customer base in North America,
and the slabs being produced have already gone through the approval process from our customers,
which will significantly speed up the process. What also differentiates us from competitors is that
we have the flexibility to supply slab from different parts of ArcelorMittal, which should allow us to
supply customers with short and long lead times, more efficiently and economically,” Mr Mittal
explained.
He also spoke about how the long negotiation process had required patience and perseverance
from everyone involved. “It’s been a complex transaction which started 18 months ago, involving
several different parties along the process. We have gone through different emotions during this
transaction, and there were moments when we thought we had lost the battle. But thanks to our
determination and the incredible work done by our team, we are now proud to own one of the
finest facilities one can imagine in the steel industry.”
ArcelorMittal and NSSMC have a proven track record of successful collaboration for the auto
industry in North America through the I/N Tek and Kote joint ventures, which were established in
1987 and are located in New Carlisle, Indiana.
In his letter to all employees, sent on the day of the announcement, Mr Mittal concluded: “We
are very pleased to be entering this new joint venture with NSSMC, with whom we have a 27-
year history of cooperation. We are confident that this new joint venture – our first major
acquisition after the crisis - will be equally successful”
The transaction is subject to regulatory approvals in certain markets.

Celebrating our steel in great science achievements
To celebrate the link between our company and the world of science, we throw the
spotlight on inventions and how our steel has contributed to scientific discoveries
around the globe.
Tuhina Chugh
While many people have now heard of the discovery of the Higgs-boson particle, the so-called
‘God particle’ last year, many do not know how big a part ArcelorMittal steel played in what has
been dubbed ‘the world’s greatest experiment’.
The existence of the particle was proved in March 2013 when scientists at the European
Organisation for Nuclear Research (CERN) centre in Switzerland conducted experiments in the
Large Hadron Collider (LHC) - the particle accelerator that fires trillions of protons around a 27km
tunnel at 99.99% of the speed of light.
However, the existence of the LHC was only made possible thanks to the work of our research
and development teams and their creation of a new, high thickness magnetic steel product –
Magnetil ® which guaranteed a weak coercive field and matched other exact specifications given
by CERN.
That this discovery was possible and that the physicists who first theorised about the particle in
the 1960s won the Nobel Prize for physics this year is, as Greg Ludkovsky, global head of R&D
says, “also a small celebration of ArcelorMittal and the R&D team”.
Also a brainchild of our very own R&D team is Phoster, which was announced earlier this year.
Phoster, or PHOtovoltaic STEel Roof, is a new solar energy project which aims to take the steels
used in construction into a new league and imbue it with photovoltaic properties.
Phoster is a world first: this is the first time steel will serve as more than just a structural
support and combine its function as a construction material with its energy conversion
capabilities, to become an electricity generator.
An equally impressive project is MOSE (Modulo Sperimentale Elettromeccanico). MOSE aims to
protect and save the eternal city of Venice in Italy from ‘sinking’ as a result of the annual floods
that affect the city.
MOSE hit a major milestone in late 2013 when the flood prevention barriers were tested. During
the test, four large floodgates made of steel rose out of the Venetian waters creating a temporary
block between the canals and the sea; a feat that could not have been possible without 150,000
tonnes of ArcelorMittal steel.
In addition to contributing to scientific breakthroughs in particle physics, solar energy and flood
prevention, our company is also involved with ITER (International Thermonuclear Experimental
Reactor). ITER is an international nuclear fusion research and engineering project that involves
building the world’s largest experimental ‘tokamak’ nuclear fusion reactor, in the south of France,
ITER will produce commercial energy from fusion.
Our Industeel facility in Le Creusot, France, has supplied steel plates in three different grades
with the last of the 4,500 ordered leaving the facility on 11 October. These will be used in the
reactor’s in-wall shielding blocks that help optimise performance.
They say innovation divides the good from the great. Considering the scale, the particularities
and the importance of the experiments that ArcelorMittal is contributing to, it is safe to say our
company is in the ‘great’ category when it comes to supporting the world of science.
PAGE 3
Contractors – who often work on critical and specialised activities where exposure to risk may
be greater – remain another key area of concern. Analyses show that steel demand in 2014
remains stable. If we see demand picking up, we must be prepared to produce more to capture the
market. We do not see, in the new year, the steel price increasing as we suggested but we should
try to be optimistic.
As you may have noticed in the letter from Mr. Mittal there have been done also a few
organizational changes in AM group to simplify the organization. A new central organization of
European units is being developed.
For 2014 I would like to continue meeting the foremen and supervisors, this time not only for
discussion about safety but also about other topics which you consider as important to solve and
also we will keep the increased attention on creating awareness, proper training, working
according to the standards, shared vigilance and coaching.
Let me wish you a good start to 2014, many prosperous days, no accidents and going to work
with a good feeling that your work has sense and being positive.
Yours sincerely
Tapas Rajderkar
Do you want to experience how beautiful it is to help others in a different country? You have got
a chance to do so with ArcelorMittal Foundation!
Dear colleagues,
Let me wish you and your family all the best in New
Year with happiness and good year. I hope you have
taken some rest during Christmas time and had
a chance to meet your friends and family relatives.
I wished we had the snow during Christmas.
2013 has been a very difficult year since steel
demand was less than 2012 and steel prices dropped
substantially in comparison with 2012. We went
through several difficult industrial events during last
year but all our efforts helped us to bounce back.
Several projects like Vacuum Degasser revamped
Caster 1, Desox, subsidy projects etc. launched and
completed well on schedule. I am proud of Ostrava
team for their excellent performance, support and hard
work in 2013. So I would like to use this opportunity to
thank all of you.
In 2013 our Safety statistics showed impressive
improvement but we continue to see too many
repetitions of similar accidents which is unacceptable.
This shows that the improvements we are making are
not sustainable enough and we strongly recommend
that we continue to work on action plan to avoid
repetitions.
We achieved level 10 out of 11 Fatality prevention
standards and now we need to implement these standards on the shopfloor. This is key to avoid
and serious accidents or Fatalities.
Looking at the main causes of fatalities in our Group, in 2013 they were again: falling from
heights and crushing. Crushing accounts for the biggest number of fatalities. These accidents
happened primarily when the victim was not following adequate lock-out/isolation procedures,
during load handling, because of unprotected moving equipment or during work involving vehicles
or rail.
We have new articles
By Jan 1, 2014 articles of our corporation have been changed with regard to the new civil code
and corporation act. The most significant ones are as follows:
-All members of statutory body (BoD, supervisory board and audit committee) will be elected
and withdrawn by annual general meeting,
-As of Feb 10, 2014 number of supervisory board members will be reduced from 6 to 5; BoD
will remain to have five members, audit committee will continue to have three members,
-Text of the articles have been reduced: what does not have to be mentioned and is tackled by
the act has been left out from the articles,
-Members of statutory body can empower ad hoc another member of the same statutory organ
to vote on his/her behalf in case of absence. ,
-According to the new enactment it will no longer be necessary to carry on with a reserve fund
replenishment.
By July 2014 the company is going to implement further changes that follow the new
enactment and adjustments to the articles such as changes to organizational manual and
organizational structure. We will keep you posted on these changes.
Students understand English but they are afraid of speaking
Again we enabled secondary school students from Frýdek-Místek to enhance their
English skills. Within the EDISON 2013 programme they could communicate in English
with foreign students from Brazil, China, Malaysia and Romania. How they enjoyed the
programme we asked both the Czech students as well as their foreign colleagues.
Pansi Li – Chinese student of New South Wales University, Australia
Was there anything that surprised you?
It was surprising to find out that language barrier was not on the top of my list of things being
challenging. To be honest, it was quite simple communicating with the students in English.
The bigger challenge however, was in fact trying to engage with the students. Considering that
we are teaching them in a classroom setting, it was sometimes hard to interact with them during
my presentation and they were definitely reluctant to speak openly in English. Nonetheless, the
students eventually warm up to you and then their enthusiasm to you is another surprise. The way
they treat you outside of the classroom is very different compared to inside the classroom.
Advent full of Angels
Later in November a community charitable event called Advent full of Angels was held for the
eighth time This time the venue was assembly hall of Gong.
The main goal is to present and support local NGOs. In the afternoon and in the evening visitors
could have a look at work of 25 non gain organizations a support them by buying an original
Christmas gift, taking part in a quiet bid or through a financial gift.
The event was like in previous years accompanied by a cultural programme including the
performance of ArcelorMittal Gospel and EzyWay band.
Thank you, rollers!
Let me thank your employees of minimill for their beautiful Christmas gifts. On their own they
raised money in their team and bought 12 high quality balls and six table tennis racquets. This
admirable action was a very nice surprise to us and I am convinced that people who took part in it
deserve not only recognition from us but from the general public.
„Blue Camel“ ceremoniously launched. Prime minister Jiří Rusnok was
in attendance
Today ArcelorMittal Ostrava has commissioned the continuous casting facility that
went through an extensive revamp. The billion-worth investment will improve the quality
of steel and newly produce billets with high added value. The billets will have their use
with pipe manufacturers who cater to oil & gas extraction industries and other
demanding applications. The commissioning ceremony was also attended by the resigned
prime minister Jiří Rusnok who stopped by at ArcelorMittal Ostrava during his visit to the
Moravian-Silesian region.
What did you like the most (in the Czech Republic?)
I loved the people in Czech Republic. Honestly speaking, when I was doing some research before
coming to the Czech Republic, I learnt that Czech people can be quite introverted and closed up,
which was not entirely false. However, what I did not realise is how amazing these people can be.
Throughout my project, I have met countless numbers of people who have gone above and
beyond their duties to make our stay here in the Czech Republic comfortable. Their willingness to
assist us and their positive nature was what made this trip so worthwhile.
The students in the school were so welcoming and helpful and it was only at the end of our
teaching week at their school did us interns realise how much of an impact we made to their lives.
Spending our free times with these students and getting to know them on a personal level has
definitely enriched my experience in the Czech Republic.
Jan Urban, student of third grade of the Technical Lyceum in Frýdek-Místek.
What did the experience bring you?
It certainly helped me improve my English. Face to face conversation with a person who does
not speak Czech will give us much more in my opinion than a stereotype English conversation with
a Czech teacher.
How much important are language skills important to you?
I can’t imagine everyday life without being able to speak a foreign language. A stay abroad or an
interview without knowledge of a language would be in my opinion impossible.
150 of our volunteers gave a helping hand at 25 NGOs
”Today, we have made a big leap towards improving the competitiveness of this company. The
billion-worth investment has enabled us to make steel of a better quality and purity,“ said Tapas
Rajderkar, CEO and Chairman of the Board of ArcelorMittal Ostrava.
The attendees of the commissioning ceremony of the newly revamped continuous caster no.
1 could watch the first casting when the hot steel was continuously cast into billets. The
modernisation will enable ArcelorMittal Ostrava to cast round billets with diameter of up to
400 mm compared to the current diameter of 210 mm. The new formats will be used for the
manufacture of high quality products, notably seamless pipes for gas and oil industry produced by
new rolling technologies. In addition to that, the billets made in the revamped continuous casting
facility will also be used for the manufacture of parts for wind-power plants and railway wheels,
leaf springs for automotive industry and ring rolling for yellow goods.

Figure of the month:
22 000 000
That is the cost of a new X-ray gauge which improves the quality of sheets at Steckel mill.
Do you know that…
In 2013 four major sources of noise in our company (chimneys at Sinter plant South) are
quipped with noise silencers? The guaranteed efficiency of each silencer was proved which means
that the level of noise coming out of each chimney has been reduced by 15 dB. Besides significant
reduction in noise pollution at the immediate vicinity of Sinter plant south this measure also had an
impact on reduction in noise burden in the surrounding of ArcelorMittal Ostrava. Our company
plans to continue with reduction in noises coming from its operations through implementation of
anti-noise barriers at the existing assets. Regarding new assets their influence on the total noise
situation in the surrounding is being reviewed as part of the project preparation. Such solutions are
proposed so that the new devices do not raise the noise burden in the vicinity of our mill.
Over one million crowns paid for innovations
The number of innovations has risen as well as the total money spent on rewards our company
paid you for your proposals. Just for the innovative suggestions we paid you CZK 1, 162, 892 (by
12,5 % more than in 2012) and the highest reward for a single innovation amounted to 116 147
CZK.
The most innovative plant was Steel shop which surpassed Rolling mill (106 ideas) with 110
ideas. The support of Maintenance is not also indispensable (96 ideas). In 2014 we are preparing
new way of improvement. It will be called minor improvement and thanks to that you will be able
to get a reward up to “10 000 CZK.”
our company offers to primarily to technical university graduates. By attractive presentation which
was combined with frequent questions addressing students COO tried to motivate present
students to cooperate with ArcelorMittal Ostrava. He introduced them the paid internship
programme within which they can get hands-on experience and skills during their studies and
afterwards find a better job. Company’s representatives also spoke about a special programme for
graduates so called “Trainee pool”.
How to build a bridge out of skewers and threads so that it consumes as little material as
possible while maintaining maximum load capacity? Such was a task which students of technical
secondary schools tried to solve within the Bridge Builder Contest funded by our company.
The object of the competition was not only to make the technical programs more attractive but
to give secondary students a chance to put their practical skills at test. The contest was divided
into two categories. In A category students were building a bridge model at their school and
brought it to be displayed at Ostrava Technical University on the competition day. In category B
students build the model right on the University premises.
The contest was held on Dec 2, 2013 at Ostrava Technical University and more than 100
competitors out of eight different secondary schools of Moravian-Silesian region took part in it.
Organisational change: Safety barriers and mine supports again part
of AMO
As of Jan 1, 2014 the biggest organizational change, since foundation of AMDS,
occurred. Based on the decision of top management the operations of safety barriers
and mine supports were handed over back to the mother company along with all
pertinent functions. A total of 154 employees have been transferred. Due to this change
AMDS has become leaner and that is by about 57 %.
We are going to specialize on attractive products in which we can be unique and strong.
Unfortunately regular low carbon steel is not attractive (low margin), isn’t unique (everybody
makes it) and it won’t save ArcelorMittal Frýdek-Místek. That is why we are going to focus on high
carbon coils and sheets up to the width of 1070 mm.
Contact centre for employees
As you were informed late last year the rendition of HR services at our company has
been changed.
Employees of AMFM and Technotron can arrange their HR matters (entry and discharge
formalities, confirmations, pay roll information, CA fulfilment etc.) at the office of the contact
centre situated at VTU building in the following hours:
Monday 7.00 a.m. – 3.00 p.m. (contact person)
Wednesday 7.00 a.m. – 3.00 p.m. (contact person)
Thursday 7.00 a.m. – 3.00 p.m. (contact person)
Missing just one!
Our year-long efforts have been rewarded. We have obtained ten safety standards out
of eleven. That is one of the major results of the fatality prevention audit which
corporate safety technicians carried out in the middle of October.
Head auditor Bernard Bonvier spoke highly of our H&S system as it is described in our
regulations. Corporate safety coordinator Jacques Pirenne praised for a change significant changes
for the better which can be seen not only at the last year audit results but which he experienced
himself.
Do you know that last year we achieved record results in H&S? Our
frequency rate was 0.5 which is the best results in the history of our
company.
Somenor investment to boost productivity and cut costs
When talking about Somenors each employee of Karviná’s tubular plant imagine two
rolling welding machines which produce construction and smooth tubes as well as closed
sections. These machines have been manufacturing for more than 40 years without any
major interference. As they ceased to fulfil quality, safety and environmental criteria the
management of the plant decided to invest into them. The whole investment will cost 17
million crowns, it will increase productivity by 20 % and the machines will be able to
meet environmental limits.
Our safety barriers trim Ostrava University
In the middle of last year ArcelorMittal Distribution Solutions addressed Children’s home and
elementary school in Ostrava-Kunčice in order to find out how kids perceive our company and its
activity.
We asked children to draw pictures that would depict our safety barriers. The cooperation
resulted in 49 original pictures which could be seen during December and January at VŠB –
world’s biggest sport holiday will break out. During the Paralympic games which will
follow right after the Winter Olympics ArcelorMittal folks can join to cheer up our Czech
in Lillehammer, Norway, where he took bronze medal in slalom. Since, he has never missed out on
this prestigious event. Thus, this year it is going to be his sixth start at the Paralympic games.
To qualify for what he calls his last Paralympics he went through a serious of races in the Alps.
„Last year I took six races and brought home one silver medal, four bronze ones and an eighth
place. As I haven’t competed for two years I am happy with the results,“ comments his
performance Stanislav Loska, refractory lining technician from ArcelorMittal Ostrava.
Ambition – top 15
What goal will he be leaving for Sochi with? As he says the competition at the top is very tough
and since he combines skiing with his every day job at the steel shop he will be happy if he comes
in up to the fifteenth place.
To achieve this goal ArcelorMittal Ostrava provides its athlete with an all-round support. Besides
funding the company gave Stanislav extra five days of vacation which he used on his training in
the Austrian Alps.
“We are happy that we have among our ranks not only highly experienced and skilled workers
but also such talented athletes. We are proud to support Stanislav in his sport ambitions and wish
him best of luck in Sochi,” says CEO of ArcelorMittal Ostrava Tapas Rajderkar.
The latest trophy Stanislav can be proud of is the Best Handicapped Athlete of Ostrava 2014.
