and ensures that competitive tendering is<br />

undertaken when appropriate. The review<br />

concluded that policies were appropriate for<br />

<strong>Watercare</strong> and that they reflect good practice.<br />

4. STEWARDSHIP<br />

Indemnity and insurance<br />

<strong>Watercare</strong> has executed a deed of indemnity<br />

with each director which indemnifies the<br />

director in accordance with the company’s<br />

constitution and grants certain rights in<br />

respect of access to documents and the<br />

maintenance of liability insurance cover.<br />

Board meetings<br />

<strong>Watercare</strong>’s board meetings are advertised<br />

in advance and members of the public are<br />

invited via public notices and the company’s<br />

website. The agenda and papers being<br />

presented to the board are made available<br />

in advance of the board meeting through<br />

<strong>Watercare</strong>’s website, where minutes of<br />

previous meetings are also published.<br />

Additionally, two meetings invite public<br />

feedback (one on performance for the<br />

previous year and the other on the SCI for<br />

the following year). During the year, two joint<br />

board and management workshops were held.<br />

Risk management<br />

<strong>Watercare</strong>’s framework for risk identification,<br />

measurement and reporting is well<br />

developed, and meets the requirements<br />

of AS/NZS ISO 31000:2009. There are<br />

regular external reviews of <strong>Watercare</strong>’s<br />

framework to ensure the company meets<br />

and exceeds good practice measures in risk<br />

management. As part of the risk-management<br />

framework, the company has established a<br />

Risk Steering Committee which meets six<br />

times per year to monitor emerging risk and<br />

risk-mitigating actions and strategies. The<br />

committee comprises the Chief Executive,<br />

senior management, the Risk and Assurance<br />

Manager and the Corporate Risk Manager.<br />

Risks that have serious consequences are in<br />

turn directly monitored by the board, with<br />

updates presented to each meeting.<br />

External auditor<br />

The Auditor-General is the auditor<br />

of the company’s financial statements.<br />

The Auditor-General has appointed Jamie<br />

Schmidt, using the staff and resources of<br />

Deloitte, to undertake the external audit work<br />

on behalf of the Auditor-General, in<br />

accordance with the Auditor-General’s Audit<br />

Standards, which incorporate New Zealand<br />

Auditing Standards. Deloitte has no<br />

relationship with the company outside<br />

of the audit and related assurance activities.<br />

This satisfies the independence requirements<br />

of the Auditor-General and the Institute of<br />

Chartered Accountants of New Zealand.<br />

Regulators<br />

<strong>Watercare</strong> is subject to regulation in<br />

planning, health and environmental matters.<br />

The principal regulators include: Auckland<br />

Council, Waikato Regional Council and<br />

Ministry of Health. The company also engages<br />

with these bodies by providing input on the<br />

impacts of existing and proposed policy and<br />

regulation on <strong>Watercare</strong>’s activities.<br />

Advisory groups<br />

<strong>Watercare</strong> has two standing consultative and<br />

advisory committees that have commented on<br />

company plans and projects in 2010/11. They<br />

are the Environmental Advisory Group and<br />

the Maori Advisory Group. The Environmental<br />

Advisory Group comprises experts who advise<br />

on how the company’s activities impact<br />

on the environment. The Maori Advisory<br />

Group advises <strong>Watercare</strong> on how its plans<br />

and operations impact on Maori and on the<br />

relationship between the natural environment<br />

and Maori. The reports of the Environmental<br />

Advisory Group and the Maori Advisory Group<br />

can be found on pages 18 and 19.<br />

Other stakeholders<br />

The company consults extensively with<br />

its shareholder and customers, local<br />

communities, environmental regulators,<br />

special interest groups and advisory groups.<br />

The performance of the company is very<br />

closely monitored in terms of the level<br />

and quality of the service provided to both<br />

customers and the community. The level of<br />

service is reported to the board monthly and<br />

to the shareholder on a quarterly basis.<br />

Official information requests<br />

In 2010/11, <strong>Watercare</strong> received 20 requests<br />

under the Local Government Official<br />

Board Member Appointed Attendance at Board<br />

Information and Meetings Act 1987.<br />

The average response time was six days.<br />

5. LEADERSHIP<br />

Governance communication<br />

As previously noted, <strong>Watercare</strong> board<br />

meetings are held in public. At the two<br />

specified board meetings, members of the<br />

public are given the right to speak in regard<br />

to the SCI. Decisions of a confidential or<br />

commercial nature are held in a confidential<br />

section of each board meeting. All papers<br />

presented at the public meetings and the<br />

minutes are published on the company’s<br />

website.<br />

Complaints disclosure<br />

Any complaints against the company and<br />

the quality of response are recorded. Targets<br />

have been set for the management of<br />

these processes and the levels of service<br />

are reported in the annual report, to the<br />

shareholder quarterly, to the board monthly<br />

and are made public at the board meetings<br />

and published on the company website.<br />

Board membership and composition<br />

The board comprises eight independent,<br />

non-executive directors. Their profiles and<br />

disclosures of interests are published on<br />

page 9. Directors, including the Chairman,<br />

are appointed by the shareholder. Initial<br />

board appointments are normally for a<br />

term of three years in accordance with the<br />

company’s constitution, with directors being<br />

eligible for reappointment at the discretion<br />

of the shareholder.<br />

Graeme Hawkins retired from <strong>Watercare</strong><br />

in December 2010, following eight years<br />

as Chairman. He was replaced by former<br />

Deputy Chairman Ross Keenan.<br />
