The directors are of the opinion that all the transactions above have been entered into in the normal course of<br />

business and have been established on terms and conditions that are not materially different from those obtainable<br />

in transactions with unrelated parties. The relationships of the related parties are disclosed below:<br />

- Mr Kua Hock Lai is a director and substantial shareholder of K.H.L. Sdn Bhd and United Coconut Fibre<br />

Products Sdn Bhd.<br />

- Tan Sri Dato' Alwi bin Jantan is a director and shareholder of United Overseas Australia Ltd which owns<br />

Allied Engineering Construction Sdn Bhd.<br />

- Mr Kua Lai Shon @ Kuah Ah Kok is a director and substantial shareholder of K.A.K. Sdn Bhd, which is a<br />

substantial shareholder of <strong>Hiap</strong> Wing Marketing Sdn Bhd and <strong>Hiap</strong> Wing Building Materials Sdn Bhd. He is<br />

an elder brother of Mr Kua Hock Lai.<br />

- Power Concord Sdn Bhd is a company in which Mr Kua Hock Lai's children have substantial financial interests.<br />

- Messrs S.B. Cheah & Associates is a firm in which a director of the Company, Mr Cheah Shu Boon is a partner.<br />

31. FINANCIAL INSTRUMENTS<br />

(a)<br />

Financial Risk Management Objectives and Policies<br />

The Group's financial risk management policy seeks to ensure that adequate financial resources are<br />

available for the development of the Group’s businesses whilst managing its interest rate, foreign exchange,<br />

liquidity and credit risks. It is the Group’s policy not to engage in speculative transactions.<br />

(b)<br />

Interest Rate Risk<br />

The Group’s primary interest rate risk relates to interest-bearing debt. The Group manages its interest rate<br />

exposure by securing borrowing facilities at attractive rates. The investment in financial assets are mainly<br />

short term in nature and they are not held for a speculative purposes.<br />

(c)<br />

Liquidity Risk<br />

The Group actively manages its operating cash flows and the availability of funding so as to ensure that all<br />

repayment and funding needs are met. As part of its overall prudent liquidity management, the Group<br />

maintains sufficient levels of cash to meet its working capital requirements.<br />
