ART. XII, SEC. 10-11<br />

either the members involved or any other members of<br />

the International Union by providing working conditions<br />

or earnings less than those prevailing in the area, it shall<br />

have the power to hold a hearing on such matters and<br />

may, by a majority vote, direct the subordinate body to<br />

refrain from executing such agreement, and in such circumstances<br />

no proposed agreements shall become valid<br />

and binding unless specifically approved by the General<br />

Executive Board. When such action is contemplated or<br />

taken, the employers involved shall be promptly notified<br />

of the necessity of specific approval by the General<br />

Executive Board before the agreement involved may<br />

become valid and binding.<br />

The General Executive Board shall also have the<br />

power to take such disciplinary action as it deems<br />

necessary, after proper notice according to this<br />

<strong>Constitution</strong>, against either the <strong>Local</strong> Union or its officers,<br />

including without limitation, the imposition of a<br />

trusteeship or a transfer of the <strong>Local</strong> Union’s jurisdiction,<br />

in those cases where it finds that a subordinate body<br />

or its representatives have without cause executed agreements<br />

which adversely affect members of this<br />

International Union.<br />

Section 11. The provisions of this <strong>Constitution</strong><br />

requiring ratification votes of collective bargaining<br />

agreements shall not apply in situations involving purchases,<br />

acquisitions, transfers, or mergers where modifications<br />

in the surviving collective bargaining agreement<br />

are made by the negotiating committee for the transitional<br />

phase of the transaction, not to exceed the balance<br />

of the term of the surviving collective bargaining agreement,<br />

in order to accommodate the integration of operations<br />

brought about by the purchase, acquisition, transfer,<br />

or merger.<br />
