Regulations of the AMF generally require, subject to limited exemptions granted by the AMF, any individual or entity that
acquires, alone or in concert with others, shares representing 30% or more than our share capital or voting rights, to initiate
a public tender offer for all remaining outstanding securities of the company (including, for these purposes, all Ordinary
Shares and all securities convertible into or exchangeable for or otherwise giving access to equity securities).
