François de Varenne<br />

François de Varenne, a French citizen, is a graduate of the Ecole Polytechnique, a civil engineer of the Ponts et Chaussées<br />

and holds a doctorate in economic sciences. He graduated as an actuary from the Institut de Science Financière et<br />

d’Assurances (ISFA). François de Varenne joined the Fédération Française des Sociétés d’Assurances (FFSA) in 1993 as<br />

Manager of Economic and Financial Affairs. In London beginning in 1998, he served successively as Insurance Strategist<br />

with Lehman Brothers, Vice-President for asset management solutions and structured transactions, a specialist in insurance<br />

and reinsurance companies at Merrill Lynch, and then at Deutsche Bank. In 2003, he became Managing Partner of Gimar<br />

Finance & Cie. He joined the Group in 2005 as Director of Corporate Finance and Asset Management. On 3 September<br />

2007, he was named Group Chief Operating Officer. On 29 October 2008, he was appointed Chief Executive Officer of<br />

SCOR Global Investments SE.<br />

14.1.5 NEGATIVE DISCLOSURES ABOUT MEMBERS OF THE BOARD OF DIRECTORS AND SENIOR MANAGEMENT<br />

To our knowledge, there are no family relationships between the directors and the members of the Company’s senior<br />

management.<br />

To our knowledge, during the last five years:<br />

• no Director and no member of senior management has been convicted of fraud;<br />

• no Director and no member of senior management has been associated with a bankruptcy, sequestration, or<br />

liquidation;<br />

• no Director and no member of senior management has been the subject of an accusation or official public sanction<br />

issued by statutory or regulatory authorities; and<br />

• no Director and no member of senior management has ever been prohibited by a court from acting as a member<br />

of an administrative, management, or supervisory body of an issuer or from participating in the management or<br />

business of an issuer.<br />

14.2 Administrative, management, and supervisory<br />

bodies and senior management conflicts of interest<br />

No loans or guarantees have been granted or established in favor of the Directors by SCOR or by any other Group<br />

company.<br />

There is no arrangement or agreement concluded with shareholders, clients, suppliers or others pursuant to which any<br />

member of the Board of Directors or any member of the senior management of the Company have been appointed.<br />

To our knowledge, there are no conflicts of interest between the duties of the Directors and members of senior management<br />

with regard to SCOR and their private interests.<br />
