MEMORANDUM OF UNDERSTANDING<br />
BETWEEN<br />
THE GOVERNMENT OF THE REPUBLIC OF BOTSW ANA<br />
REPRESENTED BY<br />
THE NATIONAL STRATEGY OFFICE<br />
(A department in <strong>the</strong> Office <strong>of</strong> <strong>the</strong> President, in <strong>the</strong> <strong>Government</strong> <strong>of</strong><br />
<strong>Botswana</strong>)<br />
AND<br />
THE BOTSWANA INSTITUTE FOR DEVELOPMENT POLICY ANALYSIS<br />
(A duly registered trust operating in <strong>Botswana</strong> with a specific mandate <strong>of</strong><br />
research and analysis)<br />
FOR THE PROVISION OF CONSULTANCY SERVICES ON RESEARCH,<br />
ADVICE AND ANALYSIS<br />

INTRODUCTION<br />
The <strong>Government</strong> <strong>of</strong> <strong>the</strong> Republic <strong>of</strong> <strong>Botswana</strong> represented by <strong>the</strong> National<br />
Strategy Office (NSO) and <strong>the</strong> <strong>Botswana</strong> Institute for Development Policy<br />
Analysis (BIDPA) [hereinafter jointly referred to as <strong>the</strong> Participants and in <strong>the</strong><br />
singular as a Participant];<br />
RECOGNISING BIDPAs mandate and capacity in policy research and policy<br />
analysis as well as its capability to provide advice on policy issues and <strong>the</strong><br />
implications <strong>of</strong> policy interventions and o<strong>the</strong>r developments in <strong>Botswana</strong>;<br />
CONSIDERING <strong>the</strong> role <strong>of</strong> <strong>the</strong> newly established National Strategy Office as well<br />
as <strong>the</strong> importance <strong>of</strong> policy research and analysis for evidence based public<br />
policy processes and decision making in <strong>the</strong> <strong>Botswana</strong> Public Service;<br />
CONSCIOUS <strong>of</strong> BIDPAs experience in analysis <strong>of</strong> development policy and<br />
NSOs need to create and utilise capacity for <strong>the</strong> formulation <strong>of</strong> development<br />
policy, implementation, monitoring and evaluation within <strong>the</strong> <strong>Government</strong>;<br />
HAVE REACHED THE FOLLOWING UNDERSTANDING:<br />
PARAGRAPH 1<br />
PURPOSE<br />
1. The purpose <strong>of</strong> this Memorandum <strong>of</strong> Understanding (hereinafter referred<br />
to as MoU) is for <strong>the</strong> Participants to identify emerging policy issues and<br />
priorities through, inter alia, <strong>the</strong>ir strategic alignment and adaptation to <strong>the</strong><br />
<strong>Botswana</strong> economy; to deepen public policy insight in <strong>Botswana</strong> through<br />
early-stage research as well as evaluation <strong>of</strong> existing policies.<br />
2. The Participants also wish to identify knowledge gaps and streng<strong>the</strong>n<br />
capacity <strong>of</strong> <strong>the</strong> public service in so far as public policy processes are<br />
concerned.<br />
1. BIDPA will:<br />
PARAGRAPH 2<br />
AREAS OF COLLABORATION<br />
a) provide advice to <strong>the</strong> NSO on development policy issues on<br />
request from time to time through <strong>the</strong> review <strong>of</strong> various documents,<br />
reports, studies and policy proposals;<br />

) provide resource persons for reference groups, steering<br />
committees, task forces, organising committees, etc as may be<br />
required by <strong>the</strong> NSO;<br />
c) provide consultancy services to <strong>the</strong> NSO as may be required<br />
from time to time;<br />
d) identify and recruit potential project specialists with <strong>the</strong> cooperation<br />
<strong>of</strong> <strong>the</strong> <strong>Government</strong> and will recommend <strong>the</strong> appointment <strong>of</strong> same to<br />
<strong>the</strong> <strong>Government</strong> for approval. The Participants each reserve <strong>the</strong><br />
right to recall specialists whose work or conduct is unsatisfactory,<br />
provided, however that nei<strong>the</strong>r Participant will exercise this right<br />
without prior consultation with <strong>the</strong> o<strong>the</strong>r Participant;<br />
e) BIDPA will, where it deems it appropriate, identify short term<br />
training for purposes <strong>of</strong> streng<strong>the</strong>ning <strong>the</strong> internal capacity <strong>of</strong> <strong>the</strong><br />
NSO personnel in policy issues from its partner institutions and any<br />
o<strong>the</strong>r institution.<br />
2. NSO will support BIDPA research proposals and or ideas for<br />
purposes <strong>of</strong> seeking funding from international and regional organisations<br />
and institutions such as <strong>the</strong> World Bank, <strong>the</strong> United Nations, <strong>the</strong> Sou<strong>the</strong>rn<br />
African Development Community, <strong>the</strong> European Union, and <strong>the</strong> African<br />
Development Bank.<br />
3. The Participants will second personnel to each o<strong>the</strong>rs institutions for<br />
purposes <strong>of</strong> bridging <strong>the</strong> knowledge gap on strategic issues as may be<br />
identified from time to time for a period not exceeding three (3) calendar<br />
months.<br />
PARAGRAPH 3<br />
CONFIDENTIALITY<br />
The Participants will keep confidential any information in <strong>the</strong>ir possession<br />
received from <strong>the</strong> o<strong>the</strong>r Participant in <strong>the</strong> course <strong>of</strong> implementation <strong>of</strong> this MoU.<br />

PARAGRAPH 4<br />
INTELLECTUAL PROPERTY<br />
1. Each Participant will retain ownership over intellectual property rights<br />
that exist at <strong>the</strong> time <strong>of</strong> entering into this MoU that may be subsequently<br />
used by <strong>the</strong> Participants in connection with this MoU.<br />
2. Any intellectual property rights that do not exist at <strong>the</strong> date <strong>of</strong> this MoU<br />
and which are created by <strong>the</strong> Participants, or <strong>the</strong> Participants<br />
Personnel or by <strong>the</strong> Participants contractors or agents during <strong>the</strong> term <strong>of</strong><br />
this MoU and pursuant to this MoU will remain vested in <strong>the</strong> Participant<br />
that created <strong>the</strong>m.<br />
3. Notwithstanding what is stated in paragraphs 1 and 2, <strong>the</strong> intellectual<br />
property rights in respect <strong>of</strong> any research, products and or services<br />
developed jointly by both Participants pursuant to this MoU, will be jointly<br />
owned by <strong>the</strong> Participants in accordance with terms to be mutually agreed<br />
to by <strong>the</strong> Participants.<br />
The Participants will develop:<br />
PARAGRAPH 5<br />
OPERATIONAL STRATEGY<br />
1. a framework detailing <strong>the</strong> levels <strong>of</strong> co-operation between <strong>the</strong><br />
Participants;<br />
2. a framework that includes key activities that will be embarked on in<br />
fur<strong>the</strong>rance <strong>of</strong> this MoU; and<br />
3. targets to be achieved in fur<strong>the</strong>rance <strong>of</strong> this MoU within a specified<br />
period.<br />
PARAGRAPH 6<br />
CONCURRENT AGREEMENTS<br />
This MoU will not derogate from <strong>the</strong> provisions <strong>of</strong> any agreement to which <strong>the</strong><br />
Participants are a party and will accordingly not detract from any rights obtained<br />
or obligations assumed by virtue <strong>the</strong>re<strong>of</strong>.<br />

PARAGRAPH 7<br />
RESOLUTION OF DISPUTES<br />
1. Any dispute between <strong>the</strong> Participants arising out <strong>of</strong> <strong>the</strong> interpretation or<br />
implementation <strong>of</strong> this MoU will be settled amicably through negotiations<br />
or consultation.<br />
2. If <strong>the</strong> Participants fail to reach a settlement amicably, <strong>the</strong>y may decide to<br />
refer <strong>the</strong> dispute to some competent person or body that will be decided<br />
upon by both Participants for mediation.<br />
PARAGRAPH 8<br />
AMENDMENT<br />
Ei<strong>the</strong>r Participant may propose in writing, any amendments to this MoU. Such<br />
proposal will be conveyed to <strong>the</strong> o<strong>the</strong>r Participant through diplomatic channels<br />
and will come into effect upon written approval by <strong>the</strong> o<strong>the</strong>r Participant.<br />
PARAGRAPH 9<br />
COMING INTO EFFECT<br />
This MoU will come into effect on <strong>the</strong> date <strong>of</strong> signature <strong>the</strong>re<strong>of</strong> by <strong>the</strong><br />
representatives <strong>of</strong> <strong>the</strong> Participants and will remain in force for a period <strong>of</strong> six (6)<br />
years.<br />
PARAGRAPH 10<br />
RENEWAL<br />
This MoU may be renewed for a fur<strong>the</strong>r period <strong>of</strong> as may be jointly decided by<br />
<strong>the</strong> Participants.<br />
PARAGRAPH 11<br />
TERMINATION<br />
1. Ei<strong>the</strong>r Participant may terminate this MoU by giving <strong>the</strong> o<strong>the</strong>r<br />
Participant sixty (60) days notice in writing. Notwithstanding anything to<br />
<strong>the</strong> contrary contained or implied in this MoU, a written notice or<br />
communication received by one <strong>of</strong> <strong>the</strong> Participants from ano<strong>the</strong>r including<br />
by way <strong>of</strong> facsimile transmission will be adequate written notice or<br />
communication to such Participant.<br />
2. Each Participant will on <strong>the</strong> termination <strong>of</strong> this MoU forthwith hand over<br />
any documentation or o<strong>the</strong>r material belonging to <strong>the</strong> o<strong>the</strong>r Participant,<br />
which may have been used during <strong>the</strong> period <strong>of</strong> this MoU.<br />

PARAGRAPH 12<br />
AUTHORISED REPRESENTATIVES,<br />
The competent authorities responsible for <strong>the</strong> implementation <strong>of</strong> this MoU will be:<br />
1.. <strong>the</strong> National Strategy Office; and<br />
2. <strong>the</strong> <strong>Botswana</strong> Institute for Development Policy Analysis.<br />

IN WITNESS WHEREOF, <strong>the</strong> undersigned, being duly authorised <strong>the</strong>reto by <strong>the</strong>ir<br />
respective authorities.<br />
