auditors for the financial statement, were
given the audit assignment by the supervisory
board.
The consolidated financial statement
presented by the managing board, the
Nordzucker AG financial statement as of
29 February 2004, as well as the management
report (which was presented as
a joint report for the group and
Nordzucker AG) were audited by the
auditors together with the accounting
data, and were certified without reservation.
Representatives of the auditing firm
attended the supervisory board and
finance committee meetings convened to
approve the balance sheet, and they
presented and explained the audit report
to the supervisory board.
Following a final review, the supervisory
board approved the financial and
consolidated statements presented by
the managing board. The financial statement
of Nordzucker AG was thus adopted.
The proposal presented by the managing
board for appropriation of the net
income was approved.
News and Personalities
At the supervisory board meeting of
5 September 2003, Henning Hansen-
Hogrefe was re-elected chairman of the
Nordzucker AG supervisory board. Lothar
Wrede and Jürgen Seidel were elected
deputy chairmen. In 2002, Gunold Fischer
had already been elected deputy chairman
of the supervisory board for a fiveyear
term.
At the same meeting, Dietrich
Hauschildt-Staff was elected chairman of
the audit and finance committee.
The term of office of the supervisory
board members Gerhard Becker (Klein
Bünstorf) and Ernst von Lüneburg (Essenrode)
expired at the end of the general
meeting on 5 September 2003. New
supervisory board members elected by
the 2003 general meeting are Goetz von
Engelbrechten and Jürgen Seidel as
shareholders’ representatives.
The employees’ representative in the
supervisory board had been elected by
the Nordzucker AG staff in 2002. Birgit
Pitsch (Langenhagen) vacated her position
in the Nordzucker AG supervisory
board as of 3 January 2004, because of
the new function she had assumed for
the union of workers in the foodstuffs,
semi-luxuries and catering trades (NGG).
Her successor is Manfred Tessmann
(Vienenburg).
We thank all the retiring board members
for their commitment and their
constructive support given to the company
and the managing board during the
past years. We are convinced that the
new supervisory board members will
contribute in the same manner to the
successful work done by this body.
The supervisory board expresses its
thanks to the managing board as well as
the Nordzucker staff for their valuable
personal commitment.
