4 4-3 Statutory Auditors‘ Report on the Consolidated Financial Statements for the year ended 31 December 2001 Ladies and Gentlemen, In compliance with the assignment entrusted to us at the shareholders‘ General Meeting, we have audited the consolidated accounts of the company Générale Location concerning the year ending 31 December 2001 as they were given to us in the present report. The consolidated accounts were closed off by the Board of Directors. Based on our audit, here is our opinion on the consolidated accounts. We have audited the consolidated accounts by performing the procedures we considered necessary in accordance with French professional standards and which assure us that the consolidated accounts do not contain any abnormalities. An audit consists of examining through sampling convincing elements which must justify the data included in the accounts. It also consists of evaluating the overall presentation of the report. In our opinion, the consolidated accounts referred to above give a true and fair view of the group’s financial position, its assets and liabilities and the results of operations of the companies included in the consolidation for the year then ended. Moreover, we have also verified the information concerning the group and given to us in the management report. Consequently, it gives the board members full discharge for the year ended 31 December 2001. showing a profit of € 8 426 238,68, decided to allocate it as follows : (In Euros) Legal reserve 421 311.93 Special reserve for long-term capital gains 1 259 646.39 Dividends that is €. 0.28 per share 3 354 692.60 Retained earnings 3 390 587.76 TOTAL 8 426 238.68 The Annual General Meeting observed that the net dividend per share would be € 0.28 and the corresponding tax credit € 0.14 for the shareholders who are entitled to it, amounting for these shareholders to a gross earning of € 0.42 , however subject to the special provisions of the Tax General Code concerning the amount and the beneficiary of the tax credit. In compliance with the law, the Annual General Meeting states that the amount of the dividend being distributed and that of the corresponding tax credit for the three precedent years are as follows : Years Net dividend Tax credit (rate at 50 %) € € 1998 0.10 0.05 1999 0.20 0.10 2000 0.28 0.14 The information given takes into account for the three years the division by five of the nominal value of the share decided upon by the Annual General Meeting of 15 June 2001. FOURTH RESOLUTION The Annual General Meeting, after listening to the presentation of the Auditors ‘ special report concerning the conventions listed in the case L 225-38 and the following ones of the New Business Code under which the report is governed, approves each of the said conventions.
