76 77 The Mixed Annual General Meeting of 15 June 2001 has decided the following : • the division by 5 of the nominal value of the 2 393 539 shares at FRF 100, via an exchange of the said shares for 11 967 695 shares at FRF 20 per share, • the conversion of the share capital of the amount of € 36 489 266.82, the nominal value of the shares coming to € 3.04898, • the capital increase of an amount of € 10 863 54.44 through the incorporation of this sum indicated under the item « Share premium », • the capital increase of an amount of € 517 972 .74 through the incorporation of this sum deducted from the account « Other Reserves », • the € 4 increase, as a result of these incorporations, of the nominal value of the shares. At 31 December 2001, the share capital is made of 11 977 695 shares of € 4. During the course of the first quarter, this number was increased to 11 980 195 following the exercise of options by a shareholder employee for a total of 2 500 shares. Out of the entire option plan of 500 000 options voted by the General Meeting of 3 October 1998, 445 000 were allocated at 31 December 2001 and out of these 445 000, 29 000 were declared and 416 000 remained to be taken up.
