Promoters may be pledged only with banks or financial institutions as collateral security for<br />

loans granted by such banks or financial institutions, provided the pledge of such shares is<br />

one of the terms of sanction of loan. Further, securities locked in as minimum promoters<br />

contribution under Clause 4.11.1 may be pledged only if, in addition to fulfilling the above<br />

condition, the loan has been granted by such bank or financial institution for the purpose of<br />

financing one or more of the objects of the Issue.<br />

5. In terms of Clause 4.16.1(b) of the SEBI Guidelines, locked – in Equity Shares held by the<br />

Promoters may be transferred to and amongst the Promoter/Promoter Group or to a new<br />

promoter or persons in control of the Company subject to continuation of the lock-in in the<br />

hands of the transferees for the remaining period and compliance with the Securities and<br />

Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations,<br />

1997, as applicable.<br />

6. Further, in terms of Clause 4.16.1(a) of the SEBI Guidelines, locked – in Equity Shares held<br />

by shareholders other than the Promoter may be transferred to any other person holding<br />

shares which are locked-in as per Clause 4.14 of the SEBI Guidelines, subject to continuation<br />

of the lock-in in the hands of the transferees for the remaining period and compliance with<br />

the Securities and Exchange Board of India (Substantial Acquisition of Shares and<br />

Takeovers) Regulations, 1997, as applicable.<br />

7. The lock-in period shall commence from the date of allotment of Equity Shares in this issue<br />

and the last date of the lock-in shall be reckoned as three years or one year, as applicable,<br />

from the date of commercial production or date of allotment of shares in the public issue,<br />

whichever is later.<br />

8. In case the final allotment of equity shares exceeds the number of equity shares offered<br />

through this issue on account of rounding off to the nearest integer as decided at the time of<br />

allotment, the number of shares to be locked in for three years shall be calculated on the<br />

increased allotted share capital.<br />

9. The securities which are subject to lock-in shall carry the inscription "non-transferable" and<br />

the non-transferability details shall be informed to the depositories. The details of lock-in<br />

shall also be provided to BSE and NSE, where the shares are to be listed, before the listing<br />

of the securities.<br />
