MATERIAL DEVELOPMENTS<br />
In the opinion of the Board of Directors of the Company, there have not arisen, since the date of<br />
the last financial statement disclosed in the Red Herring Prospectus, any circumstances that<br />
materially or adversely affect or are likely to affect the profitability of the Company or the value<br />
of its assets or their ability to pay their material liabilities within the next twelve months.<br />
GOVERNMENT APPROVALS/LICENSING ARRANGEMENTS<br />
As per Notification No. FEMA 20 / 2000 - RB dated 3rd May 2000, as amended from time to<br />
time, under automatic route of Reserve Bank, the Company is not required to make an<br />
application for Issue of Equity Shares to NRIs/FIIs with repatriation benefits. However, the<br />
allotment / transfer of the Equity Shares to NRIs/FIIs shall be subject to prevailing RBI<br />
Guidelines. Sale proceeds of such investments in Equity Shares will be allowed to be repatriated<br />
along with the income thereon subject to the permission of the RBI and subject to the Indian tax<br />
laws and regulations and any other applicable laws.<br />
The Company has all the necessary licenses, permissions and approvals, as may be applicable,<br />
from the Central and State Governments and other government agencies/certification bodies<br />
required for the business and no further approvals are required by the Company, except those<br />
approvals that may be required to be taken from any government or any other authority in the<br />
normal course of business from time to time to continue the activities, and those mentioned<br />
under the heading Risks Envisaged.<br />
It must, however, be distinctly understood that in granting the below-mentioned approvals, the<br />
Government and other authorities do not take any responsibility for the financial soundness of<br />
the Company or for the correctness of any of the statements or any commitments made or<br />
opinions expressed.<br />
In view of the approvals listed below, the Company can undertake this Issue and its current and<br />
proposed business activities and no further material approvals are required from any<br />
Government authority to continue such activities.<br />
