NOTES ON THE ENHANCED BUYBACK APPLICATION FORM
PLEASE READ THESE INSTRUCTIONS AND TERMS AND CONDITIONS ON PAGES 13 TO 23 OF
THE CIRCULAR CAREFULLY BEFORE COMPLETING THIS APPLICATION FORM.
PLEASE ENSURE THAT YOUR APPLICATION FORM IS RETURNED TO THE RECEIVING AGENT,
THE CITY PARTNERSHIP (UK) LIMITED BY NO LATER THAN 3.00 P.M. ON 3 APRIL 2013 wHERE
YOU ARE REQUESTING SUBSTITUTION SHARES BE ALLOTTED IN THE TAX YEAR 2012/13
AND 30 JUNE 2013 wHERE YOU ARE REQUESTING SUBSTITUTION SHARES BE ALLOTTED
ONLY IN THE TAX YEAR 2013/14.
If there are any changes to your name or address then please cross out and amend the incorrect
details accordingly. If the figure for the number of your Shares is incorrect, please contact the City
Partnership (UK) Limited on 0131 243 7210 to obtain a replacement Application Form.
If the incorrect figure is as a result of you having sold all or some of your Shares then you will be asked
to provide the details of the person to whom your Shares were transferred and those of the bank,
stockbroker or agent through whom the transaction was effected.
If you wish to participate in the EBB in respect of ALL of your Shares then please tick Box 2A.
If you wish to participate in the EBB for a fewer number of Shares than the total number of Shares that
you hold then please enter the number of Shares that you wish to participate in Box 2B (note that this
must be less than the figure in Box 1B).

2012 FOLLOwING THE MERGER wITH FORESIGHT 4 VCT PLC.
You must sign the top box in Section 3 in front of a witness, who should also sign where indicated, and
the date should be entered where requested. The witness must be a person who is over 18 years of
age. The witness can be your spouse but must not be another joint holder and the same witness
may witness on behalf of all or any of the Shareholders.
By signing and delivering this Application Form, and in consideration of the Company agreeing to
process this Application Form, you agree that the application(s) made on this Application Form shall be
irrevocable and you warrant that your application is valid and binding and is/are made in accordance
with any applicable legal requirements and you agree as follows:
I understand that the proceeds from any Shares sold will not be returned to me but will be reinvested in
Substitution O Shares under the Open Offer as set out in the Circular dated 5 March 2013.
By applying to participate in the Tender Offer, I confirm that I am applying the proceeds of the sale of
my Shares so tendered in subscribing for Substitution O Shares in the Company. I acknowledge that I
have read the full terms of the Offer as set out in the Circular.
In order that the Receiving Agent be able to contact you in case of any queries and acknowledge
receipt of your application, please provide a contact email address and telephone number.

FREQUENTLY ASKED QUESTIONS
1) Can I just sell my shares under the EBB and receive the monies?
No, Shareholders are unable to only sell their Shares under the EBB and receive
the monies. Participating Shareholders must both sell their shares and use the
proceeds to buy Substitution Shares. If you just wish to sell your Shares then
you will need to sell them in the market through a broker.
2) what happens if I do not participate?
Shareholders do not have to participate if they do not wish to and should not
participate in respect of Shares they have held for less than five years.
The underlying investments will remain the same and there will be no adverse
impact for Shareholders who do not participate. If you do not wish to participate
then you do not need to return the Application Form.
3) I am unable to find my share certificate.
Please contact Computershare on 0870 703 6385 and a replacement share
certificate can be arranged. Please note that in order to receive a replacement
share certificate you will need to sign an indemnity confirming that you have
lost your share certificate and that there will be a small administration charge.
4) what happens if I miss the Closing Date?
We will not be able to process any applications received after the Closing Date.
5) what happens if the figure for the total number of my Shares as stated in
Box 1B is incorrect?
Please contact Foresight (KHenderson@foresightgroup.eu) who will provide
you with a replacement Application Form. You will need to alert Foresight if
the reason for there being an incorrect number is due to you having sold part
of your shareholding. If this is the case, you will be asked to provide details
of the new Shareholder or the bank, stockbroker or agent through whom the
transaction was effected.
6) what if I have sold all of my Shares?
Please contact Foresight (KHenderson@foresightgroup.eu) to provide details
of the new Shareholder and/or the bank, stockbroker or agent through whom
the transaction was effected. If you have sold all of your Shares then you
cannot participate in the EBB.
