<strong>completed</strong><br />

Mr. Patrick K. Murphy, Ceo di <strong>Nidec</strong> Motors <strong>Corporation</strong> (Usa) appointed Chairman of ASI, Mr. Claudio Andrea<br />

Gemme confirmed as Ceo<br />

After obtaining the approval <strong>by</strong> the antitrust authority, the agreement for the <strong>acquisition</strong> of <strong>Ansaldo</strong> <strong>Sistemi</strong><br />

Industriali <strong>by</strong> <strong>Nidec</strong> <strong>Corporation</strong> was signed in Milan yesterday, as anticipated in last april and confirmed in<br />

the press release diffused today <strong>by</strong> the Japanese Corporate.<br />

The agreement was signed <strong>by</strong> Mr. Juntaro Fuji, Director, M&A, <strong>Nidec</strong> <strong>Corporation</strong>, and for the selling party <strong>by</strong><br />

(or on behalf of) Ms. Lynn Tilton, Ceo of Patriarch Partners, Llc and past Chairman of ASI .<br />

The meeting was attended <strong>by</strong> Mr. Claudio Andrea Gemme, confirmed as Ceo of <strong>Ansaldo</strong> <strong>Sistemi</strong> Industriali,<br />

and <strong>by</strong> Mr. Patrick K. Murphy, the Ceo of <strong>Nidec</strong> Motors <strong>Corporation</strong> (Usa) and now appointed Chairman of<br />

ASI. Mr. Hanahaka Motoyhoshi, shall be a member of the Board of Directors.<br />

The <strong>Nidec</strong> Group is targeting to become the world leader for “everything that spins and moves”, i.e. electric<br />

drives, with special focus on motors. In line with this strategy, the takeover of ASI represents a further,<br />

significant step in the M&A policy planned <strong>by</strong> the Corporate through the last four years <strong>by</strong> actively pursuing<br />

opportunities to acquire companies in this industry.<br />

With a long-standing industrial tradition and a qualified workforce of highly-trained technicians and<br />

professionals, specialized in engineering, product development and sale of high-tech products and services,<br />

Asi represents a valuable asset.<br />

Through Asi’s <strong>acquisition</strong>, <strong>Nidec</strong> Group aims to accelerate the global expansion of its industrial motor business<br />

<strong>by</strong> the access to new market areas (Europe, China, India, Russia and the Middle East) and sectors (iron&steel<br />

power generation, oil&gas many other industrial applications).<br />

<strong>Ansaldo</strong> <strong>Sistemi</strong> Industriali will work in close cooperation with <strong>Nidec</strong> Motors <strong>Corporation</strong> (St.Louis, USA), the<br />

primary industrial motor subsidiary of the Group now operating in the markets of North and South America,<br />

where it offers, as its main products, low to medium power range motors for the core industry applications of<br />

oil&gas and water and waste water.<br />
