In relation to the scope of the <strong>Study</strong>, the Committee established the Terms of Reference which appear in<br />

the contract signed with SECO. The contract defined the procedures for conducting the <strong>Second</strong> <strong>Study</strong>. As<br />

such, the <strong>EITI</strong> Committee is solely responsible for the suitability of procedures for realising its aims and for<br />

the suitability of the documentation and evidence for the aims of the <strong>Second</strong> <strong>National</strong> Reconciliation <strong>Study</strong><br />

of <strong>EITI</strong> <strong>Peru</strong>. Consequently, we have not commented on the suitability of the procedures for the purposes<br />

for which our services were requested nor for any other purpose.<br />

Furthermore, the Directors of the companies have sole obligation and responsibility for the following:<br />

(a) establishing and maintaining effective internal controls for monitoring company payments made to the<br />

<strong>Peru</strong>vian State, which are the subject of this <strong>Study</strong>, during the review period;<br />

(b) the suitability of company documentation regarding internal controls and management of such<br />

documentation;<br />

(c) identifying the laws and regulations applicable and ensuring compliance with them.<br />
