In relation to the scope of the Study, the Committee established the Terms of Reference which appear in
the contract signed with SECO. The contract defined the procedures for conducting the Second Study. As
such, the EITI Committee is solely responsible for the suitability of procedures for realising its aims and for
the suitability of the documentation and evidence for the aims of the Second National Reconciliation Study
of EITI Peru. Consequently, we have not commented on the suitability of the procedures for the purposes
for which our services were requested nor for any other purpose.
Furthermore, the Directors of the companies have sole obligation and responsibility for the following:
(a) establishing and maintaining effective internal controls for monitoring company payments made to the
Peruvian State, which are the subject of this Study, during the review period;
(b) the suitability of company documentation regarding internal controls and management of such
documentation;
(c) identifying the laws and regulations applicable and ensuring compliance with them.
