between states <strong>and</strong> foreign <strong>in</strong>vestors. ICSID has two sets <strong>of</strong> procedural: <strong>the</strong> ICSID Convention,<br />

Regulations <strong>and</strong> Rules; <strong>and</strong> <strong>the</strong> ICSID Additional Facility Rules (ICSID, 2010).<br />

5.3.1.2 How <strong>the</strong> World Bank Group (WBG) is organized<br />

Each <strong>of</strong> <strong>the</strong> five <strong>in</strong>stitutions <strong>of</strong> <strong>the</strong> World Bank Group has its own purpose <strong>of</strong> existence,<br />

organization, <strong>and</strong> operations, <strong>in</strong>clud<strong>in</strong>g <strong>the</strong> mechanisms <strong>of</strong> governance, which have been<br />

précised <strong>and</strong> def<strong>in</strong>ed <strong>in</strong> articles <strong>of</strong> agreement or an equivalent found<strong>in</strong>g document. Each<br />

<strong>in</strong>stitution <strong>in</strong> Bank Group acts as an <strong>in</strong>tergovernmental organization <strong>and</strong> owned by its member<br />

<strong>countries</strong> or its member states shareholders. All <strong>in</strong>stitutions enjoy a great deal <strong>of</strong> autonomy <strong>and</strong><br />

<strong>in</strong>dividual power. Membership to <strong>the</strong>se <strong>in</strong>stitutions is open to <strong>countries</strong>, which meet<br />

requirements, st<strong>and</strong>ards <strong>and</strong> conditions <strong>of</strong> <strong>the</strong> each <strong>in</strong>stitution. The number <strong>of</strong> member <strong>countries</strong><br />

varies by <strong>in</strong>stitution: IBRD 187, 1FC 182, IDA 170, ICSID 157, <strong>and</strong> MIGA 145 as <strong>of</strong> 2011. In<br />

practice, member <strong>countries</strong> govern <strong>the</strong> Bank Group through <strong>the</strong> Boards <strong>of</strong> Governors <strong>and</strong> <strong>the</strong><br />

Boards <strong>of</strong> Directors who are <strong>the</strong> representatives <strong>of</strong> member states. The management <strong>of</strong> each<br />

<strong>in</strong>stitute is also responsible for mak<strong>in</strong>g all major policy decisions for <strong>the</strong> organization.<br />
