While much of the <strong>in</strong>dustry turns <strong>in</strong>wards and slows,<br />
wait<strong>in</strong>g for signs of recovery, <strong>Apata</strong> holds the strong<br />
view that its future success is reliant on forward <strong>plan</strong>n<strong>in</strong>g,<br />
<strong>in</strong>vestment and <strong>in</strong>novation.<br />
Us<strong>in</strong>g the 2007 <strong>strategic</strong> <strong>review</strong> as a framework the <strong>Apata</strong><br />
Board and Executive feel confi dently on track, with much<br />
of the structural redevelopment already implemented<br />
and beg<strong>in</strong>n<strong>in</strong>g to show strong results.<br />
<strong>Apata</strong>’s long-haul commitment to kiwifruit and avocados<br />
is supported by the service, operational and structural<br />
<strong>in</strong>itiatives already underway. The focus is on build<strong>in</strong>g a<br />
profi table and susta<strong>in</strong>able long-term bus<strong>in</strong>ess model, not<br />
look<strong>in</strong>g for short-term returns or cost-cutt<strong>in</strong>g exercises<br />
that impact on performance.<br />

We recognised some time ago that the <strong>in</strong>creas<strong>in</strong>gly<br />
<strong>in</strong>tricate consumer market would lead to more complex<br />
requirements for post-harvest operators, and an absolute<br />
imperative for operational effi ciency.<br />
The Company is actively explor<strong>in</strong>g all opportunities to<br />
<strong>in</strong>crease the scale of its operations and to consolidate<br />
and rationalise resources <strong>in</strong>to quicker, smarter and more<br />
economic models.<br />
History shows us that the other key driver of rationalisation,<br />
depressed grower returns, will br<strong>in</strong>g signifi cant changes<br />
with<strong>in</strong> the <strong>in</strong>dustry. Structures will change and postharvest<br />
operators with proven track records, established<br />
relationships and forward-look<strong>in</strong>g strategies will be best<br />
placed to emerge as w<strong>in</strong>ners.<br />

Collective supply for systems<br />
effi ciency<br />
In mid-2007 the Company was <strong>in</strong>strumental <strong>in</strong> br<strong>in</strong>g<strong>in</strong>g<br />
together 30 million trays under the collective supply<br />
entity, Southl<strong>in</strong>k Supply Limited.<br />
Established primarily to <strong>in</strong>crease supply and systems<br />
effi ciency, Southl<strong>in</strong>k gives <strong>Apata</strong> a greater <strong>in</strong>dustry<br />
presence while ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g <strong>in</strong>dependent pool<strong>in</strong>g<br />
arrangements for growers and our strong track record<br />
<strong>in</strong> exceptional fruit quality and <strong>in</strong>ventory management.<br />
We will cont<strong>in</strong>ue to <strong>review</strong> our supply performance<br />
to ensure we cont<strong>in</strong>ue to meet all ZESPRI expectations<br />
and improve our overall supply processes and outcomes<br />
for growers.<br />

Investment for the future<br />
Invest<strong>in</strong>g <strong>in</strong> people, <strong>plan</strong>t and technology will be critical<br />
to achiev<strong>in</strong>g the goals we’ve put <strong>in</strong> front of us.<br />
Deliver<strong>in</strong>g consistently excellent fruit to world-wide<br />
consumers requires considerable technical expertise,<br />
both on orchard and <strong>in</strong> the packhouse. <strong>Apata</strong> are<br />
<strong>in</strong>vest<strong>in</strong>g <strong>in</strong> their technical service delivery, employ<strong>in</strong>g<br />
specialists like Wade Hunk<strong>in</strong>, Nigel Banks and Mike<br />
Muller to help our growers achieve top quartile results.<br />
<strong>Apata</strong> will cont<strong>in</strong>ue to partner with local orchard<br />
management service providers with proven experience<br />
to make sure growers get tailored services specifi c to<br />
their wants and needs, not the templated preferences of<br />
the post-harvest operator.<br />
View<strong>in</strong>g the wide spread of grower returns <strong>in</strong> 2007,<br />
<strong>Apata</strong> recognises the enormous ga<strong>in</strong>s growers can make<br />
by position<strong>in</strong>g themselves <strong>in</strong> the top quartile and is<br />
commited to help<strong>in</strong>g them achieve it.<br />
Growth cannot be susta<strong>in</strong>ed by simply ask<strong>in</strong>g more<br />
of people, or do<strong>in</strong>g more of the same; susta<strong>in</strong>able<br />
bus<strong>in</strong>esses <strong>in</strong>vest generously <strong>in</strong> people, and reward<br />
them fairly.<br />
Our <strong>in</strong>dustry will not survive if we are unable to<br />
encourage personal growth, share knowledge and<br />
expertise and provide satisfy<strong>in</strong>g work<strong>in</strong>g environments.<br />
Information management is critical to operational<br />
effi ciency. Our systems <strong>in</strong>vestments <strong>in</strong>clude a customised<br />
database that <strong>in</strong>tegrates fruit and grower <strong>in</strong>formation to<br />
better manage grower communication and payments.<br />
The platform can be accessed by multiple areas of the<br />
bus<strong>in</strong>ess, from operations to <strong>in</strong>ventory to transport.<br />

Tony Marks<br />
A former CEO of ZESPRI International<br />
Limited, Tony led ZESPRI through<br />

the corporatisation of ZESPRI Group<br />
Limited, and the successful global<br />
commercialisation of the new GOLD<br />
variety. Prior to work<strong>in</strong>g at ZESPRI,<br />
Tony was General Manager of Sales<br />
and Market<strong>in</strong>g at Air New Zealand<br />
for ten years. His fi nal corporate role<br />
was to launch Pacifi c Blue Airl<strong>in</strong>es<br />
as <strong>in</strong>augural Chief Executive Offi cer<br />
<strong>in</strong> 2003. Tony is currently a director<br />
of seven organisations spann<strong>in</strong>g<br />
transport policy, airl<strong>in</strong>es, travel<br />
agencies, wood products, fruit w<strong>in</strong>e<br />

Paul O’Brien<br />
Paul O’Brien has been grow<strong>in</strong>g<br />
kiwifruit s<strong>in</strong>ce 1978 when his<br />
family developed an orchard at<br />
Aongatete. He established his<br />
own orchard contract<strong>in</strong>g bus<strong>in</strong>ess<br />
<strong>in</strong> 1987, and grows avocados and<br />
GREEN and GOLD kiwifruit on his<br />
own orchard. An executive member<br />

Incorporated, Paul was elected to<br />
the steer<strong>in</strong>g committee to form<br />
<strong>Apata</strong> Suppliers Entity Limited <strong>in</strong><br />

entity <strong>in</strong> 1998 and chairman <strong>in</strong> 2001.<br />

2003, Paul and his wife Paula have<br />

Steve Low jo<strong>in</strong>ed <strong>Apata</strong> <strong>in</strong> October 2007 after three years<br />
as ZESPRI Grower Services Manager. Steve spearheaded<br />
the development of the ZESPRI Grower Contact Centre<br />
and payment and <strong>in</strong>ventory applications on The Canopy.<br />
Steve has held various management roles at companies<br />
<strong>in</strong>clud<strong>in</strong>g SEEKA Kiwifruit Industries, ENZA Cool and<br />
Turners & Growers. Steve’s vast horticultural knowledge<br />
and acute bus<strong>in</strong>ess acumen are deliver<strong>in</strong>g measurable<br />
results as he aligns the operational side of the bus<strong>in</strong>ess<br />
with <strong>Apata</strong>’s <strong>plan</strong>s for future growth.<br />

Bevan Bayne<br />
General Manager Grower Services<br />
Bevan jo<strong>in</strong>ed <strong>Apata</strong> <strong>in</strong> late 2007 after 12 years <strong>in</strong><br />
Senior Management, Sales, and Tra<strong>in</strong><strong>in</strong>g roles <strong>in</strong> large<br />
corporates. His most recent role was National Sales<br />
Manager at Guardian Healthcare. Prior to that Bevan<br />
was a teacher and tra<strong>in</strong>er and it is these skills that have<br />
brought him to <strong>Apata</strong> with a focus on service delivery to<br />
growers to support our procurement ambitions.
Col<strong>in</strong> Reilly<br />
Chief F<strong>in</strong>ancial Offi cer<br />
Col<strong>in</strong> jo<strong>in</strong>ed <strong>Apata</strong> <strong>in</strong> 2004 on his return from Europe. As<br />
Chief F<strong>in</strong>ancial Offi cer, he is responsible for all aspects<br />
of the fi nance function. Before jo<strong>in</strong><strong>in</strong>g <strong>Apata</strong>, Col<strong>in</strong> held<br />
senior management positions <strong>in</strong> Tauranga and abroad,<br />
<strong>in</strong>clud<strong>in</strong>g roles at KPMG, Design Mobel, Reuters and<br />
BAA McArthurglen. Col<strong>in</strong> is a Chartered Accountant<br />
and has a Bachelor of Management Studies from the<br />
University of Waikato.<br />
Two key new appo<strong>in</strong>tments<br />
The <strong>Apata</strong> Executive team <strong>in</strong>cludes two key new<br />
appo<strong>in</strong>tments <strong>in</strong>to positions that are <strong>in</strong>strumental <strong>in</strong><br />
develop<strong>in</strong>g and push<strong>in</strong>g the <strong>strategic</strong> <strong>review</strong> through to<br />
the front-l<strong>in</strong>e of our organisation.<br />
Jo<strong>in</strong><strong>in</strong>g Todd Muller and Col<strong>in</strong> Reilly are Steve Low, Chief<br />
Operat<strong>in</strong>g Offi cer s<strong>in</strong>ce October 2007, and Bevan Bayne,<br />
who started as Grower Services General Manager <strong>in</strong> early<br />
December 2007.<br />
Build<strong>in</strong>g on <strong>Apata</strong>’s reputation for operational<br />
excellence, Steve has a clear mandate to <strong>in</strong>crease<br />
organisation productivity and effi ciency and lower costs<br />
while support<strong>in</strong>g Marilyn Haywood and her team to<br />
cont<strong>in</strong>ually strengthen recognised quality and <strong>in</strong>ventory<br />
management capabilities.<br />
Bevan’s skills br<strong>in</strong>g structure and impetus to the grower<br />
services division, manag<strong>in</strong>g and driv<strong>in</strong>g the vital<br />
relationships between <strong>Apata</strong> growers and the Company.<br />
Bevan is <strong>in</strong> the process of <strong>in</strong>troduc<strong>in</strong>g a genu<strong>in</strong>ely<br />
different services model, built on help<strong>in</strong>g growers<br />
achieve their best possible results.<br />
Todd Muller<br />
Chief Executive Offi cer<br />
Todd jo<strong>in</strong>ed <strong>Apata</strong> <strong>in</strong> January 2007 after eight years <strong>in</strong><br />
senior management roles at ZESPRI. With a Masters<br />
Degree from Waikato University, Todd has worked with<br />
the National Party (and then Prime M<strong>in</strong>ister Jim Bolger)<br />
and Fonterra, New Zealand’s largest company. Todd’s<br />
vast <strong>in</strong>dustry experience, strong exist<strong>in</strong>g relationships<br />
and deep understand<strong>in</strong>g of growers’ needs are prov<strong>in</strong>g<br />
<strong>in</strong>valuable as he seeks to position <strong>Apata</strong> for the future.<br />

Corporate governance statement<br />
Responsibilities and functions of the board<br />
The Board of Directors is responsible to shareholders<br />
for the performance of the Group. Responsibility for<br />
day-to-day operations and adm<strong>in</strong>istration is delegated<br />
by the Board to the Chief Executive Officer.<br />
Board composition<br />
The Company’s constitution permits a m<strong>in</strong>imum number<br />
of two directors, and a maximum of seven.<br />
At each general meet<strong>in</strong>g, one third of the ord<strong>in</strong>ary<br />
directors shall retire from office. A retir<strong>in</strong>g ord<strong>in</strong>ary<br />
director shall be eligible for re-election.<br />
The Board may by resolution from time to time<br />
appo<strong>in</strong>t and remove two additional people as directors<br />
(each an “additional director”). An additional director<br />
will hold office for such term as is determ<strong>in</strong>ed by the<br />
Board at the time of appo<strong>in</strong>tment, up to a maximum<br />
term of three years.<br />
The Chairman is elected annually by the Board at the first<br />
directors’ meet<strong>in</strong>g follow<strong>in</strong>g the annual meet<strong>in</strong>g.<br />
A director is not required to hold shares.<br />
Audit and risk committee<br />
The audit and risk committee comprised two directors<br />
dur<strong>in</strong>g the year <strong>in</strong> <strong>review</strong>; David Goodw<strong>in</strong> and Max<br />
McGreevy. A third committee member will be appo<strong>in</strong>ted<br />
dur<strong>in</strong>g the 2008/09 year. Members of the executive and<br />
the external auditors are <strong>in</strong>vited to committee meet<strong>in</strong>gs<br />
as deemed necessary.<br />
The primary role of the committee is to assist the Board<br />
to meet its responsibilities <strong>in</strong> respect of the Group’s<br />
account<strong>in</strong>g practices, report<strong>in</strong>g requirements and<br />
<strong>in</strong>ternal controls.<br />
These responsibilities <strong>in</strong>clude:<br />
1. Monitor<strong>in</strong>g of corporate risk assessment and the<br />
<strong>in</strong>ternal controls <strong>in</strong>stituted;<br />
2. Review of the annual f<strong>in</strong>ancial statements, audit<br />
f<strong>in</strong>d<strong>in</strong>gs and processes;<br />
3. Review of account<strong>in</strong>g processes and <strong>in</strong>terim f<strong>in</strong>ancial<br />
<strong>in</strong>formation, <strong>in</strong>clud<strong>in</strong>g budgets;<br />
4. Review of the frequency and significance of all<br />
transactions between the company and related<br />
parties and assessment of their propriety;<br />
5. Oversight of compliance with statutory<br />
responsibilities relat<strong>in</strong>g to f<strong>in</strong>ancial, shareholder and<br />
other requirements.<br />
The Board may establish other committees on an ad hoc<br />
basis as required from time to time.<br />
Delegation of authority<br />
The constitution restricts certa<strong>in</strong> authorities to the<br />
Board, but provides for authority on other matters to be<br />
delegated. The Board has delegated certa<strong>in</strong> authority to<br />
the audit and risk committee and to senior management,<br />
particularly to facilitate the day-to-day management of<br />
the bus<strong>in</strong>ess, <strong>in</strong>clud<strong>in</strong>g the sign<strong>in</strong>g of contracts and<br />
other documents.<br />
Conflicts of <strong>in</strong>terest<br />
Where any director has a conflict of <strong>in</strong>terest or is<br />
otherwise <strong>in</strong>terested <strong>in</strong> any transaction, that director is<br />
required to disclose his conflict of <strong>in</strong>terest, and thereafter<br />
neither participate <strong>in</strong> the discussion nor vote <strong>in</strong> relation<br />
to the relevant matter. The Group ma<strong>in</strong>ta<strong>in</strong>s a register of<br />
disclosed <strong>in</strong>terests.<br />
The role of shareholders<br />
The Board aims to ensure that shareholders are<br />
<strong>in</strong>formed of all major developments affect<strong>in</strong>g the<br />
Group’s state of affairs. Information is communicated<br />
to shareholders <strong>in</strong> the annual report, newsletters and<br />
other correspondence. The Board encourages full<br />
participation of shareholders at the annual meet<strong>in</strong>g to<br />
ensure understand<strong>in</strong>g of and support for the Group’s<br />
strategies and goals.
