prior to the cancellation date of the Surety Bond. If the Party providing the deposit fails to comply with the foregoing,<br />

the Party requesting the deposit shall thereafter be authorized to take action on the Surety Bond and utilize the cash<br />

proceeds as security for account(s) of the Party providing the deposit. If the credit rating of any bonding company<br />

that has provided the Party providing the deposit with a Surety Bond provided as security hereunder has fallen below<br />

“B”, the Party requesting the deposit will provide written notice to the Party providing the deposit that the Party<br />

providing the deposit must provide a replacement bond or other suitable security within fifteen (15) calendar days of<br />

the Party requesting the deposit written notice. If the Party providing the deposit fails to comply with the foregoing,<br />

the Party requesting the deposit shall thereafter be authorized to take action on the Surety Bond and utilize the cash<br />

proceeds as security for account(s) of the Party providing the deposit. Notwithstanding anything contained in this<br />

<strong>Agreement</strong> to the contrary, the Party requesting the deposit shall be authorized to draw down the full amount of any<br />

Letter of Credit or take action on any Surety Bond provided by the Party providing the deposit as security hereunder if<br />

the Party providing the deposit defaults on its account(s) or otherwise fails to make any payment or payments<br />

required under this <strong>Agreement</strong> in the manner and within the time, as required herein.<br />

10.0 Billing and Payment of Charges<br />

10.1 Unless otherwise stated, each Party will render monthly bill(s), remittance in full by the Bill Due Date, to the other for<br />

Interconnection products and/or services provided hereunder at the applicable rates set forth in the Pricing Schedule.<br />

10.2 Invoices<br />

10.2.1 Invoices shall comply with nationally accepted standards agreed upon by the Ordering and Billing Forum<br />

(OBF) for billing access traffic. Reciprocal compensation invoices from WSP shall contain detail to<br />

substantiate billed traffic which originates from AT&T LOUISIANA’s network.<br />

10.2.2 Parties agree that each will perform the necessary call recording and rating for its respective portions of an<br />

exchanged call in order to invoice the other Party.<br />

10.2.3 Invoices between the Parties shall include, but not be limited to the following pertinent information.<br />

Identification of the monthly bill period (from and through dates)<br />

Current charges<br />

Past due balance<br />

Adjustments<br />

Credits<br />

Late payment charges<br />

Payments<br />

Contact telephone number for billing inquiries<br />

10.2.4 The Parties will provide a remittance document with each invoice identifying:<br />

Remittance address<br />

Invoice number and/or billing account number<br />

Summary of charges<br />

Amount due<br />

Payment Due Date (at least thirty (30) days from the invoice date)<br />

10.2.5 Invoices between the Parties will be provided on paper and will be the primary bill, unless a mechanized<br />

format is mutually agreed upon and subsequently designated in writing by both Parties as the primary bill.<br />

10.2.6 Reciprocal compensation invoices will be based on Conversation MOUs for all Section 251(b)(5) Calls and<br />

are measured in total conversation time seconds, which are totaled (by originating and terminating CLLI<br />

code) for the monthly billing cycle and then rounded up to the next whole minute.<br />

10.2.7 Each Party shall separately list on its bill to the other Party for reciprocal compensation the Conversation<br />

MOUs representing Third Party Traffic. If WSP does not record and identify the actual amount of Third<br />

Party Traffic delivered to it over the Interconnection Trunks, then WSP shall deduct from the amount of total<br />

Conversation MOU on its bill to AT&T LOUISIANA (for reciprocal compensation) a percentage that is equal<br />

to the percentage that Third Party Traffic minutes bear to the total billed Conversation MOU on AT&T
