Draft Standard Transmission Services Agreement<br />

“Contract Per<strong>for</strong>mance Guarantee” shall mean the irrevocable<br />

unconditional bank guarantee, submitted and to be submitted by the TSP<br />

or by the Selected Bidder on behalf <strong>of</strong> the TSP to the Long Term<br />

Transmission Customers from a bank mentioned in Annexure 13 <strong>of</strong> the<br />

RFP, in the <strong>for</strong>m attached here to as Schedule 11, in accordance with<br />

Article 3 <strong>of</strong> this Agreement and which shall include the additional bank<br />

guarantee furnished by the TSP under this Agreement;<br />

“Contract Year”, <strong>for</strong> the purpose <strong>of</strong> payment <strong>of</strong> Transmission Charges,<br />

shall mean the period beginning on the COD, and ending on the<br />

immediately succeeding March 31 and thereafter each period <strong>of</strong> 12<br />

months beginning on April 1 and ending on March 31 provided that the<br />

last Contract Year shall end on the last day <strong>of</strong> the term <strong>of</strong> the TSA;<br />

“CTU” or “Central Transmission Utility” shall mean the utility notified<br />

by the Central Government under Section-38 <strong>of</strong> the Electricity Act, 2003;<br />

“Day” shall mean a day starting at 00:00 hours and ending at 2400 hours;<br />

“D/C” shall mean Double Circuit;<br />

“Dispute” shall mean any dispute or difference <strong>of</strong> any kind between a<br />

Long Term Transmission Customer and the TSP or between the Long<br />

Term Transmission Customers (jointly) and the TSP, in connection with or<br />

arising out <strong>of</strong> this Agreement including any issue on the interpretation and<br />

scope <strong>of</strong> the terms <strong>of</strong> this Agreement as provided in Article 16;<br />

“Due Date” in relation to any Invoice shall mean the thirtieth day after the<br />

date on which any Invoice is received and duly acknowledged by the Long<br />

Term Transmission Customer (or, if that day is not a Business Day, the<br />

immediately following Business Day), and by such date, the Invoice is<br />

payable by the Long Term Transmission Customer;<br />

“Effective Date” <strong>for</strong> the purposes <strong>of</strong> this Agreement, shall have the same<br />

meaning as per Article 2.1 <strong>of</strong> this Agreement;<br />

“Electrical Inspector” shall mean a person appointed as such by the<br />

Appropriate Government under sub-section (1) <strong>of</strong> Section 162 <strong>of</strong> the<br />

Electricity Act 2003 and also includes Chief Electrical Inspector;<br />

“Electricity Rules 2005” shall mean the rules framed pursuant to the<br />

Electricity Act 2003 and as amended from time to time;<br />

“Element” shall mean each Transmission Line or each circuit <strong>of</strong> the<br />

Transmission Lines (where there are more than one circuit) or each bay <strong>of</strong><br />

Sub-station or switching station or HVDC terminal or inverter station <strong>of</strong> the<br />

Project, which has a separate Scheduled COD as per Schedule 3 <strong>of</strong> this<br />

Agreement and has a separate percentage <strong>for</strong> recovery <strong>of</strong> Transmission<br />

Charges on achieving COD as per Schedule 6 <strong>of</strong> this Agreement;<br />
