The information set out in Note 28 on page 108 to the financial statements has been compiled by the Company as required by the Bursa Malaysia Securities Berhad Listing Requirements. We have extended our audit procedures to report on the process of compilation of such information. In our opinion, the information has been properly compiled, in all material respects, in accordance with the Guidance of Special Matter No.1, Determination of Realised and Unrealised Profits or Losses in the Context of Disclosures Pursuant to Bursa Malaysia Securities Berhad Listing Requirements, issued by the Malaysian Institute of Accountants and presented based on the format prescribed by Bursa Malaysia Securities Berhad. OTHER mATTERS This report is made solely to the members of the Company, as a body, in accordance with Section 174 of the Companies Act, 1965 in Malaysia and for no other purpose. Masterskill Education Group Berhad / Annual Report 2012 112 NOTICE OF ANNUAL GENERAL MEETING NOTICE IS HEREBy GIvEN THAT the Sixth Annual General Meeting of Masterskill Education Group Berhad (746920-M) (“the Company”) will be held at The Auditorium, Ground Floor, G-8, Jalan Kemacahaya 11, Taman Kemacahaya, Batu 9, 43200 Cheras, Selangor Darul Ehsan on Wednesday, 12 June 2013 at 10.00 a.m. for the following purposes:- AS ORDINARy BuSINESS 1. To receive and consider the Audited Financial Statements together with the Reports of the Directors and Auditors thereon for the financial year ended 31 December 2012. (Resolution 1) 2. To approve Directors’ Fees of RM203,000.00 for the financial year ended 31 December 2012. (Resolution 2) 3. To re-elect the following Directors who retire pursuant to Article 129 of the Company’s Articles of Association: a) Mr. Richard Todd Scanlon; and (Resolution 3) b) Y. Bhg. Datuk Kamarudin Bin Md. Ali. (Resolution 4) 4. To re-elect the following Directors who retire pursuant to Article 134 of the Company’s Articles of Association: a) Mathuraiveran a/l Marimuthu; and (Resolution 5) b) Siva Kumar a/l M Jeyapalan. (Resolution 6) 5. To re-appoint Messrs KPMG as Auditors of the Company and to authorise the Directors to fix their remuneration. (Resolution 7) AS SpECIAl BuSINESS To consider and if thought fit, to pass, with or without modifications, the following Resolutions: 6. ORDINARy RESOluTION AuTHORITy TO AllOT SHARES puRSuANT TO SECTION 132D OF THE COmpANIES ACT, 1965 “THAT pursuant to Section 132D of the Companies Act, 1965 and subject to the approval of relevant authorities, the Directors be and are hereby empowered to issue shares in the Company from time to time and upon such terms and conditions and for such purposes as the Directors may, in their absolute discretion, deem fit provided that the aggregate number of shares issued pursuant to this resolution does not exceed 10% of the issued share capital of the Company for the time being and that the Directors be and also empowered to obtain approval for the listing of and quotation for the additional shares so issued on the Main Market of Bursa Malaysia Securities Berhad AND THAT such authority shall continue in force until the conclusion of the next Annual General Meeting of the Company.” (Resolution 8)
