Today’s Objectives<br />
Inform the membership of the situations that led to<br />
the Board’s decision to elim<strong>in</strong>ate all Auction events.<br />
<strong>Review</strong> our f<strong>in</strong>ancial position headed <strong>in</strong>to the 2010-<br />
2011 <strong>Ad</strong> <strong>Club</strong> year and plans to change it.<br />
<strong>Ad</strong>dress questions/comments/concerns from the<br />
membership.
Elim<strong>in</strong>at<strong>in</strong>g the Auction: Why?<br />
Legal issues with the Museum <strong>in</strong>fluenced the decision<br />
greatly.<br />
F<strong>in</strong>ancial outcomes of the 2009 and 2010 Auction were<br />
paramount.<br />
Board, along with Future Plann<strong>in</strong>g Committee, made<br />
the decision on behalf of membership, as is the Board’s<br />
role.
Legal Issues with the Museum<br />
January 2010: The Museum threatens to sue <strong>Ad</strong> <strong>Club</strong> for<br />
use of the C.M. Russell “marks” (name/logo) <strong>in</strong><br />
conjunction with our event. Claim they have the rights to<br />
the name and therefore we should cease and desist us<strong>in</strong>g it.<br />
The Museum agrees to not press charges if we give them<br />
the marks.<br />
<strong>Ad</strong> <strong>Club</strong> rejects the offer and tells the Museum to cease and<br />
desist us<strong>in</strong>g the C.M. Russell <strong>in</strong> relation to their art event as<br />
we have the established prior right.
Legal Issues with the Museum<br />
March 26, 2010: The Museum sues <strong>Ad</strong> <strong>Club</strong> for <strong>in</strong>tellectual<br />
property matters as well as other damages. Museum offers<br />
to settle out of court.<br />
<strong>Ad</strong> <strong>Club</strong> Board evaluates options with <strong>in</strong>put of attorneys.<br />
Options are:<br />
Go to litigation<br />
Settle out of court<br />
File a preemptive suit<br />
Go through arbitration with the Museum<br />
<strong>Ad</strong> <strong>Club</strong> Board decides to settle out of court with the<br />
Museum.
Timel<strong>in</strong>e of Events<br />
<strong>Ad</strong> <strong>Club</strong> Board works with attorneys to def<strong>in</strong>e the<br />
value of our trademarks; <strong>Ad</strong> <strong>Club</strong> will sell marks to the<br />
Museum to avoid litigation.<br />
April 23, 2010: Negotiation team meets with Museum<br />
to determ<strong>in</strong>e a potential settlement. Museum makes a<br />
settlement offer.<br />
<strong>Ad</strong> <strong>Club</strong> Board rejects <strong>in</strong>itial offer and counters with<br />
other settlement proposals (April – May).

June 2010: F<strong>in</strong>ance Committee meets and determ<strong>in</strong>es the<br />
2010 Auction was not profitable. Recommends elim<strong>in</strong>ation<br />
of Auction staff positions if settlement numbers with the<br />
Museum are not substantial.<br />
June 9, 2010: Board votes not to conduct a live auction <strong>in</strong><br />
2011 and to elim<strong>in</strong>ate Auction positions by the end of the<br />
month.<br />
June 16, 2010: Museum rejects <strong>Ad</strong> <strong>Club</strong>’s proposals;<br />
counter offer<strong>in</strong>g commences between both parties.

June 28, 2010: Auction staff positions are elim<strong>in</strong>ated.<br />
June 29, 2010: Museum counters with a full and f<strong>in</strong>al<br />
settlement offer. <strong>Ad</strong> <strong>Club</strong> accepts this offer.<br />
July 1, 2010: <strong>Ad</strong> <strong>Club</strong> members and artists are<br />
<strong>in</strong>formed of the <strong>Ad</strong> <strong>Club</strong>’s decision to not conduct a<br />
live auction as well as the elim<strong>in</strong>ation of Auction staff<br />
positions.
Timel<strong>in</strong>e of Events<br />
<strong>Ad</strong> <strong>Club</strong> Board and Future Plann<strong>in</strong>g Committee cont<strong>in</strong>ue<br />
to evaluate the feasibility of conduct<strong>in</strong>g exhibit rooms. A<br />
survey of exhibitors and meet<strong>in</strong>gs with the Heritage Inn<br />
commence. Committee tries to attract other “anchor”<br />
events that could help attract people to the exhibit rooms.<br />
July 12, 2010: First draft of settlement papers are received<br />
from the Museum’s attorneys.<br />
July 27, 2010: Future Plann<strong>in</strong>g Committee determ<strong>in</strong>es<br />
conduct<strong>in</strong>g exhibit rooms <strong>in</strong> 2011 would not be beneficial<br />
for the <strong>Club</strong>; makes recommendation to the Board.

July 29, 2010: <strong>Ad</strong> <strong>Club</strong> Board votes not to conduct<br />
exhibit rooms <strong>in</strong> 2011.<br />
August 6, 2010: E-mails and letters are sent to all<br />
members, exhibitors, patrons, sponsors and contacts<br />
<strong>in</strong>form<strong>in</strong>g them <strong>Ad</strong> <strong>Club</strong> will not be participat<strong>in</strong>g <strong>in</strong><br />
Western Art Week.<br />
September 1, 2010: Settlement papers with the<br />
Museum are f<strong>in</strong>alized; <strong>Ad</strong> <strong>Club</strong> ceases and desists<br />
us<strong>in</strong>g the C.M. Russell marks.
