month represent<strong>in</strong>g 112,577 sq ft at RMl.80 per sq<br />

ft, and <strong>the</strong> same rental rate is agreed for 8 days per<br />

annum for special sales (ie for <strong>the</strong>se number <strong>of</strong><br />

days rental shall not be based on <strong>the</strong> sales turnover<br />

as provided under <strong>the</strong> Sublease Agreement dated<br />

14 September 2000); and<br />

(3) The 2 nd Respondent is entitled to collect 1% <strong>of</strong> <strong>the</strong><br />

1 st Respondent’s turnover to defray <strong>the</strong> 2 nd<br />

Respondent’s headquarters overhead (<strong>the</strong><br />

Management Fee).<br />

THE FIDUCIARY RELATIONSHIP BETWEEN<br />

PETITIONER AND 2 nd RESPONDENT<br />

20. By virtue <strong>of</strong> <strong>the</strong> Jo<strong>in</strong>t Venture relationship between <strong>the</strong><br />

Petitioner and <strong>the</strong> 2 nd Respondent <strong>the</strong>y are partners, or<br />

ak<strong>in</strong> to partners <strong>in</strong> <strong>the</strong> jo<strong>in</strong>t venture bus<strong>in</strong>ess carried out<br />

under <strong>the</strong> corporate umbrella <strong>of</strong> <strong>the</strong> 1 st Respondent.<br />

21. The Petitioner had reposed trust and confidence <strong>in</strong> <strong>the</strong> 2 nd<br />

Respondent <strong>in</strong> manag<strong>in</strong>g <strong>the</strong> day-to-day operations <strong>of</strong> <strong>the</strong><br />

jo<strong>in</strong>t venture bus<strong>in</strong>ess. However, <strong>the</strong> Petitioner as <strong>the</strong><br />

partner has a right and expectation to give its <strong>in</strong>put <strong>in</strong> <strong>the</strong><br />

management <strong>of</strong> <strong>the</strong> jo<strong>in</strong>t venture bus<strong>in</strong>ess through <strong>the</strong><br />

management committee <strong>of</strong> <strong>the</strong> 1 st Respondent. The<br />

accounts <strong>of</strong> <strong>the</strong> 1 st Respondent should also be readily<br />

available to <strong>the</strong> Petitioner.<br />

22. Ins<strong>of</strong>ar as <strong>the</strong> general management <strong>of</strong> <strong>the</strong> 1 st Respondent<br />

is concerned, <strong>the</strong> Petitioner would rely on <strong>the</strong> 2 nd<br />

Respondent to act and conduct itself <strong>in</strong> a position and<br />

manner befitt<strong>in</strong>g that <strong>of</strong> a fiduciary whom it had reposed<br />

trust and confidence. The Petitioner had expected <strong>the</strong> 2 nd<br />

Respondent not to act <strong>in</strong> a way and manner that <strong>the</strong>re<br />

would be a conflict <strong>of</strong> duty and <strong>in</strong>terest with that <strong>of</strong> <strong>the</strong><br />

Petitioner’s rights and <strong>in</strong>terest <strong>in</strong> <strong>the</strong> jo<strong>in</strong>t venture<br />

bus<strong>in</strong>ess.<br />

23. There was also <strong>the</strong> board <strong>of</strong> directors meet<strong>in</strong>g that <strong>the</strong><br />

Petitioner’s representatives could expect to resolve any<br />
