1.1 Upon <strong>the</strong> sign<strong>in</strong>g <strong>of</strong> a sale <strong>of</strong> shares agreement, Ngiu Kee<br />

Corporation (M) Bhd shall:<br />

1.1.1 pay one half <strong>of</strong> <strong>the</strong> Deposit (as stipulated by<br />

section 3.2 <strong>of</strong> <strong>the</strong> Sublease Agreement dated<br />

14/09/00) <strong>in</strong> cash and deliver an unconditional<br />

bank guarantee <strong>in</strong> favour <strong>of</strong> our client for <strong>the</strong><br />

rema<strong>in</strong><strong>in</strong>g half <strong>of</strong> <strong>the</strong> Deposit - <strong>the</strong> total “Deposit”<br />

sum is RM675,463.08 calculated at RM6.00 x<br />

112.577.18 sq. ft;<br />

1.1.2 appo<strong>in</strong>t Ernst & Young to determ<strong>in</strong>e <strong>the</strong> Fair and<br />

Commercial Price for <strong>the</strong> sale <strong>of</strong> <strong>the</strong> Shares; and<br />

1.1.3 procure <strong>the</strong> return <strong>of</strong> <strong>the</strong> Corporate Guarantee<br />

executed by our client <strong>in</strong> favour <strong>of</strong> <strong>the</strong> HSBC Bank<br />

Malaysia Berhad.<br />

1.2 The Fair and Commercial Price as determ<strong>in</strong>ed by Ernst &<br />

Young shall be f<strong>in</strong>al and b<strong>in</strong>d<strong>in</strong>g and Ngiu Kee<br />

Corporation shall complete <strong>the</strong> acquisition <strong>of</strong> <strong>the</strong> Shares<br />

with<strong>in</strong> 90 days <strong>of</strong> <strong>the</strong> Fair and Commercial Price be<strong>in</strong>g<br />

determ<strong>in</strong>ed.<br />

1.3 Except as provided here<strong>in</strong>, <strong>the</strong> sale <strong>of</strong> <strong>the</strong> Shares shall be<br />

subject to <strong>the</strong> standard terms and conditions <strong>of</strong> a sale<br />

<strong>of</strong> shares agreement to be drawn-up by <strong>the</strong> solicitors for<br />

Pacific Construction Hold<strong>in</strong>gs Sdn Bhd.<br />

1.4 Ngiu Kee Corporation (M) Bhd shall be responsible for<br />

<strong>the</strong> legal and pr<strong>of</strong>essional fees <strong>in</strong>curred <strong>in</strong> draw<strong>in</strong>g-up <strong>the</strong><br />

sale <strong>of</strong> shares agreement and <strong>in</strong> determ<strong>in</strong><strong>in</strong>g <strong>the</strong> Fair and<br />

Commercial Price for <strong>the</strong> sale <strong>of</strong> <strong>the</strong> Shares.<br />

1.5 Ngiu Kee Corporation (M) Bhd shall be responsible for<br />

stamp duty, registration fee and any o<strong>the</strong>r charges<br />

payable on account <strong>of</strong> <strong>the</strong> transfer <strong>of</strong> <strong>the</strong> Shares.<br />
