entitled to rely. This, broadly speak<strong>in</strong>g, was <strong>the</strong> class <strong>of</strong><br />

case which <strong>the</strong> draftsman <strong>of</strong> s 210 evidently had <strong>in</strong> m<strong>in</strong>d,<br />

and <strong>the</strong> question is whe<strong>the</strong>r <strong>the</strong> petitioners have brought<br />

<strong>the</strong>mselves, with<strong>in</strong> <strong>the</strong> scope <strong>of</strong> <strong>the</strong> section.<br />

At p 116 <strong>of</strong> <strong>the</strong> same case, Lord Keith said:<br />

It is not lack <strong>of</strong> confidence between shareholders per se<br />

that br<strong>in</strong>gs s 210 <strong>in</strong>to play, but lack <strong>of</strong> confidence<br />

spr<strong>in</strong>g<strong>in</strong>g from oppression <strong>of</strong> a m<strong>in</strong>ority by a majority <strong>in</strong><br />

<strong>the</strong> management <strong>of</strong> <strong>the</strong> company’s affairs, and oppression<br />

<strong>in</strong>volves, I th<strong>in</strong>k, at least an element <strong>of</strong> lack <strong>of</strong> probity or<br />

fair deal<strong>in</strong>g to a member <strong>in</strong> <strong>the</strong> matter <strong>of</strong> his proprietary<br />

rights as a shareholder;<br />

And at <strong>the</strong> same page fur<strong>the</strong>r said:<br />

The company’s affairs must be conducted <strong>in</strong> a manner<br />

oppressive to some part <strong>of</strong> <strong>the</strong> members and that<br />

connotes to my m<strong>in</strong>d an abuse <strong>of</strong> power by some person<br />

or persons controll<strong>in</strong>g <strong>the</strong> company and result<strong>in</strong>g <strong>in</strong><br />

<strong>in</strong>jury to <strong>the</strong> rights <strong>of</strong> some part <strong>of</strong> its members.<br />

In Re Kong Thai Sawmill (M<strong>in</strong>) Sdn Bhd [1978] 2 MLJ 227,<br />

Lord Wilberforce said (at p 229):<br />

The Malaysian section, on <strong>the</strong> o<strong>the</strong>r hand, requires (under<br />

sub-s 1(a)) a f<strong>in</strong>d<strong>in</strong>g <strong>of</strong> ‘oppression’ or ‘disregard’, and<br />

<strong>the</strong>n leaves to <strong>the</strong> <strong>court</strong> a wide discretion as to <strong>the</strong> relief<br />

which it may grant, <strong>in</strong>clud<strong>in</strong>g among <strong>the</strong> options that <strong>of</strong><br />

w<strong>in</strong>d<strong>in</strong>g <strong>the</strong> company up.”<br />

Fur<strong>the</strong>r down at page 759 <strong>the</strong> learned judge said:<br />

“For <strong>the</strong> petitioner to succeed <strong>in</strong> his application for <strong>the</strong> said<br />

reliefs, he must show <strong>the</strong> follow<strong>in</strong>g, namely:<br />

(i) that it is <strong>the</strong> affairs <strong>of</strong> <strong>the</strong> respondent company itself<br />

which are conducted <strong>in</strong> an oppressive manner; and<br />
