KIUC Nominating Committee Selected<br />

Lihue, Kauai, HI - 7/31/03 - In accordance with KIUC's By-laws, a Nominating<br />

Committee has been appointed to select individuals to run for three (3) director positions<br />

on the nine-member Board of Directors for KIUC. The individuals serving on the<br />

Nominating Committee; Mary Lou Barilla, Jerry Gibson, Wanda Shibata, Turk Tokita,<br />

and Walt Barnes, will recommend individuals as nominees for the 3 available seats.<br />

These individuals will be on the ballot for the September 27, 2003 election.<br />

KIUC Members who wish to be considered by the Nominating Committee should submit<br />

a one-page resume and letter of interest by August 8, 2003, addressed to KIUC<br />

Nominating Committee, 4463 Pahee Street, Lihue, HI 96766-2032. The Committee will<br />

review the qualifications of interested candidates and announce their selection of<br />

nominees on August 13, 2003.<br />

A Director is one of nine (9) elected representatives of the members of KIUC who<br />

collectively constitute the Board of Directors. The Board of Directors governs the<br />

business and affairs of KIUC and is generally concerned with the broad courses of<br />

action to be followed by the utility and not involved in the day-to-day utility operations.<br />

Qualified KIUC Members may also be nominated by collecting 35 signatures of other<br />

members (electric account holders) in good standing and submitting a completed<br />

Member Petition to the Nominating Committee no later than September 2, 2003. All<br />

candidates with valid petitions will be placed on the ballot for the September 27, 2003<br />

KIUC Reaches Agreement to Purchase Power Plant<br />

Lihu`e, Kaua`i, HI – 8/05/03 - Kaua`i <strong>Island</strong> <strong>Utility</strong> <strong>Cooperative</strong> is pleased to announce that is has executed a<br />

Purchase and Sale Agreement to acquire the 26.4 megawatt power plant owned by Kauai Power Partners, LP,<br />

an affiliate of Dominion Resources, Inc. The agreement has the unanimous support of the Board of Directors of<br />

KIUC and has a contract purchase price of $40.2 million dollars. Approval by the Hawai`i Public Utilities<br />

Commission is required for the purchase.<br />

“We have completed our due diligence on all fronts; legal, financial, valuation, engineering and environmental,”<br />

said Alton Miyamoto, President and CEO of KIUC “and we feel certain we have made the best decision for our<br />

members.”<br />

The purchase of the plant replaces the 25-year contract under which KIUC must purchase the entire energy<br />

output of the KPP facility. The KPP plant represents over 40% of KIUC’s generation mix and has the highest<br />

efficiency of any of KIUC’s generating plants.<br />

“This purchase is an incredible achievement for our members. It will save KIUC members approximately $40<br />

million dollars over the next 25 years, after paying principal and interest on the purchase, as compared to our<br />

contract payments to KPP to purchase the power.” said Gregg Gardiner, President of the KIUC Board of<br />

Directors. “With the purchase of the KPP plant, KIUC will achieve 34% equity in 10 years, and it increases the<br />

margins on which our patronage capital refunds to members are calculated. ”<br />

KIUC Nominating Committee Makes Recommendations<br />

Lihue, Kauai, HI - 8/12/03 - In accordance with KIUC's By-laws, an appointed Nominating Committee<br />

made nominations of members to run for election as directors on the nine-member Board of Directors. The<br />

Nominating Committee; Mary Lou Barela, Walt Barnes, Jerry Gibson, Wanda Shibata, and Turk Tokita<br />

recommended the following individuals: Raymond W. Paler, Scott N. Giarman, Jim Mayfield, Gregg<br />

Gardiner and Earl S. P. Smith. Each of these individuals will be on the September 27 ballot.<br />

Each candidate submitted a resume and letter of interest for consideration and review. The Committee<br />

reviewed the qualifications of interested candidates on August 11, and made their selections. “I was<br />

impressed with the candidates we selected and would like to thank everyone who took the time to apply for<br />

the director positions,” said Walt Barnes, committee member, “each would be a great asset to the Board<br />

and to the community.”<br />

holders) in good standing and submitting a completed Member Petition to the Nominating Committee no<br />

later than 4:30 p.m. on September 2, 2003. All candidates with valid petitions will be placed on the ballot<br />
